BUSINESS CORNER

THROW THE BEST EMPLOYEE SUMMER BBQ BASH Summer is practically here! What that means in the liquid waste industry is that the work obviously still must go on, even though many of your employees might have their head in the summer clouds! Septic systems still need to get cleaned and repaired, but everyone should have a day for some summertime enjoyment with their co-workers. So what better way, as the company’s owners, to show your appreciation to your employees during this busy summer season than by throwing the absolute best summer BBQ bash? You have quite a few options in throwing the perfect employee party; it doesn’t even have to be the proverbial hot dogs and hamburgers on the grill. Think outside the box a bit for a fabulous summer party that all your employees will talk about for years to come. Plan an outing well in advance, so you can make sure to get the ideal space to have your summer blowout and invite everyone’s families to attend for a better all-around experience. Here are some cool ideas for a hot summer party that will impress all your hard working crews. w w w. am er ica nliquidwa ste.co m

PICK A FUN LOCATION Employee picnics are a popular idea during the summer time, but you know what’s even better? Going somewhere super fun! Think amusement parks, the zoo, or even a local water park to get everyone excited about a spectacular work outing. Sometimes a basic summer picnic can be a little boring, so having it at a destination location is the way to go. People will get really excited about bringing their entire families to the event, so budget and plan to have a fun filled day that takes everyone out of their regular routines. It’s definitely a more fun memory that day to reminisce over how you talked that stuffy guy in your accounting department on the tallest roller coaster at the amusement park! TAKE IN A BALLGAME If sports will appeal to your employees more, take the summer bash to a fun baseball game. Many cities have MLB baseball teams that will give group outing discount tickets J U N E 2 0 1 7 A M E RI C A N LI Q UI D WASTE 7

on certain day games. Those are usually the best deal for larger groups. If you don’t have a Major League team close by, consider a minor league ball club’s stadium. Some of the new triple A ball teams facilities are outfitted with cool amenities, club seating, and have great views of the sporting action. Beer, hot dogs, and baseball in the summer sun with your coworkers and their families sounds like a great way to spend a fun-filled day.

brewery? Craft beer is so popular right now that more and more local breweries are popping up in big and small cities all over America. You can easily rent out space to host your own employee party that features some tasty brews for your crews to enjoy. Just make sure you rent a party bus to get everyone home safely.

A HOTEL’S POOL AND SUITE

If you still would rather have it on site at your company’s back docks, that’s okay too. Set up a tent, seating, and try to bring in some entertainment, like games and sporting equipment that your employees can enjoy. Think specifically cornhole tournaments, a volleyball net, and even a bocce that can go on during the festivities. Hanging out in the summer is still so much fun with entertainment, drinks, and good food in the nice weather that it almost doesn’t matter where you have the bash.

Pick a local hotel that has a terrific outdoor pool to have your summertime employee bash. Everyone loves to swim and hang out at the cabanas that are poolside. Most hotels will let you rent a “courtesy suite” for the day and have use of the pool for your party on an agreed upon fee. Have the hotel cater the food, and this is one fun bash that’s completely taken care of for you.

IF YOU HAVE TO HOLD THE PARTY ON SITE

A BEER GARDEN Many hard-working crews obviously love their beer, so why not take the employee party to a local beer garden and

THE NEW 335 PRESSURE WASHING UNIT. BUILT TO THE ORANGE STANDARD. There seems to be an acceptance that low pressure water jetting systems are fragile and prone to breakdown. We don’t believe just because it’s not ultra-high pressure, it should get a pass on reliability. In fact, it’s exactly why we’ve built the new NLB 335 3,500 psi (241 bar) hot water pressure unit. The 335 is built to the same standards as our industry leading high pressure systems and building reliability to our standards means profitability to you. If you’re ready to learn about how a real unit can operate, look at the NLB 335. Just another reason why the industry gold standard is orange.

ROBBY’S SEPTIC TANK SERVICE AN INTERVIEW WITH PRESIDENT & OWNER, BEVERLY MCLAUGHLIN How did you get into the septic business? Robby’s father worked for a septic tank company, so as the oldest of six kids, he started working in the business with his father at an early age. After graduating from high school, he began working at a grocery warehouse. He was not satisfied with this and missed the work he had been doing, so in 1984 he started his own business. Robby says that the best addition to the business was when their son, Cody, joined the team. Cody earned his plumbing license, which allows the business to provide more services to customers Cody has become a major part of the business, taking on more responsibility and leadership as the years have passed. Recently Robby took his grandsons (Landen, 8 and Clayton, 5) with him on a job, he said it was one of the best days he has ever had. It has been his dream to build a business that he can leave to his son and grandsons. w w w. am er ica nliquidwa ste.co m

What does your business model look like and how does this help you service your customers? Since Robby had worked for a septic tank business prior to starting his own business, he used that company as an example. Robby then added the emphasis of “doing it right the first time.” The business model also requires taking the time to educate customers on how a septic tank system works and how to maintain it. Robby says that he is amazed at how many customers thank us for taking the time to explain how their system operates. How do you go about finding and purchasing your trucks and equipment? Robby and Cody are always looking at trucks and equipment. Robby has a keen sense of vision and is open to new technology and ideas. Cody tends to look at things a J U N E 2 0 1 7 A M E R I C A N LI Q U I D WASTE 17

little differently, and between the two of them they are able to make the best decisions for our business. What are the main services you offer at your septic company? The primary focus of the business is pumping and drain field repair. The team also installs new systems, replaces pumps and water jet lines, and performs septic tank inspections. Robby’s Septic is a full-service tank company. What makes Robby’s Septic different from other companies in your area that do septic work? Since we are a small business, our customers have an owner on the jobsite. This is very reassuring to our customers since many times they are working when we provide service and don’t have to worry about who will be at their home. By having an owner onsite, we are able to maintain a high quality of service. Another advantage is we offer an alternative to conventional drain field repair, the Terralift machine. We saw this machine probably 20 years ago at a trade show. Robby was intrigued at the possibilities it offered but since no one in our area was using the technology he was hesitant to make such a large investment. After looking at it for several years, he decided to purchase the machine, one of the best additions we have made in the history of the business.

In finding your groove as a company, have you run into any challenges along the way? We have found over the years that bigger is not necessarily better. Limiting the number of employees allows us to maintain an extremely high quality of service. We want to keep our business operating profitably and continue to provide excellent service to our customers.

How many people in general do you employ at your company and what’s the breakdown of office and field staff? We are a small, family operated business. Robby, Cody and a couple of technicians complete the work in the

field. An office manager takes calls, schedules jobs and handles paperwork while I assist in the evenings and weekends. Starting in June, I will be joining the business full time when I retire after 36 years as an educator. I have a Master Septic Tank Contractor license as well as a Class A CDL and will be working with Robby and Cody both in the field as well as in the office.

How do you get your employees motivated to do the best job they can for you? Robby and Cody work with the employees we have, making sure that all jobs are done in the most efficient manner possible while maintaining the quality we require. J U N E 2 0 1 7 A M E R I C A N LI Q U I D WASTE 19

Tell us a little about the equipment you use on a regular basis? We have the usual equipment you would expect a septic tank company to operate: pump trucks, tanker trailers, excavator, backhoe, loader, trailers, service trucks, water jetter, etc. In addition, we do have one piece of equipment most other contractors do not have, the Terralift machine. What contracts are your clients mostly made up of? Commercial or residential?

Treatment and land application along with the public perception of our industry. “Not in my backyard” has never been a truer statement. The fact that Polk County does not provide a place for pumpers to offload is becoming a major issue due to the ban on land application of septage. The Florida Onsite Wastewater Association has been working with legislators and government officials to come up with a solution that requires current land appliers to convert from Department of Health to DEP permitting of our treatment facilities and land application sites.

The majority of our customers are residential, we do service a few commercial accounts. What hurdles do you encounter most often in your line of work on the job everyday? STORY BY KATHERINE NOLAN

VACUUM PUMP DRIVELINES Vacuum pump driveline failures usually involve lengthy downtimes and a big service bill. Broken keyways, gears, drive shaft or couplers can result from a variety of causes. Here are some considerations that may help you avoid the hassle. One of the most basic things that you can do to prevent premature failure of your driveline is make sure to engage your PTO slowly. This will soften the shock load transferred down the driveline. For manual transmissions with an air shift PTO, the sequence should be as follows. 1. Verify that the truck engine speed is at an idle 2. Depress the clutch pedal 3. Engage the PTO switch, button or lever 4. Slowly release the clutch. For hot shift PTOs on automatic transmissions, you only have limited control. Low engine speed, and possibly installing a soft 2 2 A ME RIC AN L IQUID WA S T E JU NE 2017

start PTO, will significantly reduce the shock load transferred down the driveline when you engage your hot shift PTO. Maintenance is very limited on the pump driveline. One of the main things you can do is keep your eyes and ears open for anything abnormal while you operate your truck on a daily basis. You should check the oil levels in the transmission and gearbox. Most gearboxes are sealed with no level indicators, but simply checking for leaks under the gearbox and on the PTO itself, at the side of the transmission housing, is a good idea. Make sure the set bolts on your PTO shaft are tight. Some manufacturers may install safety wires to prevent loose bolts. You should also regularly grease your slip joints and U-joint and verify that the U-joint has not loosened. When you engage your PTO, there should be an indicator light that comes on. Make sure the light is working consistently to prevent accidental drive-a-ways with the PTO engaged. Vi s i t Us

Follow Us

Safety should always be a consideration when maintenance work is being done. Never get under a truck if the PTO is engaged. You may be tempted to have someone engage the PTO while you are close by to examine the driveline. Different manufacturers install different types of drive shafts. Even the balanced smooth round drive shafts can be dangerous. Keep clear at all times. Most of these concepts are just simple things that you can do on a daily basis as you operate your truck. However, the old proverb that “an ounce of prevention is worth a pound of cure” is always applicable. Knowing your truck inside and out and getting into the habit of listening, looking and double-checking will help prevent driveline failure and keep your pumper truck operating smoothly.

FEDERAL SIGNAL EXECUTES AGREEMENT TO ACQUIRE TRUCK BODIES AND EQUIPMENT INTERNATIONAL

FEDERAL SIGNAL TO EXPAND FOCUS ON MAINTENANCE AND INFRASTRUCTURE CATEGORIES, LEVERAGE MANUFACTURING EXPERTISE AND DIVERSIFY END-MARKETS Federal Signal Corporation (NYSE:FSS) (“the Company”), a leader in environmental and safety solutions, today announced the signing of a definitive agreement to acquire Truck Bodies and Equipment International (“TBEI”), a leading U.S. manufacturer of dump truck bodies and trailers, for $270 million, subject to post-closing adjustments. This represents a multiple of 7.2 x TBEI’s EBITDA for the twelve-month period ending March 31, 2017, before accounting for synergies. The acquisition will enable the Company to strengthen its market position as a specialty vehicle manufacturer in maintenance and infrastructure markets. This transaction will also allow the Company to leverage its expertise in building chassis-based vehicles, significantly expand its exposure to higher growth industrial end-markets and balance the mix of revenues it generates from municipal and industrial markets. The transaction is expected to be immediately accretive to the Company’s margins and earnings per share (“EPS”), excluding transaction costs and before giving effect to anticipated synergies. TRANSACTION HIGHLIGHTS - TBEI is expected to be combined with the businesses within the Company’s Environmental Solutions Group (“ESG”) to create a single platform providing municipal and industrial customers with a complete suite of maintenance and infrastructure equipment and supporting solutions. This platform will expand the Company’s leadership position in these markets and will provide a springboard for future organic growth and M&A - The transaction diversifies the Company’s current end markets through an expanded focus on infrastructure, construction, waste, rendering and other industrial end markets - The Company expects the acquisition to be modestly accretive to EPS in 2017, increasing to an annual run rate of between $0.07$0.12 per share and $0.12-$0.17 per share by the second and third anniversary of the acquisition, respectively - The Company intends to apply its 80/20 principles to TBEI’s operations to further optimize an already strong business - Annual run-rate synergies are anticipated to be between $3-4 million, phased in over three years. Supply chain, cross-selling products from both ESG and the Safety and Security Systems Group through the TBEI distribution channel, leveraging the existing parts and distribution business and sharing of manufacturing best practices will drive the synergies - The Company intends to fund the acquisition through a combination of available cash and borrowings available under its existing credit agreement. Upon closing, the Company anticipates a debt to EBITDA ratio of approximately 2.7 x w w w. am er ica nliquidwa ste.co m

J U N E 2 0 1 7 A M E R I C A N LI Q U I D WASTE 25

- With the healthy combined cash flow from its legacy businesses and TBEI, the Company expects a rapid reduction in debt levels TBEI has successfully built a portfolio of strong brands, which currently occupy premier market share positions in their respective product categories, through a combination of an intense focus on operational excellence, a comprehensive distribution strategy, and continuous attention to its customers’ primary requirements for a high-quality product and short lead times. During the twelve-month period ending March 31, 2017, TBEI generated revenues of $206 million and an EBITDA margin of approximately 18%. TBEI operates 5 manufacturing facilities throughout the U.S. and employs approximately 850 people. “The TBEI business is a strong strategic fit with our ESG businesses and allows us to broaden our focus on maintenance and infrastructure markets. With its large industrial customer base, TBEI will accelerate the achievement of our long-standing objective of balancing the mix of revenue streams between municipal and industrial. This acquisition is consistent with our disciplined capital deployment strategy, which targets the acquisition of high performing businesses that grow and compound our cash flow,” said Jennifer L. Sherman, President and Chief Executive Officer. “TBEI is an outstanding company with clear leadership positions in its end markets, a strong financial profile and a management team that will thrive as part of Federal Signal. This acquisition also represents a significant step towards the attainment of our strategic goal of profitably growing our revenues to over $1 billion.” TBEI’s President and Chief Executive Officer, Robert Fines, an executive with over 35 years of industry experience, including a variety of management positions within General Electric and Avery Dennison, will be joining Federal Signal’s management team. “We are excited to join the Federal Signal family and add TBEI’s six established brands to Federal Signal’s portfolio of marketleading businesses,” said Mr. Fines. “There are many similarities between TBEI’s operations and those of Federal Signal and we are confident in our ability to cross-pollinate manufacturing practices, leverage our distribution networks and create a leading platform to serve the needs of our customers.” Pending customary closing conditions and regulatory approvals, the transaction is expected to close within the next 90 days.
