race day home Annual Bad ge Hol ders ’ Bar Extended and refurbished in 2013, the Annual Badge Holders’ Bar is located on the 1st floor of the March Stand and provides the perfect environment from which to enjoy an afternoon at the races. This excellent facility is reserved exclusively for Members and is situated opposite the Winning Post with magnificent views over the Downs and beyond. There is easy access down to the Parade Ring so you can study the form before racing gets underway. Members can savour hot dishes, freshly-prepared sandwiches and a selection of delicious cakes, while a conveniently-positioned tote betting outlet is on hand should you fancy a flutter. Plenty of comfortable seating is available letting you relax and take it easy in your race day retreat. A representative from the Membership team will be on hand to answer any questions you might have and ensure you get the very best from your experience at Goodwood Racecourse.

It also lets you visit The Kennels, the central clubhouse for all of Goodwood Estate’s Memberships. Your metal badge, together with your Membership card, must be presented to gain access to both the racecourse and The Kennels. The benefits and privileges of Goodwood Horseracing Club Membership are made available only to a limited number of applicants. Membership is valid until 31 December 2015. Once in the venue, 16 and 17 year-olds do not need to be accompanied but must still have

their responsible adult on site. They must also have appropriate ID upon them to prove their age. A responsible adult is deemed to be anyone aged 18 years or above. For all other fixtures, juniors are deemed to be 17 years and under. D ress C ode Within the Richmond Enclosure we kindly ask for all Members and their guests to respect a few principles so that everyone looks fabulous on a race day. All – jeans, shorts and fancy dress are not permitted in the Richmond Enclosure. Gentlemen – required to wear jackets and either a tie, cravat or polo neck sweater at all meetings. Linen suits and the traditional ‘Goodwood’ Panama hat are often worn during Glorious Goodwood. Ladies – should dress smartly and are encouraged to wear hats at Glorious Goodwood, although this is not compulsory. High heels are not recommended due to the terrain and use of decking at the racecourse. Children – must be dressed smartly. We regret that anyone deemed to be dressed inappropriately will not be admitted to the Richmond Enclosure.

The Sm al l Pr in t 1 General Information 1.1 The name of the club shall be “The Goodwood Horseracing Club” (GHRC). 1.2 GHRC is owned and operated by Goodwood Racecourse Limited (“the Company”), whose registered office is at Goodwood House, Goodwood, Chichester, West Sussex, PO18 0PX. The Company is registered in England and its registered number is 772766. 1.3 The Directors and appointed employees of the Company are solely responsible for all matters relating to the affairs and management of GHRC and have the authority to amend the terms and conditions of Membership at any time without notice. 2 Membership 2.1 GHRC offers a package of benefits to individuals and legal entities for the purpose of attending race meetings which is governed by this Constitution and any regulations as published from time to time. 2.2 Should there be any questions concerning these terms and conditions of Membership, please direct your enquiries to The Membership Secretary at GHRC. 2.3 Persons wishing to apply for Membership must complete and sign the Application for Membership form acknowledging acceptance of GHRC’s terms and conditions and rules and regulations. The signed and completed form should be sent to: The Membership Secretary, GHRC, Goodwood Racecourse, Goodwood, Chichester, West Sussex, PO18 0PS. 2.4 New Members will be required to pay a Joining Fee. 2.5 GHRC will determine at its sole discretion whether the applicant has satisfied the relevant conditions of Membership. The successful applicant will be informed by GHRC. 2.6 On approval for Membership, the Member will be deemed to have agreed to be bound by the rules and regulations, terms and conditions of GHRC as amended from time to time. 2.7 GHRC may decline any application for renewal of Membership and shall not be obliged to give any reason for doing so. 2.8 Members shall be invited to renew their Membership annually through payment of the annual fee. The amount of this fee will be determined by GHRC. 2.9 A Member may only resign their Membership by notice in writing to the Membership Secretary. 2.10 In the event of resignation, suspension or termination of Membership during the year, the Member will not be entitled to a refund of the annual fee or any part thereof. 2.11 Any Member declared bankrupt or a defaulter on the turf, or who fails to pay the subscription by the final date of payment, or is guilty of conduct unbecoming to a Member, or acts contrary to the Regulations, shall immediately cease to be a Member. 2.12 The violation of any aspect of the Constitution, the Rules or Etiquette or any conduct unbecoming or against the interests of GHRC will subject the person responsible to a disciplinary process by GHRC and possible expulsion. Terms & Conditions of this policy are available upon request. 2.13 Only Annual Members with metal swing badges will be eligible to use the Annual Badge Holders’ Bar. 3 Membership Benefits 3.1 Membership of GHRC provides: (i) access to The Kennels situated at Kennel Hill, Goodwood, Chichester, West Sussex, PO18 0PN; (ii) entry into the Richmond Enclosure at all meetings and free entry to reciprocal events (on a limited number of occasions); (iii) entitlement to purchase Richmond Enclosure daily guest badges for the Festival Meeting; (iv) two Guests’ Days; (v) use of the Annual Badge Holders’ Bar at all meetings; (vi) complimentary desk calendar featuring the complete racing fixture list; (vii) the opportunity to reserve space in the Members’ car park; (viii) the opportunity to purchase Richmond seat badges at the Festival Meeting. 3.2 All benefits are subject to availability. 3.3 Members shall be entitled to use and enjoy the facilities of GHRC strictly in accordance with their Membership terms and conditions. 3.4. Members shall be held responsible for the conduct of any guest introduced by them.

3.5 Entry to and use of The Kennels will be subject to published regulations, which are available to Members from the Membership office at GHRC’s address. 3.6 Members may entertain guests in The Kennels and are responsible for all charges incurred by their guests and for their guests’ good conduct. 4 Terms of Membership 4.1 The Membership Year will constitute the twelve-month period commencing on 1 January each year. 4.2 The Company will determine the Membership charges on 1 December each year. 4.3 Dues are payable in advance and the annual fee will be due at the start of each Membership Year. The failure of any Member to pay the required dues shall constitute grounds for forfeiture of Membership privileges. 4.4 Members will not be entitled to vote on any GHRC matters or otherwise become involved in the management or operation of GHRC or the Company’s facilities (“the Facilities”). 4.5 There is no vested or prescriptive right or easement to use the Facilities. 4.6 Membership is not an investment in GHRC or the Company and does not provide the Member with an equity or ownership interest or any other property interest in GHRC or the Company or the Facilities. 4.7 Members are not subject to any operating assessments. GHRC will pay all operating deficits incurred in the operation of the Facilities and will retain all operating profits resulting from the operation of the Facilities. Members will not be subject to any assessments for the cost of constructing additional facilities or for any capital improvements. 5 Rules of Membership 5.1 Dress Code: Jeans, shorts and fancy dress are not permitted. Gentlemen are required to wear jackets and either ties, polo-neck sweaters or cravats. 5.2 Bookmaking: No Member or guest at the Racecourse shall act as a bookmaker, or accept on behalf of, or as an agent for any bookmaker 5.3 Badges: GHRC and the Company do not accept responsibility for non-delivery of badges despatched or for postal delays. A charge will be made if a Member loses a badge and wishes to be issued with a replacement. Refunds will not be made in respect of unused badges returned. 5.4 Children under the age of five years are now admitted to the Richmond Enclosure at the Festival Meeting. 6 Privacy Policy 6.1 GHRC will keep Members’ personal data secure and confidential and will ensure that the Company and each of the companies in The Goodwood Estate Company Limited Group (“the Group”) processing personal data holds and will maintain a notification with the Information Commissioner under the Data Protection Act 1998, as amended or re-enacted from time to time for all processing of Membership information. The Group will not disclose, sell, rent or share your Membership information to or with any person outside of our group of companies without the relevant Member’s consent. 7 7.1

Applicable Law and Jurisdiction This Constitution, as well as all the subsequent documents and all additional documents referring to GHRC are governed by the laws of England. GHRC and the Members should always seek to resolve any disagreements in a friendly manner and in good faith. In the absence of an amicable settlement, any disagreement on interpretation and the execution of this Constitution or any other subsequent or complementary documents will be judged exclusively by the courts of England.

8 Responsible Behaviour 8.1 We have a zero tolerance policy for using or being under the influence of drugs. Either case will result in eviction from the racecourse and Membership termination without any refund. 8.2 We operate a Challenge 25 policy. If you look under 25 you will be challenged for ID. If you cannot produce ID you will not be served alcohol. If you are intoxicated you will not be served. If you are caught purchasing drinks for underage persons your drinks will be confiscated and you will be removed from the site with your Membership terminated without refund.
