THE BUSINESS CLUB The Business Club is a brand new concept from Goodwood Racecourse designed to enable businesses unrivalled networking and entertaining opportunities in a world-class environment, yet at a competitive rate. As a Business Club member you can bring three guests to four top fixtures across the season, including one during the May Festival, one of the Three Friday Nights, one during Glorious Goodwood and an Autumn Racing fixture in September – all on weekdays. A two-course Chef’s Table meal will be served in the bespoke Business Club Suite with a host of facilities reserved for the use of Business Club members. You will also receive parking labels and complimentary racecards.

These Conditions apply to all contracts for the provision of membership benefits to members of the Racecourse Business Club. Please read these terms and conditions carefully in order to avoid any misunderstandings regarding the terms on which applications are accepted.

1. Commencement and duration 1.1 The agreement is not binding until the Racecourse has received the signed agreement and the Charges have been paid in full. 1.2 The term of this agreement shall commence on signature and shall expire on 31 December of the year in which it is signed, subject to clause 11.

2. Benefits 2.1 In consideration of the Charges the Racecourse shall supply the Membership Benefits to the Member pursuant to the terms of this Agreement. 2.2 The dates of each of the Membership Benefits will be agreed on dates mutually convenient to the parties or will take place on the date of the appropriate event at Goodwood. 2.3 The Member will ensure that any representatives, employees or guests must consume only the food and beverages supplied by Goodwood or any Service Provider while undertaking the Membership Benefits. For the avoidance of doubt, these will be charged as an additional cost to the Charges. 2.4 The Racecourse reserves the right to cancel or postpone without liability any of the Membership Benefits in the event of a Force Majeure Event or other circumstances beyond its control. Subject to this, in the event that the Racecourse is unable to supply any particular Membership Benefit, the parties will use all reasonable endeavours to agree a replacement Membership Benefit. 2.5 The Member agrees to ensure that its representatives, employees and guests fully comply with the Constitution and the Rules in pursuing and undertaking the Membership Benefits. 2.6 While every effort will be made to present the Membership Benefits exactly as described, the Racecourse reserves the right to alter where necessary the details and packages whilst maintaining the value of any package. 2.7 Where applicable, the Membership Benefits and this Agreement are subject to the Constitution and the Rules.

3. Payment 3.1 Payment of all amounts due under this Agreement is due 30 days from the date of invoice or, if the specific event date occurs sooner than 30 days after the date of this Agreement, immediately upon execution of this Agreement. 3.2 Payment must be made in Pounds Sterling (UK) payable to the Racecourse. 3.3 All payments to be made by the Member under this Agreement shall be made free and clear of all withholdings or deductions unless the withholding or deduction is required by law. 3.4 The Charges are exclusive of VAT, which shall be paid by the Member immediately upon the provision by Goodwood of valid VAT invoices. 3.6 Contractual interest on overdue invoices shall accrue from the date when payment becomes due from day to day until the date of payment at a rate of 3.5 % above the Bank of England base rate from time to time in force and shall accrue at such a rate after as well as before any judgment. In addition to contractual interest, reasonable debt recovery costs commensurate with the debt recovery costs provisions of the Late Payment of Commercial Debts (Interest) Act 1998 and the Late Payment of Commercial Debts Regulations 2002 will be payable.

3.7 The cost of putting on or supplying a particular additional experience or benefit for the Member over and above the Membership Benefits will be payable by the Member to the Racecourse as an additional charge. 3.9 In the event of circumstances beyond the Racecourse’s control (including, but not limited to, increases in the standard rate of VAT), the Racecourse reserves the right to vary the prices specified to an extent which reflects such circumstances.

4. Cancellation 4.1 If the Member wishes to cancel a particular Membership Benefit, such cancellations must be advised to the Racecourse within a week of the date of the Membership Benefit. In the event that notice of at least one week is not given by the Member and the Racecourse incurs any cost (by way of example, from Goodwood Food) then the Member shall reimburse Goodwood for the full amount of such cost. 4.2 In addition to the costs payable under Clause 4.1, the Member must reimburse the Racecourse for any expenditure incurred in respect of any cancellation by the Member including (but not limited to) any costs, charges or penalties as a result of having to make consequential cancellation of its own arrangements with third parties in relation to the Membership Benefit. 4.3 The Racecourse may cancel a Membership Benefit: 4.3.1 In the case of non payment by the Member of the Charge; or 4.3.2 In the event of a reason of Force Majeure Without liability to the Member. 4.4 In the case of cancellation by the Racecourse of a Business Club Race day the Racecourse will ensure that a replacement date is offered to the Member.

5. Rules and Regulations 5.1 All persons visiting Goodwood Racecourse Ltd are admitted subject to the Racecourse regulations and the Rules of Racing. 5.2 The Racecourse reserves the right to judge acceptable levels of noise or behaviour of the Member, its representatives, employees or guests. The Member must ensure compliance with the Racecourse’s direction as to noise or behaviour. and shall not do anything which may be or become a nuisance or annoyance to the Racecourse or its other patrons. In particular but without prejudice to the generality of the foregoing the Member must ensure that no bookmaking shall be undertaken by the Member, its representatives, employees or guests at any time either in the facility or elsewhere on the Racecourse. 5.3 The Racecourse reserves the right generally to exclude or eject any person from any event or the Racecourse if it reasonably considers such person to be objectionable. 5.3 Dress Code: Gentlemen are required to wear jacket and either ties, cravats or polo neck sweaters. Jeans and shorts are not permitted. Linen suits and the ‘Goodwood’ Panama hat are traditionally worn at the Festival Meeting. Ladies are encouraged to wear hats.

6. Lost badges 6.1 Badges, tickets and car parking labels (where appropriate) will be dispatched by recorded or special delivery from the Racecourse and will have to be signed for to confirm receipt. The Racecourse cannot accept responsibility for any badges, tickets or car parking labels once they have left the Racecourse office. Payment must be made for any replacement badges, tickets or car parking labels lost in transit. It is highly recommended that tickets are despatched to any guests by recorded or special delivery.


7. Health and Safety 7.1 The Member must fully comply and ensure the full compliance of its representatives, employees and guests with the Racecourse’s Health & Safety policy, a copy of which is available on request from the Racecourse.

8. Personal property 8.1 The Racecourse does not accept responsibility for the property of the Member, its representatives, employees or guests. Cloakrooms are provided for the convenience of clients and guests but any goods deposited in the cloakrooms or left unattended on Racecourse premises are deposited at the owner’s risk and without any liability on the part of the Racecourse.

9. Liability 9.1 Subject to Clause 9.4, the Racecourse shall not be liable, whether in contract, tort (including negligence) or otherwise for any indirect, consequential or economic losses or loss of profits however arising. 9.2 Subject to clause 9.4, in no event will the Racecourse’s liability for any loss or damage in contract or tort (including negligence) or howsoever otherwise arising exceed the total amount of the Charges. 9.3 Subject to clause 9.4, the Racecourse shall not be liable for any breach of the terms and conditions or delay or failure in providing the Membership Benefits as a result of a reason of Force Majeure. 9.4 The Racecourse does not exclude or restrict its liability in respect of death or personal injury caused by its negligence, or that of its employees, agents or sub-contractors, fraud by it or its employees or any other act or omission, liability for which may not by law be limited or excluded. 9.5 The Member hereby represents, warrants and undertakes to Goodwood that: (a) it will not use or participate and will ensure that its representatives, employees or guests do not use or participate in any of the Membership Benefits in a manner which in the reasonable opinion of Goodwood is or might be prejudicial to or defamatory of Goodwood or any of its associated Companies; and (b) it will indemnify and keep Goodwood fully indemnified from and against all liabilities, claims, proceedings, costs, damages, expenses and losses suffered or incurred by Goodwood and arising from or in any way related to the exercise by the Member or its representatives, employees or guests of the Membership Benefits or as a result of any breach or non-performance of all or any of Member’s warranties or obligations under the Agreement. 9.6 Subject to clauses 9.1 and 9.2 the Racecourse represents, warrants and undertakes to the Member that it will indemnify and keep the Member fully indemnified from and against all liabilities, claims, proceedings, costs, damages, expenses and losses suffered or incurred by the Member as a result of any breach or non-performance of all or any of the Racecourse’s warranties and obligations under the Agreement.

10. Compliance 10.1 Each party undertakes that it will not engage and will use all reasonable endeavours to procure that those employed by them or any agents or sub contractors contracting with them will not engage in any conduct (including by way of acquiescence or failure to perform) that would constitute an offence under the Bribery Act 2010 or which would result in liability for fraud, insolvency crimes or other corruption crimes.

10.2 Each party will use all reasonable endeavours to procure that it has and maintains in place adequate procedures designed to prevent persons associated with it within the meaning of section 8 of the Bribery Act 2010 from undertaking any conduct that would constitute an offence under section 7 of that Act. 10.3In the event of breach of the obligations in this clause 11, either party has the right to immediately terminate the Agreement. The party in default shall indemnify the other party for any loss that party suffers as a result of the breach.

11. Termination 11.1Either party may at any time terminate this Agreement by giving written notice to the other if the other commits any breach of any of the terms of this Agreement and (if capable of remedy) fails to remedy the breach within 30 days after being required by written notice to do so. 11.2 Each party shall have the right to terminate this Agreement immediately by written notice to the other if the other party is unable to pay its debts or becomes insolvent, or is subject to a bankruptcy order or an order or a resolution for its liquidation, administration, winding-up or dissolution (otherwise than for the purposes of a solvent amalgamation or re-construction), or has an administrative or other receiver, manager, trustee, liquidator, administrator or similar officer appointed over all or any substantial part of its assets, or enters into or proposes any composition or arrangement with its creditors generally, or is subject to any analogous event or proceeding in any applicable jurisdiction.

12. Miscellaneous 12.1This Agreement will supersede all other agreements or discussions and comprise the entire agreement between the parties. 12.2 No changes or variations to this Agreement shall be effective unless agreed in writing. 12.3The Member may not assign or otherwise dispose of any or all of his or her rights or obligations under this agreement without the prior written consent of Goodwood (which consent shall not be unreasonably withheld, delayed or conditioned). 12.4 The Agreement shall be governed by and construed in all respects in accordance with the laws of England. The Agreement does not affect any rights which the Member may have under the Racecourse Proprietors Act 1956 where that Act applies.

13. Definitions Force Majeure: any cause affecting the performance by a party of its obligations under this agreement arising from acts, events, omissions or non-events beyond its reasonable control, including acts of God, riots, war, acts of terrorism, lightening, fire, flood, storm or earthquake and any disaster, acts of Government or local authority or regulatory body, non availability of power or industrial action. Constitution: The Goodwood Club Constitution, as amended from time to time. Rules: The Rules and Regulations issued by the Goodwood Flying School, the Goodwood Golf Club, the Goodwood Motor Circuit, the Goodwood Health Club and all other applicable Rules and Regulations, as amended from time to time.
