NOMINATION OF JACQUES TANGUAY AS PRESIDENT
When I created Aqua-Marine in 1972, I had a dream, to create an integrated marine services company, a company that would provide superior service throughout the St. Lawrence and the Great Lakes. After 45 years of existence, Ocean is now an entrepreneurial success and a Quebec flagship that extends everywhere in Canada and abroad. This year, I am proud and delighted to have led, by your side, Ocean to its success. It is thanks to you and the people who work with us that we achieved the growth of Ocean. We have built an extraordinary team that contributes daily to the success of the company. It is with confidence, but not without some emotion, that I decided to pass the helm as announced during the Christmas Party on December 15th. I have the pleasure of putting Ocean’s helm in the hands of my business partner for almost 30 years and especially my friend. I am announcing the official appointment of Jacques Tanguay, the current Chief Executive Officer, as President and Chief Executive Officer. Jacques is an ambitious entrepreneur, a generous man who cares about the destiny of our company. I have every confidence in his judgment and his leadership for the continuation of the Ocean adventure. But before giving way to my friend and partner, I cannot ignore his important collaboration to the success of Ocean. It was not only an honor but also a privilege for me to share this great and great adventure with him.

CORPORATE RESULTS SEPTEMBER 2016 / AUGUST 2017
WE STAY ON COURSE! It is in consultation with management that the annual strategic goals are set. They guide our actions and direct us in our strategic choices. Three important markers have been defined to represent these goals. Our profitability, our revenues and our health / safety targets are indicators for the company. These results are expressed as a percentage of overall achievement of the objectives set. You will find above detailed results for the fiscal year ending August 31st. The year 2017 was not only marked by our 45th anniversary, but also by good financial results in continuous growth and in line with our strategic orientations. Even if we did not reach or exceed all the strategic objectives, we can nevertheless congratulate ourselves on the major achievements and the great advances during our 2016/2017 year. I am thinking, among other things, of the recovery of the MontrĂŠal market against Svitzer, our success at the Champlain Bridge, the relaunching of activities at the Bas-Caraquet (NB) shipyard, our health and safety performance, of the SAP Go-Live and the training of managers and crews. It is a year rich in events and projects. These results truly demonstrate remarkable teamwork that I want to acknowledge and that we can be proud of. For 45 years, Ocean has been an innovative company that has continued to grow and evolve by adapting to the constraints and demands of the market. The results we are showing today demonstrate a commitment by all teams. We still have great things to achieve and we must continue our efforts and commitment to continue performing next year. We are counting on you!

OCEAN CODE OF HUMAN RELATIONS To end the year 2017 on an inspiring note, we would like to introduce Ocean’s Human Relations Code (HR Code). Our code provides a set of key behaviors that can guide us daily in the professional relationships we have as part of our work. Human relations are not always easy to manage. It’s not a matter of applying a mathematical formula and you’re done! In these circumstances, interacting in a healthy way with our colleagues can sometimes present a lot of challenges. We all have good will but sometimes our behaviors and words do not create the desired effect. This type of behavior can be misunderstood by our colleagues and can even create misunderstandings or tensions in our relations with them. We believe that our HR Code will play a positive role in our interpersonal relationships. As a reminder, we will be able to refer to its principles and use them daily to encourage, more openly, better practices. Our HR Code is also there to promote communication, synergy, respect for others and well-being at work. It presents simple and practical concepts that, when implemented, are directly related to our corporate values that are synergy and team spirit, excellence, safety and the environment, creativity and innovation, integrity and respect. Our values define who we strive to be every day; they are at the heart of our decisions and express themselves in our achievements and success.

SAP - ALREADY 1 YEAR! CHANGES AND NEW THINGS TO COME On September 1st, 2017, SAP had been in place for a year. This first year required all users to adapt to a new tool, many processes and sometimes different roles and responsibilities. At the same time, super-users and process owners have been busy adapting SAP to Ocean to better meet the everyday needs. Following the implementation of this major project, Ocean decided to consolidate the activities surrounding all information systems, including IMS, under one direction, and those of IT by creating the Department of Information Resources (DIR). To fulfill this mandate, the DRI directs its management structure to evolve towards a model that takes into account the needs, standards and best practices of the field. It is currently working on its reorganization, while assessing the needs and issues to produce a master plan whose goal is to define the major orientations that will guide future developments. The success of the implementation of SAP has led Ocean to set up a project office and to integrate the team of continuous improvement. The goal is to more effectively manage our initiatives and support the achievement of our strategic objectives. This means that depending on the scope, cost, complexity or impact on the processes, the project office supports the project or provides management support. It will also communicate progress and status to senior management. It was a year of adaptation and change for all those affected by SAP. All these efforts make it possible to have in hand a tool that will be quite robust for maintaining, developing, improving and support Ocean in its growth objectives.

RISK MANAGEMENT A MAJOR CHALLENGE FOR OCEAN In recent years, Ocean has experienced considerable growth and it continues to be as much in the diversification of its services as in the extension of its business locations. It goes without saying that the more we develop, the more we expose ourselves to various risks that we must identify and control better. Our customers know that they can count on us because our name is synonymous with reliability, safety and responsibility. We must, for our clients and ourselves, pursue this continuous improvement in the face of potential risks and better manage them upstream rather than bear the consequences. That is why, in 2014, we put in place a rigorous corporate risk management process that consists of listing, analyzing, evaluating and prioritizing the treatment of risks that can have a negative impact on the company and its employees. This method of responsible management involves all sectors of activity and all levels of our organization. The goal is clear: identify the potential risks inherent to our organization and put in place action plans to reduce the identified risks to an acceptable or zero level. Since 2014, some 15 major risks have been identified. These risks vary between the potential human or material accidents of our operations up to the budget management of the company. This list of risks constitutes the risk portfolio that must be monitored on a continuous basis and updated annually. Risk management coordinators have been designated to follow up within each of the sectors of activity. They are responsible for ensuring that their risk portfolios are up to date with their teams, and that effective action plans are put in place to mitigate them.

We recently finished the review of the annual risk portfolio and each operating unit has finalized its action plans for the coming year. The risk management coordination team has communicated the update and related action plans to the various stakeholders involved. Already, after only three years of managing the identified risks, we have limited our exposure to potential hazards and we have continued to innovate in our management of these same risks. We have made considerable progress in this direction and we are moving in the right direction. However, we are still at risk, may it be in some of our everyday operations or in the way we run our organization. Risk management is everyone’s business and remains a priority for our company! It is important to remain vigilant, to raise risks and to act quickly.

BUSINESS DEVELOPMENT CHALLENGES AND MAJOR ISSUES 2017-2018 The year 2017 was a year full of major challenges, notably in the preservation of our market shares and particularly in the towing sector. Our strategic efforts have allowed us to take over the market held by the competition in the Port of Montréal and to implement our services in new ports, such as those of Baie-Comeau and Port-Cartier. At the same time, a lot of efforts have been made to prepare the ground for the development of new markets in sectors of activity that are not yet exploited by Ocean. Business development has also focused on expanding the construction and repair sector, including future Canadian Defense and Canadian Coast Guard vessels. To help us achieve these goals, we had the pleasure of welcoming new players into our development team: Luis Hefferan for the development of the towing sector in the Caribbean, Jérôme Constantineau for the development of special projects in new markets including transportation and energy, and Martin Lepage, who spends some of his time developing the shipbuilding and repair sector for the federal authorities. Who says goals says actions to be taken to reach them. Thus, we have set up a weekly follow-up with all the business development directors in order to exchange and create common business opportunities for each of the sectors of activity. We have also developed a process for approving and monitoring tenders as part of a continuous improvement project. For 2018, we have high ambitions for growth. Starting in January 2018, we will hold a strategic planning exercise based on business development in order to coordinate the development efforts of all Ocean’s business sectors for distribution within each sector.

NCR - NAVAL CONSTRUCTION AND REPAIR ISLE-AUX-COUDRES NAVAL CONSTRUCTION
Construction of the ECRC barge
The construction of the ECRC barges (ECRC 330 and ECRC 400) is finished; 2% to 3% of warranty work is to be completed. In parallel, the RAZORBILL has been under construction for TMD since October. This three-propeller tug, an 11.3 m mini icebreaker, will be delivered to Suncor in Alberta by land.
REPAIR/DRY DOCK/INSPECTION
APL’s Taukamaim pilot boat underwent a five-year inspection in October. Mechanical work, welding and finishing were carried out. There was also the dry docking of the barge Simec Petite Basque, measuring 100 feet long by 29 feet wide, for major repairs on its hull. These required that our teams work sometimes 7 days out of 7 to meet the schedule. Finally, the FULMAR, a French Navy ship, underwent its first major technical stop of seven weeks under the four-year contract; this annual maintenance is scheduled each fall.
QUÉBEC NIR has obtained several Canadian Coast Guard contracts. This fall, there were three simultaneous contracts on the CCGS MARTHA L. BLACK vessel: the replacement of the six upper deck cabin and crew cabin wall coverings, the fall maintenance and inspection of different systems, replacing the two steam boilers and their accessories, also dismantling and reassembling the boilers. NIR also obtained repairs to a transportation barge for the NCC GOOSE III ship from Burlington, Ontario. Major repairs to steel, sandblasting and painting have been done and will be spread out until the beginning of March. Finally, there was a contract on the CCGS GRIFFON vessel for the manufacture of jigs and for the supply of replacement windows for the ship’s wheelhouse. The work required the dismantling of all the frames to make the glass templates. An option for installation has also been provided for summer 2018.
FNO: During this last quarter, FNO manufactured four spud boxes for OMW. This work comes as reinforcement to Ocean Industries because of a lack of manpower. The teams have also finalized the work on the ECRC barge in Québec and are currently assisting the NIR team for their current contracts. A fine example of teamwork and synergy between sister companies.
BAS-CARAQUET ONB: At Ocean New Brunswick, there are currently 50 employees, including 38 welders, two mechanics and two laborers divided into two production crews day / evening. With the recent signing of a contract for the construction of a cable ferry, ONB now has two construction projects for the coming year. ONB is preparing to begin the construction of the 24.9 meter long ferry, 14 meters wide and with a draft of 1.33 meters. This ferry will carry the equivalent of 15 cars and a hundred people. In parallel, ONB is continuing construction of the floating dry dock.

Currently at 53% progress, the barge is built in modules with blocks weighing on average 50 T. Twenty-two of the 31 modules are assembled and stored on site. The production team is working hard to complete the remaining blocks to make way for the ferry early in 2018.

ACQUISITION OF SVITZER VESSELS Last June, we informed you of the upcoming acquisition of three tugs purchased from Svitzer and operating in the Port of Montréal: Svitzer Njal, Svitzer Nerthus and Svitzer Cartier. These three ships are now officially in our fleet and have been renamed: • OCEAN CLOVIS T. In honor of Mr. Clovis Tanguay • OCEAN RAYNALD T. In honor of Mr. Raynald Tremblay • OCEAN CARTIER
HEBRON PROJECT OVERVIEW In July 2013, Ocean obtained the official confirmation that the contract to mobilize tugboats and barges was granted. A new company, Ocean Marine Services Newfoundland Labrador (OMSNL) was born. The Hebron project was to build the first GBS (Gravity Base Structure) drilling rig in Canada for the Exxon Mobil Oil Company. A project that was evaluated at over three years and led by Kiewit Kvaerner Contractor. Two tugs were mobilized, namely the OCEAN A. SIMARD and the OCEAN SERGE GENOIS for the first phase which consisted mainly in positioning anchorages. After six months, several OMW barges and three other ORQ tugs were mobilized without counting several customized equipment contracts built by NCR. In July 2014, three more tugs headed to Bull Arm to move the first part of the GBS to the deep-water site. More than 80 crew members (captains, mechanics and sailors) were employed by OMSNL during the busiest period. It took more than 10,000 barge movements to build this gigantic gravity base of 132,000 m3 of concrete of 122 m high by 130 m in diameter. To this was added the superstructure of 183 m long by 75 m wide and 113 m high. Last June, the tow-out of the platform was done on its site in conditions a little more difficult than expected. Once again, our equipment and personnel were put to the test and had to work closely together to escort the platform, manage the ice and move large pieces of ice. Once again, we brilliantly demonstrated the ability and maneuverability of our tugs. The four-year project was carried out without any off hire and no damage to our equipment or accident to our staff.

The necessary modifications to operate these three new ships are being completed. They will be deployed in our various business places very soon.
BEGINNING OF OPERATIONS IN PORT-CARTIER Operations have finally begun in Port-Cartier after more than three long years of discussion and ultimately successful proposals, following the issuance of a second RFP that will lead to a successful contract negotiation. The contract was scheduled to start on October 1st, 2017, but following an unfortunate incident on the Brochu (fire in the engine room) in September, the OCEAN YVAN DESGAGNÉS started working a few weeks before its time. As expected, the second tug, the OCEAN ROSS GAUDREAULT, joined its business partner to formally start the ASD tug operations after more than 40 years of Voith tug services. Under the exceptional leadership of Clyde Ward, ORCN now operates a fleet of six tugs between the ports of Baie-Comeau, Port-Cartier and Sept-Îles.

CHAMPLAIN BRIDGE: The year 2018 will be very busy at
the construction site of the new Champlain Bridge. The consortium responsible for construction, SSLC, is taking steps to speed up construction. Many bid solicitations are being made for additional equipment for the new bridge and for new inspection and repair projects for the existing Champlain Bridge. The 40 or so employees assigned to the site work very hard to meet the growing needs of customers.
CHAMOUCHOUANE / HAMEL CONSTRUCTION: Two river barges,
six sectional barge caissons and a work boat are currently rented to Hamel Construction for the fulfillment of their mandate under the Hydro-Québec project. This project is part of the construction of a 400 km 735kV line between the Chamouchouane substation and the Bout-de-l’Ile of Montréal. Additional work boats were needed to mobilize the equipment in the strong current of the sinuous section of Rivière-des-Prairies.
ÎLE D’ORLÉANS: The Ministère des Transports, de la Mobilité
durable et de l’Électrification des transports has awarded a contract for the rental of barges and boats necessary to perform drilling and sounding work. This contract is part of the reconstruction of the Île d’Orléans Bridge over the north channel of the St. Lawrence River. The mandate began on October 23rd.

MECHANICAL DREDGING STQ: Another well-known dredging project with a small novelty for this year. The OTN played the role of dump barge at the Godbout site. Thanks to her, the project was completed in record time even if the weather conditions were unfavorable. Ocean also had to adapt to new environmental requirements, a successful challenge! Note that all Ocean dredges were used for this project. IOC | SEPT-ÎLES – DREDGING AT WHARF #2: A major challenge
for Dredging that only had three days to complete the work. An important mobilization, in a difficult period of the year, requiring a lot of preparation and logistics. The dredging of the wharf #2 in deep water also required close collaboration between IOC and Ocean. Indeed, both ore loaders were under maintenance at the same time and the allowed time slot was very short.

SUCTION DREDGING NORTHERN TRAVERSE 2017: The penultimate year of the
Traverse du Nord contract, which led to the construction of the Ocean Traverse Nord dredge. A very nice project in known terrain for Dredging and a great success this year. The collaboration with the client is exceptional and the comments always positive. The contract has been renewed until 2025.
ST-CLAIR IN ONTARIO: The project, currently underway in
Ontario, is going well. Another section to be dredged has been added to the basic project and very good relations with the Ryba Marine terrestrial subcontractor have been developed.

The work is carried out over a period of one month in collaboration with our partner Expertech Marine and the dredge Raymond D. You can see them at work on the other side of the basin Louise in front of the office of 85! In addition, Ocean will dredge sections 50 to 53 on behalf of the Québec Port Authority.
ANSE DU MOULIN - ALCOA: The project is now complete. Very nice partnership with Sanexen, which suggests future collaborations and opens the door to a new market. The project required dedicated and competent employees, creativity and a great deal of synergy with other sectors. The contruction of a berm (huge filter), composed of several types of rocks deposited in different layers, represented a colossal challenge that few companies can boast of having realized.

PRACTICAL INFORMATION HEALTH, SAFETY AND ENVIRONMENT GOING GREEN AT OCEAN A year ago, NCR launched an environmental advisory committee to promote a new corporate culture through the implementation of new environmental concepts. The objective of this committee is to examine strategic environmental issues. Several action plans, led by the committee, made up of a multidisciplinary team (management, engineering, production, purchasing, project management, etc.), have been launched with the aim of aligning operations with legislation. For example there has been the management of residual hazardous materials as well as sandblasting operations. Several pilot projects have also emerged with the replacement of traditional bulbs with LEDs, which are more durable, and more energy efficient, as well as the removal of disposable plastic water bottles.

DO YOU KNOW THE GOOD SAMARITAN ACT? According to the Charter of Rights and Freedoms, a person must help every individual whose life is in danger. However, he or she does not have to do so if he or she risks endangering their own life or the one of another person. At Ocean, we place a lot of importance on safety. It is an integral part of our values and must be part of your daily life. We must watch over each other and rescue our colleagues when needed without ever putting our lives at risk. This is a general principle that must be applied in the professional as well as the personal context. We also remind you that, according to the Civil Code of QuĂŠbec, a person cannot be held responsible for the injuries and the damage caused by helping an individual if it is done in good faith. The committee is working on several other initiatives such as the reduction and control of greenhouse gases as well as a circular economy project. Ocean wants to pursue the introduction of healthy habits in environmental matters, whether in operations or at the office level. We must all go green in our daily practices. You will see that the newsletter is now available on recycled paper and printed quantity reduced.
OUR WORD NEWS 1987 - 2017: 30 YEARS OF TOWING In 1987, Aqua-Marine became Ocean Construction and acquired the harbour tugs of Québec. These belong to the division Les Remorqueurs du Québec Ltée, better known under the name Quétugs of the Canada Steamship Lines company (CSL). The tugs were the JERRY G, DONALD P (TAKIS V, OCEAN BRAVO), LEONARD W (OCEAN CHARLIE), and CAPTAIN IOANNIS S (SISTELLA, SANDY CAPE, OCEAN DELTA). This acquisition was the spark that would launch the explosive growth of Ocean Group. Importantly, Captain Norman Berrigan is the only employee working on tugboats in Québec since the creation of Aqua-Marine in 1972. To mark the 30th anniversary of the acquisition, a reunion was organized last August bringing together retirees and current employees of Québec tugs. Attendees shared their experiences and stories from their years of service on old and new tugs.
100 YEARS QUÉBEC BRIDGE Ocean is a committed partner with its local community. Ocean collaborated in the event of the Société de valorisation du pont de Québec «Let’s celebrate our bridge!» which commemorated this year, the 100th anniversary of the Québec Bridge. Initiated by the Chambre de commerce et de l’industrie de Québec, these festivities were intended to highlight the importance of the infrastructure in regards to the development of the region. Remember that this infrastructure is unique and recognized throughout the world. The festivities were held on Saturday, September 23, where animation, giant cake, musical performances and fireworks were part of the celebration - cciquebec.ca
17TH EDITION OF OCEAN GOLF The 17th edition of the traditional Ocean golf was held at the Golf Club Le St-Ferréol on Saturday, September 23rd. Under a radiant sun, employees and spouses were able to enjoy this beautiful activity. The winning team with 62, being 10 under par, was composed of Maryse Paré and her spouse Michel Mercier along with Mario Leclerc and his wife MarieElaine Dion. OUR WORD NEWS RECRUITMENT OCEAN - FAIRS AND EXHIBITIONS For Ocean, its workforce has always been an essential element to its success and its influence. In the current context of businesses facing a labor shortage, attraction and retention are becoming important issues for business growth. Attracting the best candidates is one of the goals set by the Human Resources team (HR team) to support Ocean’s growth. The department works to identify new potential labor pools on a regular basis and to promote Ocean as an employer of choice. In 2017, new links were established with training institutions including the École des pêches et de l’aquaculture du Québec and the Centre intégré de mécanique, de métallurgie et d’électricité (CIMME). These two training centers constitute a new opportunity to join future graduates in shortage fields such as fitting and welding and marine mechanics. Also noteworthy for 2017, the HR team participated in the National Job Fair in Montréal. During these recruitment activities, the HR team can count on the participation of certain Ocean employees to provide more technical information to candidates. These employees act as ambassadors providing explanations about the challenges, projects and careers available. In 2017, they were present at the IMQ internship and employment fair, at the Charlevoix au Boulot, at the Foire de l’emploi de Québec, and at the Welcome Aboard event. The year 2018 will be filled with exciting new projects that will propel Ocean to become one of Canada’s top employers. Also note this year that Ocean has risen to the 189th place on Les Affaires listing of the 500 Largest Companies in the Province of Quebec. We can already highlight the participation of the HR team in new events in different regions and the establishment of an employer brand that will serve to define a recruitment strategy. At the end of the day, whatever the means used, it is first and foremost the passion and pride of Ocean’s workforce that transmit and perpetuate the image of our company as well as our values of excellence and teamwork.
OCEAN SPONSOR OF CHILDREN CHRISTMAS BENJO Ocean was a sponsor of the traditional Benjo Santa Lunch, an important cause particularly dear to its heart. During the event, no less than 300 parents and children and many companies mobilized and discovered this event’s magical atmosphere. For this 8th edition, more than $ 90,000 has been raised for the benefit of four foundations dedicated to the well-being of children. This amount will be donated to Benjo, Le Pignon Bleu, Dr. Clown and CHU de Québec. Gordon Bain said: «At Ocean, we are particularly sensitive to causes that affect children. Let it be said, the Ocean recipe is a success: it’s in the colors of Ocean’s blue, the tinkling of champagne flutes and frantic dance steps on the band «L’Orchestre» that the employees celebrated Christmas. A very special evening where the overview of this beautiful year mingled with the appointment of Svitzer boats and the official and very symbolic announcement of the passing of the title of President of Gordon Bain to Jacques Tanguay. The laughter mixed with the accolades and it is on these refreshing and friendly notes that we closed 2017 together. A colorful evening that promises the best for a new year full of challenges and that we invite you to discover in pictures.
Their smiles and wide eyes in front of our new mascot Ourcéan, all were amazed, young and old, a warm and friendly moment that, for a new year in a row, was a huge success. More than 130 children and 130 parents met at the Galeries de la Capitale on Sunday, December 10th to enjoy a magical moment, surrounded by bouncy castles, candies, leprechauns, bumper cars and other activities. There was something for everyone and for all ages. And so that Christmas rings a little more before the holidays, our cherubs were hobbling with the stuffed toy or the beautiful Ocean blanket under the arm while waiting for their wishes, whispered in Santa’s ear, to come true.
