As Chairman of the 2019 African Mining Summit (AMS2019) held in Gaborone 24-25 September, I would like to thank all for attending and in particular for the various Ministers and Deputy Ministers of Mines, senior representation from the African Union, captains of industry, suppliers and of course our vitally important sponsors. AMS2019 was attended by delegates from over fourteen African countries and was characterised by high quality presentations and panel discussions, focused business matchmaking and deep networking opportunities. In fact, this is exactly what makes AMS2019 so unique. Where else do you get the opportunity to have substantive discussions with mining industry leaders (both mining companies and their suppliers) as well as senior government representatives.

FOREWORD
The backdrop to the conference was continued global instability, which has percolated through to a rising gold price and talk of a start of an uptick in the mineral commodity cycle, which will filter through to all our mining commodities. Whilst this is good for the mining industry, the 2018 Fraser Institute study rated Africa as the second least attractive continent for investment. Thus, there is much to be done for Africa to take its rightful place. This very subject was addressed by a strong ministerial panel which clearly stated that Africa was open for business; it has a wealth of mineral sources and the African Union is working hard to harmonise various trade and other important treaties so Africa can compete on the same, if not higher level than other trade blocks, such as the European Union, etc. In the various discussions about what can be specifically done to attract investment and make Africa a model investment destination, several ideas were debated. From a government perspective, ideas such as waiving royalties (and replacing with a waterfall tax regime), sovereign wealth fund for investing in start-up exploration and mining companies, tax incentives following the role model of the Canadian flow through share scheme and finally perhaps considering separate legislation for juniors from majors as juniors require a more entrepreneurial environment and are the real future engines of growth. Companies need to look at new methods of funding, such as using crowdfunding and blockchain and of course, need to embrace the fourth Industrial Revolution particularly around digitisation and this should all be encompassed in the spirit of innovation.

However, none of this can be achieved without strong governance and a true partnership between government, the mining industry, suppliers, employees and the communities in which they live. And here we have perhaps the greatest challenge of all, that of safely and sustainably reducing operating and capital costs whilst providing meaningful jobs, particularly for the youth.

The AMS2018 event was described by our Patron, the African Union Commission (AUC), as an ‘Institution’ growing from strength to strength. The AMS event stands out as the only pan-African platform for Policy debate and for mobilising the private sector within the Africa Mining Vision (AMV) as a ‘Blueprint for Structural Transfer of African Economies’; and that the Private Sector Compact (PSC) is under execution as a tool to facilitate dialogue to reduce and share risk created within the African Minerals Governance Framework (AMGF). Founded then on these initiatives, the mining & minerals development sector in Africa should continue to benefit significantly from market commodity positioning as we move in to 2019 and beyond. The clear investment trend in hard assets that are physical and tradeable, including inter-alia infrastructure and energy related commodities, like Copper and Zinc, both of which are already in or close to supply/ demand deficit, Battery Metals (Cobalt, Nickel, Vanadium, Lithium & Manganese) and/or the Junior Mining Equities that hold such assets or the technologies to enhance them. This therefore continues to offer investors and all potential beneficial stakeholders on the continent strong fundamentals in the Mining and Energy business sector and in the progressive project developments that are to be found only in Africa. Accordingly, I am glad to hear the attendance at AMS2019 was larger than ever with participation from the top leaders of Mining Investment and Operator companies on the continent.

PRE-EVENT: MONDAY 23RD SEPTEMBER
On Monday 23rd September 2019, AMS2019 delegates were welcomed to the afternoon pre-registration where they could collect
their welcome pack and access pass, whilst exhibitors setup their exhibition booths in the Travelodge Conference Centre. Later that day, all were welcomed to the Evening Networking Reception at the Pool Bar to break the ice among new participants and provide an opportunity for returning delegates to become reacquainted over refreshments and canapes ahead of the main event.
DAY ONE TUESDAY 24TH SEPTEMBER
AMS2019 began with a brief Networking Registration of tea and coffee before the Opening Ceremony commenced with GRV Global’s CEO, Andrew Dowell. Andrew firstly extended his gratitude to H.E. Amb. Albert Muchanga, AU Commissioner of Trade & Industry, for his help with the preparation of the Summit, Honourable Minister Eric Morale for his team’s valuable support, and all attending delegates for their commitment and efforts to bring the Africa Mining Vision to fruition. Before handing over to

GRV Global returned to Gaborone, the home of the Africa Mining Summit, for its 5th edition. Taking place on 24th – 25th September 2019, where delegates were once again greeted with the warmth of the Botswanan hospitality, at the Travelodge Hotel. The team had the pleasure of welcoming over 250 Government representatives, the African Union, mine oweners, industry specialists and suppliers for a busy two days of high-level plenary sessions, afternoon matchmaking meetings between public and private sector entities and a range of networking functions, seeking to achieve the common goal of promoting long-term development, sustainability and investment across the region.

the esteemed Conference Chair James Campbell, Managing Director of Botswana Diamonds plc, Andrew gave reference to the sincerely missed Alan Clegg, Non-Executive Chairman, Co-Founder & Director of Shumba Energy, whom was unable to join GRV and take up his Chairmanship on this occasion but hopes to return next year. Concluding his opening remarks, Andrew provided a brief outline of the aims of the Africa Mining Summit, to generate alignment and understanding between member state Ministers and ministries of Mines with the private sector, build an investment community and join those key stakeholders to develop, and consciously and ethically capitalise on Africa’s continental & coastal natural resources. James opened his speech with elation at the diverse representation from all corners of the continent, with 14 country ministries represented, before referencing some of the key topics that would be later expounded in the discussion sessions, including: the minerals cycle, investment attractiveness and junior mining. Opening remarks ended with some encouraging words for delegates to continue contributing to the efforts for Africa to claim its place as the pre-eminent mining and exploration continent. The Welcoming Address was brought by Hussien Hassan, Ag. Director for Trade & Industry of the African Union Commission (AUC). Hussein started his Welcome by commemorating the 10-year anniversary of the Africa Mining Vision and noted the many achievements as we look ahead to the next 5 years. In his speech, Hussein highlighted that mineral endowment is the key driver for structural transformation as new allies are formed and new uses are found for what is considered low value minerals. Considering, the achievements of the sector, it remained for Africa to be more assertive within the industry to fully capitalise from the benefits. The Opening Address came from Hon. Eric Mothibi Molale, Minister of Botswana’s Ministry of Mineral Resources, Green Technology & Energy Security. Speaking freely and from the heart, Hon. Molale referenced a history of mineral exploitation that has failed to benefit the continent’s development. To remedy this, he proposed that minerals were extracted under the full consensus of communities, using Botswana as a prime example of a country that rules by consensus and gained the unbridled support
of its citizens as minerals are invested into the state. Lastly, Hon. Molale, stated that mineral rich economies should look beyond dependence on minerals but should seek to invest in education, so countries are able to move from a resource based economy to a ‘knowledge rich’ economy – learning to not just exploit but benefit from these resources and avoid the resource curse. The first panel discussion of the day commenced with Session 1: The Africa Mining Vision - The Next Five Years to 2024! Chaired by James Campbell, Managing Director of Botswana Diamonds plc, the session began by reflecting on some of the achievements of the Africa Mining Vision since its inception 10 years ago. The highlevel panellists then delved into analysis of how to best utilise the extracted minerals to support national, social and economic development. The first Keynote Address for AMS2019 came from Boubacar Bocoum, Lead Mining Specialist of the World Bank Group (WBG) whom focused on Key Drivers for a Compliant Mineral Rent Collection Administration. Boubacar began his presentation alluding to Africa’s great mineral endowment, quoting that ‘26 to 32 African countries are classified resources rich or to be rich’ which dramatically contrasted with the estimate that ‘by 2030, 68% of the world’s poor will be found in Sub-Saharan African resourcerich economies’. To address this bleak prediction, he provided 5 points to focus on for success in the industry: Policies, Systems and processes, Institutional coordination & cooperation, Capacities, Communication. Born from the discussion was the consensus that governments should rethink their strategy of the nationalisation of mines, as it is not imperative that nationalisation equates to government acquisition, but governments

The discussion then focused on the high-risk nature of funding prefeasibility projects, due to the uncertainty of the projects value when commencing. In light of this, it was suggested that government bonds could be a tool to finance mining projects by leveraging its own balance sheet, with reference to a pilot project in Japan. Another alternative was to crowdfund projects to spread the risk so that invested individuals do not bear the full brunt of a loss but also, junior mines are able to attract a lot of invest in a short time.

The final plenary discussion of day one, Session 3: Energy, was Chaired by Matthews Bagopi, Business Development Manager of Morupule Coal Mine. Considering the environmental implications and the rise of renewable and green energy, the session focused on one of the more controversial topics, Coal. Despite coal’s reputation as a ‘dirty’ energy source, it is understood that for the foreseeable future, it will remain the main power provider. The focus then shifted to Botswana’s potential comparative advantage in the coal industry, which neatly fed into the conversation of diversifying their economy. Although Botswana’s renowned for its diamonds, the potential to also harness solar

After an informative morning session, it was time for a Networking Lunch Break, ahead of the much-anticipated afternoon Matchmaking Meetings with AMS2019’s delegation of officials. In the weeks leading up to the event, delegates were able to identify their preferred matchmaking meetings through GRV Global’s secure scheduling website. Pre-event, meeting schedules were finalised and emailed to all participants in order to maximise potential outcomes of GRV Global’s personable format of 15-minute matchmaking meetings. Tuesday afternoon featured hundreds of 1-2-1 meetings with many meeting tables taking back-toback meetings throughout. Participants were quick to identify their potential value and praised their efficiency and the event’s yearly participant growth. To roundoff day one of AMS2019, participants were able to experience a taste of Botswana. Day two of the 2019 Africa Mining Summit began with a Networking Tea and Coffee Break where delegates reflected on the night’s enjoyable dinner, before heading in for the Conference Chair’s welcoming remarks. James Campbell, Managing Director of Botswana Diamonds plc welcomed everyone once again before providing a quick overview of the previous day’s stand-out discussion points, and giving an outline of the sessions to come – with all said, it was time for the first Keynote Address of the day. Charles Siwawa, CEO of Botswana Chamber of Mines gave a Keynote Address entitled ‘Botswana: A Role Model for Junior Mining’. Charles began by listing the advantages of junior mines that have reduced overhead costs and can focus on the technical portion of the mining mineral value chain. However, he further noted that junior miners face the same challenges as large corporates, such as fluctuation in the price of commodities, increasing operation costs etc. Therefore, it is essential they remain at the bottom of the cost curve which offers some protection against market forces and financial institutions and align themselves with mining companies, in particular at the foundation stages of the value chain. In conclusion, Charles asserted that there was sufficient space within the mining industry for junior mining companies to operate sustainably within the continent. The first panel session of the day, Session 5: Junior Mining, Chaired by James Campbell, tackled issues of geographical mapping, exploration funding and government participation. The session began with each panellist reflecting on the importance of

Prof. Cawood spoke on AMV-African Mining for Benefit, Innovation & Technology – 21st Century Mining & Future Trends - Mining 4.0 and the Future of Work in Mining. He observed the intrinsic link between the future of mining and the future of energy and subsequently the need to look for new minerals – with this in mind, he further alluded to the importance of the education system remaining responsive to the changing skillset in the mining industry with deeper integration of technology. geophysics, in aiding the mining industry. Notably, the data extrapolated from the geological survey has provided a wealth of information that has made it easier to make informed decisions. However, there is also a financial implication attached to conducting these surveys, which has resulted in slow progress for some countries. Moving on to the main subject of junior mining, it was described as the ‘engine of growth in the mining industry’ which undertakes all risk and innovation – although still plagued by issues of
funding and support. The lack of government support and participation serves as an obstacle for investment, as investors lack the confidence needed for financial backing and therefore the panellists stressed the need for African governments to make more of an effort to support junior miners and perhaps implement schemes such as a sovereign wealth fund, for initial investment and will create value for the company.

Chaired by Allan Bennett, CEO of Wireline Africa whom expertly steered Session 6: Innovation. Cloud-based technology has revolutionised every industry and mining has been no exception. The ability to upload data and instantaneously share this information among teams has proved to be an invaluable innovation. The collated information drives key decisions to influence project changes, creating a collaborative environment. Furthermore, the integration of technology has eased the maintenance process as information can be directly shared when parts are needed to be replaced. Crucially, this reduces downtime and allows for machines to be utilised for a longer period and subsequently reduces overhead costs. However, it is necessary to remain mindful of how to best utilise the volume of data accumulated in order to best progress a project.

Taking Sustainability Seriously…’. Gavin’s presentation came in three parts as he looked at prominent moments within the mining industry. The Harry Oppenheimer and Seretse Khama meeting that was the genesis of the Botswana and De Beers partnership, serves as a blueprint for others to develop their country through minerals and mining. Case study two, Marikana Massacre that resulted in the deaths of striking miners due to the lack of employment opportunities and adequate accommodation, served as a key example of mining communities that fail to benefit from the industry and finally

Upon their return to the Travelodge Conference Centre from a Networking Lunch Break, delegates were treated to the final Keynote Address for AMS2019, taken by Lira Ralebese, Deputy Principal Secretary of Lesotho Ministry of Mining whom gave a short presentation entitled ‘From Corporate Social Responsibility (CSR) to More Emphasis on Corporate Social Investment (CSI)’. Lira noted the error in regarding CSI as a subcomponent of CSR as it is a main element in informing the direction of contracts entered into by governments and mining companies. Focusing on Lesotho, Lira provided a breakdown of the tangible benefits in implementing a sustainable CSI strategy; Although the provision of jobs is often highlighted, this promise is not sustainable due to the finite nature of mining. Therefore, the Lesotho government have made the deliberate effort to create a harmonious exchange between communities and mines through their contract management which has brought about over 1000 trained farmers in livestock, agribusiness management, wool shearing and classing with the hope that this initiative continues when the mine closes. Similarly, not only does investing in a CSI strategy serve to benefit communities but has a mutual benefit to companies in complementing

In order to take sustainability seriously, Gavin proffered that mining houses should consider the impact on all stakeholders, plan with all actors, desired social and environmental impacts and take on the responsibility of helping communities become resilient and strong.

Turning to the role of local content, the panellists remarked on the importance of promoting domestic manufacturing in creating local development that boosts the economy as added-value services are performed in country. Finally, the panel addressed the importance and development of CSR that went beyond a ‘tick box’ activity, whereby companies actively brought about sustainable and tangible change to responsibly source the world’s minerals and uplift the communities they are operating in.

This session focused on the Fourth Industrial Revolution (4IR) that has the potential to raise the industry to new heights. Through innovation, new practices have emerged that has aided the explorative processes and helped reduce costs. However, Africa’s lag in technological capabilities was raised as a hinderance to quicker progress, as the basics need to be in place to support more advanced data collection and dissemination. After a full and informative two days, 2019’s Africa Mining Summit came to an end with some final remarks from the Conference Chair, James Campbell at the Closing Ceremony. James gave a concise and detailed summary of each of the panel sessions, reiterating the fact that Africa is open for business with a wealth of initiatives to improve the productivity and sustainability of mining and reduce the cost but also opportunities to spread the cost through crowdfunding, with a final question to ponder on ‘how to attract the youth into mining’. AFRICAN UNION COMMISSION (AUC) The AUC’s Department of Trade & Industry’s core mandate is to support the AU in boosting intra-African trade, fast track establishment of the Continental Free Trade Area (CFTA) and to ensure Africa’s competitiveness in the global economy. It supports Africa’s transformation by promoting diversification and modernisation of production structures. The Department’s core functions are to: ensure the formulation, implementation and harmonisation of trade policies to promote inter- and intra-African trade; ensure development of policies on tariffs, non-tariff barriers and free movement of business people; liaise with relevant stakeholders, such as chambers of commerce, industrial associations, exporters, importers, non-governmental organisations and the Regional Economic Communities (RECs), to ensure fair trade; provide support to AU Member States in global trade negotiations; collect, analyse and monitor data on global trends in trade and the impact on Africa. The Department is also responsible for implementing initiatives such as Accelerating Industrialisation of Africa (AIDA) and the Africa Mining Vision (AMV), which promote transparency, social responsibility and tax compliance in the extractive industry. The Department has three divisions: Trade; Industry; and Customs Cooperation.

BOTSWANA CHAMBER OF MINES The Botswana Chamber of Mines exists to serve the interests of the mining industry in the country and to influence policy decisions and strategic intents within the government, non-governmental organizations and related bodies. In its vision it has placed itself to be an effective and unified voice for the mining industry that also educates and shares knowledge with its stakeholders. It has managed to fulfil its mandate in the short history that it has been in existence and the future looks bright as the mining industry expands through exploration and establishing mining operations around the country. DEBSWANA MINING COMPANY Debswana Diamond Company (Pty) Ltd is a unique partnership between the Government of the Republic of Botswana and De Beers Group of Companies. The company was incorporated on 23rd June, 1969 under the original name of De Beers Botswana Mining Company (Proprietary) Limited. Debswana is the largest private sector employer in Botswana, with over 5,000 employees. These are mainly found on mining sites, along with just over 5000 fixed-term contractors and a small staff compliment at the Debswana Corporate Centre in Gaborone, Botswana’s capital. These four mines have contributed significantly to the economic growth of Botswana, as well as producing revenues responsible for lifting the country from one of Africa’s least developed to an international development success story. DRC CHAMBER OF MINES The Chamber of Mines is an established structure within the Federation of enterprises of Congo, to drive the work on the mining sector in the Democratic Republic of Congo. It replaced the National Mining Commission on March 24, 2011, after the revision of the FEC statutes, in order to align it with other associations of mining companies within the SADC region. This new name, among other things, allowed the Chamber to join the Mining Industries Association of southern Africa (MIASA).

GALANE GOLD Galane Gold is a greenstone gold producer with a management team which boasts extensive experience in turning around challenging mining operations across the globe. Galane currently owns two assets. Mupane Gold Mine in Botswana, which has produced over 700,000 ounces, with an annual production forecast of over 30,000 ounce a year going forward at a forecast AISC of approximately $1,050 an ounce. Galaxy Gold located in South Africa which has produced over 1 million ounces historically and has a fully funded plan to restart production in early 2019 with a plan to take production up to 60,000 ounces per annum at an AISC of $700 an ounce.

GHANA MANGANESE CO. LTD Ghana Manganese Company Ltd. (GMC), is a subsidiary of the Consolidated Minerals Limited (“COSMIN”) and Ningxia Tianyuan Manganese Industry Company Limited (“TMI”) headquartered in China. It is the only Manganese Mine in Ghana located at Nsuta Wassaw in the South-West of Ghana, in the Tarkwa-Nsuaem Municipality of the Western Region administrative area, approximately four (4) kilometers South-East of Tarkwa. The mine is located (583468N, 613050E) near to the Sekondi-Kumasi railway, 63 kilometers inland (by rail) from the seaport of Takoradi. GMC mines a very pure and high-quality carbonate ore with unique product specifications for Hundred (100) years with a total concession area of 175km2. Ghana is rich in natural resources, with significant reserves of oil, gold, bauxite and manganese ore.
GREAT DYKE INVESTMENTS Darwendale Integrated Platinum Group Metals (PGM) Project is operated by Great Dyke Investments (Pvt) Ltd, a joint venture established on a 50/50 basis between Russian AO Afromet and the Zimbabwean company. Darwendale deposit is a part of the Great Dyke in the Republic of Zimbabwe, one of the world’s largest systems of PGM mineralization with shallow dipping of ore bodies. Total resources of the deposit amount 50 mln oz (1,550 t) of PGMs, of which 17.6 mln oz (550 t) have been thoroughly explored and confirmed according to JORC standards.

GUINEA MINISTRY OF MINES & GEOLOGY Guinea is Africa’s largest producer of Bauxite and the second largest producer in the world with 2016 records attributing 15% of the country’s GDP to the mining industry – a significant contribution to the country’s development. In 2016, bauxite, diamonds and gold accounted for 80 percent of the nation’s total exports with the industry bolstered by a series of reforms to promote transparency, accountability and sustainability. IRONVELD PLC Ironveld plc (the company) is an exploration and development company incorporated in England and Wales and listed on the AIM of the London Stock Exchange. The company is focused on the development of a new integrated Vanadiferous, Titaniforus Magnetite “VTM” project on the Northern Limb of the Bushveld Complex north of Mokopane in the Limpopo province of South Africa. The company is committed to advancing the beneficiation of raw materials within the Republic of South Africa. The company will own and operate a 15MW DC furnace to beneficiate the ore to produce high purity iron products, vanadium and titanium. The 15MW DC furnace will be situated on the farm Altona in the Mogalakwena Municipality, a property to be leased.The company intends to produce annually 42 964 tonnes of High Purity Iron products, 381 tonnes of Vanadium metal and 8 269 tonnes of Titanium dioxide.

Kalahari Key Mineral Exploration Company (Pty) Ltd. (KKME) was established in Botswana in 2014 (company registration CO2014/15156) with the primary purpose of exploring for base and precious metals in Botswana’s Precambrian rocks. Three exploration licences have been acquired over the central and eastern parts of the Molopo Farms Complex in southern Botswana. Our exploration model focused on an ENE-WSW trending feeder zone identified through detailed analysis of existing geophysical and borehole information. Nickel and platinum group metals are the target elements. High-resolution airborne geophysics over the feeder zone commissioned by KKME in late 2018 identified a number of conductive targets that are presently being examined by ground geophysics. 19
KHOEMACAU COPPER Khoemacau Copper Mining (Pty) Ltd is a 100% entity owned by Cupric Canyon. Khoemacau has been exploring and developing the Ghantsi-Chobe Copper Silver Project, located in the Kalahari copper belt within the Ghantsi and Ngamiland Districts of Botswana. The Company is currently concentrating on developing the Zone 5 underground copper and silver resources, as well as defining the high-grade copper potential of the districts. The Company expanded its land position with the acquisition of the Boseto Property in 2015, and now controls 4,040 square kilometres of mining and exploration licenses in this highly prospective region of the Kalahari Copper Belt.

MORUPULE COAL MINE The Morupule Coal Mine (MCM) located in Palapye, Botswana, and since 2016, is wholly owned by the Mineral Development Company Botswana (MDCB). Prior to this, MCM was owned and operated by Debswana. It was founded in 1973 by Anglo American Corporation to supply Anglo’s then copper and nickel mining and smelting assets at BCL in Selebi Phikwe. MCM operations have expanded considerably since then to supply regional power plants and industries, especially the nearby Morupule Power Stations owned by the national utility, Botswana Power Corporation. MCM successfully undertook a major expansion project in the years 2008 to 2011, MCM1 Expansion, increasing run of mine coal production from 1mtpa to 2.8mtpa. The mine is undergoing another expansion, Project Motheo, that will consolidate and further grow its regional footprint. Project Motheo also creates a platform that will enable future supplies into offshore markets.

MOTJOLI RESOURCES Motjoli Resources is a private 100% black owned junior mining and exploration company. The Ministry of Mines and Mineral Resources is responsible for formulating policies and plans for the development and Management of the minerals sector in Sierra Leone. In furtherance of this mandate, the Ministry is currently reviewing the required legislative and governance framework to ensure the effective and efficient management and regulation of the minerals sector to ensure that it delivers the maximum benefits to the people of Sierra Leone. A new Mines and Minerals Act was passed in 2009, followed by new operational and environmental regulations in 2013. The Ministry also established the National Minerals Agency in 2013 to ensure the effective implementation of mining laws and regulation. 40
SIMBA MGODI MINING INCUBATION FUND The Simba Mgodi Mining Incubation Fund (Pty) Ltd is an incubation fund designed to support emerging entrepreneurs in mining and mining services. We offer asset, contract and capital finance for businesses active in the mining industry. The fund was registered on the 24th of March 2017 as part of a Youth in Mining Empowerment strategy by the founding directors, Dr Sakhile Ngcobo, Dr McEdward Murimbika, Olebogeng Sentsho and Peace Ntuli. The enormity of the impact of the mining industry in Africa is the primary rationale for the establishment of this fund. TLOU ENERGY Tlou Energy is an AIM and ASX listed company focused on delivering power in Botswana and the broader southern African region through the development of coal bed methane (‘CBM’) projects. Tlou Energy provides investors with access to a compelling immediate and longer-term opportunity using domestic gas to produce power and displace the expensive diesel and import market.
