Are share block scheme owners stuck with their arrangement? Lawyers say such schemes can be converted to sectional title, provided a third of the owners vote for it
A
LTHOUGH new share block developments are not common nowadays, there is a large number of established schemes in South Africa people can buy into, and many retirement complexes use the share block ownership system. Lately, there have been queries about whether share block schemes can be converted to sectional title schemes. Law firm STBB answers the question, saying “yes”, and outlines the procedure below. The company says it is not possible to know, when standing in front of a block of flats, whether it is a share block scheme or a sectional title one. So, what is the difference? A share block scheme describes a legal structure where a piece of land is owned by a share block company on which, typically, a block of flats is built. Buyers individually purchase a grouping of shares in the company, known as a “block” of shares, which is behind the conclusion of a use agreement. The use agreement grants
the holder of the block of shares the right to occupy a certain apartment and sets out the buyer’s rights and obligations. This means the owner does not own their apartment directly, but owns shares in the company. Ownership of the land and the block of flats built on it remains with the share block company, which is the registered owner of the land. By contrast, if the block of flats were described in the deeds registry as sectional title, people would be able to buy and own their individual apartments. Share block ownership schemes came before sectional title ownership. Before South Africa’s first sectional title legislation was passed in the 1970s, it was not possible to own a part of a building, without also owning the land on which it stood. Share blocking was the closest thing to ownership available to occupiers of parts of buildings at the time. The promulgation of sectional title legislation meant, for the first time, ownership of apartments and property could
be acquired in a scheme. Share block schemes can be converted to sectional title schemes in terms of the Sectional Titles Act: • There is provision for such conversion when 30% of the shareholders have agreed to the conversion. • When the directors of the share block company resolve to convert the share block scheme to a sectional title scheme. In the first case, a meeting of shareholders is called and a vote is taken. The Share Blocks Control Act lists a number of requirements to be met for the shareholders’ resolution to be valid. There must be proper notice to all shareholders explaining the proposed conversion and furnishing details of the sectional title plan and rules that will apply to the scheme were this to happen. Once the resolution has been passed, notice must be given to all affected parties – including every shareholder of the company, every creditor who is owed more than R500 and any person entitled to a share in
the company by way of pledge – within 21 days. Registration of the conversion in the Deeds Office After dealing with possible objections and attending to certain administrative matters, proof must be provided to the Registrar of Companies that all requirements for a conversion have been met. The share block company will then appoint a land surveyor to prepare sectional title plans. Once these have been approved by the surveyor general, an application can be made by a conveyancer for the approval of a sectional title plan by the Registrar of Deeds. Once the sectional title plan has been registered at the Deeds Office, and the sectional title scheme opened, all the apartments will be converted to sectional title units and registered in the company’s name until the units are transferred to individual shareholders. Shareholders do not necessarily have to take transfer of a unit in the sectional scheme.
Their ownership of the property is regulated by their shares in the share block company up until such time as they elect to take transfer of a unit. DID YOU KNOW? One of the disadvantages of buying into a share block scheme is that your purchase price will be more difficult to finance. You may not be able to get a home loan to buy a unit in a share lock scheme (unlike buying a freehold or sectional title property), because you don’t own a physical property which can be bonded as security for the money advanced by the bank. However, you might be able to obtain a loan from a bank using your share certificate as security in the form of a pledge and cession of such shares. You will also generally be required to put down a bigger deposit compared with a freehold or sectional title sale. The period of the loan is likely to be shorter, and the rate of interest on the loan is likely to be higher. – Personal Finance

Letter from the editor WITH rolling blackouts nationwide, Johannesburg residents having no water for days on end, and COP26 in the background highlighting the climate crisis the world is in, it’s no wonder green buildings are having a moment. When we discussed green buildings years ago, they were seen as fringe and they certainly weren’t going to be on the cover of a property magazine. Yet, today, they are front-page news as the world grapples with not only how to live sustainably, but also more gently, on this planet. Crisis after crisis is highlighting why we should look at going off the grid and having water-wise homes. We’ve also seen kitchen gardens become popular during the Covid pandemic, with people realising they can’t always rely on food systems, and many calling on that “weird” cousin or friend living in the sticks to ask how they actually live so well without electricity and a shopping centre close by. The term “climate refugee” is also being bandied about, making people observe more closely where they are buying homes and how safe they will be from the inevitable rising sea levels and other climate change issues. Developers are also cottoning on and green buildings are all the rage, meaning homes built today will certainly be better proofed against the elements and badly-run entities in the future. We at Property360 are greenies, and so welcome this move to sustainable building and living. We are excited about the amazing new things developers will come up with, and it’s wonderful to know that many share our enthusiasm. Regards

Going green is a win-win

F THE desire to save money and live more sustainably were not enough to convince South Africans to “green” their homes, the frustrations of load shedding – and in some areas water supply issues – are pushing them to change. And although the main motivation might not be ecological, our environment will benefit. Another plus is when owners sell their green homes, they could pocket a little extra money. Grahame Diedericks, manager principal for Lew Geffen Sotheby’s International Realty in Midrand, notes the reason many homeowners are installing sustainable-living features in their homes has shifted. “Previously, the focus was largely on cost saving but with the difficulties we are experiencing at present with the supply of electricity and, often, water, it is becoming a common need for homeowners to be more independent with their water and electrical needs,” he says. This also means there is a positive financial return when selling due to the demand for green home solutions. Samuel Seeff, chairperson of the Seeff Property Group, says while consciousness of the precarious state of the environment ranks high on many people’s home buying agendas, he agrees that it is, increasingly, the country’s woes in terms of water, electricity and other services that are driving homeowners to upgrade their homes to be energy and water efficient. At a basic level, this includes lighting, solar geysers, heating, water gathering and storage tanks. “These are, of course, all contributing to a reduction in one’s carbon footprint while at the same time making homes more sustainable,” Seeff says. And with many people spending much of their time indoors, the importance of a healthy building is self-evident, says Anthony Stroebel, head of new business development for Pam Golding Properties and a director of the Green Building Council South Africa (GBCSA). “There is a growing awareness that the quality of our indoor environments plays an increasingly important role in our overall productivity, health and wellness.”
BUYING GREEN Interestingly, Seeff says that neighbourhoods where local communities help to keep them clean – including clearing litter from green belts, streams and rivers – are becoming desirable when buyers shop for a home. Diedericks says the most frequently asked question from buyers at present is to do with solar and generator back-up, again linked to the country’s electricity issues. “If the green features will save them money over time, then most buyers are willing to pay more but now, with load shedding increasing, I think buyers will also be more than willing to pay more to avoid the inconvenience of being without power.” Seeff adds that while green features add value, buyers do not want to have to pay excessive premiums for such features. “They still want good value and a fair price.” SELLING GREEN His advice for homeowners and prospective sellers is: “When you install green features, consider the costs versus the value that it will add. Do not do it just to get a higher price.” Stroebel says property owners are increasingly realising that incorporating green-living design into their homes is not only significantly contributing to the value of what is usually their primary asset, but also increasing its “sellability” if and when they decide to move. “A green home typically sells at a premium to other regular homes of a similar size and location and, more than likely, also sooner.” As people adjust to life in the post-Covid world, he says, it seems green building will finally be embraced by the mainstream. “While sustainable, green living offers welcome utility efficiencies it is essentially a more holistic concept. Stretching from upstream considerations, such as building materials and design, all the way downstream to energy consumption and waste generation, a sustainable lifestyle is – at its heart – about the quality of life and the future health of the planet.” BUILDING GREEN While certain developers are leaning towards solar options for power and geysers, Diedericks says
this is generally not yet a non-negotiable request from potential buyers. He adds that although “green” building is still a matter of choice in South Africa, revised building regulations promulgated in 2011 stipulate that all new buildings must be constructed in accordance with a list of energyefficient specifications. These cover aspects such as roofing, insulation, water heating and lighting. Echoing this, Seeff says new builds, both free-standing and in estates and sectional title complexes, are now generally as a matter of course equipped with green building features. However, these often go much further in terms of use of sustainable building materials and so on. “We do find that these features can be costly for lower-income households but they are certainly in demand and add value to your property, especially in the upper price bands.” While most new developments include solar heating and water harvesting and recycling, as well as indigenous gardens, at a basic level, some have more sophisticated features. COMMERCIAL PROPERTY GREENING Stroebel says South Africa is a leader in the growing global green building sector but, initially, the focus has been on the commercial sector. The benefits are already evident. “It is estimated that green buildings reduce operating costs by 8% on average – primarily through reduced energy and water usage as well as lower long-term operating and maintenance costs,” he says. The GBCSA recently announced that 140 buildings had been certified over the past year – a record number, illustrating the growing momentum of green building in the country. Chief executive Lisa Reynolds says that certified green buildings have “held their own”, as far as vacancy and return rates go, over the past year. “Property owners, tenants and investors are now insisting on better, certified green buildings, as the environmental and financial benefits of these become indisputable. “To date, the GBCSA has certified 740 buildings since 2009.”

Q: OUR FAMILY is emigrating and my husband has already left, leaving me to sell our home here. I am working with an estate agent but, as a single woman, I already feel vulnerable. How can I manage the home sale and potential show days as safely as possible? A: It is important to remember that there is safety in numbers and a good place to start is to have someone on duty with you to manage events on show days. It gives you the ease of knowing that no visitors or prospective buyers are wandering through the home unmonitored and that someone can assist if something goes wrong. Estate agents need to be security conscious and need to discuss the option of putting security systems in place before a show day. This is not only to protect the sellers’ valuables and property but to ensure the agents are safe as well. Posting a guard on the premises is also a good idea. While you cannot plan for every eventuality, this advice will help to discourage thieves from taking advantage of the situation: • If there is a panic button, ensure that the agent has access to it, along with your private security service provider’s emergency number. • Alert your private security service provider that your home will be on show and ask them to stop by to check that everything is in order. • Do not leave spare keys for the home (for back, garage or patio doors) hanging on hooks that can be reached. • Always lock away valuables that can easily
fit into a handbag or pocket. • Put away larger items of equipment that are not instrumental in showing off your home to stop criminals thinking they might return later when no one is home. • Open curtains and blinds or switch on lights in each room to discourage would-be thieves from untoward activity. – Charnel Hattingh, head of marketing and communications at Fidelity ADT Q: We are first-time home sellers and looking for the right agency and agents to help us sell. However, we are in a hurry, so want to get the right people for a quick, but good, sale. What should we look for? A: Potential sellers should make sure that their chosen agent ticks the following boxes which prove they have a high hit-rate – defined as the percentage of successful sales compared to the number of attempts. Number of “sold” boards: See how many “sold” boards are up in the area, not just “for sale” boards. If an agent is successful, they will be converting for sale properties into sold properties. Active property portfolio: Choose an agent with an active portfolio of properties being marketed. Availability of stock is important as the number and quality of properties an agent has will attract a range of buyers. Dynamic social media presence: Visibility is key, so select an agent who has an effective marketing machine behind them. When researching agents in your area, look for someone with a dynamic social media presence, where properties are being actively marketed and shared by the agent and the
brand they represent across a variety of platforms. – Ashe Thaver, property consultant at Jawitz Properties Q: My parents are selling their home and I would like to help them avoid making costly mistakes. What advice can I give them? A: Several mistakes can be easily avoided, if one is aware of them. I strongly recommend that every seller’s first step is to partner with a real estate professional. As experts in their local suburb, agents can share tips and tricks, so sellers avoid making expensive mistakes when listing their home. • Do not avoid necessary repairs in the hope of closing the sale before anyone notices. These are almost always identified during the home inspection process and it will likely halt the sale until the problem is repaired – or an agreement can be reached. • Ensure that you prepare the home for viewing by decluttering and putting away personal items. Buyers are better able to envision themselves in a depersonalised space. By putting away clutter, rooms should also appear larger, which could also lead to higher offers being made on the home. • Have a professional photographer take photos of your home as these days the home buying process begins online. Listing photos can make all the difference when attracting buyers. • Don’t set your price to leave room for negotiation. This often just leads to buyers overlooking the home as it falls outside their price point. Sometimes, setting a price that is disproportionate to the value of the property means that the home will sit on
the market for longer. • Be aware of the costs associated with the transfer and registration process, moving expenses, and agent commissions that will need to be paid. – Adrian Goslett, chief executive of Re/Max of Southern Africa Q: How do agents decide on the selling price of your home? A: Each area and property is different. A local area agent will do a thorough assessment based on various factors. These include: • Assessment of sales over the past three to six months to gauge what buyers are paying. • The location of the property. If it is in a popular location, the price would be in the upper percentile compared to a less favourable location which might put it in the lower percentile when looking at the range of prices achieved in the area. • Valuing the property in terms of its age, size and condition. The better the condition, the higher the price. Features such as security, safe parking, a swimming pool and neat garden are value-adding factors. Excessive bedrooms and features might, however, not add to the price. • Trends in the area also affect the price of a home. While deterioration will be a drawback, development can add a premium to the price. • Stock levels are also considered. If there is an oversupply, sellers face stiffer competition and prices come under pressure. If there is a shortage, sellers can usually expect higher prices. – Samuel Seeff, chairperson of the Seeff Property Group
