Executive Summary
This document outlines the franchise and licensing benefits, ongoing fees and costs of IPC partnership. As a professional association that benefits preschools in six continents, the IPC offers a range of products and services in its franchise package. Objectives

To provide a proposal for the implementation of a franchise, master franchise or exclusive licensing structure for MUMBAI. To determine key areas of interest and areas of growth for MUMBAI To propose key terms that may eventually be incorporated in a contract or licensing agreement. To propose carve out products and services that may be distributed in MUMBAI, such as the IPC Teacher Training Program, IPC School Manager™, IPC workbooks and other proprietary products and services offered by IPC.

Sub -‐ Franchise Option Benefits
IPC preschool franchises benefit from the following: • • • • • • • • • • •
Researched and peer reviewed preschool curriculum with worldwide recognition; IPC branding and license rights including custom 3D layouts, signage and stationary designs; Custom PR and marketing assistance; Consultancy support for business plan development and implementation, policy formulation, licensing assistance and regulatory assistance; Intensive teacher training course prepared by the IPC’s former Education Director, an ex teaching fellow of Harvard University; Director training and guides; Practical guides; Management/Owner handbook and professional development guides; Policy handbook; Administrative and accounting software from IPC Online; Ongoing teacher and owner support 5 days a week via telephone or email;

4. Country License Benefits License holders benefit from the following: 1. Curriculum co-‐branding, adjustment and alignment; 2. Co-‐branded management software; 3. PR & Marketing support; 4. Teacher training through the IPC Teacher Training course and teaching certificates; 5. Tailored consultancy guidance including business and management consultancy support; 6. Country specific IPC website and marketing materials; 7. Ongoing teacher support to all license clients; 8. Ongoing consultancy support to all license clients; 9. Periodical product upgrades and new offerings. Exclusive licenses do not involve any revenue sharing and the license holder is entitled to 100% of the profits generated by IPC related business activity in MUMBAI. The IPC charges a nominal fee for each subsequent franchised or sub-‐franchised school that opens. 5. Pricing The following pricing is based on a renewable 10 year term.

6. Terms This proposal is valid for 30 days and shall not be binding unless otherwise stated by contract or prior agreement. The proposed terms of payment are proposed as follows: Exclusive License Payment Terms 1. 25% due on execution in exchange for full licensing rights due on execution 2. 5% due within 12 months from execution or upon opening of second location, whichever is first. 3. 5 % due within 24 months from execution or upon opening of the third location, whichever is first. 4. 5% due within 36 months from execution 5. 10% due within 48 months from execution 6. 10% due within 60 months from execution 7. 10% due within 72 months from execution 8. 10% due within 84 months from execution 9. 10% due within 96 months from execution 10. 10% due within 108 months from execution ©2010-‐2013 International Preschool Curriculum and Clarenter LLC. ANNEXURE 4 IPC School Manager™ -‐ Preschool Management Software IPC Online was developed for preschool administrative and accounting use. As an online software system fully encrypted for privacy and security purposes, IPC Online can be accessed from anywhere in the world. IPC Online may be co-‐branded for licensing purposes and distributed as a separate product. Software features: • • • • • • • •
Proprietary owned and developed for IPC School needs; Accounting and automated billing in any currency; Student and attendance tracking; Medical database and immunization tracking; Teacher information; Alerts for overdue immunization, bills etc. Point of Sale System (POS) for uniforms, lunches etc.

ANNEXURE 5 3D Architectural Layouts The IPC will provide you with suggested layouts for up to four of your classrooms. There are also generic suggestions for outdoor play areas.

ANNEXURE 6 Teacher Training All IPC franchisees and licensed schools receive teacher training (maximum enrolment capacities apply). The training course is devised by our own ex Harvard University teaching fellow and is delivered online over a 6 month period. The course develops essential teaching skills and ensures that the curriculum is taught in its intended manner. Other benefits of teacher training include: • • • •

ANNEXURE 9 Research and Development The IPC’s research team is responsible for ensuring that the curriculum, teacher training and all other academic aspects of the organization reflect current sector best practice. The research team publishes research papers on a monthly basis. The IPC has also launched the International Early Learning Journal (IELJ), an academic journal with contributors from university faculties around the world. It is through the IPC’s strong involvement with the academia that it is able to ensure its standards are amongst the highest in the early childhood education arena. ANNEXURE 10 Branding & PR The IPC’s creative and marketing director will oversee your branding and marketing needs that include custom signage designs, media packs, press releases and stationary designs. You will also receive your own IPC preschool website and be featured on the IPC Locations page.
