Outline 2019

The aim of further strengthening our position in the market will be continued in 2020, including enhancing the commercial strength of the organisation. Based on the information currently available to us, we do not expect any major changes in the number of employees.

In light of current developments regarding the coronavirus outbreak, a look back at the previous year offers ­perspective. Over the past several years, Janssen de Jong Groep has continued its development into a dynamic organisation. 2019 saw the beginning of market-oriented clustering based on customer groups, which enabled the Group to further expand its strong position in various market segments. Hans Smits retired as CEO and Chairman of the Board of Directors in December. His focus on increasing returns in ­conjunction with creating room for entrepreneurship was reflected in the figures: Janssen de Jong Groep achieved a strong result of €24 million EBITDA.

No major investments are expected for 2020. The ­investments that will take place involve replacement investments. In March 2020, financing was renewed for a period of 4 years. The overdraft facility has been reduced and the conditions improved. In addition, there is also a limited bank guarantee facility. We anticipate that use of these facilities will be reduced over the coming year. Despite current developments due to the coronavirus, we expect a higher turnover for the Netherlands with a stable result based on the current order book. For our Caribbean activities, market conditions are much more challenging due to the lockdown caused by the coronavirus. We are anticipating lower sales and lower results here.

Retrospect 2019

Company Theme

The steady growth which started in 2017, continued into 2019. Janssen de Jong Groep closed 2019 with a net profit of € 14.9 million. The total liquidity position as of 31 December 2019 amounted to €23.2 million, which, in comparison to 2018, represents an improvement to the tune of €10 million. As expected, the investments in 2019 consisted primarily of replacement investments. The company was able to acquire an ample amount of new projects with lower investments such as with land positions. Our cash position improved even further partly as a result of this. The number of employees decreased by 39 as compared to 2018. This was mainly due to the completion of the Hato Airport project in Curaçao and a reduction in the number of employees at Windward Roads in St. Maarten as a result of Hurricane Irma.

The integrity policy was reviewed in 2019. Showing integrity in how we act and how we do business is essential for all employees and is the foundation of the Janssen de Jong Groep. For this reason, the company code, consisting of the code of conduct and group-wide rules, has been c­ ompletely rewritten.

Every year Janssen de Jong combines a yearly theme with its slogan 'Let's build happiness'. In order to be even more successful together, the next two years will be all about “Working together”. In doing so, we will focus on our employees, subsidiaries, customers and other stake­ holders. To reflect this, the word 'together!' will be added to the current slogan. Because building happiness is something you do together.

Focus on innovation, sustainability and synergy In 2019 the group-wide focus was on sustainability, ­innovation and synergy between the group companies. These aspects came together in the development and achievement of predominantly gas-free and zero-energy homes by Janssen de Jong Bouw and Janssen de Jong Projectontwikkeling. The latter is developing an almost car-free district together with its cooperation partners; gas-free, circular, nearly zero-energy and climate adaptive. In collaboration with Project Development, Janssen de Jong Bouw applied a modular building concept. The product engineering was optimised and the construction time considerably reduced. With its 'Woody Building Concepts', the business premises cluster developed a leading business property concept. The Janssen de Jong companies in the Caribbean are leaders in the field of asphalt, concrete and glass recycling.

The group-wide (internal) rules contain rules that apply to employees in the areas of management of work processes, safety, reporting and privacy.

Diversity in the workplace The Board of Directors is aware of the added value that properly balanced diverse team can bring to the ­organisation. Diversity in the Board of Directors and management makes our companies more effective and profitable. At Janssen de Jong Groep, we also want to take a socially responsible approach to the way we do business, and diversity is certainly a part of that. Over the past several years, more women have been appointed to the Janssen de Jong Groep Board of Directors as well as to commercial and executive positions. This trend will be continued in 2020 where possible.

2020 – Relevance, circularity and synergy In order for Janssen de Jong Groep to be prepared for the future, it is necessary to become even more relevant in the various market segments. Janssen de Jong Groep is ambitious and aims to evolve from a group of construction specialists into a strategic partner for the whole real estate chain. The focus of 2020 will be on circularity and customer satisfaction. Digital integration will also be high on the agenda, including pooling BIM knowledge and capacity within the Dutch subsidiaries.

During 2020, a number of actions will be taken to continue with this pursuit. These actions can be followed via the website and our social media channels.

Impact of Corona Within a short period of time, the coronavirus has had a substantial impact on everyone's social lives, and ­companies are facing major challenges. The measures taken by Janssen de Jong Groep have been on the advice and instruction of the government. Various safety and hygiene measures have been introduced and improved in order to minimise the risk of infection and to guarantee the continuity of our business operations. Digital communication tools have been implemented, allowing us to work from home wherever possible. The necessary equipment such as monitors and office chairs have been provided for by the company. The 'working safely together' protocol has been applied on the construction sites. The protocol was drawn up by Bouwend Nederland and Techniek Nederland, and expanded and adopted in consultation with the Ministers of the Interior and Kingdom Relations and Infrastructure and Water Management as well as various other construction sectors and trade unions. Applying this protocol makes it possible to continue with our construction activities.

The management is closely monitoring developments on a daily basis and keeping in touch with its employees. The measures taken appear to be effective; absenteeism due to illness has not been substantially higher than in the previous year. However, a limited number of people are remaining at home as a precaution as they may (possibly) have been in contact with corona patients. Janssen de Jong Groep has not experienced a significant drop in production at its Dutch companies. At the Janssen de Jong companies in the Caribbean, the lockdown in Curaçao, Aruba and Sint Maarten has led to a stagnation in activities. This concerns postponements, and the projects will be resumed immediately once the policy is relaxed. With the information available to us now, the continuity of the organisation has been safeguarded. Janssen de Jong Groep is using the opportunities offered by the government to support day-to-day operations, but we do not have to take any far-reaching measures in this regard. Although the concrete long-term consequences are still uncertain at the time of this report, we do not yet expect any substantial changes in our strategy. We are proud of the commitment, flexibility and ­perseverance shown by our employees at this ­extraordinary time.
