hen you’ve traveled to the Big Apple numerous times, it seems familiar. Yet, after each trip, another gem is discovered that surprises and delights. Last month’s treasure was the famous Birdland Jazz Club, 315W 44th Street. I feel remiss since it’s an iconic club. Anyone who is or was someone has performed at or frequented this venue.

n Monday nights, something special happens. Birdland has hosted for 13 years Jim Caruso’s “Cast Party.” (castpartynyc. com) When Broadway is dark, it’s an open mike evening of the finest singers in New York. Often stars, the caliber of Tony Bennett, Paul Shaffer, or Liza Minnelli grace the stage for a couple of

selections. Cabaret and musical theatre hopefuls perform. They may not be celebrities, but they could easily compete in any Broadway musical. Cast Party is akin to the best karaoke ever…on steroids! The power of the club is Jim Caruso, a suave, impeccably dressed crooner in his own right. This guy has gravitas, a showman extraordinaire, He wields a quick rapier wit, and a voice so smooth you would give him your wallet, if only he asked. Jim glides from the bar to the stage introducing his next guest. Every person within reaching distance is lightly touched, or receives smiles, as he massages the emotions of everyone in the house. He reminds you

of the best variety show host of yesteryear. Sometimes his words are amusing, and then scalpel sharp toward any trying to move the show off course. I would characterize Jim as a “Psychologist of Entertainment.” (PhD. of Ent.) Soon the incredibly talented singers are a distraction. I prefer to witness how Jim interacts with his next guest. At Cast Party there’s never dead air or loss of momentum, as anxious p er for mers navigate

potlight and Gainsboro Studio were thrilled to spend 45 minutes shooting production photo’s for the three person cast of the hottest off Broadway show; “Dinner With the Boys.” It is not to be missed. The Acorn Theatre in Manhatten hosts three legends in the theatre industry : Dan Lauria, (The Wonder Years, Sullivan and Son, and 90 other credits) Ray Abruzzo (NYPD Blue, NCIS, Criminal Minds, Mad Men, and Little Carmine on “The Sopranos.”) and Richard Zavaglia, (LBJ, Donnie Brasco, with Al Pacino and Johnny Depp, Bird, directed by Clint Eastwood, and many others.) They offer a flawless performance of mobsters on the lam. The play is set in a modest kitchen in New Jersey, about a two hour drive from Brooklyn. The exaggerated Italian stereotypes quickly illustrate the absurdity of violence, and vicariously, the actions of real mobsters who perpetrate such indignities. The satire introduces the depiction of the gangsters’ last hit, when ordered to kill their best friend. They transport the body to their hideout, then plant his remains in the garden. Copious amounts of double entendres add to the sometimes subtle, mostly overt, humor that spanned the length of the show. Dan Lauria and Richard Zavaglia’s performance spark fond memories of Dean and Jerry, Laurel and Hardy, Abbot and Costello.

Ray Abruzzo nails the comedic genre, delivering one of the funniest Godfather characters ever. His scenes give new meaning to “slapstick.” Ray’s performance was incredible for me. I was familiar with his work only in past serious roles. I can’t divulge more without delivering huge spoiler alerts. Suffice to say, there are numerous funny lines and hilarious scenarios throughout the show. There were even a couple of warm serious moments. “Dinner With the Boys,” delivers in spades, and is a cultural and comedic masterpiece! The production does not boast elaborate special effects or a supporting cast of meticulously choreographed dancers. Instead, the strength and incredible never ending entertainment emanates from the writing (by Dan Lauria) supported by the superb delivery from these iconic actors. The sound and lighting were exactly right Those combining perfectly with the mesmerizing performance, culminate in your insertion into the play itself. Unfolding drama massages your senses, drawing you in, until you believe you’re witnessing real people and events.

A unique feature about this production is that, if anyone chooses, he can actually see the show and dine with the boys for a VIP experience. through the audience of 150 to the stage. Forget that excruciating lag time artists create providing music to the piano, Jim segues with non-stop jokes and antidotes with the audience, then good natured banter with pianist Billy Stritch. They reminded me of Johnny Carson and Ed McMahon.

illy is a Grammy award winner and long time musical director of Liza Minnelli. He effortlessly plays any and all music presented to him by the 25 odd guests on any given Monday night. Occasionally he sings back-up to support or harmonize. This taste only stimulates listeners yearning to hear more from this seasoned performer. Steve Doyle accompanies on bass, and Daniel Glass rounds off the band on drums. The music generated by these three instruments is awe inspiring. It would be worth the $25.00 cover and $10.00 food minimum, just to hear these guys jam. By the way, the food is good! If you are in Las Vegas, Miami, Los Angeles, London, Chicago, Boston, Pittsburg, or Dallas, look for the local Cast Party. Jim travels to those locations and finds the hottest venue. Then he locates the best singers in those cities. He recruits and networks and another Cast Party is born. I asked him why he does this non-stop. His answer was that it started as a job, then it became about celebrating people. Jim Caruso has toured the world performing with legends in the music industry. He has done and seen it all. When he tells me it’s really about that next great talent needing a chance, waiting to be recognized, I believe him. ilk is bad for you, or at least, it’s not good for you; that’s the word from the latest of what has become a steady parade of books on what food to be afraid of now. After thousands of years of consuming milk, cheese, yogurt, and all other related dairy products humanity has taken nourishment from since the domestication of cows and goats and such, science has just discovered the badness of milk?

t seems like it was just yesterday that wheat was the evil on one’s plate. The path to good health was free of bread, pasta, cake, or virtually anything if one bothered to read the ingredients’ list on the package, as wheat is in almost everything it seems. The folly of eating anything with wheat must be true, because a doctor wrote the book? A Dr. before or an M.D. following an author’s name lends a certain credibility to his claims, one would assume. The fact that celebrity Dr. Oz, in the face of mounting criticism from numerous medical practitioners, had to publicly state that his show is not medical in nature, despite it’s being called the DOCTOR Oz Show, underscores the point.

Owners of family businesses may want to consider an estate freeze
Freezing your assets
One effective strategy used to transfer wealth or implement a succession plan (while managing tax liabilities on a transfer) is to freeze the value of your shares during your lifetime. An “estate freeze” allows you to fix the value of all or part of the capital gains accrued to date on the shares of your business. The future growth in the business is transferred to the eventual owners, often your children. A reduced value of the business resulting from an economic slowdown may provide an opportune time to consider a freeze. By limiting the tax liability on an appreciating asset in this way, your estate may avoid facing a potentially higher tax liability in the future, upon your death. Your estate’s tax liability can be limited to the fixed present value of your ‘freeze’ shares, and any future capital gains can be taxed in the hands of the new owners. Sufficient life insurance is often arranged to cover your expected tax liability at your passing. If your business is a Qualified Small Business Corporation (QSBC), an estate freeze may allow you to take advantage now of the lifetime capital gains
There are a number of ways to accomplish a freeze, but the most common is for the owner of the small business corporation to reorganize the share structure of the existing company. Here’s how it might work: Step 1: Exchange your existing common shares in the business for voting, redeemable, retractable preferred shares of the same value. This exchange can typically be completed on a tax-deferred basis or alternatively a capital gain can be realized to use any remaining capital gains exemption on qualifying QSBC shares. Step 2: Create a new class of common shares, to be purchased for a nominal amount by your children (or a family trust for their benefit). A trust might be used to hold the growth shares to provide flexibility and control, particularly when children are young or when direct ownership is otherwise undesirable. • The future growth in the business will accrue to the new common shares. Future capital gains tax liability will be deferred until these holders of the new common shares sell or otherwise dispose of their shares.
The benefits An estate freeze can encompass the flexibility desired to meet your particular needs. Because you receive preferred shares with voting rights, you can effectively retain control of your business. The preferred shares generally have a stated dividend rate to help provide retirement income and you can redeem the shares over time for additional income. If you also want to participate in some of your company’s future growth, you might choose to retain some of the new common shares for yourself.
Other considerations The suitability of an estate freeze will depend on a number of factors, including the anticipated future health of your company, your financial position and long-term objectives. If the value of your business isn’t likely to increase significantly after the freeze, or if you will need cash and are planning to sell the business shortly afterwards, then an estate freeze may not be appropriate. Some business owners have regretted freezing their business too early in their lifetime. The right team of advisors will often include your Lawyer, Accountant and Investment Advisor – The time & cost will maximize value and protect you and your heirs.

The Downturn in Oil Industry : Effect on Divorce and Family
B
y now the downturn in Alberta’s petroleum industry isn’t news to anyone. The effect is felt the most in Oil industry of Alberta, but does trickle into other areas of the Canadian economy as well. I’m not sure exactly what the statistics say in terms of economic downturn and its effect on families splitting up. My anecdotal observation is that small economic contraction appears to encourage people to stay together because money is too tight for people to afford two households, but a large downturn such as what we have right now appears to cause enough stress on relationships that people split up anyway regardless of the financial consequences.
I
n any event, probably one of the most frequent things that I do and see in court right now are applications concerning decreasing incomes with respect to child support. I have a couple of points and cautions in this area follow. Firstly, if you are paying child support and your income has gone down dramatically, you need to make a court application to lower support payments as quickly as possible, or have a lawyer do it on your behalf. If you are paying under an order that is not being enforced by the Maintenance Enforcement Program (MEP), just paying less next month may not draw immediate consequences, but it will still cause problems later on. It may be something, if you just do it on your own and without warning, that prompts the support recipient to register with MEP and begin enforcement. Further, if a long period of time goes along and you under pay according to the order in force, you could face a mountain of arrears down the road. A court will often forgive a one or two month gap between a support payment being lowered and an application being made to adjust the order, but with periods longer than that, most judges will tell you that you should have applied to change the order in a timely fashion, and some arrears may remain that you will have to pay. Further, if and when MEP does get involved, you may be surprised to suddenly get a letter that states you owe five figures of arrears, and enforcement action such as a wage garnishee or attachment of funds in your bank account already has taken place. If MEP is involved, they will enforce the order that is in place. It is beyond futile to call MEP and plead with them that

your income has decreased, they only care about enforcing the order that currently exists. If you were paying $2,000 a month in child support and your income has decreased to where it should be only $1,000, they will add up those arrears month after month nonetheless and eventually take some enforcement action like that described above against you. A support payor can then find themselves behind the eight-ball with no driver’s license, a massive garnishee on their pay, and an empty bank account, trying to hurry to get into court to change their order and trying to get MEP to back up. MEP will only change what they do when there is a new order in place, it is best to get into court and make a change immediately. Secondly, downturn or not, everyone is still expected to make reasonable efforts to earn income to support their families. If a person is paying support, I recommend that they have more reasons to put in an application to decrease their support payments based on a lower income than “things are slow in the patch right now”. It is best to be able to attach emails to contacts requesting employment, job applications, and so forth. That kind of thing also often has the effect of convincing support recipients that reasonable efforts are being made, making it more likely that support will be lowered by consent rather than a contentious application being required. If a court thinks that a support payor is not making reasonable efforts to make the income they have in the past, a judge has the discretion

expert in any way. It just seems that the whole exercise that these books set forth is the result of being in a very privileged position. Our North American culture has a luxury only few in the world shares: the ability to turn up our noses and walk past shelves and displays of food, in arena sized buildings, packed full, top to bottom, with all manners of food. We can choose to be low-carb, wheat-free, non-dairy, sugar-free, low-fat, high-fibre, or vegetarian, or none of the above, because there is such an abundance. According to the United Nations World Food Programme, not everyone has such a freedom of choice. The next time the question of whether or not a potato fits within a Paleo Diet arises, consider the following: over 800 million people, or 1 in 9 on the planet, do not have enough food to be healthy. That number rises to 1 in 4 in sub-Saharan Africa. Almost half of the deaths of children under the age of 5 can be attributed to inadequate nutrition. Globally, 66 million primary school aged children attend classes hungry, over a third of them in Africa alone. A full 25% of children world-wide have stunted grown due to malnutrition. Hunger kills more people annually than AIDS, Tuberculosis, and Malaria combined. I can assure you, no one represented by these statistics is remotely concerned with a wheat belly, their LDL number, or their next cleanse. It would not be a complete picture of just how fortunate we
are, to limit our contrast to the status o f developing countries alone. Most of the first world sees us as being in an enviable position food-wise. Too many years ago than I care to admit, I worked part time in a grocery store while in High School. We had the opportunity to be visited by the then Soviet Union’s Agriculture Minister, who wanted to see a modern North American supermarket. to “impute” an income, meaning that an income is assigned for support purposes even if it is not being earned. It is easier now to convince judges of the legitimacy of a decreased income, as they are all aware of how slow things are right now, but it is still best to have at hand evidence of efforts being made. As well, the court will not likely accept that there is no income, and no support should be paid. A payor, if they can’t find work right now as say, a consultant at the income they were making two years ago, may still be expected to take what work they can find and pay support based on that. Lastly, things like this downturn are where it is useful to have built some trust “equity” with a former spouse or partner. I generally encourage people to be reasonable and accommodating where they can, because you never know when that kind of attitude needs to be reciprocat-

ed. Sometimes there can be some goodwill “banked” by letting little things slide here and there over the years, so long as it doesn’t fundamentally compromise one’s rights or impact the best interests of the children. If people have been difficult with one another, often a support recipient will not just accept a payor’s word that he is trying his best to stay employed at his former high income, but is not successful right now because of the downturn. This makes a court application necessary. As well, just like in an intact family, economic factors play a role and sometimes the employment and the money just isn’t there even if we wish differently. The case law in this area for both payors and recipients is actually fairly commonsensical. If it comes to a contested court application to lower support payments, the court expects that everyone involved has done their best in the circumstances, and is able to prove it.

The Nike, Levi’s Kid’s Rock Show was spectacular. The show featured many children whose parents are celebrities. Each of the children surprisingly showed enough savvy to pursue a real future in modeling. A show consisting entirely of children may have began as a risky venture but instead turned out to be one of the highlights of the week.
