his is my last message as President of the Tahoe Keys Property Owners Association (TKPOA) Board of Directors. Thank you for allowing me to serve as Director and President over the past two years. Please continue to support the Board and staff as they work to maintain the Tahoe Keys Community. Tahoe Keys property owners are fortunate to have a dedicated Board of Directors and a wonderful support staff. I have the following suggestions for the new Board and incoming President: 1. Remember that Board members represent all property owners in Tahoe Keys. There are "TAHOE KEYS PROPERTY 21 subdivisions or coves within the Tahoe Keys Community. The residents of each OWNERS ARE FORTUNATE have their own concerns and suggestions regarding policies that the Board sets. Listen TO HAVE A DEDICATED to the Community and base your decisions on what is in the best interest of all of BOARD OF DIRECTORS Tahoe Keys. 2. Carefully consider the operating budget AND A WONDERFUL to maintain property owner dues at reasonable levels. 4. Maintain a sense of humor while working for the Community. The job of a Board member is time consuming and at times frustrating. At those times, good will and humor may help Board members cope with the often difficult decisions made for the Keys Community. 5. Do not micro-manage. The Board's responsibility is setting policy making decisions regarding the over-all direction for the Community. The General Manager and staff manage the day to day activities of Tahoe Keys not Board members. 6. Temper personal agendas with knowledge gained as a Board member. All of us in the Tahoe Keys Community have our own opinions of the direction to be taken by the Board. However, once a property owner is elected to the Board, understanding the issues before making decisions will temper personal opinions that may not be correct. It has been an honor and an education serving as a Board member and President. Thank you for the courtesy you have demonstrated at Board meetings and other events. The Tahoe Keys Community is truly wonderful not only because of the neighborhood beauty, but because the people in Tahoe Keys are the best. Thank you for the opportunity to serve. Cove Advisors Needed for Bavarian Isle, Aloha Isle, Mount Tallac Village III, and Cove 2 It is important that all TKPOA subdivisions are represented by a property owner living within their subdivision. Per the Advisor rules, any owner in good standing may volunteer to serve as the Advisor to their Subdivision or Cove. Otherwise the property owners may nominate themselves or another owner within that subdivision, confirmed by a vote of the Board of Directors. Each Cove Advisor is responsible for handling the general affairs of the cove including unit/common area facilities; report maintenance, repair and other property owners issues to TKPOA management and follow-up in keeping those property owners up to date with current events, general affairs of projects happening within the Keys, and manage the cove’s budget. If you want to volunteer or nominate a fellow owner please complete the “Request to be Appointed” form, which can be found on the TKPOA website: www.tkpoa.com by clicking on the news ticker on the home page. DAVIS STIRLING CIVIL CODE § 4041
Property Owners Mailing Address Information By Kirk Wooldridge, General Manager & Don Havard, Accounting Manager
W
ith the upcoming 2020 Annual Disclosure mailing will be the request for all Tahoe Keys Property Owners Association (TKPOA) to provide the Davis Stirling Civil Code § 4041 information. As of January 1st, 2017, every California community association has been required to ask its members to provide their contact information and property status. Civil Code § 4041 has required, starting January 1st, 2017, that each association must solicit the following information from its members and an owner of a separate interest shall, on an annual basis, provide written notice to the association of all of the following: 1. The address or addresses to which notices from the association are to be delivered. 2. An alternate or secondary address to which notices from the association are to be delivered. 3. The name and address of the owner’s legal representative, if any, including any person with power of attorney or other person who can be contacted in the event of the owner’s extended absence from the separate interest. 4. Whether the separate interest is owner-occupied, is rented out, if the parcel is developed but vacant, or if the parcel is undeveloped land. Although the statute does not mention how often an association must solicit this information, it does state that each member is responsible for providing this information to the association on an annual basis. The association shall solicit these annual notices of each owner and, at least 30 days prior to making its own required “Annual Disclosure”. If a Property Owner fails to provide the notices set forth in requirements (1) and (2) above, the last address provided in writing by the owner or, if none, the property address shall be deemed to be the address to which notices are to be delivered. It’s important to note that as long as the Association requests all of the contact information above, Civil Code § 4041 places the responsibility on the Property Owners to provide their correct and current contact information. Requiring members to provide this information should aid associations in giving notice of meetings or for other required notices as well as with the collection of delinquent assessments as it should help negate the argument that a notice was sent to the wrong address in the future. From the flick of a switch to the push of a button, electricity is there when we need it. But then the power goes out, and we’re forced to acknowledge just how much we rely on its presence. It heats and cools our homes. It preserves our food and drinks, and in some cases our medication! It powers all of our electronics, forcing us to ration what’s left of our phone battery. But the impact is felt far beyond the four walls of our homes, it disrupts the water and sewer pumps, street lights, gas pumps and cash registers. While it doesn’t happen often, a power outage is felt far and wide. That’s why now is a better time than ever to plan ahead and be prepared for the next power outage. Why Do Power Outages Happen? There are several causes for a power outage and the potential for one exists year-round. At the technical level, all outages are a result of an electrical short, blown fuse or equipment failure. But some of the more common catalysts include: z Winter storms that knock trees or branches into power lines z Vehicle accidents into power poles z Critters and birds that ignore high voltage signs and end up touching the wrong wires, transformers or substations z Scheduled maintenance or system upgrades z Transmission disruption (power isn’t getting to us) z Public Safety Power Shutoff (PSPS) or de-energization to mitigate wildfire risk Most power outages do not come with advanced notice, which is why those that do are usually with good reason. Planned outages for scheduled maintenance or system upgrades are an effort by Liberty Utilities to improve reliability and reduce the potential for future outages. Additionally, Liberty Utilities will also issue PSPS, a type of a planned outage to

mitigate wildfire risk. However, due to rapidly changing weather conditions, advanced notice may be minimal. Planned or unplanned. Winter, spring, summer or fall. The message is simple – power outages can happen any time, any day. How Long Does an Outage Last? Each outage is different and numerous factors contribute to the length, including the time of day, complexity of the problem, and location and accessibility to the transmission line in question. Typical outages last between several minutes and eight hours. However, it is not all that uncommon for an outage to last a day or more. Although an outage duration of an hour or two is inconvenient, food won’t spoil, water will stay hot and the temperature of your home won’t change too much. However, an extended outage, like a PSPS, will begin to present challenges beyond just inconvenience. Liberty Utilities is working tirelessly to educate and prepare our customers and communities for shortand long-term power outages, but we can’t do it alone. Customers should consider the following to ensure their homes, businesses and families are prepared: z Call 1-800-782-2506 to confirm your contact information is up-to-date, so Liberty Utilities can alert you of outages, potential PSPSs and other emergency notifications. For significant planned or unplanned outages, including a PSPS, customers can receive email, text and/or voice notifications, so that they can plan accordingly based on the estimated outage duration.
z Plan for medical needs that may be impacted by
a power shutoff, including medications that need refrigeration or devices that require power. Be sure to register any medical-related energy needs at 1-800-782-2506. z Create an emergency kit including flashlights, batteries and first aid supplies. For additional emergency kit necessities, consult Ready.gov. z Store nonperishable foods and water to support your family for a minimum of 48 hours. z Consider purchasing a solar powered back-up battery device to keep small electronics such as cell phones, tablets and even computers charged. During an outage, you should: z Keep your refrigerator and freezer closed as much as possible. The contents will not spoil for many hours if the door is kept closed. z Turn off all appliances, including computers and peripherals, especially those that generate heat. This helps prevent hazards or damage when service is restored. z Turn off all lights except one inside your home/ business and one outside. The inside light lets you see, and the outside light lets Liberty Utilities’ crews know when the power is back on. z Conserve electricity in the first hours after power is restored to prevent further outages on your lines. z Keep all doors closed to keep the heat inside. By Heather Blumenthal, Operations Manager and Linda Callahan, Architectural Control Department Manager We hope that everyone was able to make it out to the 56th Annual Homeowner’s picnic on September 1st, 2019 from 12PM-4PM. The weather was sunny and beautiful and we had some great food and entertainment. Attendance for this year’s event was over 450 Tahoe Keys Property Owners Association (TKPOA) homeowners, their family members, and guests. On behalf of the TKPOA staff, we would like to give a special thank you to all the TKPOA homeowners that volunteered for the 2019 Homeowners Picnic. A big thank you goes out to: Joanne Donmoyer, Kazi Shintaku, Dave and Brenda Nickel, Marilyn Bowden, Rita Anders, Dave and Norma Rogstad, Dennis and Kay Pratt, Chris and Pat Disney, Liz Hansen, Morton Meiers, John Gonzales, Joy Curry-Norem, Adele Lucas, Jackie Gilpin, Ren Valencia, Nenos Mattos, and Paul and Susan Turney. Due to a lack of a community volunteer chairperson for this year’s event, TKPOA staff was tasked with the planning and operational responsibilities. Linda Callahan, Architectural Control Department Manager (ACD) assumed the Chairperson responsibilities, with Kirk Wooldridge, General Manager and Heather Blumenthal, Operations Manager working as Co-Chairpersons. This year, Staff contracted with Cocomo’s Catering for the second year to cater this event. Cocomo’s provided all the delicious food including tri-tip, pulled pork, fruit salad, and a quinoa vegetarian dish. This was the fifth year of continuing line reductions for check in and food lines. For the fourth year in a row, the beverage station included Unruly wines, sodas, a TKPOA water station and beer provided by our local restaurant and brewery, Coldwater Brewery, owned and operated by TKPOA homeowner Deborah Brown: www.tahoecoldwaterbrewery.com. Beer selections included Waterhouse Wheat, Preacher’s Pale Ale and Tahoe Cross IPA. For check-in, TKPOA Staff designated three check-in points based on our Pavilion Beach fence entrances. to check in by last name, as designated A-I, J-R and S-Z, expedited the check-in process and eliminated the historical line for the fourth year in a row. Local favorite band Sierra Gypsies performed live music, playing a great blend of acoustic music featuring some old, some new, great harmonies and a great time. Many members also enjoyed the TKPOA Corn Hole Game set up on the grassy area by the Pavilion. A photo opportunity was offered with resident photographer and TKPOA Project Coordinator/Project Manager Jim Brooks to capture the moment for you, your family and guests. Many TKPOA staff members rearranged their schedules to accommodate the staffing requirements for the picnic set-up and service during this Labor Day weekend. Based on our best estimate, 300 TKPOA staff hours were utilized in the planning and operations of this event. TKPOA staff was able to meet the expected requirements for this year’s picnic and keep the costs under the 2019 budgeted expense of $18,000. Thank you again to Linda Callahan for assuming the Chairperson responsibilities, Heather Blumenthal and Kirk Wooldridge as Co-Chairpersons and TKPOA staff and homeowner volunteers for all their efforts. his article is intended to keep Tahoe Keys Property Owners Association (TKPOA) Property Owners informed of the current status of the various Common Area, Channels & Lagoons, Water Company, Water Quality and Townhome projects completed and in development for the 2019 fiscal year and construction season. TKPOA Approved Projects:

Street Light Replacement with LED Fixtures – [COMMON AREA] Phase 2 included 30 Contempo LED Street light fixtures 3000K LED 240V at $750.00 per light for $22,500. 2. Water Lateral Replacement Phase I - [WATER COMPANY] Design for this project on Danube, Morrow, for the replacement of 23 double water service laterals from the street mains to 52 homes has been completed. The Association owned portion of the water service laterals that have galvanized pipe are slated for replacement due to age, condition and current leak repairs. Project awarded to Haen Constructors. 3. Cove 2 Replace asphalt walkways with pavers - Awarded to Earth and Stone Landscaping for $38,925 4. Cove 3C Bulkhead design - Reno Tahoe Geo Associates Engineering for $62,900 5. Cove 3A Bay Windows Roof Eyebrows Replacement Project - Awarded to Amundson roofing for $18,900 6. Light House Shores - Lot A Rock Revetment Bulkhead Repair Engineering Design Light House Shores Lot A owned by TKPOA - Rock Revetment Bulkhead has failed and repairs are needed. Awarded to Tieslau Engineering for $5,880 7. Islanders 2 Bulkhead Repair Design for the repair of the Islanders 2 Bulkhead awarded to Reno Tahoe Geo Associates for $1,000 8. Pavilion Parcel - Best Management Practices (BMP’s) – [COMMON AREA] Design for new storm water infiltration “Rain Garden” basins in the vicinity of the Pavilion parking lot and pickle ball court as required by Tahoe Regional Planning Agency (TRPA) and the Lahontan Regional Water Quality Control Board (LRWQCB) Waste Discharge Requirements (WDR). 1991 Stipulation for Entry of Judgment the TKPOA has the authority to proceed as the lead agency and is working with the Tahoe Keys Marina and Yacht Club (TKM&YC) and Tahoe Keys Beach and Harbor Association (TKB&HA) on design. Per the Judgment: z TKPOA is responsible for 30% of replacement costs. z TKB&HA is responsible for 30% of replacement costs. z TKM&YC is responsible for 40% of replacement costs. 15. Bids due September 19, 2019 18. Sea Bins - [WATER QUALITY] The Seabin is a floating collection bin that will be located in the West Channel and be used in conjunction with the Bubble Curtain. The Seabin moves up and down with the range of tide collecting all floating debris. Water is sucked in from the surface and passes through a catch bag inside the Seabin, with a submersible water pump capable of displacing

25.000 LPH (liters per hour), plugged directly into 110/220 V outlet. The water is then pumped back into the lagoons leaving litter and debris trapped in the catch bag to be disposed of properly. The Seabin also has the potential to collect a percentage of oils and pollutants floating on the water surface. 19. Tahoe Keys Lagoon Restoration Project – [WATER QUALITY] an Application for Approval to Reduce Aquatic Invasive and Nuisance Plant Species - Tahoe Regional Planning Agency (TRPA) Project Description and Application for the Environmental Impact Report (EIR) for California Environmental Quality Act, (CEQA) or Environmental Impact Statement (EIS) for National Environmental Policy Act (NEPA) is required for any action that is taken by the government or that gets governmental funding. When projects require approvals under both CEQA and NEPA, a joint EIR/EIS is prepared. Application has been submitted and EIS/EIR Stakeholder Committee and Stakeholder Consultation Circle meetings are being held. Process is funded through grants obtained by the TRPA through the U.S. Army Corp of Engineers. Completed Projects 1. Security Truck Replacement - [COMMON AREA] During a snowstorm on January 6th 2019, a tree fell on top of the Security GMC truck while it was parked at the Pavilion Office parking lot. TKPOA's insurance company deemed the vehicle a total loss. A used 2010 Chevrolet Silverado 1500 4x4 Truck was approved for purchase for $25,437. 2. Laminar Flow - [WATER QUALITY] Laminar flow aeration (LFA) is a technology used for improving water quality in waterbodies where there is consistently low dissolved oxygen and buildup of fine organic sediment. The technology uses microporous ceramic disks that are placed throughout the area to be aerated. These disks are connected by self-sinking hoses connected to an air compressor.

Air is pumped through the system creating an abundance of bubbles that rise and create laminar flow and provide oxygenation to the bottom of the water column where dissolved oxygen is typically the lowest. The LFA system will be installed and monitored to determine the ability of the system to do the following: z Increase the dissolved oxygen (DO) levels at the sediment/water interface. z Reduce the percent Organic Matter (OM) in the sediments under which the LFA system is deployed. z Promote circulation in the water column and decrease the amount of algae present, potentially preventing harmful algal blooms. z Increase bottom hardness by reducing OM content. Grant money received from League to Save Lake Tahoe. 3. Pipestone 3 East Community Dock Replacement - This project is a required a special assessment vote of the Five Property Owners a new dock with improved dock materials and has been installed by Shoreline Engineering for $59,753. 4. Board of Directors Election and 56th Annual Meeting By Kirk Wooldridge, General Manager In accordance with the Bylaws and the Tahoe Keys Property Owners Association (TKPOA) Election and Voting Rules the Annual Board of Directors Election was held on Saturday August 31st, 2019. Joe Sherry, Melvin Meyers, and Sean Ward were seated as new Board Members for the 2019-2021 Term. These newly seated Board Members join current Board members Robert Meyers, Jim Siegfried, Rick Wood, and Dennis Daniel that have their 2018-2020 Board terms to complete. Director Dennis Daniel was appointed President Pro-temp to chair the September 1st, 2019 Annual Membership meeting, and the beginning of the September 20th, 2019 Board Organizational meeting. For the 2019-2020 Term Election of Board Officers will be agendized for the September 20th, 2018

IN MEMORIAM Trisha Ann Bergman October 8, 1963 – July 26, 2019 Trisha was born in South Lake Tahoe on October 8, 1963. Trisha worked in the TKPOA accounting office as Bookkeeper from 2007 to 2014. Many of you will remember her for her humor, quick wit and willingness to work tirelessly for the Association. Every year she helped organize the Annual Homeowner Picnic. In 2010 while working for the Association, Trisha was diagnosed with stage 4 breast cancer. She continued to work through her chemo and radiation treatments which totaled 4 years and numerous operations. On July 26, 2019, Trisha Ann Bergman lost her fight against breast cancer. She is survived by her son Zack, daughter Mekaela and granddaughter Valerie. She was predeceased by her father Jack Bergman, in March of this year. Trisha loved gardening, Zumba, spin class, reggae music, live concerts, riding her bike and snowshoeing. She was an amazing mother, great friend, and truly an inspiration to anyone who met her. Meetings and Approvals
At the August 17th, 2019 Board of Directors meeting, the TKPOA Board of Directors approved the June Financial Statements, reviewed homeowner delinquent accounts, conducted disciplinary hearings on delinquent accounts and approved lien notices for delinquent homeowners. Disciplinary hearings are generally held when a homeowner is delinquent on 2 quarterly assessments. At the August 20th, 2019 Finance Committee meeting, the July 2019 Financial Statements were reviewed and approved for recommendation to the Board of Directors. Other actions taken by the Committee: Reviewed all delinquent homeowner accounts and homeowner accounts in collections, reviewed an analysis of the Legal Expenses incurred to date and heard a report on the online payment system indicating over 78 homeowners have used the system available on the TKPOA website.
The Committee also reviewed several items regarding the development of 2020 Budget; Confirmed the budget development calendar, reviewed the schedule of expense allocations, reviewed the annual Water Quality dues assessed to landlocked properties, and voted to recommend that the board keep the Water Quality assessments the same at 100% for all members of the Tahoe Keys POA. Financial Statements are posted on the TKPOA website once they are approved by the Board of Directors. The July financial information below has been approved by the Finance Committee. As a reminder, the Budget meetings, the Board meetings, and the Finance Committee meetings and are open to members of the TKPOA (meeting dates are subject to change).

By Kirk Wooldridge, General Manager In July 2019 The Tahoe Keys Property Owners Association (TKPOA) sent out a voting ballot for TKPOA Property Owners to vote on whether to sell the Lake Tallac “New Buildable Lot.” Ballots were tabulated on Saturday August 31st, 2019 by Inspector of Elections Pat Disney along with volunteers Karen Nighswonger, Mike Sukau, JoAnne Donmoyer, Janet Baumann, and Deborah Sherry. What’s the “Buzz” with the results of the Lake Tallac “New Buildable Lot” Vote? Based on this Membership Vote, the Ballot to Sell the Lake Tallac “New Buildable Lot” has passed and the Board will move forward with “Option A” as presented in the July 15th, 2019 “The Best Use of the Lake Tallac Lagoon Property” Letter that was included in the Ballot Package.

OPTION A Sell the “New Buildable Lot” and Excess Coverage This would establish a new “Annual Assessment Paying” property. The TKPOA Board of Directors has consulted with a local Real Estate Broker to determine a “sales price” for this lot estimated at $200,000$350,000. This would recover or defray the costs from the original property purchase through Revenue/Income generation. Currently the TKPOA Board of Directors and TKPOA Finance Committee have approved the 2019 Operating Budget with $200,000 in income to build Common Fund Cash Reserves from the sale of this “New Buildable Lot” option. • Potential Financial Impact: Income Generation Forecasted at $200,000-$350,000. In addition to selling this “New Buildable Lot” the TKPOA could sell the excess Residential Coverage (Soil Class 6) or SEZ Zone Coverage (Soil Class SEZ 1b) that is assigned to the Lake Tallac Lagoon property. There is 6,320 square feet of Residential Coverage and 1,284 square feet of SEZ Zone Coverage associated with this property. This sale of coverage would recover or defray the costs from the original property purchase through Revenue/Income generation and would be an ongoing process with no actual deadline. Selling of the coverage could take a number of years. • Potential Financial Impact: Income Generation Forecasted at $100,000-$250,000. The total financial impact of Option A will be Revenue/Income generation that will be applied to future Annual Assessment calculations during the 2020 budgeting process. This Revenue/Income generation would help in maintaining Annual Assessment levels, and lower potential increases in the short term. Based on the past two years of budget deficits due to unplanned legal expenses dealing with the Tahoe Keys Marina and Yacht Club (TKM&YC) these funds would be utilized to repay the Common reserve fund. As of March 31st, 2019 the Common Operating Fund owes the Common Reserve Fund $167,258. Currently, the TKPOA is attempting to recover these Legal Costs from the TKM&YC, but there is no assurance we will be able to do so in the short term. On Thursday September 19th, 2019 the Tahoe Keys Property Owners Association (TKPOA) Board of Directors held a Town Hall Meeting at the TKPOA Pavilion to discuss the proposed changes to the “Third Draft” of “The Amended and Restated Declaration of Covenants, Conditions and Restrictions (“CC&Rs”) and BYLAWS. Matt Ober the TKPOA Legal Counsel was on hand to answer questions, review the proposed changes and explain the voting process. In 2018, TKPOA contracted with new legal counsel Richardson-Ober P.C., who is now responsible to complete this project and has developed an implementation plan for the required TKPOA Property Owner communication and membership voting. At the past TKPOA Regular Board Meeting on Saturday June 15th, 2019 the TKPOA Board of Directors has authorized the TKPOA Staff to place the “Third Draft” of “The Amended and Restated Declaration of Covenants, Conditions and Restrictions (“CC&Rs”) and BYLAWS” on the TKPOA website at www.tkpoa. com, for TKPOA Property Owners review. Along with this posting is the “Summary of Proposed Key Changes to the Bylaws and CC&R’s” to highlight those significant changes. A Membership Vote is required California law requires that any amendment to the Governing Documents be conducted by secret ballot in accordance with the Civil Code and the Association’s election rules and voting procedures. Members will be receiving the entire revised CC&Rs and BYLAWS as required by Davis Stirling Civil Code Section §5515 (e) in an election to approve an amendment of the governing documents, the text of the proposed amendment shall be delivered to the members with the ballot. Based on this requirement this Voting Ballot and mailing is a $15,000 cost to the TKPOA to conduct. The TKPOA is currently researching legally compliant methods to reduce this cost. The owner of each Lot is entitled to cast one vote per Unit owned on this measure. A yes vote from sixty –six and two thirds percent (66 2/3%) of the eligible voting membership (a minimum of 1020) is required to approve the Amended and Restated CC&Rs. To Vote on Adoption of Amended and Restated BYLAWS. The owner of each Lot is entitled to cast one vote per Lot owned on this measure. A yes vote from a majority of a quorum of the eligible voting membership (quorum being 33 1/3% ) of the Members or a minimum of 510 Members) is required to approve the Amended and Restated BYLAWS. It’s very important to have copies of these “Governing Documents” because you are expected to know and comply with all rules and regulations of the TKPOA. You’ll also want to stay informed by reading all materials provided by the TKPOA through the monthly Keys Breeze, “Email Eblasts”, Association mailings, and Website information. The 2019-2020 Board of Directors and TKPOA Staff will work toward moving this project and a membership vote forward in the next few months. Based on your feedback, and the timing of a membership vote the Board of Directors will approve the ballot and ballot materials for mailing to conduct a vote. It’s our responsibility to make these “Governing Documents”: the BYLAWS, CC&R’s, Articles of Incorporation, Architectural Control Rules and TKPOA Operating Rules as understandable as possible, so if there’s anything you don’t understand, please let us know. We’ll be glad to clarify any confusing language or give you other materials that will further answer your questions.
