在大会会议未开始前，大会议长要求秘书处确认当天常年会员大会的出席人数需至少有半 数会员。（根据隆雪家具企业商会章程之会议法定人数 10.1 条文） 议长确认当天出席人数共有 59 人，而最低的法定人数则是 52 人。大会议长宣布出席人数 已达到法定人数，常年会员大会可以正式进行。 2 会长致词
会长许烺裕先生欢迎各位会员出席这次的常年会员大会暨第五届理事会选举。今天也是担 任届满 2 年会长并卸任的日子，因此非常感谢这些年来大家的支持和包容。在各理事和同 业们的支持下，本会的绩效也渐渐地浮上水面。为了达成目标，本会不间断地推行、执行 各项工作。有关的宣传推广计划正在积极筹备中，为家具企业之发展，构建合作互动平 台，以引领马来西亚家具业的发展。会务的发展是需要集合团体的力量才能达到目标，希 望在座的各位精诚团结！继续一起携手并进共创未来，提升国家、企业之整体发展，共同 努力！ 3 议长致词
大会议长黄郁燊先生非常感谢会长许烺裕对大家一番鼓舞的话。现在世界经济处在低靡状 态下，做生意确实很困难。身为家具行业的会员必须密切的联系，有明确的讯息才能够在 恶劣的环境下生存及能够得到同行的支持和鼓励。鼓励同行业的朋友加入公会，300 多的 会员是一个很好的现象，有强大的公会才能向政府获取帮助。 大会议长向所有会员讲解大会议程及理事会选举必须选出 24 名理事和 2 名查账员。

7 接纳 2010 年度财政报告 7.1 副财政叶文光先生报告 2010 年度财政报告。（附录第 28 页至 50 页） 7.2 商 会 不 动 产 （ Fixed Asset ） 为 RM945,575.00, 流 动 资 产 （ Current Assets ） RM1048,704.00, 流 动 负 债 （ Current Liabilities ） 为 RM309,661.00, 净 流 动 资 产 （Net Current Liabilities）为 RM739,043.00。 7.3 商会 2010 年收入（Income）为 RM1,230,603.00,开销（Expenses）RM976,793.00, 税
前盈余（Surplus before Taxation）为 RM253,810.00。 7.4 财政报告由会员 Mattresswold Marketing Sdn Bhd 代表李光森先生提议接纳，会员 Eukenco Furniture Trading Sdn Bhd 代表林建明先生附议接纳。 7.5 针对第 37 页报告提到其中一项专业费用（Professional Fees）为 RM126,210.00 向在
座会员解释及说明此费用超出了 2009 年的预算费用。这个费用是一项律师费，是 当时与 MIFF 的公堂费用。 7.6 商 会 费 用
(1) 收 条
(Receipts) 为 RM2,854,947.00; (2) 付 费
(Payments)
RM3,140,219.00。净资金为负（RM285,272.00）。
8 修改章程 8.1 修改章程由执行顾问王建设先生向在座的会员讲解。修改的原因乃至 2002 年成立隆
雪家具企业商会 595 计划并走向更专业化、系统化的方式去执行，加上秘书处职员也 增加了。如任何会员对每一项章程修改条文有疑问，可以当场提出。

8.2 大会议长再次补充说明每一项的章程条文都必须以提议和附议的方式通过。 8.3 会员 Maxima Franchise Sdn Bhd 代表戴成龙先生向议长提出关于提议和附议的准则是
否应该确认出席 2010 年常年会员大会的会员才可以提议和附议，因为这样才能够确保 他们知道或了解上次会议讨论章程的事宜，而不应该由任何一人来提议和附议。 8.4 大会议长向会员解释这是不需要的，因为修改章程是这次会议的议程和上次的会议无

业的共同利益。 3.2 促进隆雪家具同业的联系与合作并致力提升马来西亚家具业的良好 声誉与象。 3.3 促进本会与各社团组织以及有关政府部门的联系与交流并建立良好关系。 3.4 推动马来西亚家具迈向国际，促进国家的经济成长并为国家赚进更多外汇。 3.5 代表隆雪同业与政府协商与探讨以谋求马来西亚家具业之发展与成长，包括出
口进口各项业务。 3.6 举办各种有关业务的展览会、交流会、讲座会，及贸易考察团到国外访问，以
提我国家具业之水准。 修改后条文: 3. 宗旨 3.2 团结隆雪家具同业，并成立一个具有代表隆雪家具业的总机构，以维护家具同业

8.5.2 章程之条文 4.0
原文： 4 会员 4.1 入会费／永久会费 入会费 ：RM100 （一次缴清，不可退款） 永久会费 ：RM600（一次缴清，不可退款） 4.2 资格： 4.2.1 凡在吉隆坡及雪兰莪从事经营或制造家具或与家具相关之马来西亚注册商
家可申请及加入为会员。 4.3 申请入会手续： 4.3.1 申请者需填写“永久会员申请表格”,由一名合格会员提议,另一名合格会 员附议,交由理事会通过,及缴交所规定之会费 4.1 项，会员资格方才有效。 4.3.2 理事会有权拒绝任何人之申请，而无需说明理由。 4.4 会员资格失效： 4.4.1 已结束营业者 4.4.2 已被法庭宣判破产者 4.4.3 任何会员若有违反本会章程或有损害本会名誉之行为，理事会可依情况暂

8.5.5 章程之条文 7.0
原文： 7 常年会员大会 7.1 常年会员大会或特别会员大会为本会最高决策与权力机关，在休会期间，一切会务
执行权将委托予理事会。 7.2 常年会员大会必须于每年四月三十日之前召开。 7.3 秘书长须在常年会员大会开会日期至少十四天前，寄或交予每个会员一份开会通知
书，包括：会议议程，前期会议记录，会务报告，提案及经过查账稽查的帐目报 告。在注册办事处或开会地点需备有上述文件，以方便会员查阅。 7.4 常年会员大会处理事项包括：
a) 复准前期会议记录 b) 提呈及接纳理事会全年会务报告 c) 提呈及接纳财政报告与经过稽查的帐目表 d) 在选举年，选举新届理事会成员及委任查帐 e) 讨论会员提案及处理其他事宜 7.5 提案须于开会日期七天前呈交总秘书，理事会可整理及归纳提案以便纳入议程。所 有提案须在大会中讨论，议决须注有提议者及附议者。 修改后条文： 7. 常年会员大会 7.1 常年会员大会或特别会员大会为本会最高决策与权力机关，在休会期间，一切会

1 To appoint Chairman Nominee: Richard Wong Proposer: Rozel Corporation Sdn Bhd Seconded: Novel Furniture Sdn Bhd Before the AGM started, Mr. Richard Wong requested that the quorum of the meeting be confirmed by the KLSFEA Secretariat whereby at least half of the total members of the Association have to be in attendance. (According to article 10.1 of constitution) Richard Wong confirmed that 59 members were present as compared to the quorum of 52 members, therefore, he announced that the AGM was legal. 2 President’s Speech The President, Mr. Richard Ko had given a warmest speech on the AGM, the 5th Council Election, also his expiration of 2 years’ service in KLSFEA, he was grateful thanks to all members who had given support and inclusion for the time being. The outgoing President, Mr. Richard Ko, in his opening address expressed gratitude to all members who have supported the association during his tenure. He also mentioned that by the support of the councils and members, performance of the association had well growth and improved. In the meantime, association will keep forward to push and execute all projects to achieve our goals. He also said that with the support of the council members, the performance of the association had improved. He was confident that the association will continue to move forward and achieve all their aspired goals. We are active in doing the promotion program for the development of furniture industry as well as build up the interactive platform to each other to lead the development of furniture industry in Malaysia to be better, said Mr. Richard Ko. He hope that our members can cooperate and continue to work together to strengthen the power to achieve the targets and enhance the development of furniture industry in the country. KLSFEA was active in promoting the development of the furniture industry as well as being the platform for interaction to develop further the industry in Malaysia as a whole. He hoped that the members will to work together to achieve this aim.

3 Chairman’s Speech Mr. Richard Wong was grateful with the encouraging speech by Mr. Richard Ko. He said that it’s a hard time to running a business under the worldwide slow economic condition. As a member of the furniture industry has to keep a close relationship and to obtain tangible message from the industry, it would be the advantages to get members support and to survive in the adverse circumstances. Up to date KLSFEA had recruited more than 300 members, it’s a favorable phenomenon. He believed that a strong association is in the position to get government assistance and support. Mr Richard Wong noted with thanks the encouraging speech by the Mr Richard Ko and added that it was difficult running a business in the current worldwide soft economic situation. The furniture industry needed to network and work closer to understand the market and go through adverse circumstances. To date KLSFEA had recruited over 300 members which was an achievement and he believed that a strong association will be in a better position to get government support and assistance. Mr. Richard Wong explained the Annual General Meeting Agenda and announced to elect 24 General Councils and 2 auditors. 4 To confirm And Adopt the Previous Meeting Minutes Lawrence Lim, representing Savanah Enterprise Sdn Bhd proposed to adopt the 2010 AGM Meeting Minutes which was held on April 29, 2010. It was seconded by Steven Tan, representing Extraordinary Performance Sdn Bhd. 5 Matters Arising in the Previous Meeting No Matters were raised 6 To Adopt the General Secretary’s Report of Year 2010 6.1 Gan Tai Hwa, Secretary General reported on the Association year’s activities on April, 2010 until February 2011. (Refer to the Secretary Report from pg. 17 to 27) 6.2 The General Secretary’s Report adopted by: Proposer : Nelson Tan, representing Jukraf Sdn Bhd and Seconded: Wong Thian Choy, representing Novel Furniture Sdn Bhd. 7 To Adopt Treasurer Report 7.1 Asst. Treasurer, Yap Mon Kuang reported on Financial Report of year 2010. (Appendix page 28 to 50) 7.2 Fixed Asset of association : RM945, 575.00 Current Assets : RM1048, 704.00 Current Liabilities : RM309, 661.00 Net Current Assets : RM739, 043.00 7.3 KLSFEA Income : RM1, 230,603.00 Expenses : RM976, 793.00 Surplus before Taxation : RM253, 810.00 7.4 According to the Treasurer’s report (Page no. 37), he mentioned that one of the Professional Fees of RM 126,210.00 had exceeded the budget in year 2009. He explained that is a legal fee of the court case with MIFF. 7.5 Association expenses (1) Receipts: RM2, 854,947.00 (2) Payments: RM3, 140,219.00 Net Decrease in Cash and Cash Equivalents: (RM285, 272.00). 7.6 Treasurer Report was adopted by: 27

Explanation of the Revived Constitution in charged by Executive Advisor, Mr. Ong Kian Sek. The reasons of revised constitution are because of KLSFEA had moved 595 project towards professionalism and systematic in execution since year’s 2002 and increased of secretariat’s staff. The need to revise the constitution was explained by the Executive Advisor, Mr Ong Kian Sek, as KLSFEA has moved the Project 595 forward more professionally and systematically since 2002 and the secretariat staff had increased.
8.2
Mr. Richard Wong added that every article from constitution revised should be adopted by a proposer and a seconder
8.3
Tai Sing Nge, representing Maxima Franchise Sdn Bhd suggested to the Chairman that the adoption of constitution should be done by the members who had attended the last Annual General Meeting not just any member. That was to ensure that they know and understand more about the constitution which was discussed at the last meeting.
8.4
Mr. Richard Wong replied that the matter above mentioned was not necessary because the constitution revision was the agenda for the current meeting and had no bearing on the last AGM.
8.5
Amendment of constitution

OBJECTIVES:3.1 To unite furniture manufacturing and trading industry at Kuala Lumpur and Selangor area under the umbrella of a state body in order to better protect their common interests. 3.2
To promote good relationships and co-operations amongst furniture industry and improve the reputation and image of the furniture industry in the country.
3.3
To promote better understanding and good relationships between the Association and other guilds and societies and government authorities.
3.4
To promote the Malaysian Furniture Industry to the international arena, in order to strengthen the national economy and to earn foreign exchange.
3.5
To represent the furniture industry at Kuala Lumpur and Selangor area in whatever discussion or negotiation with the Government about issues pertaining to the growth and development of the industry, including matters concerning import and export.
3.6
To organize exhibitions, talks, seminars and business tours aimed at raising the standard of Malaysian Furniture Industry.

4.2
Qualifications:4.2.1 Any Malaysian lawful proprietors/entrepreneur dealing with furniture or home appliance in the vicinity of Kuala Lumpur and Selangor may apply to be member.
4.3
Procedure for the application of Membership:4.3.1 Application for the membership shall be made on the prescribed Application Form as may be determined by the Board of Committee from time to time. The application must be proposed by an existing member and seconded by another existing member. All application is subject to the consideration of the Board of Committee. Approved application becomes valid only upon the payment of the prescribed fee(s) or special subscription fees (Article 4.1) and shall be entitled to all the privileges of membership. 4.3.2
4.4
The Board of Committee shall not be bound to assign any reason for the rejection of any application.
Invalidity of Membership:4.4.1 The membership shall automatically become invalid in the event the business is winded up. 4.4.2
The membership shall automatically be made invalid when the business is being declared bankrupt by the court.
4.4.3
Any member who fails to comply with the Rules and Constitution of the Association or acts in a manner which is detrimental to the reputation of the Association, the Board of Committee may terminate or suspend its membership for such period as the Board of Committee may decide. Before such an action is taken, the member shall be informed of the grounds for such expulsion or suspension in writing shall be granted a period of fourteen (14) days to explain and defend itself but the decision of the Board of Committee shall be final.

Admission Fees and Life Membership Fees Life Membership Fees: RM2,000.00 (shall be paid in one lump sum and shall not be refundable)
4.2
Types of Members:4.2.1 General Member: Any Malaysian merchants/ entrepreneur engaged in a business of trading or manufacturing of furniture or furniture related goods in Kuala Lumpur and Selangor shall be eligible to apply .
4.3
4.2.2 Associate Member: Any Malaysian merchants/ entrepreneur engaged in a business of trading or manufacturing of furniture or furniture related goods outside Kuala Lumpur and Selangor may apply to sign up. Procedure for Membership Application :4.3.1 Applicants shall fill up the prescribed “Life Membership Application Form”. The application shall be proposed by an existing qualified member and seconded by another existing qualified member. All application shall be subjected to the approval of the Board of Committee. Applicants are required to make payment of the prescribed fee(s) as stipulated under Article 4.1. The membership shall only be valid upon all the abovementioned are duly complied with. 4.3.2
The General Council shall reserve the right to reject any application without assigning any reason whatsoever thereof. 4.4 Invalidity of Membership:4.4.1 The membership of any member(s) shall automatically become invalid in the event that he/she does not meet the membership requirements stipulated in Article 4.2 4.4.4 The membership of any member(s) shall automatically become invalid if a resolution is passed in the General Assembly to terminate his/her membership. 8.5.2.1 Secretary-General Gan Tai Hwa explained that Association Member application fee is association's major income and maintenance fund . Permanent membership is whole life, is not a monthly payment. The budget needs for members' activities fund and cost of Secretariat execution.

THE RIGHTS OF MEMBERS:6.1
Members enjoy the rights to attend Annual General Meeting and Extraordinary General Meeting.
6.2
Members shall enjoy the rights to speak, to vote and to be elected.
6.3
Members whose admissions do not exceed 90 days shall not be entitled to the rights stated under clause 6.2 except to speak.
6.4
Foreign invested company registered in Malaysia shall not enjoy the rights stated in 6.2 except the rights to speak and vote if the Person In Charge is a foreigners.

During its adjournment, the Board of Committee shall assume all the executive powers of the Authority. 7.2
The Annual General Meeting must be held before 30th of April each year.
7.3
Notice of meeting including agenda, copies of minutes, reports and proposals together with the audited statement of accounts of the Association for the previous year shall be sent to all members at least 14 days before the Annual General Meeting by the Secretary General. Copies of these documents shall also be made available at the registered address of place of meeting of the Association for the perusal of the members.
7.4
The agenda of the Annual General Meeting shall include:a) To confirm the minutes of previous meeting 31

To adopt the Committee’s report on the working of the Association during the previous year. To adopt the Treasurer’s report and the audited statement of the accounts of the Association for the previous year. To elect Office-Bearers of a new committee and to appoint Auditors in the election year. To discuss proposals from members and to deal with such other matters as may be put before it.
All proposals shall be submitted to the Secretary General at least 7 days before the Annual General Meeting. The Board of Committee may, if necessary, sum up the proposals before putting them up in the agenda. There shall be a proposer and a seconder for any proposals, and the Meeting may not discuss any proposals if both the proposer and the seconder of the proposal do not present themselves at the meeting.
Amendments Copy: 7 ANNUAL GENERAL MEETING 7.1 The Annual General Meeting or Extraordinary General Meeting shall constitute the supreme authority. During its adjournment, all the executive powers shall be entrusted to the Board of Committee. Annual General Meeting’s authorities are as below: (a) To formulate and amend the Constitution. (b) To elect or terminate the committee and /or auditors. (c) To monitor the implementation of the function of the Committee. (d) To agree or consent to the statement of surplus allocation. (e) To resolve the amount and manner/mode of entrance fees, annual membership fees and the special subscription fees. (f) To resolve the annual work plans, reports and budgets and final accounts (g) To resolve the appointment or removal of the Disciplinary Board. (h) To resolve the termination of membership. (I) To resolve the property management. (j) To resolve the dissolution of the Association. (k) To resolve matters in relation to the rights and obligations of members and other important matters. 8.5.5.1 Proposed by: Novel Furniture Sdn Bhd, Wong Thian Choy Seconded by: Hup Lik Plywood Trading Sdn Bhd, Mr. Law Kee Ming 8.5.6 Article 8.0 Original Copy： 8 EXTRAORDINARY GENERAL MEETING:8.1 Extraordinary General Meeting may be convened as decided by the Board of Committee. 8.2
Extraordinary General Meeting may also be convened upon the joint request of 30 members with voting rights but the purpose of convening the meeting must be stated and motions enclosed therein to the Secretary General.
8.3
The Secretary General must within 30 days after receiving the written notice convene the Extraordinary General Meeting and issue notice and agenda to all members fourteen (14) days before the date of the meeting. 32

Amendments: 8 EXTRAORDINARY GENERAL MEETING:8.1 An Extraordinary General Meeting shall be convened, by a joint request by half of the members of the Board of Committee or by the decision of the President. 8.5.6.1 Proposed by: Eukenco Furniture Trading Sdn Bhd, Lim Kean Beng Seconded by: Hup Lik Plywood Trading Sdn Bhd, Law Kee Ming 8.5.7 Article 9.0 Original Copyďźš 9 THE COMMITTEE:9.1 During adjournment of Annual General Meeting, the Board of Committee shall assume all the executive powers of the Association. The members of Board of Committee shall hold the post for a term of two (2) years. 9.2
The function of the Board of Committee are to organize and supervise the daily routines and activities of the Association and make decision on matters affecting its running within the general policy laid down by the Annual General Meeting. The Board of Committee may not act contrary to the expressed wishes of the Annual General Meeting without the prior reference to it and shall always remain subordinate to the Committee Meeting. It shall furnish a report to each Annual General Meeting on its activities during the previous year.
9.3
The Committee consists of 27 members while 24 of them are elected by the members and 3 members are to be appointed by the President.
9.4
The 24 elected member of committee shall contest for the following position in an election within 14 days after the Annual General Meeting: 9.4.1 President 9.4.2 Deputy President 9.4.3 2 Vice Presidents 9.4.4 Secretary General 9.4.5 Assistant Secretary General 9.4.6 Treasurer 9.4.7 Assistant Treasurer 9.4.8 Head of Public Relation 9.4.9 Assist. Head of Public Relation 9.4.10 Head of Welfare 9.4.11 Assist. Head of Welfare 9.4.12 Head of Culture and Education 9.4.13 Assist. Head of Culture and Education 9.4.14 10 General Committee Members (The President shall recommend 3 other members, subject to the approval of Board of Committee) President, Secretary General and Treasurer shall not hold the same position for more than two (2) consecutive terms.

In the event of death or resignation of a member of the Board of Committee, the unsuccessful candidate who received the highest number of votes at the previous election shall be invited to fill the vacancy thus created. If there is no such candidate or the candidates declines to accepts office, the Board of Committee shall have the power to co-opt any other voting delegate to fill the vacancy until the next Annual General Meeting.

9.7
The Board of Committee may form various Sub-Committees carry out routine or specific duties of the Association and it may assign any specific duties to any Committee Members. All the decision made by the Sub-Committee must be approved by the Board of Committee before being carried out and all the activities of the Sub-Committee must be reported to the Board of Committee.
9.8
The Board of Committee shall hold Committee Meeting at least three (3) times per year. Each meeting shall give a fourteen (14) days notice to the members.
9.9
Any expenditure exceeding RM10, 000.00 (Ten Thousand only) must be decided by the Board of Committee.
9.10 The President, Secretary General and Treasurer may jointly approve expenses of not more than RM10, 000.00 (Ten Thousand only). 9.11 The paid staff or anyone who received regular allowance from the Association shall not hold any position in the Board of Committee. 9.12 The Board of Committee has the rights to assign Honorary President. The appointed person must give his consent in writing. The Honorary President shall not be entitled to vote. The term of office is same as the term of Board of Committee. 9.13 The Board of Committee has the rights to assign any Honorary Advisors, Legal Advisor, Financial Advisor and Medical Advisor. The appointed person must give his consent in writing. The Honorary President shall not be entitled to vote. The term of office is same as the term of Board of Committee. 9.14 Where any urgent matter requiring the approval of the Board of Committee arises and it is not possible to convene a meeting, the Secretary General may obtain such approval by means of circular letter. The following conditions must be fulfilled before a decision of the Board of Committee is deemed to have been obtained:9.14.1 The issue must be clearly set out in the circular and forwarded to all members of the Board of Committee. 9.14.2 At least one half (1/2) of the members of the Board of Committee must indicate in writing whether they are in favour or against the proposal. 9.14.3 The decision shall be determined by a majority vote. 9.1 During an adjournment of the General Assembly, the Board of Committee shall constitute the supreme authority. The members of the Board of Committee shall hold their post for a term of two (2) years. The Board of Committee’s authorities: 9.1.1 To resolve the agenda of the General Assembly. 9.1.2 To elect or remove the General Council member that was elected by the Board of Committee. 9.1.3 To resolve the resignation of the committee(s), General Council member and President. 9.1.4 To formulate and vary the allocation of income received. 9.1.5 To recruit and terminate the employment of staffs. 9.1.6 To resolve the annual work plans, reports and budgets and final accounts 9.1.7 Other implementation plans. 9.3 The Board of Committee shall consist of a maximum of twenty-seven (27) members of which twenty-four (24) shall be elected by the members and three (3) shall only be appointed on the recommendation of the President and thereafter approved by the Board of Committee. Delete Article 9.15 9.16 The Board of Committee may give instruction to the Secretary General and other Committee Members to carry out the executive duties of the Association. Dismiss any paid staffs for their incompetence, negligence, dishonesty or refusal to carry out the decisions of the Board of Committee, or for any other reasons which it deems detrimental to the interest of the Association. The standard operating procedure (SOP) shall be first approved by the Secretary General, reviewed by the President and approved by the General Council and thereafter implemented. 9.17 Before the expiration of the term; the Board of Committee may by way of twothirds (2/3) majority of the quorum pass a resolution to dissolve the Board of Committee and elect a new Board of Committee or extend the term of the Board of Committee. The extended term (if any) of the Board of Committee shall not exceed one (1) year. 9.18 The nine (9) Executive Board of Directors shall be selected from the Board of Committee; the six (6) Committees that are appointed shall be the President, Deputy President, Vice Presidents, Secretary General and Treasurer. Another three (3) General Council members shall be elected by the Board of Committee by way of secret ballot 9.19 The Executive Board of Directors’ authorities:(1) To execute the resolution made by the Board of Committee. (2) To assist the President and Secretary General to manage Secretariat daily operation. (3) To verify the Committee Meeting’s agenda and other information in advance. (4) To discuss the proposal issues in advance before the Board of Committee meeting. 9.20 The Executive Board of Directors may resolve any expenditure not exceeding RM50, 000.00. If until the time fixed for the meeting and there are still not enough quorums, the meeting will be adjourned for an hour. If after adjournment and there is still not enough quorum, the members present will proceed with the meeting on the day, but they have not rights to amend the rules and constitution of the Association or to make decisions to alter the ownership of any immovable properties or make any decisions that will effect all the members. 10.2 Extraordinary General Meeting:The Quorum is the same as in Articles 10.1. If it is convened upon joint request of the members, not only the quorum must conform to Article 10.1, Two-Third (2/3) of the members who have so requested must be present. meeting and there are still not enough quorums, the meeting will be adjourned for an hour. If after adjournment there are still not enough quorums, the said meeting will be cancelled. If the Extraordinary General Meeting is cancelled due to insufficient quorum, the said meeting shall only be convened at least 6 months after the date of cancellation for similar reason. 10.3 The Board of Committee Meeting:At least more than half of the members of the Board of Committee must be present. 10.4 Apart from the Committee Meeting, for other meeting if there is insufficient quorum at the stipulated time of meeting, the meetings have to be adjourned for an hour. If after an hour there is still insufficient quorum the members or members of the Board of Committee present will proceed with the meeting on that day. But they have no power to alter any Rules of constitution of the Association or to make decisions to alter the ownership of any immovable properties of the Association. Amendment: 10 THE QUORUM OF MEETING:10.2 Extraordinary General Meeting:The Quorum shall be the same as that of the quorum provided in Article 8.2. If it is convened upon a joint request of the members, the quorum shall conform to Article 8.2, a Two-Third (2/3) of the members who have so requested must be present. The meeting shall be adjourned for an hour if the quorum up to time fixed for the meeting The said meeting shall be cancelled if it remains insufficient quorum is not met after the adjournment for an hour If the Extraordinary General Meeting is cancelled due to an insufficient quorum, the said meeting shall only be convened for same reason at least (six) 6 months after the date of cancellation.
10.4 Save and exceptthe General Assembly; all the official meetings shall be adjourned for an hour for there is an insufficient quorum up to the time fixed for the meeting. 9 KLSFEA Annual General Meeting 2011-Resolution General Council had unanimously adopted the resolution which secretariat received before the meeting:
Resolution at KLSFEA Annual General Meeting of Year 2011 9.1 Resolution1 RM10 million to Build a New Administrative Building For a sustainable development plan and enhance our relationship further with the government; hence we can effectively fulfill the interests of the industry and promote the growth of the furniture industry. And, we have to recruit more members and diversify our association. Therefore we shall seek a new place to build a RM10 million administrative building with advance facilities and get assistance from the professional to deliver the best service to the members. To have a sustainable development plan to further the furniture industry and to improve our standing with the government the association would nee to recruit more members and diversify our resources. For this aim it is proposed that the association create a budget of RM10 million for a building to be built with professional input and advanced facilities. Proposed by : Rozel Corporation Sdn Bhd, Gan Tai Hwa Seconded by : Extraordinary Performance Sdn Bhd, Steven Tan 9.2 Resolution 2: Propose the Malaysia External Trade Development Corporation (MATRADE) to maintain the Market Development Grant (MDG) MATRADE played an important role in helping the furniture industry expand their export market development activities. They encouraged furniture players to participate in international trade fairs; at which MATRADE will provide market development grant (MDG). However, the initial MDG subsidy which was 72 square meters and had been reduced to 18 square meters. It was proposed that KLSFEA urge MATRADE to maintain the initial MDG area of 72 square meters. Recently, brand building had become very vital to the furniture manufacturing industry. In view of the market demand, it was proposed that KPPK provide training courses which would specialize in furniture design. The association looked forward to Malaysian furniture manufacturers eventually becoming Original Design Manufacturers (ODMs), rather than Original Equipment Manufacturers (OEMs). 9.4 Resolution 4: To Urge the Government to Provide Guidance in order to Achieve Furniture Exports’ Vision of RM16 Billion in Year 2020 To urge the government to expeditiously resolve the problems facing by the furniture industry and set up clear guidelines to assist the industry to increase competitiveness as an exporting country, to meet the Government’s objective of RM16 billion furniture exports by year 2020. Proposed by : Pellitalia Living Sdn Bhd, Lawrence Ch’ng Seconded by : Hottrax Furniture Trading Sdn Bhd, Yap Mon Kuang 9.5 Resolution 5: Appeal to Selangor State Government to Expeditiously Implement the Conversion of Land Issue In 1992, former Selangor Minister YB Muhammad Taib had encouraged factory owners to convert land use from agriculture to industrial. In 2005, the former Selangor Government also offered industrial land conversion plans for those illegal factories, if land owners registered with the Majlis Daerah. However, the conversion registration was delayed indefinitely with the change of state government. We urge that Selangor State Government to legalize the factories as soon as possible. 隆雪家具企业商会 2012 年常年会员大会提案 提案（一） :建议提成备忘录给马来西亚对外贸易发展局（MATRADE）以保留 72 平方米摊位租金的补助（Market Development Grant，简称 (MDG） 案由
：马来西亚对外贸易发展局为帮助家具业者拓展出口市场的开发活动，凡参加 国际贸易博览会的业者，将获该局提供市场开发援助金，以降低其在促进出 口过程中的高成本。在市场援助金的补助下, 2011 年家具业出口额成功取 得 87 亿令吉，同比 2010 年增长了 9%。可见援助金对家具业者起着激励的 作用。然而，此项援助金计划的摊位租金补助由原本的 72 平方米下调至 18 平方米，对于产品体积庞大的家具出口业者而言，摊位租金补助限制在 18 平方米确实有不足够，也相对提高成本。

：虽然我国家具业已成功转型，不过每年推出新产品的速度不够快，无法满足 外国买家的需求。建立品牌及提升原创设计制造是我国家具制造业领域目前 与未来的趋势，业者必须把注意力从代工生产（OEM）转到原创生产(ODM) 以取得原创品牌的地位，提升马来西亚家具出口业在国际市场上的知名度及 更具竞争力。除了加强我国对家具设计师的培训外，设立专业家 具设计与科技学院更刻不容缓。 ： 1. 呼 吁 MTIB 及 家 具 工 业 技 术 中 心 Furniture Industry Technology Centre （FITEC）与我国知名设计学院联合，将家具设计及家具技术培训课程纳入 设计教学大纲内，同时政府应该加强培训中心硬体设备，引进先进工业技 术，以教育我国新一代学子对家具工业及行业有更深入的了解及新启发。 2. 除了政府协助，商会也扮演重要角色。商会的会员企业网络是我们的优 势，建议商会寻找 1 至 2 家设专业计学院联手合作，推荐行内优秀的企业

：原产部制定的家具业十年发展蓝图 （NATIP）， 就是将家具出口额目标从 2010 年的 80 亿零吉增至 2020 年的 160 亿零吉。要达到此目标，家具业每年 出口额必须平均增长 7.5%。家具业急需政府的配合及协助解决劳工短缺的问 题。此外，希望政府能制定一个长远且健全的外劳政策，而非把外劳政策朝令 夕改，导致家具业者头昏脑胀。 ： 1. 要求开放外劳给出口导向的家具制造商。 2. 废除外劳的工作年限，让工作表现良好的外劳人才可以继续受聘。 3. 开放孟加拉外劳给家具业者（其他国家的外劳供应已经短缺） : IB Sofa Sdn Bhd， 许烺裕 : The Chen Diversified Enterprise，曾伟明
提案（四） :促请政府致力解决原材料短缺的问题，确保国内家具业有充足的原材 料供应。 案由
：近年来，马来西亚出口木制家具成长卓越，在国际市场上也备受好评， 相 信木制家具的未来流行趋势仍会持续发展。随着政府致力推行马来西亚木材工 业计划（NATIP）以便于 2020 年实现 160 亿家具出口量。马来西亚家具出口额 每年平均高达 8 亿零吉，橡胶木家具是主要家具出口。相对的，原材料供应短 缺的问题大大的冲击家具业，使得橡胶木每公吨价格从 10 月开始由 1400 令吉 上涨至 1800 令吉。政府目前推行橡胶木出口配额规定更是雪上加霜，不但生 产量减少、供应链受影响、同时也失去外来的投资，家具业要达到 160 亿的出 口量是遥不可及的事。
方案
：确保国内拥有充足的家具原料供应 - 要求政府 MTC/ MTIB 尽快考虑取消现 行的橡胶木出口配额规定以确保国内橡胶木能持续和稳固的供给以避免影响家 具业生产量。

提案（五） ：促政府勿仓促落实最低薪金制并建议取消最低薪金制。 案由
：政府即将实施雇员最低薪金制，一旦落实，受影响的不仅是低收入员工，所 有员工的薪金都必须作出相应调整，再加上雇员公积金、社险保费、超时津贴 等各种费用，都将随着水涨船高，对一般中小企业而言，将严重影响他们的流 95
动资金，同时也提高厂家的商业成本。为了保持本地厂商的竞争力，高成本或 将转嫁到消费者身上或提高销售成本。 若公司无法支付强制的最低薪资，他们将自然而然的裁减员工及减低成本，这 将造成失业率上涨，本来此政策是要保护雇员的利益，但最后却导致他们失去 工作，使得政策宗旨本末倒置，相当讽刺。此外，聘请服务性质员工如女佣的 中产级家庭也将受到波及。
方案
：呼吁政府，对落实全国统一最低薪金制一事，不应仓促落实，而应该谨慎及 全面研究，分阶段、分区域地逐步推行，以减少对工商界，特别是中小企业的 冲击。

Resolution at KLSFEA Annual General Meeting of Year 2012 Resolution1：Propose to send a memorandum to the Malaysia External Trade Development Corporation (MATRADE) that the subsidy 72 square meters for International fair be maintained. MATRADE is plays an important role in helping the furniture industry expand their export market. They encourage the furniture players to participate in international trade fairs at which MATRADE will provide market development grant (MDG) to reduce high cost of export promotion process. With the MDG, the exports of furniture industry was recorded RM8.7 billion in year 2011, increasing 9% compare to year 2010. It can clearly be seen MDG is important to the furniture industry; however, the initial MDG subsidy for the booth rental which is 72 square meters has now been reduced to 18 square meters. The decreased of subsidies affects the furniture industry badly because the decrease area subsidized result in higher costs. Solution: Propose to send a memorandum to the Malaysia External Trade Development Corporation (MATRADE) that the subsidy 72 square meters for International fair be maintained. Resolution2：Propose the Ministry of Plantation Industries and Commodities (MPIC) to Help the Furniture Industry Transit to Become Creative Furniture Products Although Malaysian Furniture Industry have transformed successfully but the pace to create new products is slow and unable to fill the global market requirements. Brand building has become very vital to the furniture manufacturing industry. In view of the market demand, we must move towards the transition and Malaysia eventually become Original Design Manufacturers (ODMs) to achieve Original Brand Name (OBN) status rather than to be the original supplier of the assembly producers (OEM). This will elevate the country’s position in the world’s ranking in terms of export earnings from furniture. Therefore calls upon MPIC, KPPK & MTIB to provide training course which specialize in furniture design and form a Furniture Design & Technology College is urgently needed. Solutions: 1. We urge Malaysian Timber Industry Board (MTIB) and Furniture Industry Technology Centre（FITEC） incorporated with local famous design college, to include furniture technical training courses and furniture design into the design course syllabus. The government should strengthen the hardware of training Centre and bring in advanced industrial technology to educate new generation to get more understanding and provide new inspiration into furniture industry. 2. The association also plays an important role apart from just obtaining government’s assistance. The membership network is association’s

advantage thus we suggest association to take 1 or 2 Design College under our wings to recommend some of the excellent entrepreneur to share their philosophy & success of running furniture industry and how to break through the stereotypes and open up a new prospect. At the same time, we also provide internship, training and work abilities to the graduates from the Design College under our wings at our members’ corporation. Not only provide training but to increase job opportunities and build up association reputation. 3. Propose Ministry of Plantation Industries and Commodities, Ministry of Human Resources and Ministry of Education provide financial support to set up professional furniture design and technical department, to increase domestic labor, improve quality of designers and technicians, train up of more local talent and enhance research & development of furniture industry. Thus, make well-known of Malaysian Band by increase original furniture production in paving the way for its establishment of furniture technology and Design College in the future. Resolution 3: To urge the government MOHR & MPIC to solve the problem of foreign labour shortage The government had set 10 year development plan to increase the target from 8billion ringgit to16 billion exports earning for furniture industry. To attend a goal, the export figure for the furniture industry has to increase average 7.5% yearly. Furniture industry needs government assistance and corporation to solve the labour shortage problem urgently. Hope that government able to set a long term & comprehensive policy to solve the problem and must not change the rules constantly, it will cause the furniture industry players confusing and overwhelming. Solutions: 1. Request to carry out the policy of opening the foreign labour to export market orientation manufacturers. 2. To annul the length of service for foreign labour and extend appointment to the labour who performed well. 3. Carry out the policy of opening the hiring Bangladesh labour to furniture industry. Resolution 4: Urge Government to solve the problem of raw material shortage to ensure rubber wood supply sustained in domestic market The Malaysian wood furniture exports have been growing at creditable rates in recent years, with a strong Malaysian identity in foreign markets. To be sure, the world demand for wood products is growing and this trend is expected to continue in the years to come. Along with government dedicated implementation of NATIP in order to achieve 16billion furniture export figures in 2020; Malaysian Furniture export Â

figure had achieved average of 800 million ringgit yearly especially in rubber wood furniture. Relatively the shortage of rubber wood in the country had resulted in the price of the wood going up from RM1, 400 to RM1, 800 per metric tonne since last October. It is worse for government implementing exports quotas of rubber wood to the furniture industry. Not only affect the productivity of the whole chain of furniture industry but losing foreign investments. The goal line to achieve 16billions export figures for furniture industry looks ever more distant.
Solution: To ensure provide the plenty of raw material supply for furniture industry – urging the government MTC/ MTIB to cancel exports quotas of rubber wood to ensure the rubber wood supply be sustained for the domestic market. The government should formulate a plan to ensure a sustainable supply of rubber wood to avoid interruptions in plant operations which have adverse effects on productivity. Resolution 5: Proposed Minimum Wage to be withdrawn Government announced will implement Minimum Wage, if it is confirmed not only affect low income workers but also need to make adjustment for the rest of the workers in the company. With the EPF, Insurance SOCSO, Overtime and other incentives will increase in tandem. It will be seriously affect the cash flow of the SMEs. The Salary boost introduced by the minimum wage will increase manufacturers and other businesses cost of production. In order Malaysian companies and manufacturers to remain competitive, either the higher cost must be passed on to customers or consumers, or productivity must increase commensurately to the salary increase. If companies are legally compelled to pay their employees more than they can afford, then naturally they would have to retrench their workers to cut costs, which would lead to higher unemployment. It is ironic that the model designed to protect employees will actually cause them to lose their jobs. Middle class household who employed service staff like maid will also be victimize in this situation. Solution: We urge government to implement minimum wage by staggered, prudence with comprehensive research and not to implement hastily. Besides, MINIMUM WAGE QUANTUM SHOULD BE DIFFERENTIATED BY GEOGRAPHICAL LOCATION. As the cost of living differs from state to state, the minimum wage quantum should be differentiated by location as well as between rural and urban areas.
