Well done to Marlborough and Aldbourne who have both recently been recognised for their community involvement. Marlborough picked up another Silver Gilt award in the South West in Bloom Awards, and individual projects were also recognised in the It’s Your Neighbourhood Scheme. Interestingly two of these projects were obviously not in it for the reward, as they didn’t know they had entered! Keeping Marlborough lovely is reward in itself, but I’m sure they were pleased to get the acknowledgement. Aldbourne won the Wiltshire Best Kept Village Competition (large villages category), and now have a plaque on the village green to celebrate the fact. Well done to all concerned. Justin Cook Justin Cook has recently opened Living Art, a new contemporary art gallery in Hungerford, in partnership with two of his brothers. He also owns Arrow Private Hire taxis, and is a councillor on Marlborough Town Council. He lives in Savernake Forest. You were born in Marlborough? I was indeed, born in Savernake Forest Hospital, a fact I am rather proud of. You haven’t always lived here though? No, I was something of a handful as a teenager, and left home at 17, heading for London. I started working in the music industry for Rusty Egan at the famous Club Embargo. A career in the music industry followed, working for some of the major labels like Parlophone in A&R. Eventually I went to America, working in New York and Los Angeles. I got involved with Reggae music and travelled a lot between the US and Jamaica. I left the music business 7 years ago and came back to England. From the music business to running a taxi firm is quite a leap, how did that happen? In the end I just got sick of the music business, I woke up one morning and realised I didn’t really like myself any more. The business was shallow and egotistical, and I’d become like that too. I wanted to come home and do something completely different and useful.

The taxi company was almost accidental. I knew the previous owner and got into conversation with him one day when he was driving me somewhere. He seemed a bit fed up, so I asked him if he was happy in the taxi business – he in turn asked me if I’d like to buy the business. I think he was half joking, but it somehow seemed like a good idea. I thought it a good business that worked directly with the local community. The business has evolved over the last few years, and now I have a number of owner drivers, and we work mostly for contract clients. How did you get involved with local politics? I joined Marlborough Town Council because I wanted to give something back. I ran a successful campaign to get Vodafone to improve the phone signal in Marlborough (Nodaphone), which made me realise that it is very rewarding to achieve something for the local community, without any personal gain.
I stood as a Conservative Councillor, although I don’t think I am your usual Conservative. Due to my different and varied cultural background I liked the previous coalition government as it kept all sides honest and kept policies in the centre ground. How have you enjoyed being a councillor? It’s been a learning curve! It’s easy to get bogged down in the minutiae of business, and achieving consensus can be really difficult, especially as Marlborough Town Council has a number of people that have been there a very long time and are rather set in their ways. I do enjoy working on things that I feel will make a difference to the town, and have decided that as a councillor I will focus on the Neighbourhood Plan, and supporting the fantastic youth initiative set up by Lisa Farrell. Tell us more about those A Neighbourhood Plan sets out what a local area wants to achieve over a period in terms of planning and policy.

People It gives local people more of a say in their own destiny. It’s quite a lengthy process, and will involve consultation with everyone in the community. I would urge everyone to get involved with these consultations, to ensure that the plan truly reflects what the community wants. The NP goes through several stages, and is put out to a vote and must be approved before it can be implemented. I’m hoping that it will be ready to be voted on at the same time as the next local elections, which I hope will happen next time. Lisa’s youth project is the opening of the youth centre on Fridays. It has been very successful, and now has around 80 – 100 ten to eighteen year olds attending over the course of the evening. It’s been great to see the kids enjoying themselves, and often building their confidence. Funding has come in and its future is secure for the foreseeable future. Lisa’s done a great job building it up and getting the team of volunteers together that keeps it running. Do you have any political ambitions? I may think about standing for Wiltshire Council next time round, and I might even think about standing as an MP in the future. I personally think there are too many MPs that have gone straight into politics without ever having a proper job, or experiencing what it’s like in the real world. I’m not sure how they can make decisions without spending time on the “shop floor”. I think a term as a Town Councillor and a term as a County Councillor would give me a good grounding, as well as my business experience.
So where does your new art gallery come in? My family runs an antiques and fine art business in Hungerford, I am the only one of the four brothers not to work in it. Despite that, the creative gene is obviously there as I have had a passion for contemporary art for quite some time. It was sparked by the work in a gallery window in Amsterdam when I was there on business about 20 years ago – I was captivated by it and went in to look round and talk to the curator. Since then I have collected work from all over Europe and beyond – I particularly enjoy meeting the artists and talking to them about their work, what it means to them, and what inspired it. I started dealing in art in a minor way after I was hired to drive Pete Doherty of The Libertines. He’s a great guy, but famously has had his issues, and ended up paying me more than once with a painting rather than money. (He’s actually an accomplished artist). I had one of these printed up for a signed limited edition, and since then have sold quite a few, splitting the profits with Pete. It was just a small step from there to opening the gallery – the retail space next door to my brothers’ business became available, and two of them, Richard and Stephen approached me with the idea of opening the gallery. In about a month Living Art was open. We had our opening night in October. What is the concept behind it? We aim to offer a collection of beautiful and unique
pieces by breakthrough and established contemporary artists, from the UK and abroad. All our pieces will be by living artists, that in most cases we will have met, enabling us to discuss each work with knowledge and expertise. I want it to have the feel of a boutique London gallery, without the elitism of some. Everyone is welcome to come in and enjoy the art. We have a great selection, and I was thrilled that we sold several pieces at our opening night. We are very privileged to have two works by established neo impressionist Luigi Veggetti in the gallery, both of which have already sold, along with work by Matthew Broussard, and fantastic sculptures made from recycled materials by JK Brown. Future ambitions? Who knows? I have an idea for an Art Club, with fractionalised ownership of originals that I may get off the ground. Also, I have some strong contacts in LA, so may decide to open a Living Art gallery there. The priority at the moment is to establish the gallery here. What do you like to do in your spare time? When I get the chance I like to visit friends, many of whom are based in other countries. Now I’ll be able to combine trips with scouting for new pieces for the gallery! Good news again for those who worked hard towards South West in Bloom 2015. At an award ceremony at the prestigious Britannia Naval College in Dartmouth, regional prizes were announced by special guest, Jonathan Dimbleby and our MiB team were called up to the stage to collect another Silver Gilt award, just pipped to the post for the South West Tourism Association Cup by Kingsbridge. Individual groups around the town were also award winners in the Its Your Neighbourhood Scheme - Action for the River Kennet (ARK) for its work at Stonebridge Meadow which also picked up the Monk Trophy for the best use of native plants, Manton
in Bloom, Marlborough Waterfront Association and Friends of the Old Victorian Cemetery. Two of these entries – Stonebridge Meadow and Marlborough Waterfront Association - were placed in the top ten of all 500 entries. A special discretionary award was given by the judges to The Lamb Inn in the Parade which won the title of third best pub in the whole of the South West for its fantastic floral displays.
Remembrance Parade – Road Closure
The awards were passed on to their worthy recipients at the MiB AGM in the Town Hall on 7th October by proud, hard-working Chairman, Anne Crawley, the main driver behind this year’s efforts. There were thanks to MiB’s many sponsors, pubs, shops, the Town Council’s Grounds Team and a special mention for photographer, Eric Gilbert, who has captured Marlborough in beautiful images throughout the seasons. Some of these appear in the MiB 2016 calendar, copies of which can be ordered via the Town Council offices.
This special event will take place on Sunday, 8th November with a road closure to ensure everyone is safe. This will affect the High Street (Lloyds side), New Road and Kingsbury Street from its junction with Silverless Street with a diversion along George Lane between 10am -1130am. The Town Mayor will inspect the 4th Military Intelligence Battalion at 1030am ahead of the start of the Parade which will be led by the Phoenix Brass Band onto the War Memorial at New Road where wreaths will be laid to pay respects to those who lost their lives in conflict.

Wellbeing on the move The Wellbeing Clinic has found a new home at number 4 London Road, two doors down from its old premises. Jill Sudbury who has run the clinic since it first opened in 1997 says, “The new building has a great feel to it, and will work better for the clinic going forwards” The clinic provides a hub for a huge variety of complementary therapies, ranging from Acupuncture to Hopi Ear Candling, and Chiropractic to Face Reading. Jill says “We offer the largest range of therapies in the area. Most importantly, we think, is that there is always someone here on reception to offer help and advice. Being Press Club Why did St Peter’s School decide to start a Press Club? We wanted to find a way to let everyone in the area know that our school is full of intelligent, friendly, interesting people who like to have fun as they work and learn. Easier said than done. The first problem was how to reach our audience. We found Marlborough Town and Country magazine which, we discovered, was delivered to hundreds of houses in Marlborough and the nearby villages. That would provide a great audience for us. Fortunately the editor agreed to let us have a page to ourselves to show what we do at school: how we learn, what we learn and what we do with that knowledge. We also wanted to show what we do outside the classroom on trips away, on special days, in clubs and in the playground.
We only have three pages a year in January, May and September, but that is quite enough. It takes a lot of time to choose our subject, research it and get it written. Three articles a year sounds easy, we know. It isn’’t. One of the most difficult things about these articles is to get

everything we want to say in 500 to 600 words. We also have to remember that we have a deadline to work to. Our articles need to be in to the editor about six weeks before the magazine is published so we can’t hang about. So who is in Press Club? We are a group of pupils who joined because we thought Press Club sounded interesting. Some of us heard about it from existing members who recommended it. All of us joined to tell everyone how good a school St. Peter’s is. Most classes have one or two members in Press Club, some more, some none at all. It depends who volunteers. If too many volunteer, then the rest of the class votes for those they think would be the best. The most important thing is not, as you might expect, just to be good at writing. We want people with interesting ideas which can be developed. Of course these ideas need to be explained, but spoken words do as well as written ones in these early discussions. It is also important to attend the meetings. This can sometimes be difficult as Press Club members seem to be involved with many other activities which go on in the lunch hour. Some of us have extra
responsibilites in play squad or are prefects. Most of us want to be in Press Club again next year. With any luck we might be reporting on a new school building. But whichever building we are in, we hope we shall be able to show everyone that St.Peter’s is a great school to belong to. Family
How times are changing As hectic as family life is, I paused recently to reflect with my daughter what life was like for me as a teenager. I grew up in Wokingham which, back in my teens, was a market town similar to Marlborough as it is now. Weekends provided a welcome break from school, but Sunday’s were so different back then. For me, it was about getting up for church, home for Sunday lunch and then an afternoon either doing homework or out playing. So, what’s changed? For families now, there are so many options. “Back in the day” the shops were shut and there were only 4 TV channels and Sunday roast was one meal with no choice followed by tinned peaches and evaporated milk or Angel Delight and Dream Topping if we were really lucky! In the evening, we would all sit together as a family and watch greats such as “To the Manor Born.” Nowadays, weekends are hectic, often with meals grabbed on the hoof and each of us spread to the winds although we do still gravitate together for a bit of good old family entertainment such as Strictly Come Dancing or the X Factor auditions. We try to have a roast dinner on a Sunday when we can, although when we asked our son what he’d like for a roast next week, he asked for crispy duck pancakes! A Sunday roast is not just about the meal though - it is the one time where we

absolutely guarantee that we will eat and chat together. Time stands still, IPads and phones are abandoned and for a precious while, we are all together as a family unit.
Festival, with something for everyone. Last year we enjoyed an evening listening to Louis de Bernières in a packed Town Hall with standing room only.
Although daily life has changed, back then, like now, life was defined very much by the seasons and seasonal activities such as bonfire night at the local primary school with a mug of soup and a baked potato in foil whilst we watched the Guy burn on the fire. Whilst life moves on, some of these seasonal traditions as well as activities in Marlborough remain a constant in our lives and bring the family together.
Before we know it, it will be Christmas time and we will be in Marlborough for the turning on of the lights, a sight which always warms my heart on a cold winter’s evening as I drive through the town.
I know that Summer has truly arrived with the start of the jazz Festival and as it draws to a close, we still look forward to the arrival of Giffords Circus on Marlborough common. For an hour or two each year, we are transported to a magical world making each of us reflect, for just a moment, what it would be like to run away and join the circus. As the air cools and the nights draw in we enjoy the spectacle and fun of Pewsey Carnival followed swiftly by the Marlborough Literature
Daily life moves on and subtly changes, whether for the better or not. Despite this change,, Family life is punctuated by moments which come around each year giving us traditions and memories which I hope that will one day also be enjoyed by our children and their children too. Budding photographers were challenged with showing the beauty of the scenery and wildlife of the Kennet focussing on three of the Kennet’s most accessible locations; The Og at Tinpit, Stonebridge Wild River Reserve and Ramsbury Triangle. November In The Garden As we move towards Christmas and the number of daylight hours become less and nights longer and colder much of the garden hibernates to avoid the worst of the weather. Most pests and diseases are also dormant at this time of year so it is a good time to clear out your garden shed ready for next year. Pick a fine day and empty the shed, give it a good sweep out making sure not to miss any corners. Discard or wash any used pots and seed trays as these can harbour disease before stacking them by size in the shed. Tools should be cleaned, sharpened and oiled before being stored again. Discard any out of date or past their best chemical or organic powders and liquids like greenfly spray of plant feed, most of us end up with numerous half empty containers that never see the light of day and probably wouldn’t do what they are supposed to anyway. Lawn mowers can also be and serviced while out of use. Greenhouse should also be tidied but also wash down the glass as this will increase the amount of light getting to any over wintering plants. Clear any dead or diseased looking growth off plants in your greenhouse to minimise pest and disease growth when temperatures rise again. Check for any damage on woodwork around the garden such as pergolas, fencing and trellis. Any necessary repairs and replacements are a little easier while the plants are dormant and generally not

in the way. Climbing plants can be gently untied and laid down while repairs are being made and then tied back in afterwards. To prevent the build up of algae over the winter which can make surfaces slippery, wash down patio’s, paths and decks with a hose and a stiff broom. Out in the rest of the garden keep raking fallen leaves from lawns and try to keep off the lawn in very wet of frosty weather. Check that tree stakes and ties are secure and tie in any long, loose growth on climbers to prevent damage by cold winds. Keep fallen leaves and plant debris off the tops of clumps of perennials that have died back to maximise light reaching the plant and to discourage slugs and snails from sheltering too near the plant. Tulips can be planted in November either in borders or containers in a sunny position. If your soil is heavy clay add some coarse grit to the soil before planting the bulbs as they don’t like to sit in waterlogged soil. Bare root fruit trees and bushes can also be planted now. Deciduous trees, shrubs and hedges can be pruned for
the next few months. Cut out any dead or diseased wood before pruning to shape, try to make as few cuts as possible to prevent disease entering the plant and if you are not sure what to do it is better to consult a tree surgeon than potentially lose a favourite tree or shrub. Areas of your vegetable garden that don’t have winter crops growing should be dug over as the winter weather will help to break down the structure of the soil making it easier to work in the spring. After digging apply well rotted manure and it will break down over the winter restoring nutrient levels in the soil. Clear fallen leaves cleared from ponds and continue to cut back old growth on plants growing in or around the water. If the weather turns particularly cold gently melt a hole in the ice to allow fish to breathe and wildlife to drink. Clean out any bird nesting boxes as these can harbour parasites and keep bird baths and feeders topped up to help garden birds to survive the worst of the weather. By Jill Blackwood

Derivative Claims Every director owes duties to their company, and the shareholders being able to call directors to account for breaches of these duties, such as conflicts of interest, or with regards declaration of transactions with an interest, is a vital mechanism. However, there can be circumstances where there are breaches of duty directors’ duties over which no action is taken and minority shareholders are left feeling powerless, as there seems to be little way they can keep their investments safe and the company running well. This is because a company can only bring a legal claim to remedy the director’s breaches if the company’s board of directors, or shareholders, approve the claim. The problem here is obvious, boards will close ranks at times and directors often also form a majority of the shareholding, this is especially prevalent with smaller companies, where a single director is invariably the majority shareholder. Here, or in similar situations, where a director has breached his or her duties the board and the majority of shareholders can refuse to bring a claim against this offending director, creating an impasse, leaving the leaving the minority shareholders concerned and vulnerable. In this situation the minority shareholder does have a potential remedy, a derivative claim under the Companies

Act 2006. While it remains true that the shareholder cannot bring a claim against the director directly, the derivative claim procedure allows the shareholder to bring a claim in the name of and on behalf of the company when the company fails to do so itself. This makes it a very powerful tool. However, English law has always been very wary of opening the flood gates and allow derivative claims to be common place, so undermining the ability of boards to effectively run companies. Just think of all those companies with many thousands of shareholders, they could be besieged by such claims unless careful, as such derivative claims must pass through some strict procedure before the courts will allow a claim to be continued. The shareholder having issued a claim form must be make an application, seeking the court’s permission to continue the claim, the court will then consider whether the application discloses a prima facie case. The initial stage will not involve the company and the costs liability will be borne by the shareholder in order to prevent the company from having to bear the costs of meritless claims. At this stage the court can give or refuse permission, but the most common outcome is the court allowing the defendant or the company the opportunity to be heard and put arguments as to why the claim should not be allowed to continue. In making their decision the court will take into account the following factors: 1. Whether the shareholder is acting in good faith?
2. The importance that a person acting in accordance with the duty to promote the success of the company would attach to continuing the claim, essentially would it be commercially sound to do so? 3. Whether the act or omission giving rise to the claim would be likely to be ratified by the company? 4. Whether the company has decided not to pursue the claim itself? 5. Whether the act or omission giving rise to the claim could be pursued by the shareholder individually? 6. Any evidence as to the views of uninterested shareholders? Should the claim be allowed it will be brought in the name of the company and it will be the shareholder who runs the claim. While the procedure may be onerous derivative claims are a vital device for shareholders who have concerns legitimate about the conduct of directors and who feel rendered impotent to protect their investment due to the makeup of the company.
