How I got into the business: I was a senior at Bryan High School taking a shorthand class, and Dennis Circo called the school asking for the best shorthand student they had. My teacher told me about the possible part time job and I interviewed for the part time position and have never left. And I still use my shorthand every day, a lost art today. Accomplishments or milestones: Receiving President’s Award and Excellence Award from Precision Industries. First job: Precision Bearing Company. Biggest career break: My only career has been here with the Circo family through Precision Bearing, Precision Industries and now Circo Enterprises. The toughest part of the job: Wearing many different hats. The best advice I have received: In many ups and down of life, I was told you can choose to be better or bitter when

things get tough. I have always chosen to be better, because as they say “no one is in charge of your happiness except you.” About my family: Married for 42 years, three children and three grandchildren. Something else I’d like to accomplish: Once retired, I would like to do volunteer work. Outside interests: Love the ocean/beach, snorkeling, boating, Nebraska Husker football and Kenny Chesney concerts! Favorite vacation spot: St. John USVI. Business prodigy Keith Fix MAKES GOOD AS YOUNG ENTREPRENEUR OF THE YEAR Looking back, it’s relatively easy to see the makings of Keith Fix the entrepreneur. Long before any of his previous ventures — including his latest startup, client and investor favorite Retail Aware, of which he is CEO — his path started with a precocious childhood. Emboldened by technology, fascinated by the gig economy and not afraid to sink or swim, Fix usually swam.

ENTREPRENEUR AT AGE 10 “I’ve always been a bit of a hustler,” he said. “I sold sports erasers at school and did all sorts of things like that. When I turned 10, I started building websites, which got me $300 on my first website, which was a lot of money then. I also had an internet radio station and sold ads for $5; it was crazy to me that I could get people to buy it.

“We had a computer lab at school with the latest Macs at the time. In first grade, I asked to volunteer in the lab. I remember having a laptop, I was playing Minesweeper and Oregon Trail and I had a setup playing Microsoft simulator. So, I always had a fascination with technology and then I learned there was a whole economy around it.” At the age of 17, Fix landed a job with what is now Concentrix, a Fortune 500 digital customer relationship management company. This gave him an in-depth understanding not only of the challenges that companies of all sizes face, but how they pivoted to meet those challenges and opportunities in a rapidly changing market landscape. “That experience, little did I know, was my intro to retail data at scale,” he said. “Every customer interaction that came in, I had a

front-row seat. I think there’s this misconception that careers start in college; I started at 17. By the time I started my super-long college journey, I just kept adding knowledge both in the classroom and through the work experience I had under my belt.”

JUGGLING SCHOOL AND CAREER College proved a potent lighter fluid for Fix’s entrepreneurial spark. At University of Nebraska at Omaha, where he would graduate in 2012 with a degree in marketing, management innovation and entrepreneurship, he juggled his full-time job with class and launching a side business. He didn’t turn any heads with his grades, but every day was an invaluable education for what he really wanted to do. “I had a unique opportunity because I started a daily deals site for our collegiate entrepreneurs organization. Started it as a fundraiser and basically ripped off Groupon,” he said. “The site grew to 50,000 subscribers and the College of Business Administration turned it into a class that I got to co-lead as an undergrad. They also gave me the Peter Kiewit Entrepreneurial Award for that, which is the highest award in the university system.” Leveraging all he had learned to that point, Fix launched blabfeed, a digital signage integration company. The venture would attract thousands of deployments worldwide and generate $1 million in annual revenue by the time he sold it. His next startup, Retail Aware, grew out of the yawning gaps he saw between the massive amount of data being collected and the relatively pedestrian way many retailers harnessed it. “This is why tech is so powerful; there is validation in data to know what to go after and to know what customers are doing,” he said. “I’m in the business of selling shopper and user insights to brands, providing that visibility into the customer would be equivalent to Kellogg’s being able to watch you buy and measure exactly how much cereal you eat. “The reality is, you can use this data to stay one or two steps ahead of customers as you scale. Feedback is fairly quick; clients will churn and unsubscribe if you don’t get things right. We’re constantly looking at metrics like customer acquisition costs and building subscription-based businesses.”

STEPPING UP TO THE PLATE Few things could have illuminated Fix’s point more brightly than

the pandemic. Overnight, national retailers were scrambling to harness relevant data in real time to better manage what was on shelves and how consumer purchasing was being altered by COVID-19. What started out as an inventory tool on steroids was suddenly the lifeline for major retail brands to ensure supply met demand. With that came investors: Retail Aware raised its first venture round in June 2020 of just over $1 million led by New Stack Ventures, a Chicago-based venture company. That investment served as an endorsement for the company’s business model and has Fix thinking expansion from the current 12-employee operation. “We have plans to scale as we take on larger accounts,” he said. “We’re pragmatic in how we grow.” One thing that is not likely to change with growth is the company’s address. Fix said like a lot of upstarts, he flirted with the idea of moving to an area more known for its tech and startup communities. “Retail Aware is a uniquely Omaha story; this is the power of private investment,” he said. “Think about it; we have food heritage here because of the work of Conagra. “Our first customer was here, our first investor works in the retail space and controls a very large portion of their market, 54% market share. I got meetings when we started with Nestle and Unilever because my address was 808 Conagra Drive. Everyone was like ‘What is Conagra doing?’ I’m sure they were curious to find out what this data startup was doing on Conagra Drive. This couldn’t happen anywhere else. Besides, I tried San Francisco. I had a studio apartment with a ton of roommates. It was terrible. I lasted a few weeks and came back so that was the end of that. You can scale a company in the Midwest; it doesn’t have to be San Francisco.” At this, Fix leans back and smiles. It’s been a good ride for the Midlands Business Journal’s 2020 Young Entrepreneur of the Year so far, and he can’t wait to see where it goes from here. “Everyone has a path; as a kid I would tell my mom when we went to Target, ‘Someday I’m going to have my stuff on that shelf.’ I knew that pretty early on,” he said. “You look at your education and career and you see your journey. It’s like that Steve Jobs quote, ‘You can’t connect the dots looking forward.’”

WOMEN’S FUND OF SOUTHWEST IOWA

Awards $57,250 To Six Nonprofits in largest grant cycle

Pottawattamie County Community Foundation announced that the Women’s Fund of Southwest Iowa, an initiative of the Foundation, has awarded $57,250 in funding to six organizations during its latest and largest grant cycle. Grants to Applied Information Management Institute (AIM), FAMILY, Inc., Mills County Public Health, Neola Betterment Corporation, Project Pink’d, Inc., and Senior Futures, Inc. will support programming and projects that are focused on improving the quality of life and well-being of women and families in southwest Iowa. “Over the last year, the Women’s Fund has begun a wave of solutions-based impact because of the generosity of our community,” said Donna Dostal, president and CEO of Pottawattamie County Community Foundation. “We know that when we invest in the success and well-being of women in our communities, the benefits and outcomes have a positive effect throughout our region. During this funding cycle, we are pleased and excited to work with a dynamic group of nonprofit partners as they provide real solutions to create durable positive movement toward helping women and families throughout southwest Iowa.” - Applied Information Management (AIM) was awarded $13,750 to help recruit and support women in their Southwest Iowa Tech Training Initiative, a program designed to help participants learn the technical foundation needed to gain access to the metro-area’s fastest-growing H3 (high-demand, highskill, and high-wage) technology careers. The Southwest Iowa Tech Training Initiative annually serves over 100 individuals residing in the following Iowa counties: Pottawattamie, Mills, Montgomery, and/or Harrison County. “We are grateful to have the commitment and support of the Women’s Fund of Southwest Iowa,” said Kandace Miller, president and CEO of AIM. “This funding will allow us to expand the reach of our Southwest Iowa Tech Training Initiative to area schools and do a women-focused recruiting campaign. Through the Southwest Iowa Tech Training Initiative, we will help address the need for more tech professionals in the Southwest Iowa region. By connecting interested parties to a comprehensive training program that aims to connect, develop and transition local talent to resources, mentors, and opportunities in technology, we will create new tech workers that will help the Southwest Iowa area thrive.” -FAMILY, Inc. was awarded $10,000 to support their Maternal Health Program, a program that provides nursing education and psychosocial support to pregnant women in Pottawattamie and Mills Counties who are on Medicaid through six weeks postpartum. The Maternal Health Program’s explicit goal is to make sure more babies can celebrate their first birthday (prevent infant mortality) and improve birth outcomes, and accomplished through family centered, community-based services.

“By supporting the Maternal Health program through FAMILY, Inc., the Women’s Fund of Southwest Iowa made potentially life-saving resources available to women at one of the most beautiful, and yet challenging, moments in their lives,” said Kimberly Kolakowski, executive director of FAMILY, Inc. “The personalized, in-home nursing and social work services provided through this funding will help women through their pregnancy and up to six weeks post-partum with the supports they need to keep themselves, and their child, healthy. We know well that a healthy and whole parent dramatically increases their child’s chances for success in the future. We are honored to partner with the Women’s Fund of Southwest Iowa in making that happen!” - Neola Betterment Corporation received $10,000 to support First Street Cottages, an affordable and safe senior-friendly housing development in Neola, Iowa. Grant funding from PCCF will help subsidize the program cost of assisting senior citizens as they age-in-place with safe, senior-friendly housing and access to supportive services. - Project Pink’d was awarded $5,000 to support Healing Heart Survivor Kits. Developed for breast cancer survivors by Project Pink’d survivors, the Healing Hearts program provides kits to individuals who have been newly diagnosed with breast cancer, with hopes of making treatment a little easier. A first within the region, each of the chemotherapy, radiation and surgical kits contain everything needed to make survivors more comfortable, and the personal touch of a hand-written note from a Project Pink’d survivor is sure to brighten their day. From 2019-2020, Project Pink’d provided over 1,489 kits to hospitals throughout Western Iowa and Eastern Nebraska. Breast cancer survivors are faced with many unknowns throughout their treatment journey. While each mode of medical treatment is different and uncharted territory for the patient, Project Pink’d, Inc. wants survivors who are going through the battle to know they are not alone. - Mills County Public Health was awarded $13,500 for their Wits Workout Curriculum, a brain health program developed by the University of Illinois Extension. Drawing on brain health and aging research, the Wits Workout program focuses on brain exercises for all adults ages 50 and older. The interactive program provides increased socialization and promotes intellectual engagement, all of which complement current aging brain health research. - Senior Futures, Inc. received $5,000 to support the purchase of lawn and snow removal equipment to be used when providing services for lowincome senior citizens in Harrison and Pottawattamie counties. The mission of Senior Futures, Inc. is to provide a multitude of services to the elderly and disadvantaged, including but not limited to: health services, home maintenance, repairs and chore services, transportation and escort services, and telephone reassurance services.

The hybrid event that will be a mix of in-person and virtual attendees, will include special guest speakers, Debi Durham, Director of Iowa Economic Development Authority and Iowa Finance Authority, and Dawn Oliver Wiand, Executive Director of the Iowa Women’s Foundation, to address the observable and real gap in funding of women’s initiatives and childcare in southwest Iowa. The event will conclude with keynote speaker, Elizabeth Smart – a survivor, New York Times best-selling author, and national advocate for change related to child abduction, recovery programs, and national legislation. The abduction of Elizabeth Smart was one of the most followed child abduction cases of our time. Elizabeth Smart was abducted on June 5, 2002, and her captors controlled her by threatening to kill her and her family if she tried to escape. Fortunately, the police safely returned Elizabeth Smart back to her family on March 12, 2003, after being held a prisoner for 9 grueling months. The Founder of the “Elizabeth Smart Foundation”, she has also helped promote The National AMBER Alert, The Adam Walsh Child Protection & Safety Act and other safety legislation to help prevent abductions. [Startup entrepreneurs must do] the research to understand the market’s size and its potential. Another mistake entrepreneurs make is underestimating the amount of time, work, and energy it takes to build a successful business.” Wassinger sees a common mistake of entrepreneurs seeking validation from anyone but their customer base.

“Entrepreneurs that carefully choose how they spend their time and money, specifically in ways that generate real growth — like sales — win every time,” she said. “Those that enjoy big crowds and bright lights often get so distracted with vanity metrics that the businesses languish.” Growth should be based on how the market is performing, based on the firm having done its due diligence, Young said. “Understand the size of the market as it pertains to where you are doing business,” he said. “If you’re doing an online economy business and have a

NEW PRESIDENT PREWITT POISED TO LEAD THE MARKETING FIRM While it may not be expected in the current economic climate, over the past year Ervin and Smith has grown both in terms of revenue, client goals and among its 30-employee-strong team, all within the timelessly high-turnover, high-burnout field of advertising. Its recently named new President, Leanne Prewitt, has resolved to continue momentum that can be traced back to well before COVID-19 was a household name. “In the past five years, we’ve added to our core offerings to allow us to be truly full service for our clients,” Prewitt said. “We don’t do this randomly; we add services that our clients need to remain competitive in their industries. “Media strategy and buying, data analysis, video and content creation … We continue to fine-tune our offerings so that we can grow along with the clients we serve.” The firm, headquartered in Aksarben Village in Omaha and founded in 1983 by Doug Smith, announced that Prewitt was succeeding former President and CEO Heidi Mausbach in late August. Prewitt joined the firm as creative director in 2016. “I had just returned to Omaha (my hometown) after five years working in large and small advertising agencies in New York City, followed by five months of sabbatical when I traveled literally around the globe with my husband,” she recalled. “I was looking for an agency that could really benefit from all of that experience, while also challenging me to develop as a leader and creative director.”

STRONG REPUTATION Ervin and Smith, Prewitt said, has a reputation for smart work. “But there was an opportunity to put the company on the map for great creative,” she said. “With a mission to ‘create things that matter,’ and a mostly

female leadership team to grow with and learn from, I knew it was a match.” Since that time, Prewitt led a team of writers and designers in creating awardwinning content for clients such as Creighton University, Borsheims, Scoular, TD Ameritrade and Vehicle Service Group. Additionally, Mausbach and former Chief Marketing Officer Katie Kemerling also stepped down from their roles “to pursue their own business consultancy company,” an Aug. 24 announcement said. “It’s difficult to pinpoint one ‘best’ achievement when my value as a creative professional has always been tied to achieving things for clients,” Prewitt said. “Every time my or my team’s work is launched into the world, whether it’s seeing a video played (and applauded) in front of a crowd, flipping through a magazine to see an ad we created, or watching as a client partner receives praise and recognition for work that we helped them make, there’s a huge swell of pride. It’s very rewarding work.”

NEVER SETTLE More recently, Prewitt also spotlighted the staff’s personal growth, as individuals and teams, since the pandemic. “These 18-plus months have certainly been challenging, but we succeeded by putting our relationships first and foremost,” she said. “That’s the trick — connecting to clients and team members on a personal level. It would have been impossible to get through the year without the amount of trust we all have in each other.” Prewitt also noted how they identified ways to connect for emotional support (and a few laughs), and helped clients shift strategic focuses to meet the need of the changing world. “It was a wild ride, and I honestly think we’re all better for it,” she said. Prewitt noted the firm’s tagline: “Never settle.”

At the time of this writing, the agency is also forming the rest of its executive leadership team and welcoming new clients and project launches in the coming months. “Our company values are candor, happiness, innovation and accountability,” she said, summing it up as a “very powerful combination.” She noted how that approach helps growth-minded professionals thrive. “We also operate with a coaching-driven development philosophy, meaning we practice and teach leadership development with every single team member,” Prewitt said. “We coach on how to have difficult conversations, how to embrace risk and failure, and how to focus on the one thing completely in your control: your mindset.”

And as an agency, we dedicate time and resources to many organizations that make a difference in Omaha.” Pre-pandemic, Prewitt said they held quarterly Creative Academy Days to connect, create and give back as a team. “We’ve previously dedicated our time and resources to organizations like the Stephen Center, Completely Kids, Habitat for Humanity and The Union for Contemporary Arts,” she said. “And we’re looking forward to resuming those activities very soon.”

The Mary Vandenack that readers may know as the managing member of the law firm that bears her name, Vandenack Weaver LLC, is also the definition of “Renaissance woman.” “I was going to quit practicing law at one point to become a yoga and Pilates teacher,” Vandenack said. “I trained across the country from some amazing teachers.” In fact, the classical and contemporary Pilates enthusiast recalled wanting to go to New York City to train under the direct progeny of the Pilates, Joseph Pilates, the inventor of the physical fitness method. “Instead of leaving law to teach yoga, Pilates, meditation and mindfulness,” Vandenack continued, “the process of really grounding myself with these practices helped me rediscover my passion for practicing law and finding a way to do it that has filled my heart every day since I founded my own firm.” Diverse and colorful interests and proficiencies have characterized Vandenack’s life well before her legal career. “My initial college majors included psychology, social work and journalism,” Vandenack said. “Ultimately, I graduated with a business degree, but took a break between my original college efforts and finishing to train thoroughbred racehorses.”

The thoroughbred racehorse trainer also considered teaching humans. “The joy of how my career has evolved is that I get to incorporate all of my passions,” she said. “I work with people in a relational career. Most of my clients have been part of my life for the entirety of my career. Some were part of the life of my parents and brothers, as I ultimately chose the practice area my father worked in.” To that end, after graduating from law school, Vandenack decided against “big law” in favor of working at her tax lawyer father’s family firm. She recalled the words of Creighton University School of Law Professor Emeritus Richard Shugrue: “Think long and hard about making your decision. But, once you make it, never look back.” I followed his advice and am incredibly grateful for the decision I made.” Vandenack worked with her father daily during the last five years of his life. After he passed away, she and brother Joe continued to practice together, while brother Matt pursued the path that ultimately led to his career as a wealth strategist. “We were blessed to be busy but struggled to keep up with the workload and hiring,” she said. Joe would go in house to work for one of their clients, while she would

BUILDING A BETTER omaha ONE PROJECT AT A TIME Tim Clark’s career resume is a varied one, with positions in education, nonprofits, real estate development, music festivals and even as a professional vocalist. At first, such experiences appear somewhat unrelated, but looking closer one sees a common thread running through all of them. “I chase common good,” he said. “I really think, as a country, we are playing with fire right now as we’re moving away from what’s good for the common good of humanity, whatever way you look at it. That’s been one of the characteristics that I think has really anchored me and helped me navigate this thing called life. “I’ve been diagnosed as a whole-brainer and it tells me who I am that I can look at both sides and find a way to navigate from there to find the common good for humanity and for community. One of the questions in common that attracts me to a lot of the things I’ve been doing is, ‘How do we create the best?’”

MAKING AN IMPACT

Clark had already made his mark on his hometown with roles through the YMCA and in the office of former Omaha Mayor P.J. Morgan when he was named a Midlands Business Journal 40 Under 40 honoree in 2004, and he hasn’t slowed down in the time since. From there, he’s held positions with the Greater Omaha Chamber; was CEO of Clark Connection Group, the event management firm for the Omaha Riverfront Jazz & Blues Festival from 2004 to 2010; and executive director of Love’s Jazz and Arts Center from 2011 to 2017. Also in 2011, he began hosting his own television show, Heartland Focus,” something that continues to this day. He most recently took a role as manager of community relations with Metropolitan Community College and also has his own development company, Collective Impact Group, not to mention an armload of community service and volunteer positions held along the way, a few of which have included Girls, Inc., 100 Black Men of Omaha and NorthStar Foundation.

“I think building strong relationships and understanding the value of relationships is key,” he said to describe his far-flung professional experiences. “When relationships are meaningful, they bring opportunity. Good relationships attract good opportunities and good deals. I think that connects you to the whole in terms of people.” Audrey Hulsey, travel advisor with Pegasus Travel in Omaha, said in the 30 years she has known Clark, his ability to make and maintain relationships is an attribute that stands out. “He is fearless and larger than life,” she said. “His personality is engaging and endearing, and he hasn’t met a stranger. “He knows everyone; he’s a collector of friends, I think. Pretty much everything he’s done has been challenging in some respect. Yet he moves through the worlds of North and West Omaha and everything in between and is more than able to be a spokesperson for people of his community as well as the integrated culture we all strive for. He is someone who pulls people together.” Clark’s gift for gab and penchant for leveraging relationships goes back to the very beginning, to his days at Benson High School where he now resides in his alma mater’s Hall of Fame. But back in the day, he was just another hopeful looking to outrun and outwork the competition. “Growing up, I always had an interest in business,” he said. “I was throwing parties all the time. “I knew the concept of money, although back in the day I was only getting $2 and $3 at the door. But it still was an enterprise. I knew if you provided a valuable service, that somebody would be willing to pay. I really captured that early on and it just followed all the way to college and after college. I’ve always had a side business.” After graduating from Benson High School in 1983, he’d earn a degree in music education from the University of South Dakota in Vermillion, but not before taking a detour into professional performing arts. In the mid-1980s, he went on tour with Up With People as a vocalist, a gig that took him to 11 countries including

Germany, Switzerland and the former Soviet Union. That period showed him the unifying power of music, something he would revive with the music festivals he’d organize later in Omaha. Terrence Coleman, vice president of operations and chief financial officer for the Urban League of Nebraska, has spent years working alongside Clark on various boards and commissions. He described his longtime friend as a master motivator and people manager. “He brings out the best in you,” he said. “Let’s say we’re going to have a party. What he does is, he loves to coordinate putting that party together and what he’s really good at is figuring out what you can bring to the party that is something you really enjoy doing or that you’re really good at. That way, the ask doesn’t even feel like an ask. There are things that he’s able to discover in people and talents he brings out of people, whatever it is, that helps make an organization grow or reach a goal.”

A CITY WHERE EVERYONE WINS

Clark said mobilizing a variety of people to exercise their preferred range of skills is not only good for producing events, but also provides a template for the kind of community building that can, and is, transforming Omaha. And it’s what he’s all about as he looks to the future.

You see it in the capital projects, you see it in the buildings going up. I’m also starting to see a little bit more of, ‘How do we make sure we put the whole city in a situation where everyone wins?’ In terms of our most economically challenged areas, North Omaha, South Omaha, not only political will but private sector ownership is taking the responsibility for helping individuals with a hand up. That allows all to share in this American Dream where if you work hard, you can play harder because the free enterprise system works for everyone.”

SMALL business RYAN FLEISCHER, FOUNDER OF REVOLUTION GROUP

Revolution Group expands WITH BUSINESS ADVISEMENT AND TRANSITION DIVISION Revolution Group, a custom wealth management and business advisory firm, was founded by Ryan Fleischer, who began his work as a financial adviser in 2006. He first worked as a portfolio manager for a multi-billiondollar family office, but he soon became disenchanted with the numerous hidden conflicts of interest he saw within the financial industry. He wanted to do things another way: his desire was to offer a different service model to his clientele. While earning his advanced degree from Yale School of Management and completing a fellowship with EDHEC Business School, he became well-versed in modern financial engineering, risk management, and product development within the financial space. In 2010, Fleischer founded Revolution Group. In 2019, Revolution Capital, the investment and planning division of the company started.

REACHING ENTREPRENEURS “Earlier this year, Revolution Group launched its business advisement and transition division to service entrepreneurs, founding CEOs, business owners, and wealth creators,” he said. “Our revenue has grown by three times over the two years. Although we only have three full time employees, we have

numerous partnerships and contractors that we work with that are behind the scenes.” Fleischer is a Columbus, Nebraska native and graduate of the University of Nebraska-Lincoln. Growing up, his father and grandfather were two founding entrepreneurs, and he was able to work alongside them and see what running a business was like. He has taken this knowledge and dedicated work ethic into his day-to-day operations at Revolution Group. “We believe our business is succeeding in the local community because the uniqueness and value we bring to our clients,” he said. “We are not a commodity or a one size fits all or fit you in the box firm. We have very loyal clients and maintain 99% client retention without the use of any proprietary products.” Fleischer understands the innerworkings of business and entrepreneurship and uses that to work with each client. He believes this is a big selling point and one of the main reasons why many clients have chosen to partner with his company. “Time and time again, we hear from clients and others that what we offer is different,” Fleisher said. “To that we say, yes, we are purposefully different. We think differently and look through a multiple of lenses when planning

DIFFERENTIATING Since opening, Fleischer noted that one of the biggest challenges he and his company has faced is getting clients to understand the difference of Revolution Group’s portfolio construction and modeling versus other financial companies out there. “It’s often hard to relay that message to clients who have been trained to think one way in terms of their financial options,” he said. “We are introducing and giving them guidance on many new things they may have

never heard before. “Change is hard and many times our clients are leaving behind a trusted, long-term relationship with their current financial firm and advisor to come partner with us. To overcome this challenge, we diligently educate and teach them on what makes us different — not only from a planning and fiduciary perspective, but also a portfolio construction perspective. This ongoing coaching helps build trust and helps them understand the value that their new plan and portfolio is going to do for them. Looking ahead, Revolution Group is planning on moving into a larger office space and expanding their service model. CURRENT CONGRESSIONAL ESTATE TAX PROPOSALS AND

Income Taxes to be Considered in Estate Planning and Business Succesion Planning Significant tax changes are being considered by Congress. The below provisions remain proposals only as of the time this is being written. Whatever passes in the House, if anything, will then likely be revised further in the Senate. Because the changes are significant, estate plans and business structures should be reviewed with immediacy to be prepared.

ESTATE TAX PROVISIONS

EARLY SUNSET OF THE INCREASED ESTATE TAX EXEMPTION

The estate, gift, and generation skipping tax exemption was slated to sunset in 2026 back to $5 million (indexed for inflation – likely about $6.2 million in 2022). The current proposal sunsets the exemption early. Taxpayers with assets in excess of the exemption amount should consider whether to use the exemption in 2022. The exemption change will be effective with respect to deaths, GST transfers and gifts made after December 31, 2021. It is important to understand that you cannot use part of the exemption and preserve the larger exemption. 2021 gifts use the “old exemption” (prior to the increase) first. The exemption prior to the increase was $5,850,000. If you make a gift of $6,000,000 to an irrevocable trust in 2021, you will have used $5,850,000 of “old exemption.” You will have used $350,000 of the increased exemption. The amount of the current increased exemption will be the amount of gift in excess of $5,850,000.

FAMILY FARM VALUATION (SPECIAL USE VALUATION REDUCTION INCREASE)

Currently, IRC §2032A allow farms to be valued based on current use as a family farm or business rather than at the value of its highest and best use. If farmland is in the path of residential development, this can assist the family farm in remaining as a family farm rather than being sold to pay estate taxes. The current rules limit the amount of any reduction in fair market value to $750,000. That is, if property is worth $20,000,000 under a fair market value analysis and $15,000,000 under a family farm analysis, the valuation can be reduced to $19,250,000 under current rules. The proposal provides for a reduction of up to $11,700,000. Thus, in the example presented here, the $15,000,000 value could be used.

RESTRICTIONS ON GRANTOR TRUSTS

A grantor trust is a trust with respect to which the grantor pays the income taxes even though the grantor trust does not distribute income the grantor. This structure is used as estate tax leverage because the payment of taxes by the grantor on the income of a grantor trust is not considered a gift to the beneficiaries of the trust. Although the grantor pays taxes on the income of the trust, the assets of the trust are not included in the estate of the grantor under current law.

The proposal will add Section 2901, which will cause any grantor trust created on or after the date of the enactment to be included in the grantor’s estate. Trusts created before the date of enactment will be grandfathered, however if a later gift is made to a grandfathered trust, a portion of the trust will be included in the grantor’s estate.

VALUATION RULES FOR NON-BUSINESS ASSETS

Current valuation rules commonly apply valuation discounts for lack of marketability, minority interests, blockage and taxes on built-in gain. The proposal amends Section 2031 to eliminate valuation adjustment for non-business assets. Non-business assets will be valued as if the asset were transferred directly. Non-business assets means any asset not used in the active conduct of a trade or business. “Non-business asset” means held for the production and collection of income and not used in active conduct of trade or business. Certain “passive assets” can be treated as business assets if used in the active conduct of a trade or business. For example, real property trades or business in which the transferor materially participates. An apartment building where there is material participation will likely qualify for discounts. A building owned where there is a triple net lease and no material participation will likely not qualify.

INCOME TAX PROVISIONS TO BE CONSIDERED IN ESTATE TAX PLANNING HIGHEST MARGINAL TAX RATE INCREASES TO 39.6%

The highest marginal tax rate will be increased to 39.6% for married taxpayers filing jointly with taxable income over $450,000 and unmarried taxpayers with taxable income over $400,000. The highest income tax rate applies to trusts with income over $12,500. Non-grantor trusts are subject to income tax at the trust level. Such trusts are subject to the highest income tax rate at taxable income of $12,500. To reduce income taxes at the trust level, non-grantor trusts can distribute income to beneficiaries and the beneficiaries will pay income taxes at their rate. If there are beneficiaries with rates lower than the top rate, then distributions can reduce overall income taxes. Tax savings at the trust level should always be considered in conjunction with trust objectives.

TAX SURCHARGE ON HIGH INCOME INDIVIDUALS

A three percent surcharge will be applied to taxpayers with modified adjusted gross income over $5,000,000. Modified adjusted gross income for trusts and estates is $100,000. This provision should be given particular consideration with respect to any trusts to which IRAs are payable. Under the SECURE Act, IRAs must generally be distributed over ten years. For a trust receiving $200,000 per year, half of that income would be subject to the surcharge (assuming the $200,000 is equal to modified adjusted gross income).

THE NIIT IS EXPANDED TO APPLY TO BUSINESS INCOME

The NIIT (3.8%) will apply to all taxable income (including any business income on which FICA has not been paid) over $500,000 for married taxpayers and $400,000 for single taxpayers. NIIT

previously applied only to certain investment income. The NIIT will apply to distributions entities electing partnership and S corporation tax status. The aim of this provision is to eliminate the strategy in S corporations whereby owners would take some income as salary and some as distributions to reduce social security and medicare tax costs. Flow through entities, particularly S corporations should reconsider entity structure if this proposal becomes part of legislation. The NIIT threshold for trusts and estates will be $12,500.

CAPITAL GAINS RATE IS INCREASED FROM 20% TO 25%

The capital gains rate will be increased from 20 to 25%. This change applies to taxable years after introduction of the act. House Ways and Means Committee introduced these proposals on September 13, 2021.

LIMITATION ON 199A DEDUCTION

Current law allows a 20% deduction based on Qualified Business Income (“QBI”). Under the current proposal, the maximum deduction will be limited to $500,000 for married taxpayers and $400,000 for single taxpayers. The maximum deduction for trusts will be $10,000.

Restrictions on use of business losses. Current IRC §461 allows business losses of up to $250,000 for singles and $500,000 for married individuals to be offset against non-business income. Note that this provision was set to sunset in 2025. The current proposal will limit business expenses in excess of business net income.

RETIREMENT PLAN PROVISIONS RETIREMENT CONTRIBUTION LIMITED FOR HIGH INCOME TAXPAYERS WITH LARGE ACCOUNT BALANCES

New Section 409B prohibits annual additions if a taxpayer has an excessive balance after 12/31/2021. The limit applies to married taxpayers with AGI in excess of $450,000 for married and $400,000 for single and if the taxpayer has retirement account balances of more than ten million. Rollovers will not be considered an addition.

INCREASED RMD FOR HIGH INCOME TAXPAYERS

An additional required minimum distribution (“RMD”) will be imposed on taxpayer’s with large retirement account balances after 12/31/2021. The additional RMD will apply to taxpayer’s with accumulations that exceed $10,000,000 on 12/31 of the prior year. The limits will only apply to taxpayers with AGI in excess of $450,000 for married and $400,000 for single. The additional minimum distribution will generally be 50% of the amount of total accumulations in excess of $10 million (“the applicable dollar amount”). To the extent combined balances in traditional IRAs and Roth-IRAs exceed $20 million, the excess is required to be distributed from Roth-IRAs to bring all accounts below $20 million or the aggregate balance in all Roth IRAs and designated Roth accounts in qualified contribution plans.

ROTH CONVERSION LIMITATIONS

The proposal would limit backdoor conversions of IRAs to Roth IRAs for taxpayers with income in excess of in excess of $450,000 for married and $400,000 for single.
