LARGEST EXPANSION IN FIRM'S HISTORY Cooney Marine's extension - planned for three years and further delayed due to the covid-19 pandemic - is to get underway next month. The new 9,000 sq ft extension, will be the largest expansion in the firm's history and will incorporate a stateof-the-art production facility and a high-tech design and technology centre at its main base in Kettering. “After a difficult decision in March where we furloughed 70 staff in Kettering and 30 in Poole, I couldn't be happier,” said company MD James Cooney. “To finally get underway with this extension is great news.” And he added: “We have managed to un-furlough more than 95% of our staff and our orderbooks have returned to a good level considering the pandemic. “We have awarded the build contract to a local company, so it is great to put something back and help to get the economy going again.” The additional space will be used to manufacture highquality railings and parts for superyachts around the world. The demand for the extension follows on from Cooney Marine founding its internal training academy last year that has been EAL approved, with the company having its own certification status. “We have had great success in training our apprentices to fully skilled engineers and have now started to reap the rewards at our sister company Cooney South in Poole Dorset,” said James. And he added that the company has even more good news with the recruitment of apprentices and skilled rolls, from design to welding and polishing over the two sites.

housing, holiday accommodation, industrial units and offices, while also improving the existing boat storage and repair facilities. “This is an opportunity to comprehensively redevelop a prominent waterside site into a high-quality maritime facility, which I firmly believe Teignmouth deserves,” explained Peter Stenner, chief executive of Teignmouth Maritime Properties. “With the addition of residential, commercial and leisure uses, we know this regeneration will be appropriate and beneficial to Teignmouth and our stunning estuary location.” Designs and plans for the project have been drawn up by Teignmouth-based firm MJS Design and Planning. The development will provide working accommodation comprising five self-contained workshops with office space above, together with nine four and five-bedroom townhouses. Also in the plans are 16 beach huts all with kitchen area and shower room, intended for use as short-term holiday accommodation. Additional benefits include boardwalks and cycle parking and talks are ongoing with Devon County Council to support the linking of a cycle path from Teignmouth Docks through the Riverside Boatyard site to provide people with safe cycle and pedestrian access to the Broadmeadow area.

HARKEN ACQUIRED BY ITS EMPLOYEES Sailing equipment manufacturer Harken has been sold to its employees. Peter Harken, who founded Harken in 1967 with his late brother, Olaf, said that over the years they had been approached by lots of good people keen to acquire the business. “We turned down every offer that didn't present a brighter future for our people than we could create on our own,” he said.

“My brother Olaf, Art Mitchel and I tried to build a place where people could take chances and not be afraid to fail. More and more it's our people who have made this place the leader it is. It's time for those who have worked with us to own Harken.” And he expressed confidence in the new leadership team - Bill Goggins as chief executive, Matt Malec as chief

operating officer and chief finance officer, John Jensen. He also praised the executive committee. Bill Goggins said that the employees had been preparing for a day like this their whole careers. “We have so much gratitude for Peter, Olaf, and Art for the trust they have shown in all of us,” he said. “It will always be Peter and Olaf Harken's company, but starting today, it is in our care and custody.”

QUARTER OF SITES COULD CLOSE Group Beneteau is considering closing four of its 16 sites as it looks to scale back production and cut costs. As a result of the covid-19 pandemic, the organisation predicts its sailing and inboard motorboat segments could see a similar contraction in volumes to the 2008-2009 financial crisis which would not be offset by dayboating market growth. An option the Group is consulting on is closing, selling or temporarily shutting down four of its 16 sites - one in the US, one in Slovenia and two in France. Operations at three sites - Italy, France and Poland could be scaled down. For the Boat division globally, the measures would lead to job cuts for staff assigned directly to production, resulting in a reduction in the workforce by 300 to 840 people.

With regard to indirect production, product development and support services staff, the cuts being considered would result in a reduction in the workforce by 380 to 460 people for the division. In August, the Group approved a change to its financial year-end date to December 31 2020.

Financial elements will be published on October 27 2020 that will include information on the end of the Group's summer season. The Group has confirmed that business for the period from September 1, 2019 to August 31, 2020, and particularly the last quarter, came in

WASHINGTON POST JIM NOLAN runs US based James Nolan Associates Walk the Docks in Annapolis was a multidealer appointment only open house initiative held on September 24th27, created by a group of six dealers in the same Annapolis zip code who represent 20 different power/sailboat brands. It was designed to take advantage of the United States Powerboat Show and United States Sailboat Show while ensuring maximum COVID-19 safety. Because of the dealer's territorial requirements and COVID-19 restrictions, it was very much a local event. It turned out to be calm and quiet, with the visitors enjoying the opportunity to research brands and compare products without the noise and bustle of a boat show. Each dealer had some 20 to 25 appointments from well-qualified clients/prospects, with one dealer getting a few more due to their factory promotion. All dealers had only one appointment per hour per boat at a time. Masks were required for all visitors and dealers, and each boat was sanitised after every appointment. Now that the boat shows are canceled, some dealers will hold similar events during the first two weekends of October. Walk the Docks in Annapolis was a unique, engaging, and targeted alternative/addition to boat shows and virtual events. 8 | OCTOBER 2020

KICK-START FOR THE MARINE INDUSTRY A scheme aimed at creating jobs for young people at risk of long term unemployment has been made available to leisure marine employers. The Kickstart Scheme will provide jobs for six months for 18 to 24 year olds currently claiming universal credit. It is fully funded by the government up to national minimum wage for 25 hours per week with an additional £1,500 per placement for set up costs, support and training. In total £2bn has been made available. British Marine is encouraging

businesses to take on staff at no cost to themselves. “British Marine is forming a group for the leisure marine industry to come together to provide at least 30 jobs and we will administer the scheme on the group's behalf,” said BM chief executive, Lesley Robinson. “It's a great way to get people into the industry and hopefully hang on to them." Roles could include account assistant, trainee in CAD design, machining assistant, marketing assistant or marina assistant.

The placements will not guarantee a job after the six months has ended, rather equip young people with the skills and experience they need to find work after completing the scheme. Once a job placement is created, it can be taken up by a second person after the first has completed their six month term. The scheme is open to BM and non-BM members. 8 For more information contact Blue Davies at British Marine on training@ britishmarine.co.uk

One thing I couldn’t live without... Support of my special friends - they are the ones that are always there for you unconditionally and regardless of circumstances..

Best place I’ve been... One of the many joys of being in the yachting industry is that it takes us to so many amazing places that most people can only dream about. I love Antigua, Bora Bora and the Quarters Anchorage at home in Mersea Island Essex. Don’t worry about... Things over which I have no control. Look after the things you can influence, plan for the worst and hope for the best has always been my maxim, in business and in life. Favourite meal... Is one shared with good friends, preferably in a nice anchorage with a lovely sunset aboard Midnight my Oyster 82. The food and wine are less important

How I cope with stress... I'm a lover not a fighter, I avoid situations that require a fight. Something about you that people might be surprised by... People say we were clever to build Oyster Yachts into a global brand. I'd say it was half luck and the other half making what turned out to be crucial decisions at the right time. Focussing on cruising yachts, being passionate about quality and selling internationally in the early years are all pointers into what the Oyster brand represents today.

CANCELLATION AFFECTS UK EVENTS INDUSTRY The decision by Southampton City Council to cancel BOATS2020 at the last minute will affect the events industry across the UK. That's the message from the Event Industry Forum (EIF) that has been working with show organisers British Marine on the ramifications caused by the decision. Since the cancellation the evening before the show had been due to open, BM has been working on two key areas - supporting show exhibitors and looking at legal outcomes. “British Marine has been supporting BOATS2020 exhibitors through publicising their open days, viewing appointments, competitions, online offers and helping creating leads for businesses to engage with prospects,” said CEO Lesley Robinson. “We're pleased to say that in many cases we have had positive feedback from companies who have seen increased visitors to their websites and an upturn in online sales.” And she added that as the event had met all Covid-19 safe event

requirements, the decision to cancel the show at such short notice is proving an issue for the entire UK events industry. “The ramifications of the decision by Southampton City Council is being felt the length and breadth of the UK,” explained Steve Heap, EIF chairman. “Given the apparent inconsistency nationally and this Council's lack of rationale locally, the wider UK events industry is justifiably nervous about committing to future events, however well they meet the guidelines in place. This is untenable.” And he continued: “Without clarity of what can and can't happen, the events industry will simply implode. Councils have to understand there must be a balance between public safety and events taking place locally that support both the economy and jobs.” The EIF has taken up BM's plight and is asking the Government for clarity.

BUSINESSMATTERS PAUL TAYLOR: Fox Williams LLP

As widely reported, the government proposed new insolvency measures in the Corporate Insolvency and Governance Bill which went through an accelerated parliamentary process, largely driven by the government's desire to seek to minimise the economic fallout post COVID-19. The bill became the Corporate Insolvency and Governance Act 2020 and is the most significant piece of insolvency legislation since the Insolvency Act 1986; it includes a number of temporary and permanent measures which are designed to provide businesses with the flexibility they need to continue trading during this time. The majority of provisions commenced on the 26 June 2020, however most of the temporary measures have retrospective effect as from 1 March 2020 and at the end of September, some were extended. Temporary provisions Suspension of wrongful trading provisions: Under the Insolvency Act 1986, wrongful trading provisions allow insolvency officials to examine the conduct of directors with a view to potential personal liability. This applies if companies continue trading past the time at which there is no reasonable prospect of avoiding insolvency, and the directors fail to take measures to minimise losses to creditors, thereby worsening the company's financial position. The act brought in a temporary suspension of these provisions for a period from 1 March 2020 until the end of September 2020. This removes the threat of personal liability on directors for any financial losses during this period. However, it should 10 | OCTOBER 2020

CORPORATE INSOLVENCY AND GOVERNANCE ACT 2020

be noted that directors' duties to their creditors continue and liquidators and administrators will not be prevented from bringing claims against directors for breaches of such duties. Statutory demands and winding up petitions: two key measures were introduced to restrict aggressive debt-recovery actions during the COVID-19 pandemic. Firstly, statutory demands served between 1 March 2020 and the end of December 2020, unless further extended, cannot be used in support of windingup proceedings commenced on or after 27 April 2020. These statutory demands will essentially be void, which will therefore prevent them from being used as a debt-recovery tool. Secondly, the act also prevents follow on winding-up proceedings from being commenced by a creditor from 27 April 2020 to the end of December 2020, unless further extended, if it has reasonable grounds for believing that coronavirus has not had a “financial effect” on the

company; or the grounds which exist to wind-up the company would have existed even if coronavirus had not had a financial effect on the company. Permanent provisions Company Moratorium: Companies can now obtain a 20-business day moratorium to provide some breathing space whilst they explore restructuring options or seek new investment. The moratorium is available to all companies with limited exceptions, such as financial institutions. To obtain the benefit of the moratorium, the directors must state that the company is, or is likely to become, unable to pay its debts. The moratorium will be overseen by a 'monitor' who must be a licensed insolvency practitioner, but the directors will remain in charge of running the business on a day-to-day basis. The directors will be able to extend the initial 20 business day moratorium; however, this cannot be done until the last five

8 Directors will remain in charge of running the business on a day-to-day basis

business days of the initial period. The moratorium can be extended for a further 20 business days, without creditor consent, but any further extension beyond 40 business days will require the consent of the creditors or the court. Lenders to a company in a moratorium procedure have also been prevented from accelerating that debt during the moratorium and are therefore not entitled to a super-priority position in a subsequent insolvency process. It's also notable that the Secretary of State's powers to regulate pre-pack sales to connected persons have been reintroduced. Restructuring plan: A new procedure will allow a company, in financial difficulty, to propose a restructuring plan that compromises certain creditors or classes of creditors. A restructuring plan is available to both solvent and insolvent companies which satisfy two conditions:

5 the company has encountered, or is likely to encounter, financial difficulties which are affecting, or will or may affect, its ability to carry on business as a going concern; and 5 a compromise or arrangement is proposed between the company and (a) its creditors, or any class of them, or (b) its members, or any class of them, and the purpose is to eliminate, reduce or prevent, or mitigate the effect of any such financial difficulties Termination clauses in supply contracts: Where a company has entered an insolvency or restructuring procedure and obtains a moratorium, the company's suppliers will not be able to terminate or vary the contract. This means that suppliers will need to continue to supply goods and services (but can insist on payment for such further supplies) to an insolvent company, even when that supplier may be owed significant sums of money. Corporate governance: Companies and other types of business registered at Companies House will now get more time to file accounts. If a company is eligible, its filing deadline will be updated automatically and it will not need to apply for an extension. Summary These new provisions give companies increased options when dealing with distressed situations. It will be interesting to see over the coming months how these measures are used in practice. 8 Paul Taylor is a partner at Fox Williams LLP.

ONBOARD POWER EP Barrus has partnered with Hypermotive and HPi-CEproof to develop a fuel cell battery hybrid power plant for inland waterways vessels. The move comes in response to the UK's 2019 Clean Maritime Plan and is supported by a Niche Vehicle Network grant. Barrus will build on knowledge gained by fuel cell and battery integration company Hypermotive, to develop a hydrogenpowered zero-emissions power plant to support the move towards zeroemissions for the inland waterways market. “Barrus has been involved with low-emission marine power plants for a while, in the form of diesel-electric hybrid systems and pure electric,” explained Tara Glen, director at Barrus. “Barrus has always been at the forefront of bringing new ideas to the marine industry.” Project partner HPiCEproof - licensed to

Beacon Park Boats and Mothership Marine. “Many industries are increasingly adopting hydrogen as the fuel of

the future and with this project, the boating industry is doing the same,” added Alasdair Reay, HPi-CEproof MD. “One of the perceived impediments to the industry adopting hydrogen is that the gas is not currently addressed in any boating standards and so there is no explicit compliance path to follow. HPi-CEproof, however, has formal accreditations to certify both boats and pressure equipment.” The 2019 Clean Maritime Plan sets out the aim that by 2050 all vessels in UK waters must have zero-emissions.

My whole-hearted thanks go to everyone who supported BOATS2020 and worked to bring the event to life. I am proud to be part of an industry that wants to move forward despite the challenges. British Marine had done everything in its power to stage the notfor-profit show to support members after a difficult year. I remain disappointed about the last-minute cancellation and that the appeal was rejected. We are still considering all options for British Marine members and show exhibitors. Looking ahead, Brexit is high on British Marine’s agenda, and undoubtedly our members. Over the past 4 years, we have been providing guidance on the implications of leaving the EU. This support will now be ramped up further as the end of the Transition Period approaches. A dedicated Brexit microsite has been launched - an information hub of all relevant sectorial news and information for our members, including FAQs and guidance documents. Following the success of our COVID-19 webinar series, a Brexit series is now taking place, providing a platform for peer-to-peer discussion, and greater clarification and guidance as it is released by government. Brexit will unquestionably impact our industry. A business in British Marine membership will benefit from a team of experts, providing the very latest guidance and support, which will prove invaluable.

XANTREX LAUNCHES 230V INVERTER/CHARGER Xantrex, a subsidiary of Mission Critical Electronics (MCE) has introduced a new inverter/charger designed for Europe and countries that use 230V AC power. An extension to the FREEDOM XC series, the new FREEDOM XC 230V inverter/charger offers the same performance as its 120V counterparts. The built-in battery charger may be programmed

to charge virtually any lithium ion chemistry and is designed to charge dead batteries drained to extremely low voltage. “We have been listening to our customers and our European market in particular has been asking for an inverter/charger like this one for some time,” explained Albert Shuen, director of product management at Xantrex. “So, we are very excited to launch the new FREEDOM

XC 230V which will give Europeans and other users more access to Xantrex power products." For use on recreational vehicles, boats, heavy duty trucks, work trucks and specialty vehicles, the FREEDOM XC 230V functions in temperatures from -20°C to 60°C and has an extended surge rating which allows it to start difficult loads including the fridge or microwave. With a built-in power

In addition to launching the trailers, PDMS has had a busy year delivering new boat yard equipment including the hydraulic Roodberg SW5 slipway trailer to Silvers Marine in Christchurch. “These small hydraulic trailers have been a hit since being introduced some six years' or so ago, as a very quick and simple way of recovering small craft, making them ideal for the smaller yard operators,” explained James Burnell, operations director PDMS. The services side has also been busy, in particular with a general boat yard operations training package that includes cradling and storage of vessels.

HARBOUR ASSIST WINS DUBAI MARINA Marina management software company Harbour Assist has been awarded the contract for Dubai Harbour Marina, the newest and largest marina in the Middle East. Operated by international group D-Marin, the marina will ultimately be able to hold 1,100-berths for yachts up to 160m in length. The marina is the fifth site in the UAE to choose Harbour Assist to manage day-to-day operations, alongside Bvlgari Yacht Club, Business Bay, Jaddaf Waterfront and Al Bandar Marina. In addition, the company has launched a new feature - Quick Pay - to support Covid-restricted working. Berthing, fuel or boatyard invoices are sent to a customer via SMS or email, with a one click link for payment and automatic reconciliation of accounts. “Marina operators are actively looking for ways to

Software features include the ability to send automatic reminders to overdue accounts, an automatic SMS facility when a customer's boat is launched or the capability to schedule priority repairs for a maintenance team.

MARINE EQUIPMENT Multi-Mover UK has seen a large increase in demand for its tugs during the Covid-19 pandemic, following social distancing rules placed on those moving boats. The company's range of pedestrian operated, electric powered tugs have up to 80 tonnes of push and pull capability and can take on the role of moving heavy equipment, machinery and boats that traditionally needed close proximity working. “There's always been a big demand,” said James Dixon, MultiMover UK sales manager. “The present crisis has increased this demand. “The tugs replace the need for two or three people pushing a boat. They also replace the need for noisy diesel tractors.” He added: “They are easily operated, do not require a driving licence, are silent, emission free, save on time and effort and

An integrated boat and marina solution designed to monitor boats in real time is launching in the UK in early 2021. The Falco smart marina solution comprises three main components - an app for boaters to access marine information, a device which tracks essential alerts such as a slipped mooring line, smoke detector, list or leak, intrusion or impact together with information about temperature and humidity levels and a network of WiFi sensors based on shore to track boat movements in real time. The system has been developed and perfected by researchers in Inria France and will 'empower marinas to develop the best-connected customer experience', said Elsa Nicol, chief executive at Wattson Elements and founder of the Falco system. The solution is already in use in Europe, installed in marinas across France owned by clients such as Sellor and CCI Vendee. A USA launch is currently underway. “Falco has the power to help marina managers ad harbourmasters boost productivity through monitoring of operations and develop new revenue streams through innovative white-label services,” said Elsa. “The marina office operates this service and responds in real time, providing customers with peace of mind, added security and protection of their treasured investments."

MARINE EQUIPMENT

Seafloatech launched its innovative floating system last year. Now the company has been selected as a finalist in the Tech4Islands Awards 2020. Seafloatech's mooring solution allows for the construction of floating systems to create collective moorings, artificial beaches, restaurants and housing. The POD connects to sea, lake and riverbeds using an ecological system (anchors, screws, sealing) and comprises a mast articulated at its base, which pistons in its upper part to minimise the effects of the tide. It has been developed a sustainable alternative to traditional solutions such as anchors and chains, allowing for multiple vessels or floating modules to dock at one time. Unlike the traditional way of construction which can carry a significant cost in terms of renovating marinas and ports and destroys the marine environment and coasts, explained Lionel Pean, Seafloatech president, the POD has no impact on flora and fauna and is easy to install or remove. Seafloatech is designed to revolutionising coastlines for generations to come, he said. "I am convinced that the future of our civilisation lies in and on the oceans, and Seafloatech is truly a solution paving the way for new platforms for living on the sea." Seafloatech has recently signed a commercial cooperation agreement with Perfect Moorings to promote the floating modules and develop new projects in France and Italy. The company designs, manufactures and installs seabed to surface floating modules for yachting and water sports.

LIFETIME WARRANTY ON SLIP FRAMES SlipSki Boating Solutions is offering a lifetime warranty on all its boat slip cover frames. The company also has a new non-retractable option that uses gull-wing doors for boat access rather than sliding open like its traditional models. SlipSki boat slip cover frames are made from single pieces of 6061 grade box aluminium that is 1/8in thick and uses hardware made from 18-8 stainless steel with marine grade anti-seize. The covers surround boats, protecting them from the elements, then slide open when ready to use. SlipSki now also offers a non-sliding cover that uses hydraulic dampened gullwing doors on either side to access the boat. Both options are covered with a customisable Shelter-Rite SR18 marine vinyl.

“SlipSki started when I was shopping for a boat house to protect my new boat but was stunned by the sticker price and long wait time to have one built,” explained Ed Bejrowski, chief executive and co-founder of SlipSki

Boating Soutions. Ed went on to found SlipSki along with his son, Daniel, designing and building prototypes in their Houston factory. “Our aesthetically pleasing, fully protective covers are the most cost-effective way to

PROFILE

JEFF WEBBER

Managing Director, Davey and Co 8 Jeff has worked in a variety of roles in the marine industry

Jeff Webber, the new Davey and Co MD, is like many people in the marine industry; he was involved with boating in its many guises from an early age. His parents were keen sailors and Jeff learnt to sail at the age of five. He moved from club sailing to sea cadets and was keen to pursue a career in the Royal Navy, until he failed the medical. At age 19, the UK in deepest recession and the marine industry in decline, Jeff undertook jobs which included working in a circus, and being part of a motor racing team/stunt team, ending in three nasty accidents in one week. He realised that living with two others in a small caravan in a muddy field held no future. “I still wanted to work in the marine industry and with encouragement from my parents and a Princes Youth Business Trust grant, bought an old white van and spent week days rooting round boat builders/clubs buying old unwanted chandlery and weekends travelling the country attending boat jumbles.” LARGER PREMISES The opportunity to sell one day a week was not sufficient to build a viable business, so Jeff acquired premises and launched One Stop Chandlery, dealing in new and secondhand items. It flourished and Jeff moved into larger premises with seven staff, exhibiting at UK and European boat shows. Long hours and widespread travel wasn't compatible with being married with a young family, so Jeff sold the business and moved to Marine Industrial - a Norfolk firm specialising in marine adhesives, anti-fouls paints 20 | OCTOBER 2020

etc. This was followed by a period at Sta-lok, specialists in marine and architectural rigging, wire and terminals. Jeff then had a scuba diving accident which temporarily paralysed him from the waist down. “I spent ten days in a decompression chamber and even now, some 14 years later, I'm still recovering and have off days.” After his accident, Jeff took what he calls a 'diversion' from the marine sector, becoming a NVQ customer service assessor. It wasn't long however, before Jeff joined the Harwich Mayflower Project and helped the charity attempt to build a replica of the famous ship. Unfortunately, the charity underestimated the funds needed to build a replica of the famous Mayflower and the project folded. APPRENTICESHIP PROGRAMME As part of the Mayflower Project, Jeff set up a training centre, raising around £500,000, running City & Guilds boat building qualifications as part of an

apprenticeship programme. UK and European sales manager roles with Wilks and Flexiteek followed and when Jeff's long-time friend, business associate and owner of Harbour Marine Services, John Buckley, acquired Davey & Co, he was the natural choice for MD. “I first met John in a technical support role and our paths continued to cross over the next 20 years.” Jeff feels himself privileged to work for the specialist traditional boat fitting producer and supplier and says this is a natural career progression. “Davey & Co has manufactured and supplied bronze, brass and galvanised iron marine equipment since 1885 and we still make many products from the same Victorian patterns and designs. I have an engineering, sales and sailing background and love networking, so this is a perfect fit.” COMPONENT MANUFACTURING As a supplier of original fittings, the firm is often asked to refurbish and

restore boat fittings dating back 70 years. Within its UKmanufactured 3,000-strong product range are some unique pieces, such as deck prisms, Wyker Martin Furlers and Jeffrey glue; Davey & Co is the only company in the world to make them. Reliant on Midlandsbased foundries for component manufacturing, the business doesn't have the same overseas parts' exposures as others, so is less affected by pandemic

delivery delays. The six-strong Colchester-based team has distributors and a client base around the world with strong demand in America and Australia. “Although there's a new management team, no one has lost sight of the company's strong heritage and ancestry, which is the manufacture of traditional fittings for restoration and recreation of classic boats.” Jeff's a great believer in fate. While supporting the Dockland Scout Project 25 years ago (which continues today), it was around the corner from Davey & Co's original HQ at West India dock, and when starting One Stop Chandlery, the Scout Project Trustees were the then owners of Davey & Co who sold him some of their redundant stock. “I recently had a call from a rigger in Canada who wanted something we hadn't made for 20 years. I found it at home amongst some old Davey & Co stock supplied 20 odd years' ago and shipped it over.” Assessing his strengths, Jeff concedes: “I'm openminded, love a challenge, am tenacious and don't like to be beaten.”
