itle to a property can be taken under the name of a business entity such as a corporation or a limited liability company (LLC). The advantages of taking title under the name of a business entity include personal liability protection and avoidance or certain taxes such as the estate tax. This option is beneficial for income and investment properties. Additionally, multi-member domestic LLCs are exempt FIRPTA withholding. If the property will not be used for income or investment but instead will be used by a buyer as a primary residence and the buyer will claim the property as their homestead, the property must be in the buyer’s personal name or a Trust. Corporation and LLCs cannot claim homestead. A Trust is also beneficial to avoid the probate process in the courts and for privacy as a Trust does not reveal the actual owner of the property.

WHAT IS FIRPTA? FIRPTA is the abbreviation for the Foreign Investment in Real Property Tax Act of 1980. This tax law requires that a percentage of the gross sales price be withheld at the time of closing from all foreign persons that sell or exchange U.S. real property interest and remitted to the IRS.

A “foreign person” is a non-resident alien individual, a foreign corporation that has not made an election under section 897(i) of the Internal Revenue Code to be treated as a domestic corporation, a foreign partnership, a foreign trust, or a foreign estate. The term “foreign person” does not include a resident alien individual. There are numerous exceptions to the withholding requirement. The most common exceptions are: 1. Buyer acquires the property for use as a home and the sales price is not more than $300,000; 2. Seller provides a certification stating under penalty of perjury that they are not a foreign person; 3. Seller obtains a withholding certificate from the IRS that excuses the wit holding; 4. Seller provides the buyer a notice of nonrecognition stating that no recognition of gain or loss on the transfer is required because of a provisions in the IRC Code or U.S. tax treaty; or 5. Amount the seller realizes from the disposition is zero. Unless an exemption or reduced rate applies, the withholding percentage is fifteen percent (15%) of the sales price.

WHAT IS A 1031 EXCHANGE? Section 1031 of the Internal Revenue Code provides that a taxpayer may sell an asset (personal property or real property) and defer payment of capital gains tax if that taxpayer uses the proceeds to acquire a like-kind replacement asset. A tax deferred exchange is simply a method by which a property owner sells one property and buys another without having to pay any federal income taxes on the sale transaction. In an ordinary sale transaction, the property owner is taxed on any gain realized by the sale of the property. But in an exchange, the tax on the transaction is deferred until some time in the future, usually when the newly acquired property is sold. These exchanges are sometimes called “tax free exchanges,” because the exchange transaction itself is not taxed. The requirements of Section 1031 and other sections must be carefully met, but when an exchange is done properly, the tax on the transaction may be deferred. The sale and reinvestment in a replacement property are converted into an exchange by means of an exchange agreement and the services of a qualified intermediary which is a fourth party who helps to ensure that the exchange is structured properly.
