Bogue’s Bulletin Board REAL TALK: 1031 Tax Deferred Exchange is Back

Since the average Napa County home value hit a low of $400,000 in the spring of 2010, prices have more than doubled reaching an average home value in September of 2014 of $827,000. Although averages may be more reflective of the sale of high end homes they still indicate a level of growth that allowed many homeowners to regain their lost equity from the great recession. There is another group of owners and investors who bought property at the bottom of the market and are now realizing a gain in value that has returned far more quickly than anticipated. For this group, the tax planning tool of a 1031 Exchange is being pulled from the shelf, dusted off and put back to use. Simply put: “No gain or loss shall be recognized on the exchange of property held for productive use in a trade or business or for investment, if such property is exchanged solely for property of like-kind which is to be held either for productive use in a trade or business or for investment”. As a refresher course, let’s quickly remember that “like kind” means the purpose for which a property is held and not the exact type of property. For example, an apartment complex can be exchanged for vacant land held for investment, for a group of homes to be rented out or a commercial building all of which would fit the “like kind” definition. So who should consider exchanging their property as opposed to an outright sale? Typically an owner who has held a property for such a long time or in a steep rising market to create a gain that has heavy tax consequences. Another candidate might be an owner wanting to move from a management intensive apartment house to a more secure, longer term and management free commercial lease building. Each owner’s situation should be looked at individually prior to assuming that an outright sale is the only method of transfer. Another reason investors utilize the 1031 Exchange is to hold on to the money that would have been paid in tax gain and use it to “leverage” the amount of replacement property they can acquire. A $400,000 gain on the sale of a property can create a tax gain burden of as much as $140,000 (35%). By deferring the payment of this tax the owner can acquire that much more value in cash and with

a loan of 25% loan to value, can increase the value of the replacement property (properties) by as much as $560,000. This creates a significant portfolio growth by appreciation and can increase the return from the owner’s replacement property. Important to remember also is that there are time requirements to identifying the replacement property (s) (45 days) and recording transfer of title on the replacement property (180 days from sale of original property). There are complexities to each of these time frames that should be fully understood prior to engaging in an exchange. The good news is that many of your questions can be answered and the process fully explained to you by what is called a “Qualified Intermediary”. Your REALTOR or Title Company can direct you to a “Qualified Intermediary” who works with the escrow officer to create all the needed legal documents to satisfy the exchange requirements and also holds your proceeds in trust from the time of the original sale until needed for the closing on the replacement property or properties. If you think you are in a situation where the 1031 Exchange can save you money and expand your asset, you will want to create a team including your REALTOR, your CPA or tax advisor and a “Qualified Intermediary” before you enter into contractual obligations to sell your property. The process is a common one and with the guidance of trained professionals you will satisfy the IRS requirements and find the right property within the time limitations. Despite being shaken by the recent earthquake, the Napa Valley continues to attract more residents with a very limited amount of homes available. This supply and demand imbalance will likely continue the increase in property values and equity for owners. If you are one of the fortunate to have profited through these times, take a new look at an old tool, The 1031 Tax Deferred Exchange, before you proceed in the selling process.

The storefront of the former Wildcat Vintage Clothing was a gaping hole this past week, as workers demolished the entrance and inside of the one-time downtown retailer.

The five-story, 183-room Archer hotel is being developed by Wichita, Kansasbased LodgeWorks Partners, L.P. The abatement process is expected to continue through mid-November on portions of the Merrill’s building. “This work is to appropriately remove minor asbestos-containing materials, a common requirement of buildings of similar age,” said Mike Daood, president of LodgeWorks. CeleBrates 20 years By: MiChael waterson The great earthquake and fire of 1906 leveled most of San Francisco, and forced thousands of people to begin again. In the disaster’s aftermath, a man named Colbert Coldwell saw a need for real estate services and began a new business in August of that year. Today,hiscompany,ColdwellBanker,isafranchiserealestate brokerage with 3,100 offices and 84,000 sales people in 47 countries and territories, according to the firm’s website, including Coldwell Banker Brokers of the Valley in Napa. In 1980, Napa native Carolyn Roberts was running her own Napa real estate brokerage, Classical Properties out of the Noyes Mansion, the Victorian house that today is the home of Wine Spectator magazine. “In 1986, we became affiliated with Coldwell Banker and became Coldwell Banker Classical Properties,” Roberts said in an email. “In the early 1990s, the real estate business was changing and things were becoming more automated and new computers and fax machines and all the ‘techy’ things that we take for granted today were just coming into the business. There was the need to expand and grow in order to provide all that the business now demanded,” she wrote. Oct.24marked20yearssinceRoberts,themajorshareholder and broker of record, and her partners, formed Brokers of the Valley. Today, the business is located at the intersection of Lincoln Avenue and California Street with 130 agents working in residential and commercial property sales. Among its innovations in technology,“Coldwell Banker was the first full service real estate brand to launch a national website, stream listing videos online, create social media and iPad applications, design mobile friendly sites and more,” Roberts said. Though the impetus for creating the parent company came from an earthquake, Roberts said she doesn’t think the recent Napa quake has had much effect on the real estate market here. “I think local people are more affected than buyers out of the area,” Roberts said by phone. “It hasn’t slowed down tourism … we’re still a destination.” On its website, the company boasts of more sales than any other area brokerage in the past 15 years.

Napa real estate has made a comeback since the housing bubble burst in 2007, according to the latest data. Bay Area Real Estate Information Services reported that the median Napa County home price in September 2014 was $550,000, a 26.4 percent increase over September 2013. In September 2009, the median was $340,000. Has the market reached pre-recession levels? “I would say, ‘yes’,” Roberts said. Roberts said she is proud of the company’s record of community service. “We take our community involvement in Napa County seriously,” she wrote. “Our company and its agents and employees actively support and join hands with others in the community on a wide range of charities and community organizations with time and money.” She cited organizations such as local schools, youth sports groups, The Table, Napa Valley Community Housing and Queen of the Valley Medical Center as a few areas where the company makes contributions. “As a locally-owned and -operated company, we care about this community that we call home, and believe it is both our privilege and our responsibility to give back to it.” Roberts said she sees more changes to the industry in the next 20 years in part thanks to new technology. “I think the future will certainly continue to bring new technology to our business,” she said. “Agents will be more mobile and will be able to respond to clients needs even more efficiently than they do today. The purchase process will be more automated with less paper as technology continues to develop and improve.” In spite of the technology, Roberts said that agents – the personal touch – will be even more important “All real estate is local, and our knowledge of the community, neighborhoods, schools, and all of the things that are important to buyers and sellers will continue to be even more pronounced as we become more automated. It is about developing relationships and trust and always that personal touch. It has been that way for the last 20 years and will certainly continue for the next 20 years as well,” she said.


WHEN WILL A COSTCO BE BUILT? What’s the timetable for a CostCo at Napa pipe? By: Michael Waterson Measure A’s victory at the polls doesn’t mean that workers will immediately begin building Napa Pipe, with its hundreds of proposed homes and a promised Costco. Voters gave the city of Napa the ability to annex the 154-acre, former industrial property by passing Measure A by a landslide. The latest vote count from the recent election puts Measure A ahead 69 percent to 31 percent. Once the election results are official, the city’s rural urban limit line will be extended to include the Napa Pipe property. Then the City Council could vote to make an annexation request to the county Local Agency Formation Commission. But the county Board of Supervisors has work to do before bulldozers could break ground on a Costco, which is to be in the first phase of the project. The proposed 700 to 945 homes, senior retirement center, waterfront parks and other features would follow in subsequent phases. The Board of Supervisors must first approve development agreements, including a proposed 20-year agreement that gives Napa Redevelopment Partners the right to build in return for meeting certain conditions. In addition, the City Council must consider extending water service to the Napa Pipe property. County Housing and Intergovernmental Affairs Director Larry Florin on Wednesday outlined a best-case scenario that could have a Costco begin construction sometime in 2015. But some steps needed for this to happen are outside the county’s control. Costco officials said Wednesday the company usually doesn’t comment on possible future stores unless a building permit has been issued. No building permit can be issued until the development agreements are wrapped up. The Board of Supervisors agreed to discuss the proposed Napa Pipe development plan and development agreement at their next meeting. Supervisors wanted to

move forward quickly. “It’s just unbelievable how long this has gone on and I’m ready to call it a day,” Supervisor Diane Dillon said. Supervisor Keith Caldwell agreed it’s time for the board to consider the development agreements. “I’d like to get a date certain,” Caldwell said. “I think a date certain is a real motivator to make sure we get it done.” But the county and city are involved in a delicate dance over Napa Pipe. Supervisors also wanted to make certain that city officials feel comfortable with the next hearing date and have their concerns addressed by the county. “I want to be respectful to the city,” Caldwell said. Eight issues remained to be resolved between the county and city, some of them minor, city Community Development Director Rick Tooker told county supervisors. He gave no examples, but one issue discussed at the Oct. 29 county Planning Commission meeting was whether the project should pay for a landscaped median on Kaiser Road. “We talk at least every other day on Napa Pipe,” Tooker said. “I think we’re able to get through these issues.” The City Council can be updated on the Napa Pipe agreements at its next meeting, Tooker said. Ultimately, he said, the City Council must hold a pre-zoning hearing that would have to take place at a later date. Supervisor Bill Dodd said he’s talked to various City Council members about Napa Pipe. “There doesn’t seem to be really any angst,” Dodd said. “I just think from a leadership standpoint, we ought to move on. We’ve studied this a long time.” The Napa Pipe project has been through various versions since proposed eight years ago. The site is located at 1025 Kaiser Road north of where Highway 29 crosses the Napa River on the Butler Bridge. December 2014 — 35

With Napa rents shooting upward and housing supplies at their tightest, the city is increasing the value of rental vouchers for apartment seekers in hopes of preventing some lower-income families from being priced out of town. The 1,158 local households using the federal Section 8 voucher program will be able to apply their vouchers to higher rents more in line with today’s market conditions, under a rule change the city’s Housing Authority approved Tuesday. The voucher increases, the authority’s first since 2008, cover rental housing with one to three bedrooms. The voucher maximum for one-bedroom units is going from $1,028 to $1,074 per month. Two-bedroom vouchers are increasing $102 to a cap of $1,437; three-bedroom vouchers are going up $205 to $2,051. Raising the rent allowances has become more urgent in the past year as Napa-area rents have jumped, according to the authority’s housing manager, Lark Ferrell, who said three-bedroom dwellings suitable for families with children have become especially scarce. Earlier this year, a survey conducted by the Zillow real-estate listing website identified Napa as the nation’s 12th most expensive city for housing rentals, based on local tenants spending 38.5 percent of their gross income on rent. So squeezed has the supply of rental housing become that families are running out of time finding residences before their vouchers expire,

she told the Housing Authority, which includes Napa’s five council members. A recent staff search of 100 Napa rentals listed on Craigslist turned up just three priced low enough for vouchers to cover, Ferrell said. An average rent increase of 20 percent in the last six years has forced the hand of the Housing Authority, which the federal Housing and Urban Development requires to set its voucher limits between 90 and 110 percent of the local fair-market value. The Housing Authority’s new voucher standards are designed to cover 95 percent of current prevailing rents. Raising rent subsidies eventually will force Napa housing officials to issue 46 fewer vouchers unless federal funding is increased, Community Development Director Rick Tooker said in a staff report. However, the city can handle the decrease through normal attrition and reserve funds without forcing families out of the program, he added. “It’s a balancing act,” said Ferrell. “To the extent we raise the payment standards, we have less money to help and decrease the number of families we can help. “But at this point, it’s critical that we need to make sure we are helping the people that do come up on the list and have vouchers after waiting so many years.

AMERICAN CANYON — A plan to bring million-dollar custom homes to American Canyon’s eastern hillside stalled before the City Council following a litany of concerns cited by councilmembers. The proposal to develop 38 executive-style homes, dubbed Canyon Estates, just north of American Canyon High School will return before the City Council, possibly at its next scheduled meeting. Between now and then, developer Eddie Biggs will work with council staff to address the many questions and negative comments expressed by council members, particularly Belia Ramos, Kenneth Leary and Joan Bennett. Ramos, who used to own a home in nearby Vintage Ranch, said the project could impact one of the biggest selling points of American Canyon: open space. On both brochures and the city’s website, open space has been a point of pride for the community. “If this goes up as [proposed], we’re going to have to take down those picture from our website … because you won’t see that open space from Newell Drive,” Ramos said. Leary shared some of Ramos’ concerns about the project’s design. He’s also worried how Canyon Estates will fit in with what’s already in the area — the high school — and with what’s proposed farther north: an ambitious proposal to build a town center on the site of the old cement factory. The decision to rezone the property for Canyon Estates, he said, has “serious consequences for American Canyon” because “once it is done, it’s done.” Similarly, Ramos wondered if allowing the development of the land, which is currently zoned for agricultural use, would have ramifications for other land use decisions down the road, not just in American Canyon but in other parts of Napa County. “I think this has the potential to set precedent for the county,” she said. Canyon Estates has been envisioned as a way to attract wealthy entrepreneurs to American Canyon by providing a type of higher-end housing currently unavailable in the city.

Councilmembers did not express any problem with this purpose for building the homes. But many of them wondered if the proposed lot sizes — half an acre on average — plus the location of some lots near high-voltage power lines would discourage potential home buyers. If the homes are built, they likely would become the most expensive residences in American Canyon, where the highest priced housing is located in Vintage Ranch. Some of those properties peak in the $600,000-$700,000 range. The hillside homes under discussion could easily fetch $1 million or more, depending on the state of the housing market at the time they are constructed, officials said. Canyon Estates represents the second attempt in two years by Biggs to develop the land. He tried unsuccessfully in 2012 to convince the City Council to approve his building 300 apartments on the same hills. This time to garner support, as well as mitigate environmental concerns, Biggs agreed to set aside a chunk of land — nearly twice the size of the area planned for development — for open space and to alleviate worries over certain species that might be impacted by the construction. But even this part of the plan triggered concerns. Councilmember Mark Joseph, who expressed support for the project before the hearing, worried if planned hiking trails within the conservation easement would happen, given how the plan as submitted to the City Council was crafted. At the suggestion of City Attorney William Ross, the council voted — after more than an hour of intense discussion on the project — to postpone the hearing on Canyon Estates until the next meeting or soon thereafter. Ross informed councilmembers that certain “core environmental documents” prepared for the project’s study were not made available for public review at the Nov. 4 hearing. To ensure legal compliance under the California Environmental Quality Act, Ross recommended postponement of any further debate on Canyon Estates—a move the council unanimously approved.
