Key Technology Contracting Issues Facing the Automotive Industry Today

With digital technologies in vehicles now representing at least 50% of the total value of a vehicle, it’s no wonder that every company in the automotive industry is starting to feel like a tech company. As a result, automotive company procurement and supply contracts have adjusted in response to the increased emphasis on technology in the supply chain. Below are a few key issues your contracts should clearly address.

1. Licensing. When procuring or supplying technology, your license agreement should address confidentiality, exclusivity and ownership, and rights to any data collected by the technology. The contract should ensure it is clear which party has responsibility for maintaining the technology and addressing issues that may arise for the duration of the vehicle’s life. 2. Risk Allocation. As technology enables more autonomous driving, extra attention must be paid to the risks associated with these solutions. At the contractual level, this includes clearly detailing specifications and establishing party responsibilities and warranty limitations for design, integration, testing and validation. You should also have established procedures for handling claims, including the ability to quickly identify root causes, should warranty issues arise. 3. Data Privacy. With increased technology function comes an increase in personal data collection. Recently, privacy and security laws have grown exponentially, as have consumer expectations regarding their vehicle’s data privacy and security protections. As a result, you will need to have contractual provisions in place to establish data collection and use rights and responsibilities, including security, compliance and notification obligations. As the country continues to make progress in slowing the number COVID-19 cases, the OESA team is excited to return to the office. Additionally, I am pleased to announce that OESA will begin hosting in-person events and meetings this month, as well.

Safety for our members and guests is our top priority, and we realize that they have a wide range of comfort levels regarding vaccinations, masking and personal space. The OESA team is taking the following precautions to ensure a healthy environment for all attendees: • Masks will be made available, however, they are not required (regardless of vaccination status) • Seating with additional spacing will be made available to allow for greater social distancing preferences • Many meetings and events will be offered with both in-person and virtual options to better accommodate personal preferences and company guidelines During the summer months, we will continue to learn more about the impact of the pandemic and will adjust our safety precautions as necessary. While we are very excited to have in-person meetings again, OESA recognizes that returning to face-to-face meetings will be stressful for some people. OESA will respect and support event attendees as they make personal decisions about health, safety and comfort. I look forward to seeing you in person very soon and when you are ready. Supply Chain Disruptions Weigh On Sentiment, Despite Strong Demand Mike Jackson Executive Director, Strategy and Research 248.430.5954 │ mjackson@oesa.org

According to the Q2 2021 OESA Automotive Supplier Barometer Index (SBI) – a gauge to measure the sentiments of North American automotive supplier executives – increased disruptions to the automotive supply chain from input shortages, and the subsequent shutdowns of numerous OEM production facilities, weighed heavily on the optimism of supplier executives. Results indicate a net pessimistic reading of 44, a decline of 18 points from the first quarter reading of 62, and 6 points below a neutral reading of 50. The Q2 2021 OESA Automotive Supplier BarometerTM, sponsored by RSM US LLP, focused on Supply Chain, Globalization, and Sustainability. The results indicate: Production shutdowns stemming from supply chain shortages and issues, the inability to fulfill customer volumes and labor availability are shown to be the top threats to the industry over the next 12 months, and appear to be becoming more widespread and detrimental. However, suppliers are optimistic that demand for light vehicles in the U.S. remains strong due to the strength in the U.S. economy. • Responses show that, over the past three months, 42% of suppliers have had a significant increase in sub-tier supplier distress, up from 34% over the past year, driven by capacity constraints and delivery issues. • Suppliers have witnessed a continued effort to localize production from customers as they attempt to comply with standards in place from USMCA. Consequently, suppliers themselves look to localize within their own supply base to provide compliance value to their customers. • Formal sustainability plans have been adopted by 47% of the supply base, and an additional 22% are in the process of developing one. Plans are centered on carbon reduction, neutrality goals, and eco-friendly material usage and product production. •

After a tough year, supplier resilience is being stretched further as firms navigate expanding production shutdowns due to semiconductor constraints and a wide-range of supply chain shortages. As a result, supplier sentiment has moved into negative territory, despite strong demand. Current market shortages are exerting pressure on suppliers, driving cost increases across raw materials, freight, and talent. These pressures are expected to persist for the near term. Despite these hurdles, the crisis has prompted leading suppliers to reinforce their supply chains. At the same time, suppliers must pursue a position of long-term strength by advancing EV strategies, innovation initiatives and digital transformation. Introduction to the Automotive Public Relations Council OESA’s Automotive Public Relations Council (APRC) was formed in 1974 formed as a commongrounds professional organization for public relations practitioners in all segments of the automotive industry. Since 2009, APRC has operated under the management and oversight of the Original Equipment Suppliers Association (OESA) and welcomes professionals in automotive public relations and communications. The APRC is designed to provide professional development discussions and best practices that relate to issues and topics on media relations and corporate communications. Recent discussion topics include industry updates, media panels and working with OEM customers. The New MarComm Executives Council The former Communications Executive Council (CEC) has been renamed the MarComm Executives Council (MEC) to define its expanded focus and membership eligibility. In addition to the more traditional corporate communications topics, such as global communications, brand building, and media relations, the MEC now features marketing content such as brand and product differentiation, advertising, and other elements of the marketing mix. This councils provides the opportunity to address common concerns, network, and share best practices. Membership eligibility for the council has also expanded; the most senior communications and/or marketing executives at supplier member organizations are welcome to join the council. Membership features 4 quarterly events, complimentaryregistration to the annual OESA MarComm Summit, and participation in joint council meetings with the OESA Automotive Public Relations Council (APRC). Members of the MEC also receive press passes to the annual NAIAS and are invited to comment on industry topics to the media. Zoox Town Hall Meeting and Matchmaker July 15 | 1:00 - 4:00 p.m.
