Proactively Managing Social Media Risk The rules regarding advertising claims and endorsements have remained largely unchanged for decades. Social media has not changed these rules, but has accelerated both their application and the opportunities for something to go awry. In particular, as content creation has spread to a wider variety of sources, brands are faced with the challenge of more exposure (and therefore more risk) with fewer or different control mechanisms. Managing risk in this environment requires flexibility, creativity and, perhaps most importantly, process. As companies manage these risks, they should focus on: • Clarity and Disclaimers. Advertising claims regarding the company’s products and services should be drafted as clearly as possible, ideally without requiring any disclaimers. If disclaimers are required, they need to be clear and conspicuous. In social media, this means that the consumer does not have to scroll or click through to read any applicable disclaimers. In other words, the full claim and all disclaimers should be fully visible at all applicable times. • Endorsements. With the increased use of endorsements in social media, companies are well advised to provide simple and clear guidance to all endorsers regarding the approved claims, all required disclaimers and the Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials. • Training, Monitoring and Enforcement. Regardless of the source of the content, companies need to have policies in place to train and monitor the claims being made about its products and services, as well as a method for identifying and addressing any activity that is out of compliance with those policies. Janet’s experience with advertising litigation began with a dog – a cool, confident and edgy Chihuahua. Warner’s client, Wrench LLC, had created a popular character that was used by Taco Bell in its advertising. “Yo quiero Taco Bell” and the accompanying advertisements featuring the Chihuahua character went viral before social media even existed. In 2003, a federal jury awarded Warner’s client $30.1 million for Taco Bell’s use of the Wrench LLC character. Since that time, Janet has worked with clients on a wide range of advertising issues, from false advertising litigation to managing social media risks. Janet’s practice has grown to include a wide range of complex commercial litigation issues, but the core focus of each project remains the same – developing a winning narrative. Driving Innovation: The Best of Both Worlds
Even before the COVID-19 crisis, the automotive industry was facing seismic disruption. The push toward electrification, increasing levels of vehicle automation, ridesharing and strategic partnerships are beginning to shape the industry’s next “normal.” As the industry navigates a new frontier, many organizations are recognizing the advantage of reimagining their manufacturing approaches and organizational structures. Starting a new automobile manufacturer has always been difficult, but the transition to battery electric vehicle (BEV) powertrains has opened the door for a number of new start-ups. While many of them may not be around in 10 years, they are doing things a bit differently than their more traditional manufacturing counterparts. Practices that we all should consider.
The manufacturing approaches of new entrants feature more agile, adaptable cloud-based manufacturing processes over the more conventional linear development. New entrants are incorporating digital integration and the automation of manufacturing workflows from concept to customer, thus cutting the time to market. Flexible automation is becoming more prevalent even in smaller plants that previously relied primarily on skilled labor. As labor costs and shortages continue to impact the industry, the use of rapidly re-configurable robotics and automation will continue to grow. For more established manufacturers, the failure to consider smarter manufacturing approaches could cause them to become blindsided by new market entrants. New industry players are also realizing the value of a blended workforce – a mix of well-seasoned automotive employees and new technology experts. They are are utilizing the “tribal” knowledge of automotive veterans that know how the navigate within the system and the “push-the-boundaries” approach of experts from other backgrounds that challenge the status quo. As an industry, we are already starting to see the first indicators of the automotive future, and with the major impact of industry changes still yet to come. The companies that thrive will take the best practices from both worlds to drive innovation. How suppliers evolve their business practices will determine if they disrupt the industry or be disrupted by the industry. At the beginning of the year, OESA launched the Emerging Leadership Council (ELC) Class of 2022-23. The two-year leadership development program, formerly known as the Young Leadership Council, is designed to equip future leaders with the skills they need to confidently lead their teams and drive performance within their organizations. Council members hear from subject matter experts on leadership, professional and personal development, industry best practices and more. Members of the ELC are identified as future leaders within their organization and nominated by their executives. The council is open to all member companies and provides a forum to help retain future leaders. Participants come from all functional areas, including finance, sales, marketing, manufacturing, human resources, purchasing, logistics, communications, and engineering. OESA Supplier Barometer: Sentiment Rises Above Neutral Level as Headwinds Persist and New Threats Surface Mike Jackson Executive Director, Strategy and Research 248.430.5954 │ mjackson@oesa.org
According to the Q1 2022 OESA Automotive Supplier Barometer Index (SBI) – a gauge to measure the sentiments of North American automotive supplier executives – the industry outlook has improved from the fourth quarter of 2021 despite continuing concerns related to production shutdowns and labor availability. Results posted a marginally optimistic reading of 52 for the period, 2 points above a neutral level of 50 but 18 points above negative results from Q4 2021. Sentiment improved sequentially across firms of all sizes but remains in pessimistic territory for the largest suppliers. The Q1 2022 OESA Automotive Supplier Barometer, sponsored by RSM US LLP, focused on Production, Planning and Electrification. The results indicate: •

Production shutdowns, supply chain shortages, labor availability, and the inability to fulfill customer volumes remain as the top threats to the 12-month industry outlook but improved sequentially. However, there are elevated risks from the omicron variant, higher interest rates and U.S. economic weakness. The primary internal and external production issues are related to supply chain constraints or disruptions while the industry continues to struggle with labor shortages and are expected to be much worse than 2021. Finished inventories increased for 66% of suppliers as they continue to struggle with last-minute shutdowns of OEM facilities, adding increased carrying costs to a long list of cost pressures within the current business environment. Battery Electric Vehicle (BEV) program development is driving innovation across the supply base despite concerns over program profitability. Suppliers are neutral in the view that BEV production will reach 10% of global production within the next 5 years.
Even as suppliers face historic inflation and persistent supply chain constraints, optimism improved as North American light vehicle output is forecast to jump by two million units in 2022 to 15.0 million units. It far surpassed supplier breakeven levels for the first time in three years. Despite intense cost pressures, suppliers remain committed---investing 4% of sales to R&D in leading areas of advanced materials and powertrain technologies, to align with dramatic BEV growth that is already changing how leading firms invest, partner, nurture talent, compete and manage risk.
