Welcome to the 2013 Gulf Coast Oil & Gas Awards commemorative Yearbook

T

hese were the 2nd Annual Awards for the Gulf Coast region and the organizations and individuals in this journal were acknowledged by the award’s judging panel to have excelled in their work in 2013, whilst also focusing on the industry core values of Health & Safety, Environmental Stewardship and Corporate Social Responsibility. The Oil & Gas Awards champion best practice and recognize organizations operating in the upstream and midstream sectors of the industry. The media and members of the general public do not distinguish between the different sectors of the industry, which is why the Awards incorporate categories for all parts of the upstream and midstream sectors. The absent mindedness of an individual on an assembly line can have dramatic consequences months later should equipment fail when being used in the field. This reflects badly on the industry as a whole, we therefore think it is extremely important that best practice is championed from top to bottom and the Awards are a platform to promote to the press and public the great work being done. The Oil & Gas Awards are unique in highlighting the incredible innovation and commitment to positive industry development and expansion, rebutting traditionally negative mainstream coverage. The Awards celebrate corporate success twinned with organization’s commitment to health & safety, environmental stewardship and corporate social responsibility.

In this 2nd year for the Awards in this region we also added the Industry Summit during the day immediately before the Awards gala dinner in the evening. G

uest of Honor at the Gulf Coast Oil & Gas Awards was Commissioner Christi Craddick. Christi Craddick was elected statewide by the people of Texas in November 2012 to serve a six-year term as Texas Railroad Commissioner. A native of Midland, Christi is an attorney specializing in oil and gas, water, tax issues, electric deregulation and environmental policy. Craddick formerly served as president of a grassroots advocacy firm specializing in coalition building in the public policy arena and development and implementation of issue strategies. Craddick served as the chief political and legal advisor to the Speaker of the Texas House of Representatives Tom Craddick from 2002-2011, the first Republican Speaker in over 100 years. Some of the highlights from Commissioner Christi Craddick’s keynote address:

“I want to thank all of you for being involved in this industry. It’s a great time to be in the oil and gas industry and there are a lot of great stories, I am looking forward to hearing them tonight in the Awards. I think this room is the leaders for what is going on in the oil and gas industry. The oil and gas industry is thirty three percent of this States economy, as of the end of 2013 and we expect that number to continue to rise. We are sitting in Houston, Texas, which I think is the oil and gas capital of the world again. The Eagle Ford is the new part of the State; in 2008 we issued 26 drilling permits, last year (2013) we issued 4,100 drilling permits in the Eagle Ford area. The bulk of that production is in four counties, the three highest counties in production in the country are in the Eagle Ford and the fourth is coming online, we believe it is one of the largest areas in the World for oil production.”

America’s Energy Revolution: The Importance of Responsible Development and the Texas Railroad Commission’s Role David J. Porter, Commissioner, Texas Railroad Commission

There’s no doubt that the Lone Star State is shining bright during the United States’ energy renaissance. Texas Railroad Commissioner David J. Porter said he intends to keep things that way by preventing the federal government from stymieing the burgeoning oil and gas industry with unnecessary or redundant regulations.

“It has been one of my biggest goals since taking office – to maintain the primacy of state regulation and to fend off federal intervention,” Porter said. “Frankly, the biggest threat to the continued success of the energy industry is the overreaching arm of the federal government, specifically the EPA.” Originally established to oversee railroads in 1891, the Texas Railroad Commission today has oversight over the oil and natural gas industry, pipeline transporters, the natural gas and hazardous liquid pipeline industry, natural gas utilities, the propane industry, coal mining, and uranium surface exploration. The commission also is responsible for research and education to promote the use of natural gas and propane as alternative fuels in Texas. With a quarter of the world’s working drilling rigs located in Texas, the commission is staked with regulating a highly lucrative industry while allowing businesses to operate efficiently and economically. In 2013, the Texas Railroad Commission monitored more than 410,000 active wells; issued over 21,000 drilling permits; conducted over 125,000 field inspections; and plugged 778 orphaned wells, including 30 orphaned bay wells in coastal waters.

“In addition to these functions, the commission works diligently to insure that our rules and regulations keep pace with the technology and practices in the field and remain at the forefront of environmental and public safety policy,” Porter said. The state of Texas leads the way in this in many regards. For example, in 2012, the state was the first to enact laws requiring the mandatory reporting of fluids used in hydraulic fracturing processes at FracFocus. org. Through amendments to Statewide Rule 13, Texas now has some of the most stringent rules nationwide on well construction, cementing and integrity. Also, Texas has amended its water recycling rules to encourage oil and gas operators to enhance water conservation and recycling, and the state is updating its IT infrastructure to improve service and increase transparency, according to Porter. These initiatives, Porter said, are of utmost importance to help Texas maintain its role in regulating the oil and gas business within its borders. He doesn’t believe the EPA is equipped to determine state regulations. He cited the agency’s recent announcement to decrease inspections by 30 percent over the next five years due to budget constraints.

“It is critical that the railroad commission continually update its rules and regulations as we fight to maintain our status as a premier oil and gas regulatory agency in the nation,” Porter said. “One-size-fits-all regulation from a far-removed, inept federal agency is not the answer. In terms of responsible regulation and oversight, the pinnacle of one of the largest oil booms in our country’s history is an interesting time to cut down significantly on their inspections.” Texas will continue to police itself, according to Porter, to keep a robust economic driver thriving.

Through amendments to Statewide Rule 13, Texas now has some of the most stringent rules nationwide on well construction, cementing and integrity. “On the other hand, the Texas Railroad Commission has increased inspections and enforcement to parallel an increase in activity,” Porter said. “We must keep regulation of Texas’ natural resources by Texans in Texas who understand the importance of the oil and gas industry to Texas in order to keep the regulatory climate fair, steady and predictable.”

Midstream Update – 2014 and Beyond There are countless aspects of the oil and gas industry to consider when operating in the midstream sector of the business. Pricing, regulations and the surrounding community are among the top factors, to name a few. Moderator: R.T. However, the community typically is willing to work with companies operating in their region once they realize the inconveniences they may have to endure can help boost the size of the royalty checks they’ll receive, according to Josh Weber, Senior Vice President, Business and Commercial Development, for Howard Energy Partners. “The good thing about the midstream side of the business – as long as you’re dealing with people that are royalty owners and have an interest in the upstream side – they’ll generally work with you when you talk about laying pipeline or building facilities because they know that ultimately it affects their bottom line,” Weber said during the “Midstream Update – 2014 and Beyond” panel discussion at the Oil & Gas Awards Gulf Coast Industry Summit in Houston. “If they want to start getting those royalty checks, then you have to have those facilities in place to actually market the product.”

“It goes back to good project planning,” Hennessy said. “It doesn’t take more time and it doesn’t take more money if you do it up front.

It’s as good a time as any to get into the liquid natural gas market specifically, according to Weber. One new driver is the Mexican market, which has estimates of 2.5 billion to 6 billion cubic feet (bcf) of anticipated growth of demand. Weber says projects totaling 2.5 bcf a day have already been announced for companies searching for a feedstock that doesn’t come from the Mexican government agencies. “There are industrials and power gens that are trying to disconnect from Pemex and go directly to the supply source for their natural gas and take all the other governmental stuff out of the mix,” Weber said. “We see an increased desire to do that, so it is exciting to see that revolution and their reliance on more natural gas.” Although America’s southern neighbor is open for business, the U.S. federal government continues to keep a watchful eye on the midstream sector, which can impede progress. It doesn’t have to slow down production, though, according to David Hennessy, Director, Environmental, for PVR Partners LP.

Texas Commission on Environmental Quality using forward-looking infrared cameras to determine what midstream companies are losing emissions-wise. Inspectors also focus on maintenance, startup and shutdown emissions and are particularly interested in record-keeping. “They’re looking for low-hanging fruit when the inspectors come out,” Hennessy said. “They’ll get you administratively if you don’t have the record-keeping, even though it is a pretty small piece of the compliance side.” In terms of operations, regulatory snafus can be avoided through preplanning for projects. This is especially vital on linear projects that traverse numerous municipalities, counties and states, each of which could have similar regulations that require different implementation. “It goes back to good project planning,” Hennessy said. “It doesn’t take more time and it doesn’t take more money if you do it up front. It really saves you time and money, and you get ahead of the competitors by not getting stuck in the enforcement cycle.”

For example, Hennessy said the EPA is focused on flaring and flaring emissions with a new enforcement initiative. Specifically in Texas, he has noticed an increase in flyovers by the

Bringing Reality Into The Evaluation Of Proppant Performance Bob McDaniel, Vice President of Technology, Preferred Technology

The oil and gas industry has taken great technological strides to develop proppants for fracturing. However, not all sand is created equal, and determining which proppant is the best for an application requires going the extra mile by simulating downhole characteristics.

“The industry has done a lot of tests – and these tests have some value – but the fact is most of the tests don’t do a very good job of showing you what’s really going to happen in the fracture,” Bob McDaniel, Vice President of Technology for Preferred Technology, told attendees at the Oil & Gas Awards Gulf Coast Industry Summit. “You got to take an extra step to get to that point. But that extra step can make the difference between making the right choice or making the wrong choice in a process that makes up a very sizable percent of your total completion cost.” One mistake that could cost operators dearly is underestimating the difference a change in testing equipment can make. For example, in 2007, Stim-Lab – a company known for its long-term conductivity tests – changed the gasket that helps seal its conductivity cells. Before the switch, the lab tested a pre-cured, resin-coated sand once and twice more with the new gasket. The conductivity of that product changed by 20 to 30 percent due to this slight alteration in equipment. “Engineers look at this data, and if they see something that is 20 to 30 percent different, they’re going to go with the high one every time,” McDaniel said. “But that difference may be a function of just the test, not

what the proppant can really do.” To determine crush resistance, the standard industry test is not conducted in simulated downhole conditions, which typically results in about a 16 percent crush rate. McDaniel said this is a valuable test, but it doesn’t necessarily give the entire picture of how a proppant will react down the hole. He suggested making this test tougher by cycling the sand – meaning take the pressure to a maximum 10,000 psi, ease the pressure down, and repeat the pattern about four times. This longterm test could yield a 40 percent crush rate. “What you’re really simulating is what happens to the proppant in the fracture during the life of a production well,” McDaniel said. “So the test that the industry designed to help differentiate particles, since it’s not very realistic, can give you a false sense of security. A proppant can’t withstand anything close to what that little test tells you.” For measuring bond strength in resin-coated proppants, the standard testing procedure requires operators to slurry the product, put it in a cell, place a closure stress on the cell, and set it in a constant temperature vat so

it can cure. Once cured, the sample must be removed, dried and cooled before it is broken. When this test is conducted with a phenolic resin, results can show almost 800-psi bond strength. However, McDaniel said, that result does not simulate a fracture. When fracture characteristics like heat and time to close are considered, a product could have just 1/5th the bond strength. “What that means is that you have to put reality into the test,” McDaniel said. “You have to understand your application, what’s going to happen to the fracture when it’s closed or when you finish pumping, or how long it’s going to take to close.” No matter the scenario, McDaniel suggested making testers put proppant products through the simulated rigors of what they will experience on a job site. “You have to make sure that the proppant you’re testing is representative of what’s going to be delivered to your well site, or all bets are off,” McDaniel said. “If you want to see what that well is going to produce and what the proppant’s going to be able to handle, then make the fracture handle the rates that you’re hoping to get.”

Environment Protection, Regulation and Compliance The oil and gas industry still has a long way to go to win over environmentalists. However, industry veterans speaking as part of the panel discussion “Environmental Protection, Regulation and Compliance” at the Oil & Gas Awards Gulf Coast Industry Summit in Houston recalled a time when environmental sensitivity was hardly even considered. “Thirty years ago, we were doing things that were normal, everyday practice that nobody was concerned about because we didn’t have a reason to be,” said Greg Lorson, CEO of TEEMCO. “Today, it’s not only illegal, but unconscionable. But we’ve grown, we’ve learned, and will continue to learn.” Lorson said the industry continues to make strides not only by complying with industry mandates, but also by engaging with all stakeholders in the oil and gas business to craft regulations. It can always be better, of course. “Our industry has an opportunity to take the lead, and we have to be more active in the regulatory process,” Lorson said. “I think we need to be more active on the ASTM and the API so that in establishing standards, the regulators will look at those standards as they formulate the rules. I think we can impact that.” It helps immensely when government agencies keep the needs of the oil and gas industry and the environment in mind as they determine regulations, according to David J. Porter, Commissioner of the Texas Railroad Commission. Porter said he has made it his agency’s mission to involve all parties in regulatory matters at all times. 24

“Sometimes there are some really difficult tradeoffs you have to make,” Porter said. “But if you have an appointed agency that is sitting there just looking at one side of the equation, they get tunnel vision and they either go down the economic side of the road or get to the other side about environmental protection.” Texas often is held up as a model for efficient permitting and regulatory awareness. Bud Tippens, Director, Land, for E&B Natural Resources said the railroad commission’s dedication to quick turnarounds for permits has made Texas easy to work within compared to other oil-and-gas-rich states like California. “All the nightmares you hear about California are true from a permitting perspective,” Tippens said. “The fact that in Texas we can walk a permit through in 24 hours and get a well drilling is something that is

unheard of in California. The railroad commission has done an outstanding job of enticing companies to get their wells drilled.” The panelists agreed that regulations are necessary, but it should remain an issue for municipalities, counties and states where resources are located. Tippens recalled the downturn of the oil and gas industry in the mid-1980s when the federal government let businesses fend for themselves as the price of oil plummeted. “When our industry was losing 20,000 to 30,000 friends and family and the federal government did absolutely nothing at that point to help set a floor, I gave up on the federal government ever being involved in our industry,” Tippens said. “I think the oil producing states know better than anyone on how to regulate our industry.” Porter – who admitted in his keynote address to the summit that keeping federal regulators out of Texas is his mission as Commissioner – garnered applause for his succinct opinion of federal regulation. “I don’t really see any role for the federal government in the regulation of oil and gas,” Porter said.

Drilling and Completions The oil and gas industry has come a long way from just a few years ago with regard to operations in unconventional plays. Now that more is known about natural gas fractures along with the advent of pad drilling, there’s no telling how much cost can be eliminated from the drilling and completion process. Moderator: R.T. “The idea was to throw spaghetti on the wall just three years ago and just drilling as long a lateral as we could and setting as many frac stations as we could,” Chris Faulkner, Founder, President and CEO of Breitling Energy, told attendees of the drilling and completions panel discussion at the Oil & Gas Awards Gulf Coast Industry Summit in Houston. “Now that technology is driving this more and more, we understand natural gas fracture systems and are trying to really pinpoint how we spend money on the completion side on top of the drilling side.” Cutting costs, however, requires a cooperative effort between operators and service providers. Lance Dunn, Senior Vice President Sales and Marketing for C&J Energy Services, cited operators’ acceptance of pad drilling as one way to build efficiency in fracturing projects. When multiple wells are done simultaneously in this way, service providers can wireline one well while pumping another, creating an almost continuous pumping operation that reduces the amount of down time between wells. “What that allows us to do is share in the savings that we can generate by being more efficient with the operators, so the cost per stage has come down significantly and will

probably continue to do so as we progress and refine these matters,” Dunn said. This is of utmost importance to mid- to large-sized operators like Anadarko Petroleum Corp., according to Justin Stone. Anadarko’s Drilling Operations Manager said instead of sifting through the supply chain to renegotiate contracts, he prefers eliminating days in the spud-to-rigrelease cycle times. For example, Anadarko recently delivered a spud to rig release in the Eagle Ford Shale in four-and-a-half days.

“For drilling and completions, if you cut your days, you cut your costs,” Stone said. There are certain emerging techniques in the oil and gas industry that may one day reduce costs, but they have not quite advanced to that point yet. For example, natural gas is being touted for powering drill

rigs, but Jeff Weis, Principal – Vice President of Orion Drilling Co., said oilfield engines still must use boltedon dual-fuel systems because the horsepower from natural gas alone simply isn’t enough. Combined with the lack of infrastructure to get natural gas to these remote areas and the numbers do not work out. “In talking to our operators, they’re not really sure they want to do that because what if you’re natural gas supply is interrupted?” Weis suggested. “They kind of like the dual aspect, but the fuel gas that you can get in the field is not of the quality to use in the engines.” The panelists agreed there will be a number of factors driving growth for the domestic oil and gas industry down the line. The one the entire nation will be able to rally behind, according to Faulkner, is reducing the United States’ reliance on foreign sources of energy. “The motivation truly for America is that we have the ability to tell the Middle East and Venezuela and other countries like them to shove it, we don’t need their oil,” Faulkner said. “I think that’s a big motivating factor for us as a country, and I think folks will get behind that story.”

The boom in the oil and gas industry may look like it was born from the emergence of new technologies, but Daniel E. “Danny” Brown begs to differ. The Vice President of Operations (Southern and Appalachia) of Anadarko Petroleum Corp. opened the Oil & Gas Awards Gulf Coast Industry Summit by telling his peers that it was horizontal drilling and hydraulic fracturing – two technologies that have been around for decades – used in conjunction that brought the U.S. oil and gas business out of hibernation.

“I don’t think that you can overemphasize the impact that unconventional resources have had on the industry and on the nation’s energy position within the globe,” Brown said in his keynote address “Providing for Today, Innovating for Tomorrow” delivered in Houston. “This was existing technology with horizontal drilling and hydraulic fracturing, and the confluence of those two things led to a full-scale landscape change in energy in the United States.” The discovery of the effect of this technology allowed E&P companies like Anadarko to make extracting unconventional resources commercially viable. “So the confluence of these two technologies with horizontal drilling and hydraulic fracturing has really opened up a new opportunity set for us within the United States,” Brown said. “And it’s had a really remarkable impact.” Brown credited this “technological revolution” with helping turn around the U.S. economy, as well. He said about $2,000 per consumer is being saved because of lower natural gas prices due to the abundance of the resource. He also claimed there is $11.6 billion in anticipated savings in the manufacturing industry because of lower feedstock costs, as well as

$193 billion in additional revenues for various government agencies. The Texas economy certainly has benefited from the boom in business, as well. Brown said almost 400,000 jobs were created in 2012 due to unconventional resource development from oil and gas activity. Also, approximately 600,000 households in Texas receive royalty checks. “That’s a great economic infusion, as well as those individuals and those families benefit from that and put that back into the economy to help that economy grow,” Brown said. There are plenty of considerations to be made to make sure shale plays prove profitable for E&P companies. For Anadarko, Brown said there are two main components. The first is paying attention to the aboveground elements associated with the development. This includes infrastructure in and around the area, available labor and equipment resources, water availability, and regulations. “There are lots of aboveground considerations that would always be there for conventional oil and gas development, but frankly this is more important because of the resource intensity associated with these unconventional developments,” Brown said.

Secondly, E&P companies also have to be aware of what is below the ground, Brown said. Characteristics of a reservoir like maturity, thickness, mineralogy, porosity, permeability and pressure can determine just how commercially viable a play can be. That means using technology like robust logging plans, integrated reservoir development plans, and 3-D seismic and microseismic data is a must. “We try to address those challenges by applying technology to give us better insight to what we can do to make shale plays and unconventional resource plays more commercial,” Brown said. “As you can continue to expand the opportunity that a basin may have by applying technology by lowering cost, you can actually make the resource size bigger.” As new technology is developed, these plays will continue to grow in size as more of the resource becomes accessible, according to Brown. “We’re not there now, but as we continue to research and as technology continues to grow and expand, we’ll continue to expand the resource base we have to develop here in the United States and eventually around the world,” Brown declared.

Innovative Power Management in North American Shale Plays David Dickert, Director of Oil & Gas Sales, Aggreko

Oilfield producers can be weary of temporary power systems that run on natural gas. Considering businesses can save as much as $25,000 using natural gas vs. diesel, according to David Dickert of Aggreko, these systems are popping up throughout North America despite some concerns.

“These systems are deployed all over North America today with hundreds of these sites in operation,” Dickert, Aggreko’s Director of Oil and Gas Sales, announced in his address “Innovative Power Management in North American Shale Plays” at the Oil & Gas Awards Gulf Coast Industry Summit in Houston. “The reason we have hundreds of these sites in operation is because of the economics. If you talk about scalability and start scaling this particular application across multiple well sites, it starts adding up very, very quickly.” Although the savings lure producers to consider natural gas solutions, the drawbacks of the resource often scare them away. According to Dickert, there are numerous challenges when deploying natural gas generation. The first is dealing with high - or variable - British thermal unit (Btu) well gas. “If the engine technology being deployed is not of the right type, you’re going to have bad reliability and you’re also going to de-rate capacity of the machines quite a lot,” Dickert said. Another challenge is the ability to deploy natural gas as quickly as diesel. Diesel can be tied into existing infrastructure, whereas natural gas often relies on an on-site well that must be in production. If that well stops for any reason, it must be restarted without the use of the gas it produces. Also, Dickert said, natural gas is only available intermittently from the well. If the well stops producing gas, power

generation stops, as well. “When you couple all of those together, it all leads into reliability issues, which definitely kicks into the uptime performance of our well pads,” Dickert said. Aggreko’s generators, however, operate on rich-burn engines capable of operating at various Btu gas qualities. The engines are self-tuning, so if the Btu of the gas changes, they adjust and perform with no de-rate. The engines also operate a dual-fuel scenario, which ensures multiple fuel sources can be deployed as swiftly as diesel. If natural gas flow decreases, liquid propane takes its place. “When a well does start up and begins producing gas, this engine and this system has a feature that seamlessly switches and alternates between liquid propane and field natural gas,” Dickert said. “So when the well begins to produce gas, we switch the liquid propane over to well gas. If anything happens to the well itself as far as production goes, we’ll switch back over to an alternate fuel source for liquid propane.” These systems might not be the solution for every producer with power needs, but it worked for one of Aggreko’s customers in western Texas. This producer had limited access to utilities for eight months, forcing the company to shut in further production of the field and back off on capacity of the wells.

“A permanent solution to go in and clean this stranded gas up wasn’t economical, and it wasn’t economical to run diesel generation or any other type of alternative fuel generation because of the short time frame that they were waiting on utility,” Dickert said. This site elected to use a cleanup system for its stranded gas that featured self-abate towers to eliminate the scant amount of hydrogen sulfide found in the gas. The system also deployed a number of gas-liquid separators to dry out the stranded gas and run it in two 1-megawatt natural gas units. The entire system took less than a week to deploy. “This is taking natural gas that would normally be flared, and we’re generating temporary power with that,” Dickert said. “These units parallel to the utility grade, base load to the utility grid and put 2 megawatts onto the system.” By installing this system, Dickert said the producer generated about $18 million in additional revenue. Bigger than the revenue they gained by using natural gas instead of diesel, the producer opened up its drilling schedule once again and got its drilling rigs back into operation. “That’s a 10-to-1 payback utilizing natural gas,” Dickert said. “Natural gas, we feel, is definitely the No. 1 new alternative fuel source coming about, and we’re investing in it heavily. It is very, very reliable, it is flexible, and it is scalable.”

(NasdaqGM: CXPO) (“Crimson”) jointly announced today that they have signed a merger agreement for an all-stock transaction pursuant to which Crimson would become a wholly owned subsidiary of Contango. Upon consummation of the merger, each share of Crimson stock will be converted into 0.08288 shares of Contango stock resulting in Crimson stockholders owning 20.3% of the post-merger Contango. Following the merger, the combined company will be a premier Houston-based independent oil and gas company with a balanced offshore Gulf of Mexico (“GoM”) and onshore Texas production profile and a deep inventory of high-impact GoM prospects complemented by Crimson’s onshore oil and natural gas liquids-focused, lower-risk unconventional resource positions in several prolific plays. Pro forma for the merger, Contango’s net daily production for the quarter ending March 31, 2013 would be approximately 101 Mmcfe (31% oil and natural gas liquids) and the proforma combined company’s total proved reserves are estimated to be approximately 312 Bcfe (31% oil and natural gas liquids), based on SEC pricing at March 31, 2013. Pro forma PV10 of the estimated proved reserves of the

combined company would be approximately $932.5 million. The enhanced size and scale of the combined company and its conservatively capitalized balance sheet will position it to implement an accelerated oil and natural gas liquids-focused drilling program. This transaction is expected to be immediately accretive to cash flow per share for Contango. An Overview of the Environmental Regulations Affecting Air, Water and Rail Greg Lorson, Chief Exectuvie Officer, TEEMCO

There is no doubt the word “regulations” garners a variety of reactions when uttered among oil and gas industry executives. It doesn’t have to be that way, though, according to Greg Lorson, CEO of TEEMCO. He believes when handled appropriately, regulations are simply another aspect of the business, and the industry should work toward getting in front of local, state and federal agencies to avoid too much regulation.

“I’m very sympathetic to being opposed to overregulation,” Lorson told his colleagues at the Oil & Gas Awards Gulf Coast Industry Summit in Houston. “But if we look at what’s driving regulations and what will continue to drive regulations, we need to look at if there’s really a problem or not.” There is no doubt that spills are possible, and with production increasing as it has in the United States, the statistical risk for spills has increased, as well. Lorson said it is incumbent on the industry to continue to be diligent in spill preparation and prevention. With the Keystone XL and other pipeline projects on hold, crude transport by rail continues to grow. Lorson said 10 years ago, there were 10,000 railcars transporting crude oil. In the first quarter of 2013 alone, there were over 300,000. As a result, the U.S. Department of Transportation (DOT) released an emergency order earlier this year requiring the testing of crude shipments for flash point, boiling point, corrosivity to steel and for sulfur hydrogen percentages, among other characteristics.

Rail transport spilled 27,000 barrels of crude in 2013 – pipelines spilled three times that amount. However, pipelines move a lot more oil than rail does.

Some might consider this order the railroad industry’s problem, but it is quite the opposite – of the 100,000 railcars dedicated to transporting crude oil, 99 percent are owned by the oil and gas industry, according to Lorson. The alternative, of course, is pipeline infrastructure, which oftentimes is held up as the safer alternative for crude transport. The statistics are misleading for this argument, according to Lorson. Rail transport spilled 27,000 barrels of crude in 2013 – pipelines spilled three times that amount. However, pipelines move a lot more oil than rail does. “So we’d have to really take a hard look at that before we can declare which one is safer,” Lorson said. “Pipeline takes a lot longer to build, so for the foreseeable future, I think we’re going to continue to see an

increase in shipment by rail until that pipeline infrastructure exists.” In order to avoid overregulation from government agencies, Lorson urged attendees to follow the call to action from U.S. Transportation Secretary Anthony Foxx. He asked the oil and gas industry to create some standards and voluntarily comply with them to make transportation by rail safe. “So my thought is if the industry does respond that way, then we may be able to mitigate overregulation as far as rail transportation,” Lorson said. “As an industry, we’ve got to face the anti-oil lobby and we’ve got to earn our social license to operate. Largely we can do that by voluntary compliance and best practices.”

Health and Safety Issues You Can’t Ignore In the last 20 years, the oil and gas industry has made the safety and health of its employees and community members a top priority by hiring personnel to deal with these challenges directly. However, those efforts are for naught if executives are not driving their company’s safety programs. “Safety is really a management function,” Pat Plugge, General Manager of E&B Natural Resources, told attendees of the Oil & Gas Awards Gulf Coast Industry Summit in Houston during the panel discussion “Health and Safety Issues You Can’t Ignore.” “The biggest challenge for our safety folks is getting that buy-in from management. Everybody on that job site has to understand that safety and regard for safety training all comes down through the chain of command.” Management certainly will take notice of unnecessary spending, and the health and safety of employees can lead to cost savings, according to Plugge. Today, employers take that into consideration and make sure employees are operating safely. “As you started to look at it as a cost item and put dollars and cents to every incident you have out there, the light came on,” Plugge said. “People decided working safely is really something that helps us reduce our costs overall.” Companies can rely on outside resources to help make their operations safer. For instance, staffing agencies like Progressive GE bring experienced short-term employees to its clients that will buy into their health and safety programs. 54

According to Progressive GE’s HSE Consultant Stefan Hirniak, that isn’t always easy. “There are a lot of people out there who are there to make their day rate,” Hirniak said. “So when we’re going out and finding individuals, we like to have the goals of the organization in mind, and we’re making sure that we’re presenting those to the individuals who come on board so that they know these are the things we’re trying to drive within the organization you’re going to be working for.” Operators also should coordinate with local emergency medical service (EMS) agencies, especially if job sites are in remote areas difficult to access. Terry Sims shared his experience as HSE Manager of Buccaneer Energy, which has all its operations in Alaska. Buccaneer Energy brought local EMS officials to its onshore and offshore locations to exchange information and determine what each others’ strengths and weaknesses were. This came into play with a large accident that ended up claiming a life. Despite the fatality, Sims said because of the meetings between Buccaneer and local EMS, the company managed to shut down its

operation and maintain the area until state troopers arrived. Buccaneer also had an onsite trained medic and portable helicopter lighting system at the ready. Health and safety are other reasons oil and gas companies must deal with regulators. Jamie LaFleur, General Manager – Upstream Services East for Total Safety, has worked with auditors from the Bureau of Safety and Environmental Enforcement for offshore operations as well as Occupational Safety and Health Administration for onshore sites without the proper experience to conduct reviews. Instead of taking an adversarial position with these auditors, LaFleur helps educate them on the operations and to show how they are in compliance with safety standards. “What you’re going to get is guys that are less educated and not have quite as much field experience as you have seen in the past,” he said. “So part of what we want to do out there is make sure those auditors understand the business that we’re doing and to understand how we’re following their regulations. They are a very strict, very definitive set of regulations, and we just go through and kind of help educate.”

Government Keynote Briefing Rep. Pete Olson, (R-TX) 22nd District, United States House of Representatives

When introduced to the attendees of the Oil & Gas Awards Gulf Coast Industry Summit, U.S. Rep. Pete Olson (R-Texas) was described as a “friend of the industry.” In his responses to questions from the audience, he made it clear he believes President Barack Obama and his administration do not share his feelings.

“President Obama hates fossil fuels,” Olson said. “He hates coal, he hates oil, he hates gas – in that order.”

“It is important for national security that we become energy independent,” Olson said.

Olson, who represents the Texas’ 22nd district, cited the administration’s energy policy as the prime example of the angst against fossil fuels within the federal government. He said while the Obama claims to have an “all-ofthe-above” plan for U.S. energy, the reality is far from that.

Olson also accused environmentalists and “radical people from Hollywood” of using the Environmental Protection Agency (EPA) as a weapon against the oil and gas industry. He said that’s why the Republican-controlled House of Representatives slashed the EPA’s budget by 30 percent in the last two years.

“The administration has approved five projects, but we’ll see how many roadblocks they throw for the full permitting to go forward,” Olson said. “We can’t export natural gas fast enough in my opinion.”

Aside from Asian nations ready to power their economies, Olson said European nations are ready to move on from energy provided by Russia.

“The President says that, but it’s a little different,” Olson said. “He means above the land and the water, nothing below – no drilling. Until we have a change in the White House and the Senate, there will not be any progress on that issue.” A clear, concise energy policy – or, adhering to one that already exists, as Olson pointed out – is vital if America truly wants energy independence.

“It needs to be more because they’ve gotten way out of the box,” Olson said. “How many times has hydraulic fracturing contaminated drinking water in the United States of America? It’s the same number as our state income tax in Texas – zero.” Olson said he supports the export of liquefied natural gas because not only will it boost the American economy, but it can be used in foreign policy. “It’s good for America because, guess what? Those are American jobs,” Olson said. “The oil patch, the gas patch, the pipelines, the refineries, the ships – we do all that right here in Texas. Olson also cited India, South Korea and Japan – especially now that this nation has curtailed nuclear power after the leaks caused by the tsunami

Are We Losing The Public’s Confidence? Although the oil and gas industry has made great strides in cleaning up its reputation with the general public, there still is a lot of work to be done to gain its trust. Transparency and grassroots efforts to make person-to-person contact with critics and supporters alike are required to deliver the positive message about oil and gas’s role in the American economy. “You can no longer just think we can go out and spend 10 million bucks on a TV ad and, poof, we’re going to convince every single person out there how great fracking is and how great the things are that we’re doing,” Chris Faulkner, CEO of Breitling Energy, told attendees of the Oil & Gas Awards Gulf Coast Industry Summit in Houston during a panel discussion on community engagement. “I would hope that by now as an industry we’ve made a lot of headway, but we still have some challenges.” Faulkner cited an example of a question he fielded after delivering a speech in New Hampshire about the state of the U.S. energy industry. The woman’s question was, “Why should I listen to you because your industry has 100 years’ history of lying?” “The point was there’s this misconception – or maybe rightfully so since perception is reality – that our industry has been very cavalier and cowboy-ish and has done what it wants has not been transparent,” Faulkner said. “I think people see oil as ‘Big Oil,’ and ‘Big Oil’ for whatever reason comes across as negative. If you’re oil and gas, you’re kind of this evil person.”

Nationwide advertising campaigns will not eliminate this stigma on its own, according to Faulkner. He said the oil and gas industry should learn from the environmentalists who start grassroots efforts to gain momentum for their campaigns, and transparency is the way to go about this. “I think that the perception is so skewed of our industry that we still have a long way to go to be able to get the public into the fold,” Faulkner said. “The only way that is going to happen is through more FracFocus (.org), more transparencies, more openness.” Transparency and openness is of utmost importance during crisis situations, according to R.T. Dukes, Director of Candor Energy. With communication occurring at warp speed through the Internet – especially social media networks like Facebook and Twitter – it is no longer possible to do nothing after an accident and hope it goes unnoticed. “In today’s world, communication is so fast that you just can’t sweep things under the rug,” Dukes said. “If you come and say, ‘Hey, we made a mistake, or we had an accident, we’re doing everything in our power

to clean it up,’ most people are fairly level-headed when you’re open and honest and doing your best.” One way oil and gas companies can get their messages out during a crisis or in general is through social media. By utilizing Facebook and Twitter, Dukes said companies do not have to wait for media outlets to get the word out about their work. Instead, they can be their own publishers and actively participate in conversations about their companies and the industry as a whole. “Social media is really people saying, ‘I invite you to communicate with me as you would like,’” Dukes said. “So we should utilize that if people will invite you into their lives, and you can use that for commercial purposes.”

The matters submitted by Baker & McKenzie covered a wide range of transactional matters. There were both purchases and sales of acreage totalling over $1 billion; JVs that were multiphase and innovative in protecting their client; and a project with a multitude of agreements involving an international company. Also impressive were their ongoing efforts to influence policy; to craft legislation; be members of and sponsor organizations; and, to serve in leadership positions of outside organizations.

They pro-actively and effectively address the issue at the heart of the resistance to the upstream industry – fear of frac contamination. Working to substitute “scary” chemicals with food grade materials and then taking the initiative to reach out to the public with town hall meetings showed both courage and innovation. This is a model that can and should be replicated in all shale gas basins.

Managing change and adapting a family business is a difficult task. It appears Chris has been successful in this endeavour.

The deal creates a balanced portfolio of offshore Gulf of Mexico assets with lowerrisk onshore Gulf.

This transaction transformed the new company from an offshore Gulf of Mexico company to both an offshore and onshore company. This changes the risk portfolio of the company and provides dual paths of growth.
