August 2013 From
the
Chairman
You will have already received notification of the Annual General Meeting of the Homeowners Association which takes place on the 19th August 2013 and in this regard, there are a number of comments that I would like to add. In addition to the standard matters that are dealt with at an Annual General Meeting, which include the adoption of the Chairman’s Report, the financial reports for the previous financial year and the budget and levy proposal for the forthcoming year, we have a number of important special and ordinary resolutions that need to be considered and voted on by the Homeowners. The details of these resolutions are all included in the booklet of information that you received with your Notice of the Annual General Meeting. Interestingly, the transition from the old Companies Act to the new Companies Act has created a situation whereby the quorum
requirement for this meeting is 25% of all the voting rights and not the 80 members as was the case under our previous Memorandum and Articles of Association, as applied at last year’s Annual General meeting. As you will recall, at the special meeting we held in April this year, we did not have sufficient Homeowners in attendance to vote on the resolutions and as such, they were held over for this Annual General meeting. It is important therefore that homeowners attend this meeting and take the opportunity to vote on the resolutions that are to be tabled.
will be undertaken. Included with the Notice of the Annual General Meeting is a copy of the proposed Memorandum of Incorporation and proposed rules, together with summaries of the proposed changes to these two documents. Please familiarise yourself with these documents. In my opinion, it is extremely important that all Homeowners take the opportunity to vote on these matters as they form the bedrock of our Estate’s governance in the years ahead. I look forward to seeing you all at the meeting. - Graham Damp
In terms of the provisions of the new Companies Act, should a quorum not be present, the meeting will be postponed until the same time, a week later without further notice being given and then, the Homeowners who attend that meeting will form a quorum and voting on the resolutions
Let us celebrate women’s month by treating the wonderful women in our lives with that little extra care. Round off the month by joining us on a Charity Champagne Fun Walk sponsored by Pink Drive.

MINUTES 18 JULY 2013 “Charity starts at home”
Woodhill Country Club contributed their 67 minutes on Madiba Day by serving breakfast to our caddies and handing out food hampers. The hampers were sponsored by one of our valued corporate members, Mr. Gert Scheepers from ICC. We were overwhelmed by the appreciation and gratitude the caddies displayed for this simple act of kindness. The caddies are freelance agents who only receive a caddy fee when carrying a golf bag for the golfers.
Holiday
Club
Woodhill Country Club hosted their 1st holiday club during the July school holidays. The aim was to entertain our Estate kids in an educational and constructive manner.
The week kicked off with a Junior Golf Clinic on Monday and Tuesday introducing them to the game of golf. Wednesday a Junior Golf Competition was hosted. Friday the girls enjoyed a High Tea and the boys a Putting competition. Friday also produced an array of creative bead and sweet art. Well done to all our budding Picasso’s. A busy week came to an end with snacks and a movie night for the teenagers.
