the positive aspects of contingency clauses Every real estate contract usually has at least one contingency that must be satisfied for the deal to successfully close. You can think of a contingency as a escape hatch that can end a deal without penalty, if required conditions are not met. Contingencies allow for renegotiation of certain items or situations. Common contingencies are for: attorney approval, mortgage approval, interest rate caps for buyer, house inspection, septic & water inspections, review and approval of HOA rules and by-laws, and transfer of title contingency. In the case of commercial contracts; environmental tests and allowing for satisfactory determination of the business financials are typical contingencies. Realtors belonging to the Greater Rochester Association of Realtors (GRAR) use standardized contracts created by the Monroe County Bar Association and GRAR. These contracts make provisions for contingencies that allow buyers and their agents to tailor their offer in a way that allows all parties to be comfortable with their offer. Contingencies also protect buyers and sellers. When properly negotiated and written, contingencies smooth out difficult situations that prevent a smooth closings or bad buys. Contingencies must be written as part of the contract and cannot be added after the offer has become a valid contract that has been signed by both parties. Attorney approval contingencies allow attorneys to “disprove” a deal, without giving a reason. It protects buyers who need to terminate BEFORE their attorney gives approval, by instructing their attorney to disprove the contract. This clause is an equal opportunity clause since sellers can also decide to terminate, as long as they instruct their attorney to disprove it BEFORE issuing attorney approval. This could happen if a better offer comes in after the first offer has been accepted - BUT only before attorney disproval. Once approval has been sent, this is no longer an option. Attorneys can and do add additional contingencies, when issuing their attorney approval. For instance in a cash deal, the attorney may call for “proof of funds” if the selling Realtor has not yet received proof that the buyer has the funds to buy at the agreed price. Mortgage contingencies can protect both buyer and sellers, depending on the situation. Buyers are protected in several ways. The contingency clause in GRAR contracts specify closing is subject to the buyer securing a mortgage for the property by an agreed date. If the property is not mortgageable due to issues such as the buyers credit,
a faulty foundation or too old roof, the deal ends unless both parties negotiate a way to make it work. If the issue is house related, buyers might be able to obtain a 203k Rehabilitation Mortgage. Buyers unable to obtain a mortgage are entitled to their deposit, unless they did not submit required documents to the bank as requested in the time frame called for by the bank. This contingency clause also caps the amount of interest that the buyer will pay in case interest rates sharply increase prior to closing. A buyer may be able to afford an interest rate of 4.5% but not 9%. If rates jumped that high, the buyer could end the deal or possibly renegotiate the price. Sellers are also protected as the contingency sets a date that the buyer has to have a mortgage commitment by. If this is not met, and the seller wants out of the deal, they can instruct their attorney to begin the process to end the deal. Usually though, both sides will keep communication open and the contract alive if the situation allows. Often the delay is due to bank circumstances and most sellers will agree to a reasonable extension of the mortgage commitment date. Property inspection. This contingency calls for a satisfactory property inspection. An addendum is written with time limits allowing for inspection and negotiation of issues (if there are any). Also on this addendum are what inspections are being called for; a simple house inspection, chimney, pest, radon or lead inspections. This contingency allows for negotiation of issues that arise. The buyer has the right to raise objections that if not cured, can end the deal. The seller also has the right to correct them or not. If not, the deal will die. In cases when serious or safety issues are found, the seller will have to disclose them from then on in the “Property Condition Disclosure” required by New York State. These issues might be a dangerous electric box, faulty furnace and so on. This contingency is not an opportunity for the buyer to renegotiate the price, they are only negotiating the issues that need repair. This is also not an ironclad opportunity to walk away from a deal for the buyer unless the seller refuses to come to terms regarding repairs. Inspections are one of the most common reasons deals fall apart. Sometimes buyers and sellers are just not able to come to terms. Well and septic inspection contingency. Often, if the property is in the country and reliant on wells or septic systems, the buyer will usually ask for an inspection of these facilities. The addendum for these inspections spell out when they will take place, who pays for what and gives a time frame for
the buyer and seller to come to agreement if any issues arise, or the deal dies. Home Owner Association Bylaw & Rules Review. Some properties come associated with an HOA. This contingency protects the buyer, by allowing for a satisfactory review and approval of the bylaws and rules set by the HOA. This way the buyers are fully aware of the expectations of the HOA and are agreeable to the terms set forth. If this clause is not agreed to by a seller in this case, I would advise my buyers to opt out of the contract. There are few things worse than being stuck with a despotic HOA! Commercial real estate deals are usually more complicated than residential, and entail lots of details that need to be agreed upon. Among the most common contingencies asked for are inspection of the books and environmental inspections. Inspection of the books. One of the factors investment buyers base their decision to purchase on is purported income. Price is also determined by claimed income. A buyer will want to be certain through the accounting books that the property is indeed producing enough income to support the expenses. It is not unheard of that a seller will claim one income level without their books supporting the claim. In these cases, the buyer can walk away or attempt to renegotiate their price. Environmental inspections. Buyers wants to be certain a property is not environmentally tainted, which could cause issues or prevent later resale. When a mortgage is part of the deal, the bank will usually require a satisfactory “stage one” or “stage two” environmental inspection. If there are issues that cannot be resolved the deal dies. Transfer of Title contingency. If a buyer has a home to sell prior to closing on the one they want to buy, they usually will ask for this contingency, since most cannot afford two home mortgages and property tax bills. This contingency addendum outlines the time the buyer has to get a contract on
their home and when they need to close by. If they are not able to sell their home by the agreed upon time, an addendum can be written extending this deadline, if agreed to by both parties. If the home already has a sales contract and projected close date in place, but the deal does not close by that date; the seller and buyer attorneys will usually determine the issue(s) at hand and advise their clients as to what actions should be taken. This provides protections for buyers with a sales contract on their home in case the deal falls through. Sellers are protected because they are still able to promote their home for sale and look for a better offer until the contingency is removed by the buyer. If an offer comes in, the first buyer has an agreed upon time to remove the contingency, known as the “bump clause”. If they do not, then they are out of the deal and the seller can accept the new contract instead. This does happen, to the chagrin of both the first buyers and their Realtors! Buyers need to recognize that many sellers do not want contracts with title contingencies and will opt to pass on their offer. If the buyer also demands multiple contingencies be met and/or “lowballs” their offer or it’s a “hot property” sellers generally refuse these offers. One way to get the seller to consider the offer is by offering more than what the buyer normally would offer (as long as it will appraise that is!) and to not make many demands, hopefully enticing the seller. Contingencies are both complicated and yet common to all real estate contracts. A good Realtor or real estate attorney will explain the contingencies being asked for in the contract, whether on the buy or sell end. Contingencies are not to be feared, and as you can see, can protect not just buyers but sellers too!

Finished Basements In some parts of the country it is rare to even have a basement. In our region, most homes have basements and many are of considerable size. No matter how many single-story “ranch-style” homes you enter, it’s always amazing how big the basement is. With so much basement space at our disposal, it makes sense to try and use it as additional living space. Using basements as living or utility space is nothing new. Many older homes from the 1800’s used a portion of the basement, which was cooler than other areas of the house, as a summer kitchen. Today’s basements are used as workshops, artist studios, and more. Over the years, building codes and standards for finished basements have developed to improve the safety of these spaces. Unless the house was designed with a walk-out basement, most basements that were finished before the 1980’s don’t have large windows or doors. Low ceiling heights in older finished basements could result in “head-knockers” as well. When finishing a basement today, homeowners should apply for a building permit with the local town building department and get the proper inspections and sign-offs when finishing the space. Most building de-
partments have a pamphlet or document for homeowners to clearly explain the requirements for finished basement living spaces. These requirements are basically the same requirements that apply to all living spaces, including on the main levels of the home. Although they can vary slightly from town to town, New York State residential codes dictate the minimum requirements for new, finished spaces. Some of the main requirements include: • Minimum ceiling height of 7', although beams, ducts or obstructions can project down to 6' 8". • Rooms with a floor area of at least 70 sq ft and at least 7' in length and width. • Natural ventilation of not less than 4% of the floor area or equivalent mechanical ventilation. • Smoke and carbon monoxide alarms (hard wired, with battery backup, and interconnected). • Insulated walls with moisture barrier. • Bottom sill plates for interior walls that are metal or pressure treated lumber. • Permanently installed heat sources (usually supply and return registers). • Emergency egress window or another second means of egress.
Obviously, some homes have basements that do not have adequate headroom to properly finish the space. Other basements are damp or wet and need improved drainage and waterproofing so the investment to finish the space isn’t wasted. The most talked about requirement for finished basements is the egress window or the second exit. If a room will be a bedroom (i.e. a sleeping room), then there must be a second means of exiting the room (and a means of allowing fire rescue) directly from the room. If a room will be an office, fitness room, or recreation room, the second means of egress can be through an adjoining room. Although a second stairway and exterior door can provide the necessary second means of egress, the path of egress cannot be through a garage. Egress windows and the exterior window wells can take many forms. However, some of the applicable standards include:

At least 3' in each horizontal direction. • When the window well is deeper than 44", it must have a ladder or steps. • Window wells need proper drainage provisions. When purchasing a home that has a finished basement, it is good practice to check on whether or not the basement was finished with proper permits and approvals. If not, it makes sense to see what would be required to bring it up to modern standards. Many people choose to live with finished basements that are “pre-existing and noncompliant”. However, if the basement was finished more recently, without the correct permits and approvals, you could be opening yourself up to potential costs to finish the job correctly or to “un-finish” the space. According to the Asthma and Allergy Foundation of America, about one in every five adults and children suffer from allergies, including allergic asthma. Many health groups have recommended three simple strategies for effectively reducing indoor air pollution.
1. Control the source of the pollution. Remember to clean regularly, including changing sheets and vacuuming often. Wipe down all surfaces with an appropriate cleaning solution and discard clutter as often as possible. Consider replacing old shower curtains, floor mats and anything on which mold is likely to appear. 2. Adequately ventilate your home. Today’s homes are built more energy efficient to hold air inside avoiding heat loss in the winter and heat gain in the summer. Of course, what’s better for your energy bills isn’t necessarily better for indoor air quality. Opening windows may help circulate in the home. But remember to close them dur-

Do You Have the Urge to Purge? As I was shuffling through some old magazines, I came across some articles that I really wanted to save, but hated the thought of tossing my old cherished mags. They are like friends. When I receive one in the mail, I quickly make a cup of lemon tea, nestle myself in a cozy chair and have a one on one with a new treasure. Now that I own an iPad, I have contemplated the thought of reading my magazines on it, but I can’t bare the thought of not having a magazine in my hands to touch and devour every detail. So this year, I will keep most of them and take photos of the really old articles that someday I might just need to reread. Does this make me a hoarder? Should I call someone from NAPO [National Organization of Professional Organizers]? Do I need an intervention? Most people have too much stuff and not enough places to put it. The most unorganized places in the home are the garage, kids play rooms, any and all closets and the mail center [Magazines are included as mail]. Organizing the garage is a daunting but manageable task. It is all about creating
zones, a place for everything. The key here is to return everything to its place when you are done. Bikes hanging in one zone, along with golf bags hanging on a wall system, and all sport shoes hung neatly. Garden supplies on a potting bench and tools neatly hung on a peg board. You can easily paint the zones on the garage floor so even your youngest can find and return. Kids play rooms are a never ending battle. Find some type of wall storage unit with cubbies and go with it. Label the cubbies so trucks, cars, boats, dolls, and Legos have a home. The trick here is to limit how many toys are out. Put out a few at a time and rotate, your child will think he has new toys again and you will not be overwhelmed by the massive mess. Oh, and have a separate book shelf. If we could only grow closets! A good rule of thumb is when you buy a new clothing item, remove one and donate it, and if you haven’t worn it in a year, donate that too. I read somewhere that we use 80% of our closet space and wear only 20% of clothing in it. The space we tend not to use is the
vertical space. Add shelves and store rarely worn items, like gold lame spikes, hats and belts, and your ugly holiday sweater. Buy a hanging shoe rack and use it to store folded sweats. Store your shoes under the bed on a rolling storage unit. This keeps your shoe chaos in order. To keep your mail organized, purge most of it before you enter the house. Keep your recycle bin close to where you park your car. Sort and toss out your junk mail and papers first, only bring in bills, and of course your favorite magazines. Keep a few baskets by
the door or in the office to sort mail by person. Have a basket for outgoing mail too, close to the door. I rarely have the urge to purge. Instead I will make my box of donations as I tidy up after the holidays, and hope that my mail person will deliver a fresh copy of Country Living. Happy New Year!
