Contracted Buyer’s Agents

the difference between working with you and working for you This article is devoted solely to buyers and the question of buyers agency agreements or “Exclusive Right to Represent” contracts. Question: Would you rather have an agent work with you or for you? What’s the difference? Quite a bit actually. A trend that has been growing in New York State is the use of “Exclusive Right to Represent” contracts. This contract is a contract benefiting buyers and their agents in formalizing their relationship. Both sides understand very clearly their roles. In some states such as Texas it has already become law that sellers have representation and buyers have their own contracted representation. Only when a buyer and client have formally agreed that the agent is representing them as a buyers agent does an agent represent the buyer. Until that moment, an agent represents the seller, even if they are not the listing agent, in essence they are subcontractors paid for bringing in a buyer for the listing agent.   First, what is buyers agency? New York State Department of State devised a very basic disclosure form regarding agency. It explains in a very basic form the types of agency potentially involved in a real estate transaction such as Sellers Agent, Brokers Agent, Dual Agent and Buyers Agent. It defines what a buyer agents do and are responsible for in the transaction, including defining fiduciary duties. When signed it is not a contract between a buyer and an agent. At the top in bold letters it even states: “This is not a contract”. It is rather an acknowledgment that the buyer has been made aware of what the agent they are working with is legally responsible to do on their behalf.   An agreed to buyers agency is when an agent represents the buyer and acts in their interest. The agent is bound to the buyer and has a fiduciary duty to represent them and hold all information given to them by the buyer in confidence for life. This can be equated to as attorney client privilege. It is the agent’s job to do everything they can on the behalf of their client from securing the property they would like to buy at the best price possible to representing that buyer through the entire process to their buyer’s advantage, not the sellers. That buyer is a legal “Client”.   If the buyer is skittish and claims to not want representation or to commit to one agent, the agent they are talking with can continue to work with them, but they are not working for them. They are working with them as a customer. They are not bound by fiduciary duty to the buyer, but to the seller, even if they are not the listing agent. They are actually working for the seller on the seller’s behalf since they are bringing a “customer” in the door rather than their “client”. In this situation the buyer should not reveal any information that could be advantageous to the seller, since the agent is actually by real estate law required to inform the seller through their listing agent of any information that benefits the seller.   Confused yet? So are lots of agents! This is a very difficult concept to master and worse yet

to explain. To simplify matters, a serious buyer should consider seeking out an agent that will put in writing their relationship to the buyer and what it entails. Enter here, (taa daaa): Exclusive Right to Represent contracts. (ERR) Yes, a buyer can verbally agree to have an agent represent them but more and more agents are beginning to ask buyers to commit to working together formally in contract. Agents are requiring that buyers agree to and sign Buyer Agency Agreement or “Exclusive right to represent” contract. By doing so buyers gain several protections not afforded them, as do their agents.  One of the biggest advantages is there is no question who is representing who in a real estate transaction. The buyer is assured of their agents sole interest is in representing them. No, you do not need to sign a contract, but by doing so, the buyer and agent are agreeing to their roles in the deal and there is no confusion over who is responsible for what. These contracts contain very explicit detail as to what each party should do.  One of the first items is exclusivity. This means a buyer is “going steady” with their agent. They agree to contact an agent if they find a house they are interested in. They allow the agent to make arrangements to see the home. In exchange, the agent also agrees to leave no stone unturned to find the home of their clients dreams. When they have a signed ERR contract, they are more willing to literally go door to door in a tight market to find someone willing to sell in the neighborhoods their clients are looking for. They may actually send out mailings to prospective sellers telling them they have a buyer interested in that neighborhood, size or type of home, in hopes of finding a property not necessarily on the market, but could be available to buy if both parties reach agreement.

This exclusivity clause also protects a buyer who likes to go to open houses from unscrupulous selling agents hoping to possibly benefit from a dual agency contract, where they are on the sell side as well as the buying side. While many agents are successful in ethically and responsibility bringing a deal to close as dual agents, they are really representing the seller throughout the transaction leaving the buyer unrepresented. It is the agent’s responsibility to be honest and forthright with the buyer but inform them that they work for the seller. There are a few though fortunately not many unscrupulous agents that would take advantage of a desperate buyer.   One incident is told by an agent in NY State; her daughter went to an open house, fell in love with the home and the agent sensing this preyed on her desire. When they were informed she was represented by her mother (without a ERR contract), they told her that this house would be gone before the end of the open, there was no time to call her mother. She would have to write a contract then and there with the list agent to have a chance to buy. Imagine her mothers shock when her daughter told her that she bought a house with out her mothers real estate expertise. Had the daughter told that agent that she had an ERR signed, that agent would have backed off and no doubt the daughter would have bought the house anyway, but with her own representation. Contractually this woman was unrepresented in the transaction, if her mother had not been a Realtor, she would have been totally alone in the deal, with the seller and selling agent aligned against her. In this case, seeing the behavior of this agent, she was not well served.  Being represented by a buyer’s agent ensures that the buyer is properly protected through out the process. They have an agent who will

advocate for them in multiple ways. The agent will ensure the buyer is not paying too much for the home, especially when dealing with For Sale By Owners. The representing agent ferrets out information a buyer may not think to ask, will write a contract fair to their clients, ensure negotiations for inspections are completed fairly and makes sure all documents necessary have been seen, understood and signed by the client making sure there are no loop holes advantageous to the seller.   Agents confident enough to ask a buyer to sign an agreement are aware of their value in the transaction. They know that there are agents who do not ask for a contract, but they believe that they are a valuable commodity that benefits the buyer. They are unwilling to commit to a buyer who is unwilling to commit to them. And rightly so. Most buyers do not think about the costs incurred by an agent to help them find their own home. The agent pays for their education including bi-yearly continuing education courses, their local board memberships; which in Rochester is quite substantial. There is gas and car maintenance, office fees and costs, various association dues and many more fees to allow an agent to do the work needed by a buyer. The agents are aware that they have a team of proven assets such as inspectors, attorneys, repair persons, and various other persons involved in a deal that they bring with them and make available to their clients. An agent aware of their worth points out who else is willing to work months with no assurance they will be paid, which could happen if a realtor does not have an ERR contract. Their client could be working with multiple agents with out their knowledge. What agent wants to put time and effort in a client like that? Yes, if a home is never bought they are not paid, but at least if there is a buy they will be the ones earning their keep.   When balking at signing an ERR contract a buyer should be aware they are paying the agent indirectly since they are the ones bringing the money to the table to close the deal.   Why would they not want to chose their representation?

How Long Will It Last? As home inspectors and engineers one of the most common questions we are asked is how long a system or component in a house will last. Without being specific to any brand or type, here is a general guide to the average expected lifespan for these components. Furnaces   The most common type of heating system in our area is a gas fired forced air furnace. The life expectancy of a furnace will vary depending on the quality of the unit and how well it is maintained - much like a car. Higher quality cars that are well maintained end up providing more worry free miles.   Even a basic brand of gas forced air furnace should last at least 15 years if it is well maintained. Average-to-good quality furnaces should provide 20-25 years of useful life. Boilers   Hot water boilers are also common heating systems in our area, and to a lesser extent, steam boilers. As with furnaces, the quality and materials of the unit and the frequency of routine maintenance can affect overall life. On average, boilers tend to have a long lifespan. Thirty to forty years is not unusual.   It should be understood that many heating contractors will push for heating system replacement based strictly on the fuel savings that may be obtained by installing a

Whether it’s roofing, siding, windows, that new kitchen or an addition, remodeling is a costly investment and you should protect yourself before signing a contract. New York State regulates the sale of home improvement goods and services and applies requirements to most types of improvements costing over than $500. The law requires contractors to give you a contract that includes many provisions. The main ones are summarized below: 1. The name, address and phone number of the contractor must be on the contract. (Do not accept a P.O. Box number as the contractor’s address) 2. The exact amount of the project including progress payments. 3. A start and completion date, including any contingencies which would change the completion date such as bad weather. You may also want to include a penalty clause for running over the completion date. A $100 per day deduction off the contract price is common for every day that the project runs over the completion date. 4.  A clause that reads that “any progress payments received by a contractor from a customer can only be made if they bear a reasonable relationship to

the work actually done, materials purchased or related costs.” 5. Any payments received by a contractor from a customer prior to substantial completion of the job must be placed into an escrow account in a bank located in New York State within five business days and the customer must be informed where the money is held within ten business days. The contractor can only withdraw the deposit in the following circumstances: under the terms of the payment schedule agreed on by the contractor and the customers; upon substantial completion of the job; or if the customer violates the contract, but only to the extent that the amount covers the contractor’s reasonable costs. 6. A complete specification description of the work and materials, including brand names, model numbers and other identifying information. 7.  A consumer notice that reads as follows: “The customer has an unconditional right to cancel the contract until midnight of the third business day after the contract was signed. Cancellation must be done in writing. If the contractor or subcontractor who does the work is not paid, he or she may have a claim against the customer’s property under the Lien Law.

8.  Warranties and guarantees should be stated in the contract. Be sure to understand if the warranty or guarantee covers both the materials and labor and if they are prorated and transferable. For example a new roof job may warrant the materials for 25 years but the contractor may only warrant his labor for one year. There are penalties against contractors and consumers may sue for actual damages, plus a $500 penalty and reasonable attorney’s fees if the contractor has used fraudulent written statements to get the contractor to sign the contract. The Attorney General is also authorized to go to court to stop illegal practices and order contractors to compensate defrauded customers. Contractors can also face civil fines for violating the provisions of the law, especially with the protection of the customer’s payments.

• Check the contractor’s reputation with the Better Contractors Bureau, banks and suppliers. • Make sure when you decide on your contractor, that you are signing a contract that meets all the requirements of Article 36A of the NYS Business Law. • Do not pay a large deposit in advance of the start of the project unless it is for a specific reason such as special order (cabinets or windows, etc.) Instead negotiate a payment schedule tied to the completion of specific stages of the job. • Don’t pay the final payment unless you are satisfied and the job has been completed as per the contract specifications.

Things to Consider When Buying Waterfront Property We are lucky to be surrounded by water in this region and those looking for water-front properties have so many choices, whether lake front, pond, or river front! Buying waterfront property is not exactly the same as buying nonwaterfront homes. There are different factors to work with. One of the biggest is the question what potential use does the buyer want from their new property? Some prefer to just enjoy the beautiful view while others are activity minded and need their property to have very specific requirements.  Some of the important attributes of water front properties are the: View, Beach, Type of Lot, Closeness to Water,

Privacy, Restrictions and Utilities. Buyers should keep this in mind when looking since these are the factors they are paying for.   How is the view? Is there a view of the water? If there is obstruction, can it be taken away if so desired? Or, are there restrictions regarding cutting trees and brush away? A beautiful view is often one of the most important things to owners of water property, and will factor heavily into the resale of the property when the time comes.   What is the beach like, if there is one. Does the house have a rocky or sandy beach. If buyer wants to swim, they usually prefer a sandy beach. They should

find out if a beachfront property has an HOA which manages the beach front, if not, they will be responsible for maintaining it. They will need to learn what local rules and regulations are regarding the waterfront. Also, buyers need to find out how fluid the shoreline is. Does it change, drastically, due to erosion or silt deposits? Buyers should be very careful to make sure that the property they are planning to buy actually extends down to the water line, and if it does not, what is the possibility that the land between the property and water could be sold off to someone who would potentially build on it? (If that were to happen the “beachfront property” is no longer

In some communities the beach front is publicly owned and will not be sold off without first right of refusal going to owner of the property most close, in other communities the beachfront is part of the property.   Is the beach level with the house or located fifty feet below, and a walk down a set of stairs alongside a cliff is required to access it? Acronyms For Dummies!

When I was a teenager, my friends and I spoke a language we thought nobody else could understand. It was called pig-Latin. We would talk to each other in code and thought we were smart. We’d say etslay eetmay attay the ookstorebay. I don’t know if kids today know it or even want to.  A new and different language has been born. I don’t understand it still. Some of the easy ones I get, but others, ugh! Here’s acronyms for dummies.   We use this new language for social media, writing texts, emails and for every day communication on our computers. Personally, I don’t know if this new language was invented to save time or just drive us newbies nuts. For instance, I was told recently that I suffered from FOMO. I recall it was about a tv show that I had wanted to watch, something on HGTV surely. I replied, ok, I have a new affliction, what is FOMO?

It seems I suffer From the Fear of Missing Out! Quite quickly I replied LOL, which is Laugh Out Loud. I know that now, but thought for a long time it was Lots Of Love. Actually HGTV is an acronym for Home and Garden Television.  I have seen on emails AMA, which means ‘ask me anything’ and BTW stands for ‘by the way’ and when time has run out its GTG, ‘got to go’. Did you know that NVM means ‘never mind’, or NSFW is an acronym for ‘not safe for work’? I easily get JK, ‘just kidding’, and BRB, ‘be right back’.  There are harder acronyms too like HTML, I thought that stood for ‘hotmail’, but no it is very technical, ‘hyper text markup language’. I don’t even know what that means!! It seems I have a very limited UX, or ‘user experience’. There are confusing acronyms like MT ‘modified tweet’ and RT which is simply a

‘retweet’. The difference being is a MT is shortening a tweet that you are resharing and a RT is when you publish another’s tweet. Get it? Not me! LOL!   Some easy acronyms exist, like FB, YT, LI and BFF, and others like FYI and IDK and IMHO.  So, IMHO, I think this is all TMI. Maybe I have UX and suffer from

FOMO a little. BTW it is NBD and PPL who OH me, LOL. TL;DR!!!
