The Art of the Counter Offer why you should use this tool with care

Rochester’s home sales market is beginning to hum. Buyers are out looking and offers are being made! Understanding counter offers helps buyers and sellers to successfully come to agreement on a deal for a property. One of the trickiest items to navigate is the “counter-offer”. There is not one experienced agent out there that hasn’t heard a buyer casually toss out “we can JUST have the seller counter-offer when they don’t like our offer”. And there isn’t one experienced agent that doesn’t immediately begin to explain the true nature of counter-offers and how to successfully use them in a sale situation. Unfortunately there are those (seller and buyers) that refuse to listen and thanks to misunderstanding the true purpose of counter-offering, the deal falls apart before it gets going.   What is a counter-offer? It is in essence, another offer based on the original offer, submitted back to the other party. Sometimes there is a term in the offer that the seller doesn’t agree to. Their agent might suggest that they counter the offer with their preferred term(s). The body of the original offer comes back to the buyer with the changes the seller stipulates necessary to come to agreement. The buyers can agree, try to negotiate further or walk away. Counter-offers can change closing dates, sellers concessions, pre-possession requests, the reasons are unique to each deal. Counter-offers fine-tune the contract to satisfy both parties. There is no limit to how many counter-offers can go back and forth between both parties, but most agents would agree that the more counters, the less likely the deal will come together.   One of the most common reasons counter-offers are written is when the offered price is not agreeable to one of the negotiating parties. If the difference is not too great, then the suggestion would be write a counter. A counter-offer can bring both parties together, often in the middle. This successful outcome is the most common counter-offer scenario with Rochester real estate deals.   There are cases where a buyer is unrealistic on price. Most agents have been out with such buyers. Some continue to think we are solely in a “buyers market”, when we really are in a mixed market. Often these buyers consider themselves experts in real estate, when most often they’re not. They may have been paying attention to home sales and market trends, but too often neglect the nuances agents must understand and consider when conducting a price analysis. They refuse to use their agents comparative market analysis (CMA) of the home the buyer wants to put an offer on. Their refusal usually includes the following sentence: “If they don’t like the price they will counter-offer”. Umm, no, not always.

Home selling and buying has its own unique psychology. Sellers are attached to their homes and while some may over-estimate the value of their home, most understand its real value. When an offer comes in that grossly undercuts that perceived value the first response the seller has is often anger, followed by feeling insulted and then feelings of distrust of the buyer, buyers agent and sometimes their own selling agent. If too low, an adversarial atmosphere is developed, making a successful conclusion to the sale difficult and sometimes impossible. In these cases, most sellers refuse to respond to the offer. Their agent will get back to the buying agent and tell them such, only to hear: “Well, have the seller counter.” If the seller refuses, a good buying agent will try again to educate their buyers and suggest re-submitting a more realistic offer. If they do, often the sellers will forgive the “faux pas” on the part of the buyer, to get their home sold, but not always. It depends on how motivated the seller is. When dissecting these situations, usually what happened was that the buyer decided to toss a low-ball offer out, hoping it would be accepted, so that they would be the “winning party” in the deal. This buyer fully believes that the seller is so desperate to sell they will accept almost any offer, or will counter-offer at a price point that would be lower than might normally be come to. But the reality is that such desperate sellers are rare in our regional market. So the actual outcome is usually no counter-offer, no deal.  When countering, time limits for response are important, to move the process along. Buyers must be especially aware during the negotiation process of counteroffers, the house is still on the market and another buyer can come in and scoop the house out from under them. I have shown homes that had offers that were being negotiated and submitted offers that were in the end more favorable to the sellers, the result, my clients got the house. In these scenarios before going to see the house, I tell my buyers the situation and school them that their first offer has to be their best and final offer since they are in competition with another buyer. Sadly for the other buyers, several times I’ve had buyers willing to pay closer to the sellers expectations and chose not to haggle over details because they wanted the house more than a good deal. The sellers welcomed my buyers as being more reasonable and went with their offers instead of haggling over details with the first buyers.

There have been times when I had sellers reject offers as too low. I went to the buyers agent and explained that the price was too low and my sellers did not want to bother with a counter offer. They were still open to an offer from those buyers. If the buyers are still interested in the home, I asked the agent to write and resubmit another offer. Sometimes they do. Similarly I have been in that buyers agents shoes. After rejection, I always asked my buyers: “How badly do you want this property?” If the buyers wanted it, I would again pull out my CMA and review it with them. Most often the buyers become aware that they may have made incorrect assumptions on property values and decide to submit a higher offer. And often they ended up making those properties their own.   Just because a counter offer was submitted does not obligate the buyer or seller to respond. The most important thing at this point is for the agent of the party that extended the counter to find out why there was no response. Sometimes the deal can be salvaged. Either seller or buyer can ask that their Realtor reach out. Some agents don’t think about doing so, others don’t want to bother and want to find other low hanging fruit instead. If the seller rejects the counter, the buyers agent should inquire why and then try to find out what might be acceptable to the buyer. The reverse being true on the sellers part if their counter was rejected. Sometimes the terms end up working for all parties, but they just needed open communication to get there, through co-operation and by not taking adversarial stances.  Clients should expect their agents to be accountable - all counters should be in writing. I recently had a deal where my buyers offer was verbally countered. I received a call from the selling realtor and was told a “drop-dead” sales price that the

seller absolutely had to have and that my buyers would have to use the lender of the sell agents choice. My client was outraged and stopped me as I was telling him the terms. A loud “no, we’ll keep looking” was his response. Imagine my surprise when the buyer called me and told me the seller contacted him, having his phone number from the offer paperwork. My buyer told the seller what the sellers agent had come to us with and the seller, after expressing shock and anger, said no - he wanted to negotiate a deal. And no, he did not care what bank was being used. He wanted to sell! Fortunately for all, a deal was struck. If that counter had been in writing the seller would have had an idea what was being negotiated on his behalf. As it was, the deal was dead until the seller took it upon himself to call. Not all agents include full contact information on the contract and so this happy outcome does not always happen.   Sometimes agents will verbally negotiate until an agreement, or not, is made. That is acceptable. But ultimately, all agreements must be in writing. Any “drop dead” terms should come in writing and not verbally. Had the sellers response been written, this sellers agent would not have been able to jeopardize the deal as he did. My buyers were lucky this time around, since they really loved the house. Had that owner not gone around his agent, the deal would have been dead. His agent as not a cooperative agent and did not try to find a way to make the deal work. Had he done so, the deal would not have died in the first place.   Counter-offers have their place in the art of buying and selling homes, but they must be used judiciously. They are a tool for negotiation. Both buyers and seller must approach using this tool in the spirit of creating a win-win situation for both parties. If this is done a transaction will come together and end in a positive outcome for both parties.

Back-Up Sump Pumps With the somewhat porous masonry block basements that are commonplace in our region, along with the floating slab floor drainage systems, a reliable means of pumping water out of the sump is important to protect the basement and all of the items and equipment contained therein.  Every year, some part of our region will be the unlucky recipient of a serious storm. When this occurs, the power can be interrupted to thousands of homes throughout the area. These interruptions can last anywhere from a few minutes to a few weeks. Couple this with other “normal” interruptions of electrical power and there is a significant potential for your primary electric sump pump to be out of commission.   There are several means of providing a backup sump pump, or at least a backup means of pumping water out of the basement in the event of a power failure. Battery backup pumps, water-powered pumps, portable emergency generator connections and whole-house gas fired generators are all potential solutions. These methods provide varying degrees of reliability, endurance, and additional benefits. Battery Powered Pumps - Perhaps the most economical method of backing up a sump pump is with a battery backup. There are many available and they vary in size and capacity. Costs vary, but are typically in the range of $200 to $400 for the pump and accessories, plus $75 to $300 for the battery. If installing this on your own, the cost would be $300 to $700. If hiring a handyman or plumber, you might spend $600 to $1,000.   Basically, these backup pumps consist of a second, individual pump that sits in the sump alongside of the primary electric pump. The float or actuator for the

pump will typically be set several inches above the main pump. That way, if the water level rises above the level that the main pump can typically maintain, the backup pump will automatically turn on.   Usually a buzzer or alarm will sound to let occupants know that the battery backup pump is in use, typically due to the main pump needing service or a power outage.   Once the battery backup pump is operating, there is a limited run-time for the pump. Typically, this varies from between 6 to 12 hours of run-time. During an extended power failure, this may not provide enough time to fully protect the basement, but it does provide a time “cushion” during which a generator or alternative pumping means could be set up. It is also adequate for power failures lasting for only a few hours. Water Powered Pumps - A step above the battery-powered pump is the waterpowered backup sump pump. These are popular due to their relatively low first cost, along with the fact that they will run indefinitely, as long as there is a pressurized source of municipal water to the house. Obviously, this is not a good solution for homes with a water well.  Although there are different models, the most widely used water-powered pumps only cost $120 to $300. However, there is some water piping necessary, in addition to drain piping. Further, the local water authority requires a type of back-flow preventer on the water supply piping to the pump. This may actually cost as much as the pump. Together, the cost could range from $250 to $450 selfinstalled or $450 to $700 installed by a contractor.  There is no alarm to let occupants know that the water powered pump

has activated, as these are typically loud enough for you to hear them engage and disengage. These pumps should be checked periodically for leaks in the piping and valves and a type of flow alarm on the piping is a good accessory to consider to let you or your security provider know when the pump is in use.   Water-powered pumps will run as long as the water pressure from the municipal service is adequate (usually 30 psi is required). These pumps also use a lot of water that you will be billed for when the pump is needed. Portable Emergency Generators - If the power to the house is interrupted, the best solution is to have a backup source of power. One method is to use portable gasoline powered generators. There are many models available with a huge variation in price based on brand, capacity, features, and more. Prices for a generator can range from $100 to $5,000.  There are small generators that can simply be operated outdoors near the basement with an extension cord running to the sump pump. However, for greater reliability, and to power other appliances such as the furnace and the refrigerator, a larger portable generator and a manual transfer switch are a better choice. This allows safe connection and operation of the outdoor generator and eliminates the risk of back-feeding the utility company service. The transfer switch has fuse or circuit breaker protection for the specific circuits as well. Transfer switches can cost from $250 to $400, plus installation by a qualified electrician.   There are high water level alarms available for sumps that are battery powered or connected to the security system of the home. These are helpful to alert you when the pump fails and when you

need to get the generator connected and working. As long as you can keep the generator running and working, you can run the sump pump. In homes where constant pump operation is a possibility, having a second primary pump available in the event of a pump failure is a good idea as well. Whole House Generators - The Taj Mahal of backup pumping provisions is the whole house generator. Permanently installed natural gas powered generators provide the most reliable backup option. Along with an automatic transfer switch, a whole house generator can automatically supply power to most, if not all, of the house, including the sump pump. High quality comes at a high cost, and the installation of a whole house generator can run from $4,000 to $15,000.  As with any mechanical equipment, generators require maintenance. The whole house generator will typically run once per week for several minutes to “exercise” the unit and help charge the internal electric start battery. Similar to a car, there are air filters, oil filters, oil changes, etc. If you are not familiar with changing the oil in your car, you will want to consider a service contract to maintain the generator to make sure it is always ready for operation.   A backup means of pumping water out of the basement is not always needed. Some basements have gravity drains and don’t require pumps. Some pumps never run because the sump never accumulates water. But for basements with pumps that run frequently a backup means of pumping is good insurance.

Whether it’s roofing, siding, windows, that new kitchen or an addition, remodeling is a costly investment and you should protect yourself before signing a contract. New York State regulates the sale of home improvement goods and services and applies requirements to most types of improvements costing over than $500. The law requires contractors to give you a contract that includes many provisions. The main ones are summarized below: 1. The name, address and phone number of the contractor must be on the contract. (Do not accept a P.O. Box number as the contractor’s address) 2.  The exact amount of the project including progress payments. 3. A start and completion date, including any contingencies which would change the completion date such as bad weather. You may also want to include a penalty clause for running over the completion date. A $100 per day deduction off the contract price is common for every day that the project runs over the completion date. 4. A clause that reads that “any progress payments received by a contractor from a customer can only be made if they bear a reasonable relationship to the work actually done, materials purchased or related costs.” 5.  Any payments received by a con-

tractor from a customer prior to substantial completion of the job must be placed into an escrow account in a bank located in New York State within five business days and the customer must be informed where the money is held within ten business days. The contractor can only withdraw the deposit in the following circumstances: under the terms of the payment schedule agreed on by the contractor and the customers; upon substantial completion of the job; or if the customer violates the contract, but only to the extent that the amount covers the contractor’s reasonable costs. 6.  A complete specification description of the work and materials, including brand names, model numbers and other identifying information. 7.  A consumer notice that reads as follows: “The customer has an unconditional right to cancel the contract until midnight of the third business day after the contract was signed. Cancellation must be done in writing. If the contractor or subcontractor who does the work is not paid, he or she may have a claim against the customer’s property under the Lien Law. 8.  Warranties and guarantees should be stated in the contract. Be sure to understand if the warranty or guarantee covers both the materials and labor and if they are prorated and transferable. For example a new roof job may warrant the materials for

This morning like every morning, I think about what to make for dinner. I love to cook, I hate trying to decide what to cook. Jamie will eat anything, so that’s not the problem. He is a joy to cook for, I always tell him that I can hear him make ‘fly’ noises when he eats, or I tell his friends he enjoys every meal as if it were the last supper. I just don’t want to be too repetitive or boring while meal planning and I enjoy the creative side of cooking. Tonight I have decided to make mac and cheese. We were out for dinner last week at a very lovely restaurant and on the menu was mac and cheese with lobster. This ordinary staple of the sixties has become vogue! Who knew that little blue box of tiny elbows and powdered cheese would evolve into a gourmet choice on a menu. I have also noticed on menus, mac and cheese with truffle oil. Truffles are uber pricey and have grown in popularity especially with the Barefoot Contessa. The sound of truffles doesn’t appeal to me, especially knowing they are

a fungus that grows underground, mainly in France and Italy. They are sniffed out by trained dogs or pigs. But Ina revels in them so they must be excellent in recipes. I have seen her grate the truffles and put the shavings into oil to infuse it and probably makes that truffle last a bit longer. Another change I have noticed on menus is that elbow macaroni is out. The new pasta of choice for mac and cheese is Cavatappi. Cavatappi in Italian means corkscrew. This pasta is hollow and has ridges to hold all that gooey cheese sauce, it’s a design thing. Cheese sauce must slide off of spaghetti, or fettuchini is just too thick. I like shells for my mac and cheese, not the little ones or the giant shells used for stuffing, but a nice medium shell. Although we know I never measure ingredients, I will share my mac and cheese recipe with you. 1. Cook one pound of medium shells in boiling, salted water to a bit under al dente. 2. In a sauce pan make a roux, which is melt 2 tablespoons of butter and add 2

tablespoons of flour. Cook for a few minutes. Then add 4 cups of warm milk, slowly stir with a wisk. I use a figure 8 stir, why? I don’t know, but my mom did it that way. 3. Add 4 cups of shredded cheese. Any kind will do, but cheddar is good mixed with swiss. 4. Add a pinch of salt, pepper, chili powder and paprika. 5. Drain the pasta, pour over the cheese sauce and you are almost done.

6. I slice a tomato thinly and arrange it on top, then sprinkle the whole casserole with panko or some kind of breadcrumbs. Bake at 375 until it is bubbly. You will enjoy this.   You may even make ‘fly’ noises!
