Commodore’s Message

Welcome to the 2024-25 sailing season. We are proud to present our sailing programme for the coming season. The format will be familiar to our regular members as we continue to offer our successful core series and events. Please also keep an eye on the website and the mainsheet for further information on these and moreeventsonandoffthewateroverthecourseoftheyear.

As well as our club racing, there’s some significant events on our calendar this season. Just after this goes to print, Emirates Team New Zealand will be sailing in the America’s Cup. Go ETNZ! And then a few months later, SailGP will be sailing in Auckland. Go Black Foils! There will be member events around both major events, socheckoutwhat’son–viatheMainsheetandwebsite.

I encourage all members to participate in club activities as much as they can. So often we reflect on the idea that the more you put into a club, the more you get out of it. If you want to be a prize-winner, sail every race. If you want to get the most out of the club, get involved in more series or events and stay afterwards for a catch up with mates old and new. I encourage you to check out our new-look website and findsomethingnewandputitinyourdiary.

While I’m talking about participation, it would be great if more boat owners entered their boats in the Barfoot & Thompson Women’s Series. The rules require half of the people on board and the helmsperson to be women, which means that there is also plenty of room for you and some of your regular crew. And what better way to train up some new crew for the crew list? We have lots of women keen to be allocated to aboat,includingsomewhowouldmakeverycompetenthelmspersons.

Club History

Auckland’shillsandshoreswraparoundthesparklingWaitemataHarbour,makingitanaturalvenueforboatingofall types. The foundations of the city as we know it today were laid in 1840 and the occasion was immediately marked by a regatta. It was an appropriate portent of things to come as yachting and boating flourished and ultimately grew to enjoy an international reputation. The Royal New Zealand Yacht Squadron traces its origin back to the 1871 incarnation of the Auckland Yacht Club, which began with 30 yachts and 120 members on its register. By then, the city had grown into a much more substantial and thriving enterprise, with the harbour playing a central role in its progress.

By the turn of the century, yacht racing was a flourishing sport, attracting crowds of spectators, keen punters and detailed reports of intense sporting rivalries in the local newspapers. Under the leadership of some of the city’s prominent captains of industry and commerce, the AYC showed continued growth. A tremendous rivalry between the Logan and Bailey boatbuilding families spurred the growth of an outstanding fleet of racing yachts, most of which joined the AYC fleet. In 1901, the AYC changed its name to the New Zealand Yacht Squadron. The following year the Squadron celebrated a major milestone when it received a warrant in the name of King Edward VII, elevating its status to a Royal club. With this recognition membership numbers almost doubled from 157 in 1901 to 300 in 1903.

During both World Wars, yacht racing was largely suspended in Auckland. Members of the RNZYS served in all theatres of both wars and in all the armed services, while those who were not able to serve abroad were involved in harbour defence and patrol duties. To accommodate steady growth, the Royal New Zealand Yacht Squadron moved through a succession of rented premises in the city until in 1955 it bought a handsome two-storey brick house in Parliament Street with sweeping views over the Waitemata Harbour. A decade later, the RNZYS leased an existing building, which had long accommodated the popular Trillo’s cabaret and dancehall at Westhaven. Westhaven had been earmarked for the establishment of a major city marina and the establishment of a foothold there was a strategic move for the future. For nearly a decade, the RNZYS retained its Parliament Street headquarters in the city butin1975itwasdecidedtomovepermanentlytotheWesthavensite.

From the 1960s, the RNZYS was at the forefront of a steady rise in international competition. In 1966, James Davern sailed his yacht Fidelis across the Tasman Sea and swept to line honours victory in the gruelling 630 mile SydneyHobart Race. Fidelis set a new race record and the 17-hour margin between 1st and 2nd stood for many years as the longest in the race’s history. Three years later, Chris Bouzaid and an RNZYS crew aboard Rainbow II took on the elite of international yacht racing, winning the prestigious One Ton Cup in Heligoland, Germany against a line-up of seasoned competitors from the USA, Germany, Italy, Belgium, Sweden, Holland and Switzerland. On the foundations laid by these successes, the RNZYS trophy cabinets have played host to some of the biggest prizes in world yachting including the Half, One and Two-Ton Cups, the Admiral’s Cup, the Kenwood Cup, the Champagne Mumm WorldCup,theWhitbreadRoundtheWorldTrophy,theLouisVuittonCupandtheAmerica’sCup.

Carrying the RNZYS burgee into battle, Team New Zealand won the America’s Cup in San Diego in 1995, then successfullydefendeditontheHaurakiGulfin2000.Bothmatchesweredecisivelysettledwith5-0victories.

After losing to Switzerland in 2003, the RNZYS became the only yacht club in the world to challenge and win the America’s Cup twice when Emirates Team New Zealand scored a 7-1 victory over Oracle Team USA in Bermuda in 2017. In both intervening Cup regattas – at Valencia in 2007 and San Francisco in 2013 – Emirates Team New ZealandwontheLouisVuittonChallengerseriesbutfellshortintheAmerica’sCupMatches.

On the back of the success in Bermuda, however, the America’s Cup returned to Auckland to take up residence in theRoyalNewZealandYachtSquadrononcemore.

Coinciding with the Royal New Zealand Yacht Squadron’s 150th sesquicentenary in 2021, Emirates Team New Zealand successfully defended the 36th America’s Cup in Auckland, defeating Luna Rossa Prada Pirelli 7-3. The Defence of the 37th Americas Cup took place in Barcelona, Spain. Where Emirates Team New Zealand, successfully defended the America’s Cup, defeating INEOS Britannia 7-2, confirming for the third time in a row the Royal New ZealandYachtSquadronistheHomeoftheAmerica’sCup

In 2024, Gillian Williams was named the first female Commodore of the Royal New Zealand Yacht Squadron, a landmarkmilestoneintheClubs’153-yearhistory.

Capacity and powers: TheSquadronhas,bothwithinandoutsideNewZealand,fullcapacity,rights,powersand privilegestocarryonorundertakeanyactivity,doanyact,orenterintoanytransaction,subjecttothis Constitution,theAct,anyotherlegislation,andthegenerallaw. 3.1

4. Members

Application: AnapplicationtobecomeaMember(Application)mustbeintheformrequiredbytheGeneral Committee.

Nomination or interview: EachApplicationshallcomplywitheither:

a)

AcandidateforMembershipmustbeproposedbyoneMemberandsecondedbyanother,bothofwhom shallhavebeenMembersoftheSquadronforatleastthreeyearsandknowntothecandidate,anda recordofthenominationshallbekeptforthatpurpose;or

b)

ShouldacandidatenotknowmemberswhoqualifytosupporttheirapplicationasperRule4.2(a)an interviewshallbeconductedbyadelegatedstaffMemberorrepresentative,andabriefbiography providedbythecandidateforthepurposeofrecommendation,

anduponreceiptofthefullentrancefeeandsubscriptionbeincludedinthenextballot.

ACorporateMembershipmayincludeanumberofClubhouseMembers,withthepersonentitledtothat membershipnominatedbythecorporateentityfromtimetotime.

4.8.9

HonoraryMembers

ExOfficioHonoraryMembers:TheGeneralCommitteemayinviteandadmitthefollowingasHonorary Members:

(a)OfficersoftheNewZealandNavy,AirForceorArmy;

(b)TheMayorofAucklandCouncil;

(c)TheAucklandPoliceCommander;

(d)TheAucklandHarbourMaster;and

(e)TheChairoftheAucklandCoastGuard,

andfollowingconsenttomembershipbysuchperson,themremaininganHonoraryMemberfortheterm ofhisorheroffice,unlessotherwisedeterminedbytheGeneralCommittee.

ElectionofHonoraryMembers:HonoraryMembershipmaybeconveyedonanypersonasfollows:

Consequences of ceasing to be a Member: AMemberwhoceasestobeaMember: remainsresponsibletopayalltheiroutstandingmembershipandotherfeestotheSquadron; mustreturnalltheSquadron’spropertyifrequired; ceasestobeentitledtoanyrightsofaMember.

Membership fees: TheGeneralCommitteewilldecideanymembershipandotherfeespayablebyMembersand theduedateforthosefees,includingdeterminingdifferentlevelsofmembershipfeesandotherfeesfordifferent typesofMembers,subjectto:

anyincreaseinsubscriptionpayableacrossthevariousclassesofMembersbeingdeterminedby: (i)apercentagebasedonmarketcostfactorsforthatyearaheadincludinguseofthepreviousyear’s ConsumerPriceIndex;and (ii)includinga‘capitalimprovement’levynotexceedingtenpercentoftheMembershipfeeforanyone year.

IntheeventtheGeneralCommitteehasreasontorequestagreaterincreasethaninaccordancewiththe precedingparagraph,anygreaterincreasebeingapprovedataGeneralMeeting.

IfthereisnochangerecommendedbytheGeneralCommitteethenthepresentsubscriptionshallremain forthefollowingyear.

Entrance fees:

TheGeneralCommitteeshallhavepowertofixtheentrancefeefromtimetotime.Theentrancefeeof eachcandidatemustbepaidbeforenominationforMembershipcanreceiveapproval.Shouldthe candidatefailtobeelectedtheentrancefeeshallbereturned.

Waiver of membership fees: TheGeneralCommitteeshallhavethepowerinanydeservingcasetowaivethe wholeorsuchportionofanyMember’smembershipfeesasitshallfromtimetotimethinkfit.

Member register: TheGeneralCommitteewillkeepanup-to-dateMemberregister,whichincludeseach Member’sname,ContactDetailsandthedatetheybecameaMember.AMembermustprovidenoticetothe SquadronofanychangetotheirContactDetails.TheMemberregisterwillbeupdatedassoonaspracticableafter theGeneralCommitteebecomesawareofchangesintheinformationrecordedintheMemberregister.The GeneralCommitteewillkeeparecordofthosewhohaveceasedtobeaSquadronMemberwithintheprevious7 yearsandthedateonwhichtheyceasedtobeaMember.

Yacht register: EachMemberwhoownsaYachtshallinformSquadrontheparticularsoftheYachtastheGeneral CommitteeshallbyRegulationsfromtimetotimerequire.ParticularsshallbeenteredintheSquadronRegisterof YachtsandnoYachtshallbeentitledtoanyoftheprivilegesoftheSquadronuntilsuchentryismade.Any alterationtoanyYachtaffectinghersailingperformanceshallbenotifiedtotheGeneralCommittee,whoshallnote thesealterations.

General Meetings

AGM: AnAGMmustbeheldonceayearatthetime,dateandplaceastheGeneralCommitteedecides,butnot laterthanthelastdayofAugustineachyearandnotmorethan15monthsafterthepreviousAGM.

Notice of AGM: TheMembersmustbegivenatleast18days’noticeoftheAGM.Suchnoticewillbesentto MemberstotheirlastknownemailaddressunlessaMemberhasrequestedinwritingthattheyrequireanysuch noticetobepostedtothem.SuchnoticewillalsobepostedontheSquadron’snoticeboardandpostedonthe Squadron’swebsite.Thesendingofane-mail,orwhererequestedthepostingofsuchnotice,willbedeemed sufficientevidencethat18days’noticehasbeengiven.

Functions and powers: Subjecttoanymodifications,exceptions,orlimitationscontainedintheActorinthis ConstitutiontheGeneralCommitteemustmanage,directorsupervisetheoperationandaffairsoftheSquadron andhasallthepowersnecessaryformanaging,andfordirectingandsupervisingthemanagementof,the operationandaffairsoftheSquadron.

Composition: TheGeneralCommitteeconsistsoftheCommodore,theViceCommodore,theRearCommodore anduptosixotherpersonselectedattheAGM.AtleasttwooftheFlagOfficersandatleastthreeoftheGeneral CommitteeshallbeYachtowners.AllGeneralCommitteemembersmustbeMembers.

Role of Commodore: ItshallbethedutyoftheCommodoretotakecommandoftheSquadronandpresideatits meetings.

Role of Vice Commodore: ItshallbethedutyoftheViceCommodoretoassisttheCommodoreinthedischargeof hisorherdutiesandtoofficiateintheCommodore’sabsence.

7. General Committee meeting

Calling meetings: GeneralCommitteemeetingsmaybecalledatanytimebyaFlagOfficerorbythreeGeneral CommitteeMembers,butgenerallytheGeneralCommitteemeetsmonthly.

Meeting procedure: ExcepttotheextentspecifiedintheActorthisConstitution,theGeneralCommitteemay regulateitsownprocedure.

Quorum: ThequorumforaGeneralCommitteemeetingisfiveGeneralCommitteeMembers(includinganyFlag Officers). AnyGeneralCommitteeMembermaybecountedforthepurposesofaquorum,participateinanyand voteonanyproposedresolutionataGeneralCommitteemeetingwithoutbeingphysicallypresent.Thismayonly occuratGeneralCommitteemeetingsbyaudiooraudio-visuallinkorotherelectroniccommunicationprovided thatallpersonsparticipatingintheGeneralCommitteemeetingcanheareachothereffectivelyand simultaneously.

Chair: TheCommodorewillchairGeneralCommitteemeetings.IftheCommodoreisunavailable,themostsenior FlagOfficerpresentshallpreside.IfnoFlagOfficerispresent,aMembermaybeelectedbyamajorityofthe Memberspresent.

Voting: EachGeneralCommitteeMemberhasonevote.VotingisbyvoicesoronrequestofanyGeneral CommitteeMemberbyashowofhandsorbyaballot.Proxyandpostalvotesarenotpermitted.Votingby electronicmeansispermitted.Ifthereisanequalityofvotes,theChairdoesnothaveacastingvote.

9. Interests

Duty to disclose interest: AnOfficerwhoisInterestedinaMatterrelatingtotheSquadronmustdisclosedetailsof thenatureandextentoftheinterest(includinganymonetaryvalueoftheinterestifitcanbequantified)tothe GeneralCommittee,assoonaspracticableaftertheOfficerbecomesawarethattheyareinterestedintheMatter andincludeitintheregisterofinterests.

Consequences of being Interested: AGeneralCommitteeMemberwhoisInterestedinaMatter:

mustnotvoteortakepartinadecisionoftheGeneralCommitteerelatingtotheMatter,unlessallnoninterestedGeneralCommitteeMembersconsent;

mustnotsignanydocumentrelatingtotheentryintoatransactionortheinitiationoftheMatter,unlessall non-interestedGeneralCommitteeMembersconsent;

mustnottakepartinanyGeneralCommitteediscussionrelatingtotheMatterorbepresentatthetimeof theGeneralCommitteedecision,unlessallnon-interestedGeneralCommitteeMembersconsent;

11. General Manager, Secretary and Treasurer

Appointment: TheGeneralCommitteeshallappointaTreasurerandSecretary.TheofficesofTreasurerand Secretarymaybehonoraryorsalariedandmaybecombinedinasinglerole.TheofficeofSecretary,butnot Treasurer,maybecombinedwiththeRoleoftheGeneralManager.

Role of General Manager: TheGeneralCommitteemayengageaGeneralManager.TheGeneralManagerisunder thedirectionoftheGeneralCommitteeandisresponsiblefortheday-to-daymanagementoftheSquadronunder thisConstitutionandtheRegulationsandwithinanydelegatedauthorityfromtheGeneralCommittee.

11.3

Role of Secretary: TheSecretarywill:

attendtoallcorrespondenceandkeepminutesofGeneralMeetingsandGeneralCommitteemeetingsand ensurethatanysub-committeekeepsminutes;and a)

b)

keepallrecordsandgenerallyperformallthesecretarialworkoftheSquadron.Withthewrittenapproval oftheGeneralCommitteethesetasksmaybevariedordelegatedbuttheSecretaryremainsresponsible fortheirperformance.

Role of Treasurer: TheTreasurershallberesponsibleforallmoniesreceivedbytheSquadronandunderthe directionoftheGeneralCommitteeshallmakealldisbursements.TheTreasurershallkeepfullandproper accountsofalltheSquadron’sfinancialtransactionsandpreparetheAnnualFinancialStatementsasattheendof theSquadron’sfinancialyear.

General Committee involvement: TheGeneralManager,SecretaryandTreasurermayattendGeneralCommittee meetingswhenrequiredbytheGeneralCommitteebuthavenovotingrights.

12. Finances

Control and management of finances: ThefundsandpropertyoftheSquadronarecontrolled,investedand disposedofbytheGeneralCommittee,subjecttothisConstitutionanddevotedsolelytothepromotionofthe purposesoftheSquadronsetoutinRule3.

Property: TheGeneralCommitteemaywithorwithoutthesanctionofaGeneralMeetingexpendmoniesin pursuanceoftheSquadron’spurposesandpowers,makedonationstoanyperson,bodyofpersonsorinstitution, investthefundsoftheSquadron,entersuchcontractstopurchaseorotherwiseacquireortosell,leaseor otherwisedisposeofordealwithanyinterestinanyrealorpersonalpropertyortoborrowmoneywithorwithout security(savethattheGeneralCommitteeshallnotinanyfinancialyearborrowmorethanthetotaloftheprevious financialyear’ssubscriptionswithoutthesanctionofaGeneralMeeting)uponsuchtermsandconditionsasit thinksfit,providedthatallrealandpersonalpropertyoftheSquadronshallbevestedintheTrusteeswhoshall holdthesameupontrustfortheSquadronandsubjecttothedirectioninwritingofamajorityoftheGeneral CommitteeatadulyheldmeetingthereofandsignedbytheChairmanofsuchmeeting.Suchdirectionsshallbe obligatoryupontheTrusteesandshallvalidateanythingdoneorpurportedtobedonebytheminpursuanceof suchdirectionandnopersonshallbeconcernedtoenquireastotheregularityofsuchdirectionbeyondthe verificationofthesignatureoftheChairman.

Property donated on trust: WhereanypropertyisormaybeacceptedbytheSquadronpursuanttoanydeed, document,instrumentinwritingcreatingorattachinganytrusts,conditionsorstipulationsrelatingtosuch property,theforegoingprovisionsofthisRule,insofarastheyarecontradictorytoorinconsistentwithsuchtrusts, conditionsorstipulationsshallnotapplyandtotheextentofanysuchcontradictionorinconsistency,such propertyshallbeheldbytheTrusteesinsuchmanneranduponandsubjecttosuchtrusts,conditionsand stipulationsassuchdeed,document,instrumentorwritingshallprovide.

Seal: TheGeneralCommitteeshallprovideforthesafecustodyoftheSquadron’sSealwhichshallonlybeusedby theauthorityoftheGeneralCommitteeandanyinstrumenttowhichtheSealisaffixedshallbesignedbyanytwo FlagOfficers.

Balance date: TheSquadron’sbalancedateis30ApriloronthedateastheGeneralCommitteedecides.

Appointment of auditors: TheauditorwillbeappointedattheAGMandshallbeaCharteredAccountantorafirm ofCharteredAccountants.TheauditormaybepaidsuchremunerationasagreedbytheGeneralCommittee.

Audit of financial statements: TheSquadron’sfinancialstatementsmustbeauditedeachyearandtheaudited financialstatementsmustbesubmittedtotheAGM.

No personal benefit: TheOfficersandMembersmaynotreceiveanydistributionsofprofitorincomefromthe Squadron.ThisdoesnotpreventOfficersorMembers:

receivingreimbursementofactualandreasonableexpensesincurred,or enteringintoanytransactionswiththeorganisationforgoodsorservicessuppliedtoorfromthem,which areatarms’length,relativetowhatwouldoccurbetweenunrelatedparties,

providednoOfficerorMemberisallowedtoinfluenceanysuchdecisionmadebytheSquadroninrespectof paymentsortransactionsbetweenitandthem,theirdirectfamilyoranyassociatedentity.

13. Long Term Development Fund

13.1

Trustees:

TheTrusteesshallcontinueinofficeuntilremovedbydeath,resignationorresolutionofaGeneralMeeting. AnyvacancyintheofficeofTrusteeshallbeappointedbytheGeneralCommittee.

AnyTrusteeceasingtobeaMemberoftheSquadronshallbedeemedtohaveresignedasTrustee.

Foundation: ThemoneysandinvestmentsrepresentingtheLong-TermDevelopmentFundshallbeheldbythe TrusteesoftheSquadronandbeknownastheRoyalNewZealandYachtSquadronFoundation(“Foundation”).

Further funds: TheTrusteesoftheFoundationshallhavetherighttoacceptfurtherfundsfromtheSquadronor anyotherpersonorentityandtoadministerthesameintermsoftheirpowersundertheRulesoftheSquadron.

Trustees: TheTrusteesshallmanagethecapital,anyaccretionsthereto,andinterestderivedintrustforthe Squadron.TheTrusteesshallhavethefollowingpowersinrespectofthefundsoftheFoundation:

ToinvestthecapitalininvestmentsauthorizedbylawfortheinvestmentoftrustfundsinNewZealand bothinsideandoutsideofNewZealandwithpowertopurchaseandleaseanyrealorpersonalproperty bothinsideandoutsideofNewZealand;

OntheTrustees’owninitiativetopaysomuchoftheincomeandorcapitalastheTrusteesshallintheir soleanduncontrolleddiscretionthinkfitforortowardsanyprojectorpurposewhichtheTrusteesconsider expedientorinthebestinterestsoftheSquadronanditsMembers.However,alimitationonthe expenditureinexcessof50%ofthetotalcapitalvalueoftheFoundationshallapplyforanyoneproject withoutthepriorconsentofanAnnualorSpecialGeneralMeetingoftheSquadron;

InexercisingthisdiscretiontheTrusteesshalltakeintoaccountthatthecapitalfundisamajorcapital assetoftheSquadronandisderivedfromthegenerosityandforesightofearlierMembersandthe Squadron’spresentwishistokeepthisfundintactasfaraspossibleinordertomeetanyfuture emergencyorfinanceamajorprojectortomeettheurgentneedsoftheSquadron;

TheTrusteesmayinvestandaccumulatetheincomederivedbyinvestingthesameandresultingincome thereafterasanaccretiontothecapitalofthefundduringtheperiodtothedateofdistribution;

TheTrusteesshallhaveabsoluteanduncontrolledpoweranddiscretioninthemanagementoftheFoundationand maydoorcausetobedoneallsuchacts,mattersandthingsofwhatsoeverkindandnaturepertainingtothefund andtosignallsuchinstrumentsanddocumentsastheythinkproperorexpedient.

NoTrusteeshallbeliableforanylossnotattributabletothattrustee’sdishonestyorthewilfulcommissionbythe trusteeofanactknowntobeabreachofthetrustee’sappointment.

Insteadofactingpersonally,theTrusteesmayemployafinancialconsultanttoadvisetheTrusteesandtotransact alloranybusinessormakeanyinvestmentincludingthereceiptandpaymentofmoneyonbehalfoftheTrustees andtheTrusteesshallnotbepersonallyresponsibleforthedefaultofanyconsultantappointedingoodfaithorfor anylossoccasionedbyhisemployment.

TheTrusteesshallnothavetherighttotransferthecapitalandunspentfundsoftheFoundationbacktothe GeneralFundsoftheSquadronwithoutthepriorconsentofanAnnualorSpecialGeneralMeeting(“dateof distribution”).

TheTrusteesmayconvenetheirownmeetingsattimesandplacesastheTrusteesshalldetermine.Thedecisions oftheTrusteesshallbeunanimous.Minuteswillbekept,andacopygiventotheCommodoreoftheSquadronto betabledatthenextmeetingoftheGeneralCommittee.

TheTrusteesshallateachAnnualGeneralMeetingoftheSquadronoranytimewhencalleduponbytheGeneral CommitteeoftheSquadrontableareportonitsactivitiesandauditedfinancialaccounts

Amendments

Amendments:ThisConstitutionmayonlybeamendedorreplacedbySpecialResolutionofMembersataGeneral Meeting.NomotionaffectingtheseRuleswhichhasbeendulyconsideredshallbebroughtforwardagainduring thesamefinancialyear,unlessbyconsentoftheGeneralCommittee.

No amendment: Noadditionto,deletionfromoralterationofthisConstitutionmaybemadewhichwouldallow personalpecuniaryprofitstoanyindividuals.

Inland Revenue Approval: NotwithstandinganythingcontainedintheseRules,noalterationshallbemadetothis RuleortoRule18oftheseRuleswithoutthewrittenconsentoftheCommissionerofInlandRevenue.

Regulations

Regulations:TheGeneralCommitteemaymakeandamendRegulationsfortheconductandcontrolofthe Squadron’sactivitiesandcodesofconductapplicabletoMembers.AnyRegulationsmustbeconsistentwiththe Squadron’spurposessetoutinRule3,theActandanyotherlaws.AllRegulationsarebindingontheSquadronand theMembers.Themaking,amendment,revocation,orreplacementofaBylawisnotanamendmentofthis Constitution.

Sub-committees:TheGeneralCommitteemayappointasub-committeeorindividualstoactinspecialcapacities asitshallconsideradvisableandmaydefine,limit,extend,terminateorvarythepowersordutiesofanysubcommitteeorindividualappointedinaccordancewiththisRule.ItshallnotbenecessaryforanyMemberofasubcommitteeorindividualappointedunderthisRuletobeaMemberoftheGeneralCommittee.

ContinuationofRegulationsandsub-committees:ElectionofanewGeneralCommitteeshallnotaffectany Regulationstheninforceortheappointmentofanysub-committeeorindividualunlesstheGeneralCommittee exercisesitspowersunderRules15.1or15.2.

Conduct

Conduct: 16.1

AllMembersshallbeboundbytheRulesandRegulationsoftheSquadronandtheCodeofConduct. a)

IfanyMemberisconvictedandsentencedbyanyCourtofLawofacriminaloffencewhichtheGeneral Committee,havingregardtothesurroundingcircumstances,shallconsidertobeofaseriousnature,it shallbeobligatoryontheGeneralCommitteetoexpelsuchMemberforthwithandtheprovisionsofRule17 relatingtotheholdingofanenquiryshallnotapply.

ThedecisionoftheGeneralCommitteeastowhetherthecriminaloffenceofwhichsuchMemberis convictedisofaseriousnatureshallbefinal.

17. Dispute resolution

How complaint is made

AMemberoranOfficermaymakeacomplaintbygivingtotheGeneralCommitteeanoticeinwritingthat

(i)statesthattheMemberorOfficerisstartingaprocedureforresolvingadisputeinaccordancewiththe Squadron’sConstitution;and (ii)setsouttheallegationtowhichthedisputerelatesandwhomtheallegationisagainst;and (iii)setsoutanyotherinformationreasonablyrequiredbytheSquadron.

TheSquadronmaymakeacomplaintinvolvinganallegationagainstaMemberoranOfficerbygivingto theMemberorOfficeranoticeinwritingthat

17.4

(i)statesthattheSquadronisstartingaprocedureforresolvingadisputeinaccordancewiththe Squadron’sConstitution;and (ii)setsouttheallegationtowhichthedisputerelates.

TheinformationgivenunderRule17.1(a)(ii)orRule17.1(b)(ii)mustbeenoughtoensurethataperson againstwhomanallegationismadeisfairlyadvisedoftheallegationconcerningthem,withsufficient detailsgiventoenablethemtopreparearesponse.

AcomplaintmaybemadeinanyotherreasonablemannerpermittedbytheSquadron’sConstitution.

Person who makes complaint has right to be heard

AMemberoranOfficerwhomakesacomplainthasarighttobeheardbeforethecomplaintisresolvedor anyoutcomeisdetermined.

IftheSquadronmakesacomplaint,—

(i)theSquadronhasarighttobeheardbeforethecomplaintisresolvedoranyoutcomeisdetermined;and (ii)anOfficerorMemberoftheGeneralCommitteemayexercisethatrightonbehalfoftheSquadron.

WithoutlimitingthemannerinwhichtheMember,Officer,orSquadronmaybegiventherighttobeheard, theymustbetakentohavebeengiventherightif—

Person who is subject of complaint has right to be heard

ThisRuleappliesifacomplaintinvolvesanallegationthataMember,anOfficer,ortheSquadron(the respondent)

(i)hasengagedinmisconduct;or

(ii)hasbreached,orislikelytobreach,adutyundertheSquadron’sConstitutionorRegulationsortheAct; or

(iii)hasdamagedtherightsorinterestsofaMemberortherightsorinterestsofmembersgenerally.

IftherespondentistheSquadron,anOfficerorMemberoftheGeneralCommitteemayexercisetheright onbehalfoftheSquadron.

Squadron may decide not to proceed further with complaint

DespiteRule17.4,theSquadronmaydecidenottoproceedfurtherwithacomplaintif

(i)thecomplaintistrivial;or

(ii)thecomplaintdoesnotappeartodiscloseorinvolveanyallegationofthefollowingkind:

1)thataMemberoranOfficerhasengagedinmaterialmisconduct:

2)thataMember,anOfficer,ortheSquadronhasmateriallybreached,orislikelytomateriallybreach,a dutyundertheSquadron’sConstitutionorRegulationortheAct:

3)thataMember’srightsorinterestsormembers’rightsorinterestsgenerallyhavebeenmaterially damaged:

(iii)thecomplaintappearstobewithoutfoundationorthereisnoapparentevidencetosupportit;or

(iv)thepersonwhomakesthecomplainthasaninsignificantinterestinthematter;or

(v)theconduct,incident,event,orissuegivingrisetothecomplainthasalreadybeeninvestigatedand dealtwithundertheConstitution;or

(vi)therehasbeenanunduedelayinmakingthecomplaint.

Squadron may refer complaint

TofulfilthepurposeoftheSquadronitdeliversworldclasssailingtoitsmembers,providesthehighest qualityofservicesandfacilitiesandatthesametimefostersasenseofcommunityandprovidesvalue thatmakesmembershipoftheSquadronalifelongexperience.

ItfollowsthatmembershipoftheSquadronisaprivilege.Withthatprivilegeisthecorresponding obligationandexpectationthatthehigheststandardsofbehaviorwillbefollowedbymembers,their guestsandotherusersoftheSquadron.

Each year Yacht Clubs from around New Zealand are invited to send a four-person youth crew to share in the intensive sailing experience synonymous with our world-renowned Mastercard Youth Training Programme. 9. OBSTRUCTIONS

Prohibited Racing Areas:

Thefollowingareas(showninAttachmentA)aredesignatedasObstructionsforthepurposesoftheRRS DefinitionsandRRS19and20.

TheWesthavenBoatHarbourareadefinedassouthofalinerepresentinganextensionofthebreakwatertothe mostnorthernpointofWynyardPoint–(diagramA),

TheCommercialHarbourareadefinedassouthofastraightlinedrawnbetweenthemostnorthernpointof WynyardPointandthenorth-westernpointoftheFergussonContainerTerminal–(diagramB),

TheDefenceareamarkedonChartNZ5322aroundtheNavalDock,CalliopeWharves,Devonport–(diagramC).

10. LARGE VESSEL MOVING PROHIBITED ZONES:

AtalltimesboatsshallcomplywiththeAucklandCouncilNavigationSafetyBylaw2021Part2,Subpart10, clause54–“MovingProhibitedZone”asdescribedbelow.MovingProhibitedZonesaredesignatedas ObstructionsforthepurposesoftheRRSDefinitionsandRRS19and20.

AucklandCouncilNavigationSafetyBylaw2021–Part2,Subpart10–

54 - Vessels Must Not Impede a Large Vessel In A Pilotage Area,

Thepersoninchargeofavesselunder500grosstonnageinapilotageareamustnotallowthatvesseltoimpede thenavigationofanyvesselof500grosstonnageormore.

Thepersoninchargeofavesselmustnotnavigatethevesselwithinthemovingprohibitedzoneofalarge vesselthatisinapilotagearea.

Amovingprohibitedzoneisanareaofnavigablewateraroundalargevesselthat–a)extends100metrestoeachsideorthewidthofthemarkedchannel,whicheveristhelessordistance;and b)continuesatthewidthin(a)to100metresasternand500metresaheadofthevessel;and c)followsthelineofthemarkedorbuoyedchannelwhenchangingcourse. However,(2)doesnotapplytothepilotageareawithintheTamakiRiver.

11. THE START

RaceswillbestartedusingRRS26withthewarningsignalmade5minutesbeforethestartingsignal,unless changedbytheeventNORorSSI’s.

ThestartinglineisbetweenastaffdisplayinganorangeflagontheracecommitteevesselortheWesthaven StartTowerandthecoursesideofthestartingmark.

[DP]Whenastartingsequenceisinprogress,boatswhosewarningsignalhasnotbeenmadeshallavoidthe startingarea.Thestartingareaisdefinedasthearea50mfromthestartinglineinalldirections.

Ifanypartofaboat’shullisonthecoursesideofthestartinglineatherstartingsignalandsheisidentified,the racecommitteewillattempttobroadcasthernameand/orsailnumberonVHFchannel77.Failuretomakea broadcast,failureofhertohearsuchabroadcast,ortheorderinwhichboatsarebroadcastwillnotbegrounds forarequestforredress.ThischangesRRS62.1(a).

GeneralRecalls:IntheeventofaGeneralRecallthenthewarningsignalfortherecalleddivisionwillbemadewith thestartingsignalforthelastscheduledstart.Ifmorethanonedivisionisrecalled,therecalleddivisionswillstart at5-minuteintervalsinthesamesequenceinwhichtheywererecalled.The“FirstSubstitute”willbeloweredat thesametimeasthepreparatorysignalislowered1minutebeforethestartofthenextdivision.Thischanges RRS29.2.

Intheeventthatthelastscheduleddivisiontostartisrecalledandnootherdivisionhasbeenrecalledpreviously, thenewwarningsignalshallbemadenolessthan5minutesafterthepreviousstartingsignal.The“First Substitute”willbeloweredatthesametimeasthenewwarningsignalisdisplayed.ThischangesRRS29.2.

UnlessstateddifferentlyintheSSI’s,boatsfailingtostartwithin4minutesoftheirstartingsignalforWindward Leewardracing,orwithin10minutesoftheirstartingsignalforHarbourorPassageracing,shallbescoredDid

CHANGE OF THE NEXT LEG OF THE COURSE

Harbour Courses:

a)Legsofthecoursewillnotbechanged.ThischangesRRS33.

Windward Leeward Courses:

a)Tochangethenextlegofthecourse,theracecommitteewilllayanewmark(ormovethefinishingline)and removetheoriginalmarkassoonaspracticable.AdescriptionofthenewmarkwillbeintheSSI’s.Whenina subsequentchangeanewmarkisreplaced,itwillbereplacedbyanoriginalmark.

b)WhenMark1hasbeenreplaced,Mark1aisnolongeramarkofthecourse.Itwillberemovedassoonas practicable.ThischangesRRS33(c).

c)AChangeofCoursewillbesignalledbythedisplayofflag‘C’onlywithrepetitivesounds.ThischangesRRS 33(a)andRRS33(b).

13. THE FINISH

ThefinishinglineisbetweenastaffdisplayingablueflagontheracecommitteevesselortheWesthavenStart Towerandthecoursesideofthefinishingmark,unlesschangedbytheeventSSI’s.

PENALTY SYSTEM

TheTwo-TurnsPenaltyasperRRS44.1shallapply,unlesschangedbytheNORorSSI’s.

TIME LIMITS

TheSSI’swillstatewhichofthefollowingtimelimits,ifanywillapplyand,foreach,thetimelimit. Mark1TimeLimit–TimelimitforthefirstboattopassMark1.

16. PROTESTS AND REQUESTS FOR REDRESS

HearingrequestformsareavailableontheRNZYSwebsitewww.rnzys.org.nzandattheRaceOffice.Protests andrequestsforredressorreopeningshallbedeliveredtotheRaceOfficewithintheappropriatetimelimit. Foreachdivisionorclass,theprotesttimelimitis90minutesafterthelastboathasfinishedthelastraceofthe dayortheRaceCommitteesignalsnomoreracingtoday,whicheveristhelater.

Noticeswillbepostedtoinformcompetitorsofhearingsinwhichtheyarepartiesornamedaswitnessesand whenandwherethehearingswillbeheld.

Noticesofprotestsbytheracecommittee,technicalcommitteeorprotestcommitteewillbepostedtoinform boatsunderRRS61.1(b).

Anarbitrationmeetingmaybeheldpriortothehearingandmaybeheldbyteleconference(eg.Zoom).

17. SAFETY REGULATIONS

Aboatthatretiresfromaraceshallnotifytheracecommitteeatthefirstreasonableopportunity,eitherviaVHF channel77asindicatedinSI2.3,bytelephoneorinperson.

AllboatsmustmaintainalisteningwatchondeckonVHFchannel77asindicatedinSI2.3,andonVHFchannel 16atalltimeswhileracing.EmergencycommunicationmustbemadeonVHFchannel16.

18. SUPPORT VESSELS

[DP]Exceptwhenrequestedtoparticipateinrescueoperationsorasasupportvesselforasportmultihull,team leaders,coaches,andothersupportpersonsshallstayoutsideareaswhereboatsareracingandarerestrictedto a5knotspeedlimit,fromthetimeofthepreparatorysignalforthefirststartofasequenceofstartsuntilallboats havefinishedracingortheracecommitteesignalsapostponementorabandonmentofallraces.Theareasthe boatsareracinginisdefinedastheareainsidethecourseandwithin100mofanymark,layline,startingline, finishinglineoranyareawhereanyboatthatisracingissailingormaysail.

[DP]AllsupportandcoachboatsmusthaveVHFcommunicationsandbeavailabletoassisttheracecommitteeif required.

[DP]Allsupportandcoachboatsshallhaveanenginesafetycutoutswitch(killcord)attachedtothedriveratall timeswhiletheengineisrunning,unlesspriorwrittenexemptionhasbeenprovidedbytheOrganisingAuthority.

ByparticipatinginaRNZYSevent,competitorsautomaticallygranttotheOrganisingAuthorityandtheevent sponsorstheright,inperpetuity,tomake,use,andshow,attheirdiscretion,anyphotography,audioandvideo recordings,andotherreproductionsofthemmadeatthevenueoronthewaterfromthetimeoftheirarrivalat thevenue,untiltheirfinaldeparture,withoutcompensation.

Allthosewhotakepartinanyeventascompetitors,aswellassupportcrew,spectatorsandofficialsagreetobe overflownbyadroneduringthedurationoftheevent.Thisincludesyourpersonandyourproperty(boats).

20. RISK STATEMENT

20.1

RRS3states:“Theresponsibilityforaboat’sdecisiontoparticipateinaraceortocontinuetoraceishersalone.”

Byparticipatinginthiseventeachcompetitoragreesandacknowledgesthatsailingisapotentiallydangerous activitywithinherentrisks.Theserisksincludestrongwindsandroughseas,suddenchangesinweather,failure ofequipment,boathandlingerrors,poorseamanshipbyotherboats,lossofbalanceonanunstableplatformand fatigueresultinginincreasedriskofinjury.Inherentinthesportofsailingistheriskofpermanent,catastrophic injuryordeathbydrowning,trauma,hypothermiaorothercauses.

20.2

AllthosetakingpartinRNZYSracesoranyothersailingeventscontrolledbytheRNZYS,asbetweentheRNZYS andeachofthosesotakingpart,dosoattheirownriskandresponsibility.TheRNZYSandanysponsor associatedwiththiseventhasnoliabilityforanydamage,lossoranypenaltysufferedbyanyboatcreworany otherpersontakingpartinsuchevents.TheRNZYSandanysponsorassociatedwiththiseventshallnotbe responsiblefortheseaworthinessofaboatwhoseentryisacceptedand/orthesufficiencyand/oradequacyof itsequipmentorthecompetenceofitsskipperorcrew.TheRNZYSreservestherightinitssoleanduncontrolled discretiontorefuseentry.

21. INSURANCE

21.1

Eachparticipatingboatshallbeinsuredwithvalidthird-partyinsurancewithaminimumcoverof$5,000,000per incidentortheequivalent.
