Terms and Conditions 1. The Program. It is the desire of the Client to engage the services of Southwestern Consulting, Inc. (“Southwestern Consulting”) for the following, the composite of which is designated as the coaching program as notated on the front of this agreement (herein the “ Program”): (i) Two (2) 30 to 45 minute personal consulting calls per month (minimum of 24 calls during the program term or an average of 2 calls per month); (ii) Access to the Critical Success Factors (CSF) online statistics tool while in the Program; and (iii) Access to archive of on-line supplemental training materials. The Program provides clients with sales and management training, and the services expressly do not provide for or constitute life coaching, or any manner of psychological or emotional consulting services. 2. Term. Client commits to an initial twelve (12) month participation in the Program upon signing this Agreement. The Client activation fee is automatically billed upon signing the contract for new Client setup and is non-refundable. Your monthly charge will automatically be billed on the calendar day corresponding to the commencement of your coaching start date. Following expiration of the initial 12 month term, this Agreement shall run month-to-month until such time as either party or both parties terminate this Agreement or the Program in accordance with this Agreement. 3. Cancellation. To terminate this Agreement after the initial 12 month term, the Client must provide Southwestern Consulting at least 30 days either by print written notice or confirmed e-mail. Termination will take effect at the end of the next billing cycle following such notice. Southwestern Consulting reserves the right to terminate this Agreement at any time upon providing Client with 30 days’ notice. Upon termination or expiration of this Agreement, the Client will no longer have client access to the products and services of Southwestern Consulting and all such products or services wanted by the Client will, then, be paid on a per product or per service ordered basis. If Client cancels his/her participation hereunder before the expiration of the initial 12 months of this Agreement, Client agrees to pay Southwestern Consulting any remaining balance of the fee that Client originally agrees to pay hereunder. 4. Non-Payment. Client’s failure to pay or pay per terms will result in a) Client’s immediate ineligibility as a client of the Program, and b) Client’s forfeiture of all rights and privileges of a fully paying client of the Program. 5. Limited Liability. Southwestern Consulting asserts, and the Client hereby acknowledges, that the Program is designed for individuals who clearly understand that they are responsible for their own personal needs and wellbeing and career progression, whether before, during or after participation in the Program. Client understands that its/his/her own habits and talents will dictate results associated with his/her participation in the Program. With regards to products supplied and services rendered by Southwestern Consulting pursuant to the terms of this Agreement, the parties agree that Southwestern Consulting shall not be liable to the Client, nor to any other person or entity who may claim any right or remedy under this Agreement or for any acts or omissions related to said products and services supplied and rendered by or derived from Southwestern Consulting or on the part of any agents or employees of Southwestern Consulting, except when said acts or omissions of Southwestern Consulting are proximately caused by willful misconduct. Further, Client agrees to discharge and hold harmless Southwestern Consulting, its parent and related entities and their respective officers, directors, employees, representatives, agents, successors and assigns harmless from any and all obligations, demands, claims, actions, damages, liabilities, expenses and attachments that may arise from or be incidental to any of the products supplied and services rendered by Southwestern Consulting, its employees, agents and representatives in connection with this Agreement, except to the extent same are proximately caused by the willful misconduct or gross negligence of Southwestern Consulting or its employees, representatives and agents who are adjudged to be guilty or liable for same by a court of competent jurisdiction. 6. Governance. The parties agree that this Agreement is governed by, and will be construed in accordance with, the laws of the State of Tennessee, notwithstanding any laws or legal principles relative to choice of law or conflict of laws to the contrary. If a dispute or claim as between the parties arises from this Agreement, the parties agree to exercise reasonable efforts to resolve same in an amiable, efficient and effective manner before resorting to legal intervention. However, if a party brings suit against the other party under this Agreement or otherwise, each party shall stipulate to the exclusive personal and subject matter jurisdiction of the courts of competent jurisdiction, state and federal, situated in Nashville, Davidson County, Tennessee for the suit proceedings., in which event each party irrevocably WAIVES ITS RIGHTS TO A JURY TRIAL. The parties may subsequently and mutually agree, in writing, to have any such dispute or claim arbitrated or mediated in lieu of exhaustive court proceedings; and, in such an event, the parties must present their disputes and claims before an impartial and qualified sole arbitrator or mediator in an effort to produce such a resolution. If third party dispute resolution is so elected, the parties will share equally in paying the associated fees and each party will bear its own costs and attorneys' fees. Further, all papers, documents, data evidence, and settlement discussions, whether written or oral, made a part of the dispute resolution proceedings will be deemed by the parties and by the third party arbitrator/mediator to be confidential. Despite the foregoing, nothing herein shall prevent either party from applying for and obtaining from a court any extraordinary relief, including a temporary restraining order or other injunctive relief without having to post any bond.

7. Confidentiality. A. Client recognizes and acknowledges that, in the course and scope of any requested consulting or training work by Southwestern Consulting, Client will have access to and gain confidential information and special knowledge developed by Southwestern Consulting and relating to its techniques, fees and internal financial information, special know-how, Client list, unannounced event scheduling, operations, and other trade secrets and business confidential and proprietary information, which may also include valuable and private information relating to research, development, production, and marketing associated with its products and consulting services. Client further acknowledges that the maintenance of such confidential information is essential to the legitimate business interests of Southwestern Consulting; and therefore will remain strictly confidential. Nothing herein grants Client and its members any rights, privileges or licenses other than what is explicitly herein set forth. B. Client agrees not to reproduce, copy, duplicate, transfer, upload, resell, or modify and resell any marks, copyrighted materials and confidential information of Southwestern Consulting, or any portions thereof, except for the sole purpose of participating in and learning from the programs and workshops provided by Southwestern Consulting and for no other reason. C. In the event that Southwestern Consulting receives financial support/sponsorship on behalf of the Client for the Program, Southwestern Consulting reserves the right, and Client agrees to the right for Southwestern Consulting, to share details of the Client’s progress and training information with the applicable financial sponsor(s). 8. Recovery. Client agrees to indemnify Southwestern Consulting, its parent and their successors and assigns for all unpaid fees and any other loss, damage or liability caused or allowed by Client, for whatever reason, including, without limitation, infringement of intellectual property rights or misappropriation or unauthorized use of any copyrighted materials, trade secrets or other property in which Southwestern Consulting has an interest and for any breach of Client under this Agreement. This obligation of indemnification shall include, in addition to damages, recovery by Southwestern Consulting of its reasonable legal expense incurred in connection therewith plus costs and statutory interest. 9. Parties Bound. Client will not assign or transfer any of its obligations under this Agreement to any third party or members originally intended to participate in a program until first obtaining written consent of senior management of Southwestern Consulting and such consent may be withheld for any reason or no reason. Neither party is an employee, partner or agent of the other party. This obligation under this Agreement shall be binding upon the officers, directors, employees, agents, representatives, successors and permitted assigns of Client and each of its members who participate in programs and workshops of Southwestern Consulting under this Agreement. 10. Severability. If any clause or provision of this Agreement is deemed by competent judicial authority or an arbitrator to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect the validity and enforceability of all of the other provisions hereof, and this Agreement may be reformed to make the offensive provision fully enforceable to the fullest extent without defeating the parties’ original business purpose for this Agreement. 11. Entirety. This Agreement, together with its applicable schedules, exhibits and addenda signed off or otherwise expressly agreed to by the parties constitute the sole and entire understanding and agreement of the parties relative to the subject matter hereof and govern and supersede all prior representations, understandings and agreements as between the parties respecting the subject matter hereof. 12. Waiver; Amendments. All notices, waivers, amendments and binding modification relative to this Agreement will not be legally effective unless in writing and signed and dated or otherwise expressly acknowledged by at least the party to be charged therewith, and the parties agree that confirmed as received and opened email will constitute a writing. 13. Notices. A. Any print written notice to Southwestern Consulting shall be deemed to have been given on the date delivered by overnight express courier, or three (3) business days after deposit thereof via U.S. certified mail, postage prepaid, addressed to the attention of Tim Nowak, Chief Financial Officer Southwestern Consulting, 2451 Atrium Way, Nashville, TN 37214, subject to such other address as may subsequently be given to the Client in writing. B. Any written notice to be given hereunder to Client will be delivered either personally or shall be deemed to have been given on the date delivered by overnight express courier, or three (3) business days after deposit thereof via U.S. certified mail, postage prepaid, addressed to Client at the address or mailing information of the Client or via confirmed e-mail. ACCORDINGLY, Client hereby acknowledges having fully read this Agreement before entering it and agrees that no other terms and conditions apply to this agreement.
