LEGAL ASPECTS TO CONSIDER IN A PROPERTY SALE AGREEMENT
1.
INTRODUCTION
1.1.
An agreement of sale is a document drawn up between two or more parties when a person is selling a property to another person. Although verbal contracts are acceptable at law, property sale agreements must be reduced into writing and must specify explicitly the name of the seller and purchaser, the name and description of the property as it appears on the instrument of title, the purchase price of the property and the mode of payment. It is important that an estate agent or legal practitioner to check with the Deeds Office on the correct names of the parties, endorsements, servitudes, restrictions, caveats before drafting an agreement of sale.
1.2.
The agreement must also specify the warranties, rights and obligations of the parties, the conditions on which the property is sold, the applicable law, the resolution of disputes and the manner of termination of the contract.
1.3.
There are few challenges in an agreement of sale were the purchase price has been paid or secured. Problems may arise in sale of land by installments. In such instances, there might be of a double or multiple sale by the owner. This exposes the Purchaser since he/she is not a secured creditor nor does he/she have ownership of the property concerned.
1.4.
In order to protect the purchaser from this risk, the law provides for what are commonly known as Deeds of Sale which are registrable against the Title Deed of the property to show that the property is subject to an installment purchase agreement.
1.5.
Though the allocation of costs in an agreement of sale of property are governed by the specific terms of the agreement itself, there are statutory taxes and duties regulated at law by certain pieces of legislation, depending on the nature of the transaction. These include Stamp duty, rates clearance certificate payment, Capital gains tax and Value added tax and conveyancing fees as regulated under Statutory Instrument 28 of 2020 Law Society of Zimbabwe By-Laws, as amended from time to time. 16

1.6. An agreement of sale should also contain remedies and rights available to an aggrieved party in the event of breach by the other party, whether through acts of commission or omission. 2.
TERMS OF PAYMENT
2.1.
In an agreement of sale of a property, one of the most important considerations is the clause dealing with the price or valuation of the property and the method of payment. This clause is regulated by many of the other regulations and Acts dealing with legal tender and currency in Zimbabwe.
2.2.
The clause dealing with payment should explicitly state the price of the property concerned and the mode, method and frequency of payments in relation to installment payments. As relates to installment contracts, due regard must be had to Section 11 of the Deeds Registry Act, which states that deeds must follow the sequence of their relative causes. This aspect is dealt with in more detail under the heading “Point of Transfer of title and release of funds”.
3.
RBZ AUTHORITY FOR OFFSHORE PAYMENTS.
3.1.
In Zimbabwe, the Reserve Bank of Zimbabwe is the overall exchange control authority in terms of the Exchange Control Act. Offshore payments fall under the category of payments that require exchange control approval from the central bank.
3.2.
Exchange control is also governed by the Exchange Control Regulations 1996 Statutory Instrument 110 of 1996 and the Exchange Control (General) Order 1996 Statutory Instrument 109 of 1996. In order to repatriate proceeds of sale for a property in Zimbabwe offshore, using foreign or locally obtained free funds, one has to apply for exchange control approval to the Reserve Bank. This application for exchange control approval is usually facilitated through an authorized dealer (financial Institution).
3.3.
The Exchange Control Act and its allied regulations prohibit offshore payments without permission from the Reserve Bank of Zimbabwe. Without exchange control approval, an offshore payment from proceeds of a property sale transaction will be regarded as illegal and constitutes externalization of foreign currency.
4. COMMON BREACH CLAUSE. 4.1.
Breach of contract is a violation of any of the agreed-upon terms and conditions of a binding and valid contract. In simple terms, breach of contract occurs when a party to a contract fails to honour his or her obligations.
4.2.
According to the common law in Zimbabwe regulating contracts and agreements, non-performance of a specific obligation or contravention of a specified warrant or condition or breach of the contract in a purchase agreement. The remedies available to an aggrieved party in this scenario are to sue for specific performance, which relief is ordered by a competent Court asking the contravening party to honour his/her obligation. Another remedy is through cancellation of the contract and to sue in a court of law for restitution, that is, that the party in breach return the innocent party to the position they would have been in had the contract not been entered into.
4.3.
In most contracts, the parties agree to the imposition of certain penalties in the event that a party is in breach of contract. The imposition of these penalties is governed under the Contractual Penalties Act which in part stipulates that an aggrieved party can not be entitled to both liquidated damages and a penalty from the party that is in breach. The aggrieved party may only choose one of the remedies, the penalty stipulated in the contract or damages.
5. CONVEYANCING FEES, STAMP DUTY, RATES PAYMENT, CAPITAL GAINS TAX. 5.1.
The term conveyancing fees refers to the costs due to the legal Practitioner and/or conveyancer responsible for drafting the transfer documents and effecting transfer of title from the seller to the purchaser. In terms of Statutory Instrument 28 of 2020 Law Society of Zimbabwe (Conveyancing Fees) By-Laws, the conveyancing fees are 3% of the value of the property or purchase price.
5.2.
In terms of our law, stamp duty is payable on the registration of an acquisition of property. The amount of stamp duty payable on a property purchase is calculated in terms of the schedule to Chapter II of the Finance Act (Chapter 23:04). Owing largely to fluctuations and the regulation of legal tender in Zimbabwe, the amount currently payable is as follows:-
5.3.
The rates clearance certificate is a document which certifies that all rates payable to a Municipal or Rural authority have been paid in respect of the property being sold. Before taking transfer, a purchaser must pay all the rates payable to the local municipality 3 months in advance.
5.4.
Capital Gains Tax is a tax on the actual gains realized from the disposal of a specified asset or on the property that has increased in value. The tax is levied on the capital gain and not on the amount received by the seller. The payment of this tax is governed under the Capital Gains Tax Act.
5.5
The capital gains tax (CGT) is assessed by the
Zimbabwe Revenue Authority (ZIMRA), which determines how much is payable by way of capital gains tax. Currently, the rate is 5% of the value of the property and is paid by the seller. The Conveyancer will deliver the file in person to ZIMRA or lodge the file through the ZIMRA electronic filing system. ZIMRA customer service helps with computation.
6. POINT OF TRANSFER OF TITLE AND RELEASE OF FUNDS 6.1.
After concluding an agreement of sale, the purchaser and s eller sign the transfer documents referred to above, the purchase price is paid to the seller’s agents/lawyers who hold it in trust until transfer has been effected. It is usually f rom these funds that the conveyancer retains capital gains tax before forwarding the net proceeds to the seller.
6.2.
The stamp duty is paid upon lodging at the Deeds Office. The copies of the deeds are lodged with the Registrar of Deeds for examination upon payment of the registration fee and the stamp duty. If there are any errors observed by the Deeds Office in form, typographical or in content for amendments/ corrections, Or if the resident property valuer seconded from the Ministry of Local Government and Housing is of the view that the declared sale price does not sound genuine, then he will carry out an onsite inspection. Then the deed is returned to the conveyancer. Once the corrections have been attended to and /or valuation has been carried out and additional duties/ fees based on this increased value have been obtained from the purchaser, the copies are again returned by the conveyancer to Deeds Office for further examination. If there are no more errors the deed is signed (registered) by the Registrar of Deeds or his/her designate. One copy of the deed is filed in the office of the Registrar of Deeds and the second one sent back to the conveyancer for onward transmission to his/her client (the new property owner).
6.3.
If a sale of land is intended to be registered against the title deed, the law regulating the registration of installment property purchase agreements requires that such contract must;
a. be a sale of immovable property only. b. must be reduced to writing to be registered. c. Purchase price must be paid in 3 or more instalments. d. Consent of registered owner and Purchaser is required.
6.4.
The registration of these installment contracts results in the endorsement of the Title Deeds of the land concerned indicating that the said land is the subject of an installment property purchase agreement.
7.
CONCLUSION
7.1. It is apparent that the issues governing the purchase and sale of property are unique as there are also statutory requirements and terms that must be strictly adhered to. 7.2.
The hallmark of concise and apt property purchase agreements is due diligence and preparation. Without this due diligence, the risks involved in purchasing property would far outweigh the benefit of being a property owner. ISSUE 41

OKUGARA is a Shona word which roughly translates to ‘accommodation’ or ‘safe haven’. Development at Pokugara Residential Estate is moving forward rapidly. The site has been surveyed and individual stands – varying in size from around 2000sqm for the stand alone townhouses to around 500sqm for the cluster houses – have been apportioned. Access roads have been built and over 52 stands are now fully serviced with connections to water, electricity and municipal sewerage in place and title deeds are available. The imposing gated entrance to the estate has been constructed and is fully operational and a number of the townhouse stands have been built on and are currently occupied by the owners. The housing development at Pokugara is basically made up of about 60 stands around the perimeter for townhouses with space set aside for smaller, higher density cluster homes in the middle. A small proportion of the site has been reserved for open space for recreation and environmental protection. A number of other developers have taken up the opportunity to build in the area including Cardinal Corporation who are planning an office complex along Whitwell Road. Future plans by developers, West Properties, include Millennium Heights – a project involving the construction of apartment blocks – and the Mall of Zimbabwe. West Property seeks to be a disruptor in the property market by offering the client innovative, green design, value-added properties that speak to the needs of every lifestyle. Sustainable development in the property development sector is of paramount importance as it saves the national fiscus, fulfils the needs of the people, and conserves natural resources for future generations. It is possible to reduce carbon emissions while providing clean and affordable energy for all — including through energy efficient construction, use of renewable energy and energy efficient electrical appliances. We have transformed our settlement patterns to keep pace with global town planning standards and impact on the environment such as through “smart” infrastructure, decent ecologically sensitive housing and high connectivity smart cities and communities. We have plans towards sustainable and renewable resources for the homes to run on solar and gas and are also going to have a botanic garden as part of environmental management to preserve and maintain the bird life and introduce indigenous vegetation.

There are various options available for potential homeowners at Pokugara. There are the larger residential stands set around the perimeter of the site for townhouses. Architect Irene Masiyanise has designed a double storey four bedroom showhouse of 325sqm just near the entrance gate so prospective homeowners can get idea of the possibilities for development. These plans, which already have council approval, are available. Around 40 of the larger stands have already been sold. Homeowners are welcome to have their own plans drawn up by an independent architect and to submit their drawings to the body corporate. The governing body seeks to ensure that houses on the estate all comply with a similar aesthetic with tiled gabled roofs over brick structures. The overriding idea is to create an identity and a personality which encompasses all the buildings on the estate in order to maintain their high standards and for new structures to fit in to the general character of the project.
patio, a courtyard and parking space. The modern, elegant plans for the cluster houses were also drawn up by Irene Masiyanise from Masiyanise T.I. Architect and have been approved by the Council. Currently the townhouses are being constructed on a ‘build as we go’ scheme so new units are built as the existing ones are sold and as demand requires. Phase 1 of the estate has been completed and Phase 2 is well underway with services to be provided to an additional 23 stands. As for the townhouses, Phase 1 there are currently 21 cluster units on offer – 12 units have been built and 10 have already been sold. The cluster houses will have a solar backup system as well as a piped bulk LPG gas supply from a central source, ensuring that residents never run out of gas at inconvenient times. City of Harare water is connected; however borehole water will be available.
The central portion of the Pokugara development has been reserved for cluster homes. These housing units measure from 166 sqm to 226 sqm and are currently available at lock up stage which includes the structure and basic fittings – the shell – which allows prospective owners to put their own stamp on the property with their individual choices of floor tiles, bathroom and kitchen fittings, lighting and other accessories. The design includes an open plan layout kitchen, dining room and lounge, three bedrooms with the master en suite and a shared bathroom, staff quarters with en suite, a covered ISSUE 41

space of the month Structure and Design originally looked at the Chikanga complex homes in issue 13 where we featured the makeover for Tex and Nola Dollar’s house. In this issue we look at the home of Leigh and Calum Philp, in the same complex but with a very different style of renovations and extensions. Leigh and Calum are Nola and Tex’s daughter and son-in-law so it all adds to the friendly and relaxed village atmosphere of the housing estate. There are only eight units in the gated complex so it’s become a small community where neighbours look out for each other.

The Chikanga complex in Rolf Valley was designed by Penny Stone (from The Stone/ Beattie Studio) and built in 1989/90 as a development for renowned Zimbabwean medical practitioner the late Dr Mhere. It was named after Chieftainess Chikanga, a princess in the household of King Mutasa, paramount monarch of Manyika. She was born around 1865 and died in around 1920. She is famous for her resistance to the colonial occupation so her legend lives on today. The central spine has a barrel vault ceiling with large double volume glazed ends, so it still has a very contemporary, modern feel. The huge windows fill the interior with light and create a very spacious ambiance for the adjoining living areas.

At the time when the houses were designed City of Harare were stipulating that cluster homes or townhouses needed to be planned on a minimum of half an acre if they worked off a septic tank system, and some distance from neighbours was required for the purposes of ground water safety. Nowadays these stipulations have been relaxed as town house complexes are being developed across the City. The fortunate outcome of the City’s restrictions at that time is that the townhouses at Chikanga have generous gardens and outdoor space – quite a luxury in the current demand for higher density residential options. The gardens at Chikanga are all quite generous but still easy to maintain.

Part of the L-shaped stand which makes up the complex is flat while part is sloping fairly steeply, so Stone devised an adaptable design to cope with the restrictions. The units all have a high, arched, double volume spine running down the centre with the bedrooms off to one side and the living spaces on the other side. The spine allows for a small step down to bedroom spaces on one side for the sloping stands, while the units on the flat sites are all on one level. It’s a fairly simple, if elegant, design solution that’s highly adaptable and allows for development and extensions to be constructed as needed.

space of the month Leigh and Calum bought their unit and moved in around six years ago when it was still a three bedroom, two bathroom set up. Their family has since grown necessitating their decision to add an extra bedroom and bathroom. Bruce Rowlands from local company Architexture Spatial Design was commissioned to plan and conceptualise the changes. The home now has four bedrooms – of which two are en suite and there’s a third shared bathroom – as well as a large open plan kitchen, dining and lounge area, a kids’ playroom, a pantry and utility area and an extended verandah for outdoor living. And all of this has been achieved while maintaining and enhancing Stone’s original aesthetic and in keeping with the overall look of the other houses in the complex. Rowlands has even managed to preserve the double car garage and the single staff quarters without encroaching on the garden space. In order to create the new fourth bedroom and en suite Rowlands has incorporated the parking space to the right of the entrance. This entailed moving the huge glass gable end wall (and front door) several metres forward. The existing wooden frames for the wall had deteriorated and needed to be replaced with a new aluminium frame and door manufactured on site by Willie Barnard. Obviously the domed roof needed to be stretched to incorporate the new bedroom space and add a portico over the front door. (The domed roof was also extended on the opposite side facing the garden.) After some research the Philpses were able to source the pattern for the curved fibre cement roof sheets from Turnall in Bulawayo and they managed to order new, additional roof sheets to exactly match the existing ones. The two smaller bedrooms which share a bathroom were mostly unchanged although the bathroom has been updated. The master bedroom and en suite has however been significantly refurbished. The bathroom has been enlarged and refitted, a separate loo was added as well as an outdoor shower, and a generous walk-in wardrobe has been created. The walk-in frees up what was previously wardrobe space in the bedroom so it now seems more spacious. All the bedrooms have doors and windows opening out to the side garden – landscaped and designed by Leigh.

space of the month In the living area Rowlands’ design removed the original fireplace and existing surrounding walls which originally partly separated the dining room and lounge. The old fireplace has been replaced by a high efficiency wood burning stove set off to the side which warms the whole space very well and uses a minimum amount of fuel. Where the chimney for the old fireplace used to cut through the roof there’s now a translucent skylight. The new dining room space is fairly modest and used mainly for family suppers and when the weather is a little chilly while the extended verandah is used more often for larger groups.The old kitchen, which was quite small and partially closed off from the living space, as was the design trend at the time, has now become the kids’ playroom, so all the toys and clutter can be contained in one area which is still visible to the parents. And the existing verandah has been repurposed to become the new kitchen – designed by Colleen Olsen from Design House Zim. The kitchen roof slopes upward from the interior space so it has a valley gutter for rainwater plus a row of high windows along the far end. Leigh and Calum have opted for a clean, minimalist look in the kitchen with dark charcoal grey cabinet doors – while the interiors of the cabinets are left in a natural timber colour. The cabinets also conceal an integrated fridge/freezer to maintain the clean lines. A generous kitchen island provides cooking and prep space, as well as additional storage, and modern matte black fittings complete the look.

space of the month When the houses were originally built there was very little foreign currency available for imported materials – hence the Turnall roofing sheets and the floors which were clad with local Gwaai tiles. Leigh has opted to use light oak flooring timber from Pride of Africa for the floors along the central passageway and for the living and dining areas. Here she has selected a matte varnish, oiled-look finish for the wooden blocks, rather than a glossy varnished finish which tends to get scratched and damaged – and the oiled look is in keeping with the original terracotta tiles. The extended verandah across the front of the house offers outdoor dining and entertainment space – which Leigh and Calum and the family use a lot of the time. The verandah steps down to an existing pool which has been refurbished from chipped tiles to a Cemcrete finish and enclosed with a steel and glass balustrade. The garden, designed by Leigh, extends beyond to a cycle track for the kids as well as a pretty garden space for the house. The extensive renovations and extensions designed by Rowlands, with input from Leigh and Calum, has resulted in an elegant home tailor made to suit their needs. It’s rare to find a renovated home that perfectly accommodates, and exceeds, the owners’ every requirement, while still maintaining the original design aesthetics.

educational profile The first Wise Owl School was started way back in the early 90s by husband and wife team Mr T. and Mrs R. Makirimani – both dedicated and passionate teachers. The first school was an early learning centre in Marondera, followed by a primary school in 2009 and then with the opening of their secondary school they rebranded to become The Wise Owl Group of Schools, offering world-class education from preschool to school leavers’ level. Three years ago Wise Owl established an ECD centre in Harare, now situated at 37 Lomagundi Road in the Emerald Hill area. The group of schools has continued grow with the opening of the brand new Wise Owl Primary School earlier this year in the Westgate Adylinn area of Harare. The new primary school currently offers classes from Grade 0 up to Grade 6 with Grade 7 classes to follow soon. At the moment there are around 200 pupils enrolled with a staff compliment of 18 teachers. As the suburbs of Harare continue to spread out from the City centre the Westgate area is becoming more densely populated and there’s an increasing need for schools and other social facilities. The new school is close to the Westgate roundabout so it’s a convenient location for parents and kids from the surrounding neighbourhoods as far away as Marlborough, Bluff Hill, Greencroft – and beyond. The school is built on a property of just over 4 hectares so there’s plenty of room for sporting facilities and for the possibility of further expansion. There are plans for a swimming pool, a tennis court and other sports fields. Mrs Makirimani hinted that Phase 2 of the development might include two or three storey structures for more classrooms as well as boarding facilities. The new classrooms could be for dedicated subjects – a music room, a science lab, a library, a computer learning centre and similar educational and recreational facilities. The development is the result of a successful collaboration led by Principal Agents Troika Design Workshop alongside the proprietors of Wise Owl. The classroom blocks are built of low maintenance facebrick – plastered and painted inside – with pitched Chromadek roofs that slope down to incorporate a roof over the covered central walkways. Doors and windows are made up of glass set in black aluminium frames which are neat, durable and low maintenance. 46

The school buildings are designed on a scale similar to the other residential properties surrounding it, so the structures contribute to the neighbourhood aesthetic, rather than overwhelming it. The layout is basically made up of three blocks, each with four classrooms, a central courtyard and ablution facilities for pupils and staff. The courtyards are designed as open spaces for play and to allow light and air into the classrooms. At present the middle courtyard is used for school assemblies. The courtyards are surrounded by wide covered verandahs which help keep the classrooms cool in summer and the roof provides shelter for pupils and staff during the rainy season. Although the overall design is very contemporary the courtyards and covered walkways echo older more traditional school

buildings with cloistered galleries around central quads. The size of the classrooms was determined in part by the number of pupils expected to be in each class. The classroom buildings have been kept all on one level with the minimum amount of steps and level changes which can be tricky for younger toddlers to negotiate safely. On the outward facing walls the windows are set quite high up – firstly so the children can’t see out and get distracted from their lessons by what’s happening outside, and secondly to create more usable wall space for notice boards, posters and wall charts. The floors of the classrooms are clad in pale ceramic tiles which make the rooms feel more light and airy, and they’re also easy to clean and maintain. The rooms all have plaster board ceilings set below the roof trusses which provides some insulation to keep the rooms cooler in summer and also helps to dull the sound of the rain on the Chromadek roofs.
Transition spaces are contained by breeze block walls which screen off small sections of the mostly open outdoor passageways. The breezeblocks add texture and interest to an otherwise fairly restrained palette of materials. Incidentally, when the sun shines through them they also create great patterns of light and shadow! The breezeblocks are set in plastered cement frames which have been painted in bright colours – pillar-box red, emerald green and deep azure blue. The colours are fun, fresh and Joyful. The judicious use of bright pops of colours on the exteriors of buildings is one of Troika’s design signatures. The use of colour has been incorporated into the interiors too, in the multi-coloured desks and chairs and the pin boards, wall charts and posters. There’s obviously a bit of colour psychology going on, keeping the children stimulated and cheerful.

wanamambo Design and Construction Projects – Mwanamambo DCP – is a wholly Zimbabwean owned company which was inaugurated in December 2017. Their vision was to create a new model for the way in which projects are planned, implemented and completed from the initial concept right through to the finished product. Mwanamambo offers a full turn-key service from beginning to end dealing with every facet of the project under one roof. Golden Pebbles – Suppliers And Installers Of Stone Products Anywhere In Zimbabwe Golden Pebbles opened their first branch in Gweru in September 2020, situated at Shop 13, Continental Plaza in 6th Street. The branch in Gweru is still operational although they’ve been extremely busy so that they’re currently looking for new, bigger premises. The business has been so successful that in May this year they opened a new branch at 11 Rowland Square, Milton Park in Harare. ignature Designs was set up by Charmaine Bowas in July 2020, so they’re just one year old, and yet they’ve already completed a number of prestigious and successful projects. Some of Signature Designs’ work was seen in the last issue of S&D where they designed and installed the reception desk and coffee bar at the new BYD showroom on the Airport Road. At BYD Signature Designs also fitted out the main kitchen and the two
kitchenettes, the bathroom vanities, the pine door frames, the mahogany desk and office storage units and the wall panelling in the main boardroom. A few of their other most recent projects include the interior design for the Skylake Boreholes branch along Samora Machel and shopfitting at Supreme Panel Beaters’ head office in Msasa. In addition they’ve completed work for a number of private residences that includes kitchen design and fitting,
bar counters, study areas or home offices, bathroom fit outs and built in cupboards. Although Signature Designs is quite a new company Charmaine has over 11 years of hands-on experience in design, custom manufacturing, installation, and property development and improvements. In addition to her vast hands on experience, Charmaine studied at the Interior Design Institute of South Africa.

She started out working for a kitchen design company and gained practical experience in planning layouts and creating 3D renders for clients to approve or adjust. Apart from the aesthetic side of the design field, Charmaine learned about the more practical side of drawing up quotations for materials and timelines. She learned about the range of different materials which are available and which are best suited to a client’s design ideas and budget. Charmaine is comfortable working a number of different software packages for drawings and renders, as well as programmes which can generate cost and time saving cutting lists, materials lists and quotations. Her experience in seeing her projects through from the initial plans to the end product has given her an excellent grasp of the installation process – how each stage follows on, and is dependent on, the previous one. She has a good understanding of the skills involved and the necessary time schedules for each stage. Charmaine also worked for a number of years for the Homelux Group of Companies – for Homelux Property Development as an Interior Designer and Homelux Properties as a Realtor/Property Sales Consultant. Both roles were done concurrently.

She gained valuable skills in the design and layout of kitchens and bathrooms, built in cabinetry and custom made furnishings, whether for a single luxury home or a series of cluster homes or apartments, and the necessary details of installation. She also learned how interior design can add value and appeal to selected properties. One of Signature Designs’ main assets, that sets them apart from other design companies, is Charmaine’s customer liaison skills. She pays close attention to the customers’ brief and is able to add her own input, suggesting different materials, different looks and solutions to difficult problems. Research shows that corporates have gradually projectized over time as they undertake more projects to manage change, and at times, rapid and unexpected change. The mix of effort on resource commitment, budgets and management time on operations (administrative and business as usual) and projects is changing. Ordinarily corporates convert strategies into strategy execution activities. These activities are normally a mix of operational activities and projects, the difference being in that operations are the repetitive business as usual (BAU) functional activities such as the daily production, sales, marketing, accounting, payroll management; and projects are the time-bound cross-functional activities such as to create new products, improve processes, upgrade systems, retire and replace systems, open new outlets, comply to new statutes and regulations, respond to risks, and other change management related activities. What has transpired over time is that projects have increased in terms of the quantum of activities to match or even surpass the BAU operations as depicted in Fig. 1 below . However few corporates have noticed this shift and hence have responded by beefing up their project management competencies, implementing new structures and investing in the new skills. Those corporates who have not realized this shift are in a state of inertia towards inescapable obsolescence. The statement may sound strong but it is necessary. In order to correct the corporate structures, practices, and governance it is necessary to implement the Organizational Project Management (OPM) framework. The Project Management Institute (www.pmi.org) describes OPM as “a strategy execution framework that utilizes portfolio, program, and project management as well as organizationalenabling practices to consistently, and predictably deliver

organizational strategy to produce better performance, better results, and a sustainable competitive advantage. ” Hierarchically a portfolio is the top-level stratum composed of sub-portfolios, programs, projects and BAU operations of a strategic business unit (SBU) as depicted in Fig. 2. A program is a portfolio support component comprised of subprograms and projects managed together in a coordinated way. Further decomposition of the portfolio and programs yields projects, which are the initiatives mainly undertaken by an enterprise in order to deliver strategy.

Most organizations will follow the Vision, Mission, Objectives, Strategy, Tactics (VMOST in Fig. 3) structure in elaborating their strategy. The OPM framework fits in to complement the VMOST structure in that it provides a mechanism for the organization to craft strategy and decompose it into the manageable SMART [specific (simple), measurable (meaningful), achievable (agreed), relevant (realistic) and time-bound (time/cost limited)] objectives, which in turn are translated into the operations and projects (tactics in VMOST) aligned to the strategy. Corporate performance measurement in the form of the Balanced Score Card (BSC) for the top executives and senior managers should reflect a fair balance between operational tactics and project tactics.

construction councils OPM ensures strategy implementation by interpreting the corporate strategy in this order:• Strategic Alignment - prioritizing and ranking the enterprise’s whole project inventory according to a set of strategic fit criteria (i.e. choosing the right projects). • Project Management Methodology necessary for the execution, monitoring and reporting of the projects (i.e. doing projects right). • Project Management Governance necessary oversight to ensure project success. • Competency Management - facilitates the timely and appropriate assessment of the skills and development of the experience necessary to implement portfolios, programs, and projects within the organization. • Benefits Realization Management (BRM) - a framework for identifying, executing and sustaining benefits (www.pmi.org).

The KING IV governance manual , Principle 4 states, “The governing body should appreciate that the organization’s core purpose, its risks and opportunities, strategy, business model, performance and sustainable development are all inseparable elements of the value creation process.” Principle 4 goes further and
prompts the governing body to approve and have oversight on strategy and operational plans against the agreed performance measures and targets. A close look at what the King IV report terms ‘strategy and operational plans’ will reveal that the key initiatives or strategy drivers are substantially project-oriented, yet this is not reflected in most enterprise structures.
