High-tech heating systems The general increase in energy costs around the world over the last 10 years has resulted in a strong development of efficient heating solutions. Because water heating takes up a large proportion of the energy costs of a normal household, this is a good place to invest if you want to reduce your living costs. These new solutions allow a much more focussed and efficient solution to your heating needs, while giving you great flexibility. By combining different energy sources and a centralised or decentralised system heating energy, maintenance and installation costs can be kept to a minimum without compromising on functionality and comfort. Solar energy, air temperature and electricity can be combined into a flexible system that switches down to the most cost

Rise from renting to buying Home ownership and the right to a roof over the head has been one of the hot topics in the news in Namibia for numerous months. Exorbitant house prizes, non-delivery of promised housing schemes, shoddy workmanship on houses and the like have been some of the themes under the spotlight. Thomas Slabbert, Head of FNB home loans adds: “Let's face it – everyone would like to own their own home. Something that cannot be taken away and that guarantees that there is a roof over the family.” He goes on to say that buying a home for the first time, however, is a big decision, and all aspects of this financial and long term commitment should be weighed-up carefully, including whether buying or renting will put you in a better financial position. “There are many different aspects to take into account when considering buying. This is especially true in the affordable housing market where the majority of our customers are first time buyers, “says Slabbert. He shares some guidelines which outline the fundamental differences between renting and buying. How you are faring financially is possibly the most important factor when deciding to buy a home for the first time. Financially, there is a big difference between renting and buying. “And at FNB we encourage you to own your property and not pay somebody else's bond,” stressed the FNB Home loans Head. Buying a home attracts upfront costs, which need to be budgeted for. For example, an N$ 500 000 home, will attract N$ 8 000 in bond costs, which is the amount to register the bond with the Deeds Office. While there is no transfer duty on this amount, which is the tax owed to the Receiver of Revenue, there are still transfer costs of N$ 6 000, which are the fees paid

to the conveyancing agency for their services. If you secure an interest rate of 10.75 % which is the current base rate, your monthly repayments on an N$ 500 000 loan will be N$ 5076 per month. “However, these are not your only monthly costs,” says Slabbert. “As a home owner you are also responsible for rates and taxes, levies (if your home is in a complex), water and electricity as well as household insurance for the contents as well as the structure.” Over and above the bond, in this assumption, you should budget a little extra, to be safe, suggests FNB. Maintenance of the property is up to the home owner. If you are buying make sure that you budget for ongoing maintenance, so set aside money every month for an unforeseen issue such as a water leak or if your place needs painting, in order to avoid going into debt to keep your house in good order. When renting a property, you will need to provide a deposit, which is normally a month's rent, in addition to the rent for your first month. This deposit is used to cover any damage when you leave the unit or house. Once the deposit is paid, you will only be responsible for paying your rent and utility bills, electricity and water, on a monthly basis or as set out in your lease agreement. “It is very important for tenants to also note that they will, in the majority of cases, be expected to have their household insurance in place. This is to cover their own personal goods that are in the leased property in the event of a burglary or a fire. However it is

the home owner's responsibility to have his or her own building insurance, which covers the actual structure of the flat,” says Slabbert. “There are also a few more factors that go into renting. One is your long term position; do you move around a lot, are you planning on travelling or taking a break from your employment at any stage? Buying is a long term commitment, and it isn't an easy process to sell a house, which may actually put you on a financial back foot if you have to sell in a relatively short period.” However, if you are renting, Slabbert suggests that you build up your financial position with the outlook to one day be a home owner. Assessing whether to buy or rent will never be an entirely straightforward decision,” says Slabbert. “If you are able to afford the bond and the additional monthly payments, as well as the money for added costs then you are probably in a good position to buy.” Furthermore, although the bond repayments may seem steep in the beginning, in most cases, after a few years your income position will be stronger and towards the end of the 20 year period the bond will not have increased with inflation, you should afford the repayments easily as well as have an increase in capital value of the actual home,” says Slabbert. “There are advantages to both renting and owning your own house. Negotiate your financial settlement Disputes over money is certainly the number one cause of divorce. So if it was an issue when the going was good it is certain to escalate when you are parting ways. To start out right It is always best to make an informed choice as the marriage dispensation that would suit you best before you get married. If you are certain that you will never work after the marriage in community of property is not a bad decision. But for most people the antenuptial contract with accrual probably is the best suited option. Consider excluding assets intended for the children and record your own assets properly. Once you are married try to discuss the position of the family finances regularly. Also build up proper records about where the money is. This is the part where mediation becomes a great tool. The Valley is alive! AUAS VALLEY SHOPPING CENTRE Windhoek currently has seen a major growth in the retail sector. Many existing malls are upgrading, renovating and enlarging their current offering. or letter of undertaking? The facts in Koumantarakis Group CC v Mystic River Investment 45 (Pty) Ltd and Another (2008) 3 All SA 384 (Supreme Court of Appeal); 2008 5 SA 159 (Supreme Court of Appeal) were as follows: The purchaser concluded an agreement with the seller to purchase an immovable property for R12 million. The agreement was not conditional on the purchaser obtaining finance secured by a mortgage bond from any financial institution, but was intended to be a cash transaction. Accordingly, the price was payable by way of a deposit of R1 million secured by a bank guarantee acceptable to the seller and a similar guarantee for the balance payable on transfer of the property. The agreement was silent on the nature of the bank guarantee required, that is, whether it had to be revocable or irrevocable. It left the nature and format of the guarantee required entirely in the discretion of the seller. The purchaser supplied a bank guarantee that was in the standard form that the specific bank used in similar transactions. The standard guarantee contained the following important clause, which accorded the bank the right to withdraw from its commitment under certain circumstances: Should any new or previously undisclosed fact emerge which may prejudice the Bank's security or any circumstances arise to prevent or

unduly delay registration of the abovementioned transaction(s) we reserve the right to withdraw here from by giving you written notice to the effect, where-upon the said sum will no longer be held at your disposal. The guarantee provided by the purchaser thus constituted a revocable bank guarantee. The seller however, advised the parties that the guarantee had to be irrevocable and valid for a year. The purchaser could not submit a guarantee that was acceptable to the seller and the seller cancelled the agreement. The main dispute turned on the question whether the seller had acted unreasonable in rejecting the revocable guarantee provided by the purchaser. The court a quo held that the revocable guarantee did not provide adequate security to the seller and that the seller was entitled to reject it and cancel the agreement. On appeal Mhlantla A J J held, that neither a provision for irrevocability nor a provision that the guarantee provided security was expressly stipulated for in the agreement. In this regard, the court referred with approval to the earlier decision in Rosen v Ekon 2001 (1) SA 199 (w) in which it was held that, subject to any express term in an agreement for the sale of immovable property, the function of the bank guarantee for payment against transfer is not one of security, but rather one of payment.

The delivery of a revocable guarantee is in compliance with the purchaser's obligation to provide a guarantee for payment, unless the contract expressly provides otherwise. Where a seller has the discretion to accept or reject a guarantee, it must exercise an honest judgement in deciding whether to accept or reject a guarantee. The seller's decision to reject – objectively viewed – must be based on reasonable grounds. The court pointed out that the type of clause in question has been in use for a long time and has become a standing practice in most transactions involving a guarantee. The right of the bank to withdraw its guarantee is also not an unfettered discretion, but limited to the particular circumstances. The bank is not entitled to a “whimsical” withdrawal of its guarantee, but is limited to a withdrawal that is factually based and related to its security. Finally, the Supreme Court of Appeal held that the guarantee in the context of this contract was not irrevocable and was not intended to serve as security in the true sense of the word. It is evident that the letter issued by the bank is a contractual undertaking that payment will be made on registration of transfer. The appeal was allowed with costs.

kitchen Cauliflower Pizza Base INGREDIENTS: 1 Big Head of Cauliflower 1 Large Egg 0.5 Cups of Grated Mozzarella Cheese 1 Tsp of Italian Herbs 0.5 Tsp Salt 0.5 Tsp Ground Black Pepper METHOD: Preheat the oven to 200C. If you have a food processor, chop your cauliflower up into individual florets and blitz into a "rice" like texture in the food processor, if you don't have one you can grate your cauliflower like you would if you were making Cauliflower Rice. Place your riced cauliflower into a big bowl and cook in the microwave for 10-12 minutes, depending on your microwaves strength. Once it's cooked and allowed to cool, scoop as much of the cauliflower as you can into some cheesecloth if you have it, or what I do is just use a clean dishtowel. Once you have the cauliflower in your cloth/towel grab all four corners and twist in order to squeeze as much liquid as possible out, and you will be surprised by how much actually does come out. This part is a bit of an arm work out but the more liquid you get out, the crispier the end product will be. Once you've squeezed out as much water as humanly possible put the cauliflower back into the bowl and add your egg, herbs, mozzarella, salt and pepper and mix together well. When that's done, scoop out the doughy mixture and pat down into a baking pan on a sheet of baking paper or well greased, non-stick pan. Make sure to not make your base too thin. Place your baking pan with mixture into the oven and bake it for 15 - 20 minutes. ..a man after midnight… Fifty shades of grey? Indeed a shady affair, but not quite as bad as you thought! Planting in full shade can be a bit of a problem as garden centers offer a very limited range of shade loving plants. However, a little is better than nothing and shady spots can also be converted into focal points with atmosphere. Large evergreen shade trees with dense foliage In this country with its extreme summer temperatures very few people, if any, are inclined to remove a tree that provides welcome shade. Here's what you need to keep in mind: Ÿ The tree's needs come first Ÿ Determine how well your tree tolerates root disturbance Ÿ Avoid damaging the trunk and roots Ÿ Proper under planting and aftercare As every tree has its own unique requirements to survive, it would be advisable to do some homework before you start digging up and adding a layer of soil. Damage to a tree's roots or trunk can be avoided by understanding how they grow. Trees mostly stabilize themselves from wind by pushing major roots several meters into the soil. The rest of the roots

are small, hairy or woody and only about 30 – 35cm below the ground, extending out to about the tip of its farthest branches in order to collect moisture. If you find a root 5 – 6cm in diameter while digging a hole to plant, move your plant over in order to avoid slicing the root. To protect you tree from insects and diseases, never plant closer than 30cm from the trunk. Keep mulch also at least 30cm from the base to prevent fungal rot and disease. Your existing tree and new shade garden should not compete for resources, therefore mulch and water. Proper aftercare for survival.

Ÿ Monitor moisture conditions,

watering weekly when rainfall is inadequate and spot watering in areas where the tree may be getting more water than the rest. Ÿ Plant initially with Efekto's Superphosphate and allow enough time – at least 4 to 6 weeks – before applying a slow release fertilizer such as Efekto's 3:1:5 as this will benefit both the tree and plants alike. Options – ground covers and lower

growing plants with non-competing, shallower root growth: Ÿ Ground covers: Ivy such as Hedera canariensis and Hedera Helix. Lamium, Lysimachia, Periwinkle (Vinca), Irish Moss (Sagina sabulata). Ÿ Ornamental grasses: Lily turg (Liriope muscari), Wild rhubarb (Acanthus mollis), Ajuga reptens, black Mondo grass, Ophiopogon. Ÿ Ferns: Bird's nest, Maiden hair, Nephrolepsis Ÿ Bromeliads Ÿ Colour: Fuchsia, Azalea, Peace Lily (Spathiphyllum), Impatients, Begonia. TIP: You'll be amazed how much space a few well placed plants take up. Create ambiance by adding sculptures or garden ornaments, a place to sit, a old tree trunk – all objects that can be moved around until your plants fill in. If the existing tree has “difficult” roots, plant in pots of various sizes. Other possible shady areas e.g. inner court with high walls: Ÿ Lower growing plants: as above. Ÿ Higher in background – cycads, Araucaria (Norfolk Island Pine), Brunfelsia (Yesterday, Today, Tomorrow), Azalea. The last two can also be standards instead of the normal shrub. Good luck – and by the way, the fashion colour for 2015? Shades of burgundy and not shades of grey!
