In the trenches under the dome By Mac Deaver, MBA President

I began working for the MBA in 1985 when my Jackson law firm was retained to represent the association on state legislative matters. At that time, I was a 30-year old attorney with limited Deaver knowledge of banking or banking laws, and with zero experience working with the State Legislature. But I was pleased to be represent the MBA (i.e., “lobby”) at the State Capitol. I received this assignment after an “interview” with the MBA Executive Committee. (As I recall, I met with a group that included Ray Davis, Bob Kennington, Buddy Kahlmus, Farrell Berryhill, Cecil Robbins, Bobby Martin, Bud Robinson and Charley Youngblood. Of course, Ben Woods and Sis Fryant were there, too.) While my duties have expanded quite a bit in 30 years, it is fair to say that I “cut my MBA teeth” at the State Capitol. I quickly came to understand why “government relations” must be a top priority of our association. Bad legislation represents the most immediate threat to the success of traditional banking. (Keep in mind that regulations are created by legislation.) And it is the job of the MBA to work to see that any legislation enacted is positive, or at least workable, for our member banks. We work in support of policies that support, and do not impede, the success of traditional banking and all that it means to our state and its communities and its citizens. In three decades, the faces in the Legislature have changed drastically, but the basics of the legislative process have not. Despite the “changing of the guard” that has occurred – both in the Legislature and in Mississippi banking – the three keys to effective government relations are the same: relationships, communication, 2

and trust. We encounter many “moving parts” in working with the Legislature, but we can better deal with all of them if we embrace these three basic elements. When I started working with the Legislature, the only way to keep up with what was going on at the Capitol was to be there. For sure, this is still very important. (Just ask Gordon Fellows; you can reach him at the Capitol!) But today we have alternative ways to track bills and to communicate our views. Through the Legislature's website, we can see lists of bills as soon as they are introduced – and we can read legislative language and share it with others via email. Significantly, the time and place of legislative committee meetings (where the fate of most bills is decided) are on the internet within minutes of their being scheduled. (Thirty years ago, if I wasn’t there to hear the announcement of a meeting on the Senate or House floor, the meeting might be over before I even learned about it!) And today, we can even watch floor proceedings live via web cam. Back in 1985, I proudly carried a beeper. It beeped (or vibrated) when someone called, and it flashed a phone number – with no indication of whose number it might be. In response to this, I would hurry to the Capitol basement to seek an available pay phone so I could call the mystery number. Of course, everything became much better when I got my bag phone. Technology is a wonderful thing! The makeup of the Legislature has changed greatly in 30 years. Today, there are more women and minority members than ever before. And, as we are reminded every day, the Legislature is now a twoparty operation. These and many other factors have changed the inside politics that affect every debate. But, again, the basics of effective lobbying remain the same.

The MBA leadership and staff seek to develop and maintain effective relationships with and among our member bankers, with legislators and other public officials, and with other persons and groups who work in the legislative process. Our goal is to communicate effectively – with these same persons and groups – on a continuous basis. We work to inform our member bankers about issues as they arise. More importantly, we seek input from our members to help us identify issues and understand how they affect Mississippi banks. This helps us develop sound positions. Then, we communicate with legislators to help explain issues and to advocate our positions. The overriding factor, affecting our effectiveness in working with the Legislature, is trust. There is an old saying: “All a lobbyist has is his word.” This is an absolute. Representing the MBA, we strive to communicate openly and honestly among our membership and then to be forthright in communicating with legislators. We win some, and we lose some – but, over time, we are successful. And we are at the table to have a voice when other issues come along, as they always do. As I have said many times, the MBA is blessed to have an active and involved membership. This is what allows us to do the things that make us successful. Thanks for staying in the trenches with us on legislative issues. It means everything.

Anderson named President and CEO of Bank of Anguilla Andy Anderson has been named President and CEO of Bank of Anguilla. He succeeds Fred Miller, Jr. who was elected as Chairman of the Board of Directors. Anderson has been Anderson with the Bank of Anguilla since 1983. He has served as Chief Financial Officer, Compliance Officer and is a Director of the Bank. Anderson holds both bachelors and masters in business administration from the University of Mississippi. He is also a graduate of the Graduate School of Banking at LSU. Anderson has been active in both MBA and ABA committees.

He is a member of the Rotary Club and has served as its president twice. Anderson is also a member of the School Board and serves on the Rolling Fork Visitor Center and Museum Board. He has served as mentor for students in the graduate program at the University of Mississippi. Anderson has coached baseball and softball on the little league and high school levels for 32 years, having coached high school fast pitch softball for the past four years. He has been the play-by-play announcer for football and basketball at SharkeyIssaquena Academy for approximately 25 years. He is a Sunday School teacher and Deacon at First Baptist Church of Rolling Fork. He is married to Tracye Anderson, and they have two children.

Aker, Massengill promoted At Bank of Brookhaven Bank of Brookhaven Chairman of the Board and Chief Executive Officer Bill Sones announced the promotion of Shannon E. Aker to President and Robb Massengill to Execu- Aker tive Vice President and Chief Financial Officer. Chairman Sones stated “Both of these men are outstanding bankers and have been with Bank of Brookhaven since we founded the bank in 2000. They have been leaders in the community and also served well in their respective churches.” Aker is a graduate of the University of Mississippi, the Mississippi School of Banking and a former Councilman for

the Mississippi Young Bankers. Aker has 29 years of banking experience, all in Brookhaven. Massengill has 17 years of banking experience and is a graduate of the University of Massengill Mississippi, and holds a Masters in finance from the University of Memphis. He is also a graduate of the Mississippi School of Banking and served as President of Mississippi Young Bankers. Sones added “Both Shannon and Robb have played vital roles in Bank of Brookhaven’s success, as one of the top ten rated banks in Mississippi. I know they will do a great job in their new positions with the bank.”

Hughes named Chairman At Community Bank, Coast The Board of Directors for Community Bank, Coast, is proud to announce that David M. Hughes has been promoted to Chairman of the Hughes Board. Hughes also serves as the Chief Operating Officer for Community Bank, Coast’s holding company, Community Bancshares, Inc. A Biloxi native, Hughes is a graduate of The University of Southern Mississippi with a degree in business administration. He is also a graduate of the Mississippi School of Banking and the University of Oklahoma Commercial Lending School. In 2013, Hughes was recognized as one ot he Top 10 Business Leaders of the Mississippi Gulf Coast and has been installed in the Mississippi Gulf Coast Business Leaders Hall of Fame.

First Commercial Bank to acquire DeSoto County Bank First Commercial Bancshares, Inc. and DeSoto County Bank have jointly announced the execution of a definitive Agreement and Plan of Merger whereby DeSoto County Bank will be acquired by First Commercial in a cash and stock transaction. Following the completion of the transaction, DeSoto County Bank will merge with and into First Commercial Bank, the banking subsidiary of First Commercial Bancshares, Inc. With the merger, First Commercial Bank will enter DeSoto County, the third most populous and one of the fastestgrowing counties in Mississippi. In so doing, First Commercial will become the 22nd largest Mississippi-based community bank while securing a Top 30 share of the Mississippi deposit market. The combined organization will have approximately $370 million in assets, $298 million in deposits, and four branches located in two

of Mississippi’s largest metropolitan areas. “We are excited about this partnership, which introduces First Commercial Bank to the vibrant DeSoto County market and expands our ability to serve our clients in a critical commercial hub in the state of Mississippi,” said Alan Walters, First Commercial’s CEO. “DeSoto County Bank has earned a reputation for exceptional, individualized client service. We have known the management of DeSoto County Bank for quite some time and are confident about the growth opportunities this partnership provides. We look forward to earning the continued loyalty and business of DeSoto County Bank’s clients, as well as delivering significant long-term value for our combined shareholders as a result of this transaction.” William M. Renovich, DeSoto County Bank President and CEO, will serve as the DeSoto County market executive fol-

lowing the transaction and will also join the First Commercial Board of Directors along with one additional representative for DeSoto County Bank. “With this transaction, DeSoto County Bank will be able to advance the mission and values we started with while becoming a part of a larger, high-performing banking company with an attractive culture and customer focus,” noted Renovich. The transaction, which is expected to close in the second quarter of 2015, was unanimously approved by the boards of both companies but remains subject to approval by DeSoto County Bank’s shareholders and approval by federal and state regulatory authorities, as well as the satisfaction of other customary closing conditions provided in the merger agreement.

Community Bank, Ellisville, promotes Martin to CEO; Community Bank of Mississippi names Prather COO Bobby Knox, Chairman of Community Bank, Ellisville, announced the promotion of Justin Martin to Chief Executive Officer for the Ellisville bank. Martin joined Com- Martin munity Bank in 2007 and most recently has served as the Chief Operating Officer for the Ellisville bank. Martin is a graduate of Mississippi State University with a bachelors of business administration in banking and finance. He is also a graduate of the Mississippi School of Banking and the Graduate School of Banking at LSU. Active in his community, Martin is a member of the Laurel Kiwanis Club 4

and a board member of the Laurel Country Club. He is also a 2014 graduate of Leadership Mississippi. Martin and his wife, Marisa, reside in Laurel Prather and have two children. The family attends Laurel First United Methodist Church. Greg Moore, President and CEO of Commuity Bank of Mississippi announced the promotion of Barry Prather to Chief Operating Officer for Community Bank of Mississippi. Prather joined Community Bank in 1995 and has served as an Executive Vice President in Commercial Lending since 2003. Along with Prather’s promotion, he has also been

elected as a member of the board for the bank. He is a graduate of Mississippi College with a bachelor of science in finance and a master of business administration. Prather is also a graduate of the Mississippi School of Banking and the Graduate School of Banking at LSU. Active in the community, Prather is a board member for the City of Madison Chamber of Commerce, where he will serve as the 2015 Treasurer. Prather and his wife, Cheryl, have lived in Madison for the past 25 years and have two children. They are members of Broadmoor Baptist Church.

Trustmark launches Trustmark Financial Scholars Program Web-based financial literacy program available in 125 Mississippi schools Trustmark and Wingfield High School educators celebrated the launch of the Trustmark Financial Scholars Program, a financial education course designed to empower young people with the essential skills needed to make sound financial decisions. In honor of its 125th Anniversary, Trustmark has partnered with leading education technology company EverFi, Inc. to bring this interactive, web-based financial management program to 125 schools across Mississippi. “Trustmark is proud to recognize our 125th Anniversary by providing essential financial education to 125 Mississippi schools, in the state where we began all the way back in 1889,” said Jerry Host. “This online financial literacy program will

help Mississippi students make smarter financial decisions in their daily lives and prepare themselves for their financial futures. We’re glad to launch this program at Wingfield High School with educators who are as committed as we are to improving the financial IQ of our young people through the implementation of the Trustmark Financial Scholars Program.” Trustmark has partnered with EverFi, Inc. to bring the program to local students at no cost to the schools or the taxpayer. The web-based program uses the latest in new media technology – simulations, avatars, gaming and adaptive-pathing – to bring complex financial concepts to life for today’s digital generation. The high school course, EverFi – Financial Literacy,

offers over six hours of programming with ten units in a variety of financial topics including credit scores, insurance, credit cards, student loans, mortgages, taxes, stocks, savings, 401k’s and other critical concepts that map to national financial literacy standards. The platform uniquely tracks the progress and performance of every student and provides students who successfully complete the course with a Certification in Financial Literacy, a valuable mark of distinction on college applications and resumes.

Sliman retires from The Peoples Bank, Biloxi; Alexander resigns from Board of Directors Senior vice president Thomas J. Sliman has retired from The Peoples Bank after 30 years of service, announced Chevis C. Swetman, chairman and chief executive officer of the bank. “Tommy has been a valued member of our senior management team since 1988; I have relied on his perspective and advice for Sliman more than 20 years,” said Swetman. “Our bank will miss Tommy’s experience, and I will miss a trusted advisor,” Swetman added. Sliman graduated from the Louisiana State University. He became a Certified Insurance Counselor in 1979, and joined The Peoples Bank in 1985. Sliman was the bank executive in charge of construction of the new Swetman Building opened in 2008 connecting with the historic Main Branch.

The Peoples Bank has announced that director A. Wynn Alexander has resigned from the board for personal reasons. Alexander was elected a director of The Peoples Bank in 2011. He is currently president of Desoto Treated Materials, Inc. and Desoto Land and Timer, Inc. in Wiggins. He was a founding member of the CPA Alexander firm Alexander Van Loon Sloan Levens & Favre, and was a partner with the accounting firm until his retirement in 1997. “We will miss Wynn’s wise counsel,” said Chevis C. Swetman, Chairman and Chief Executive Officer. “His professional experience and personal reputation in the Stone County area have been extremely valuable to the growth of our business in that region,” Swetman added.


Third Annual MBA Women in Banking Conference Set for March 24 in Jackson The third annual MBA Women in Banking Conference is scheduled for Thursday, March 24, in Jackson. The event will be held at the Marriott Hotel in downtown Jackson. A committee of bankers, chaired by Gee Gee Patridge of BankPlus, Ridgeland, has planned the conference agenda. Registration will begin at 8 a.m., and the conference will start at 8:30 a.m. Lunch will be provided for all attendees. Patridge will preside over the conference. The opening session will include remarks by Commissioner Charlotte Corley, Mississippi Department of Banking and Consumer Finance, and Sylvia Plunkett, Senior Deputy Director, FDIC, Washington, D.C. Highly regarded speaker, Amy Hutchens of AmyK International, will present a session titled “Ignite Brilliance in Your Leadership.” Hutchens is the CEO of AmyK International Inc. Her company has won five Telly Marketing Awards and the summit International’s Award for creativity. Deborah Bryant, First Lady of Mississippi, will be the guest speaker during the buffet lunch. Bryant currently serves as the Director of Community Development for Community Bank, in addition to her role as First Lady. When asked about this year’s Women in Banking conference, Patridge said, “It is a day to network with our peers in the financial industry, enhance our leadership skills and meet with several of Mississippi’s women leaders on a more personal level. It is refreshing, and I look forward to it again this year.” Registration for employees and directors of MBA member banks is $225 for the first registrant and $195 for each additional registrant from the same bank. MBA Board takes positions on state legislative proposals On January 14, over 75 bankers gathered for the annual MBA membership meeting to discuss state legislative issues. Bankers in attendance heard reports on a number of legislative proposals and offered their input to the MBA leadership on what positions the association should pursue in the 2015 Regular Session. MBA Chairman Freddie Bagley presided over the meeting, which was held in the Trustmark Conference Center at the Mississippi Sports Hall of Fame and Museum in Jackson. Robbie Barnes, chairman of the MBA Legislative Committee, joined Bagley and MBA staff in discussing legislative issues. First-ever ‘MYB Day at the Capitol’ Set for Tuesday, February 24 The Mississippi Bankers Association and Mississippi Young Bankers are excited to announce “MYB Day at the Capitol” on Tuesday, February 24. This event will provide a great opportunity for young Mississippi bank officers to gain knowledge of legislative issues and to become involved in the legislative process. The day will begin at 9:00 a.m. with a briefing at the MBA office by Freddie Bagley, MBA Chairman and Gordon Fellows, MBA vice president of government relations. The group will then go to the State Capitol to meet with Lieutenant Governor Tate Reeves, House Speaker Philip Gunn, and other legislative leaders and to see the legislative process first hand! Lunch will be provided by the MBA. All meetings are expected to conclude around

3:30 p.m. Specific details will be sent to all registrants. Actions by the State Legislature at the State Capitol have a major impact on banking in Mississippi. 5 Steps for Preparing for Effective Vendor Negotiations By Jim Wilkson An effective Vendor Management process not only satisfies regulatory requirements, it can also help you maximize your vendor relationships and save you money! In order to save money on your data processing contracts, these are a few steps that will help you prepare for effective vendor negotiations. Step 1: Vendor Management – Understand its Purpose Done right, vendor management will: • Reduce your expenses, • Help you identify and manage both threats and opportunities, • AND meet regulatory requirements. Effective vendor management starts with the selection process and continues for the life of the relationship. Bank management has an obligation to identify and understand the risks your vendors pose to your bank and a fiduciary responsibility to search for opportunities to improve both financial and service level performance from your vendor relationships. Consider each area of the bank that has a role in planning for or performing work with your vendors and be sure to involve your team members in your vendor management process on a continuous basis. Step 2: Track Contract Terms and Expiration Dates To develop an effective vendor management program, begin with an accounts payable report of those you’ve paid over the past year; then centralize related vendor contracts and document what products and services are covered. It’s also a good idea to get a vendor management system in place at this point. In addition to providing software, look for a vendor management partner

that can help you with related services on an “as needed” basis. This will help tremendously as the workload will vary at different points. Step 3: Sync up Expiration Dates When it comes to your data processing and related services, do your best to sync up the contract expiration dates. It might not seem important on the surface, but having all of your contracts for interrelated services expire at the same time can provide you additional leverage in renegotiating your contracts. A shortterm extension might be in order for some contracts in order to match them up with others. In addition, if you decide to evaluate new vendors and possibly change providers, potential early termination fees can be avoided for services being replaced that expire outside the conversion timeframe. Step 4: Provide Written Notice Not to Automatically Renew Regardless of your relationship with your vendors, it is prudent to send a written notice asking them not to automatically renew your contracts. If it isn’t in writing then it didn’t happen! Always send the letters according to the terms of each contract by certified mail and obtain and keep a return receipt.

Step 5: Take Advantage of Professionals – Enhance Your Efforts The FDIC FIL titled “Effective Practices for Selecting a Service Provider” states that banks “may wish to consider using consultants to provide expertise and assistance throughout the selection process.” Whether renewing your contracts or evaluating alternative providers, choose a consulting firm that has a deep knowledge of community banking and the providers that service banks like yours. It is best to select your consultant 12 to 24 months in advance of your contract expirations if possible. An experienced consultant can facilitate productive and professional working relationships between your bank and your vendors while helping you get the best possible services at the best possible price.

Saluting America’s Hometown Bankers

When we asked five bankers from five states across the country to come to Dallas last November for a film shoot, we didn’t know what to expect. The bankers were invited to Dallas -- a central location Keating -- to join members of a film crew and a cast of extras to produce a series of three television ads spotlighting “America’s Hometown Bankers.” Filming television ads means long days of multiple takes at multiple locations. The weather -- for outdoor segments -- is another variable. For our bankerspokespersons, it was unseasonably cold during the two days of filming. Yet through it all, our “talent” was patient, positive and proud to help promote the industry’s image. Representing Colorado, New Mexico, Oklahoma, South Dakota and Virginia, they showcased the

ways bankers help their customers achieve their dreams, from buying a first home to growing a small business. They spoke from their hearts about the values they share as bankers with their customers and communities every day. This aspect was not lost on members of the production company, who were amazed at the bankers’ naturalness that underscored the strength of their convictions and credibility. Our ads also highlight bank technology that makes customers’ lives more convenient and secure, from 24-hour fraud monitoring to mobile check deposits. These are messages that we know from research will resonate with consumers. We unveiled our new ad campaign during Sunday morning talk shows on ABC, CBS, CNN, Fox and NBC -- and on business and policy programs -- in December and January. The ad campaign’s three spots -“America’s Hometown Bankers,” “First

Home” and “Small Business Dreams” -- tell your story. How banking is “more than a job.” How it’s “a people business.” How you want to help a customer “realize your dreams.” You can watch the ads on aba.com. The ads’ tagline is, “We’re America’s hometown bankers, and we’re here to help you realize your dreams.” It’s a message made more powerful because our bankers believe it when they say it.
