Ending the year with thanks, anticipation By Mac Deaver, MBA President With the arrival of the holiday season, our Mississippi banking family has much to be thankful for. During the past year, bankers have been buoyed Deaver b y a n i m p r ov i n g economy and a noticeably more positive regulatory environment. And there has been some genuinely good news coming from Washington, with the anticipation of more. As 2017 draws to a close, the most significant regulatory relief legislation since the Dodd-Frank Act is winding its way through Congress. On December 5, the U. S. Senate banking committee approved a banking reg reform bill – on a bipartisan vote, no less. With similar legislation having already passed the House, there is promise that final enactment could be only weeks away. There also are encouraging developments on tax reform, as both the House and Senate have passed major tax legislation. A Senate-House conference com-

mittee has already begun work, with the goal of having a final bill on the President's desk by the end of the year. Of course, back in October, Congress passed a resolution that was signed by President Trump to effectively repeal the CFPB’s arbitration rule that was a real detriment to banks and other businesses. (More details on Congressional activity appear on page 7.) As always, with the arrival of a new year, the Mississippi Legislature will not be far behind. The 2018 regular session will convene on Tuesday, January 2, and it is expected that legislators’ primary focus will be on revenue and budget matters. While the list of anticipated bank-related legislation is not long, there could be significant activity on several issues important to the industry. (See page 6 for a report on the MBA Legislative Committee’s recent meeting.) With the support and participation of hundreds of bankers, the past year has been a busy and successful one for the MBA. We have continued to implement our strategic plan, seeking to increase banker involvement and max-

imize the value of MBA membership. During the year, we made changes to our fiscal year, experienced staff changes, and promoted a growing number of endorsed programs. Our banker and consumer education programs continue to flourish. (See pages 10-12 for a report on the continued success of “A Banker in Every Classroom.”) It is impossible to personally thank everyone who has contributed to another great MBA year. Special thanks go to the MBA leadership and staff for their diligent work in helping make 2017 a rousing success. Here’s wishing each of you and your families the joys of this special season.

MBA to offer digital version of 2018 Mississippi Bank Directory The Mississippi Bankers Association will be offering a digital version of its 2018 Mississippi Bank Directory, in addition to the traditional print version. The new directory is expected to be distributed in early February. The MBA is working with BankNews Media to produce the 2018 directory, which is currently being compiled with assistance from Mississippi banks. The new digital version will be available 2

through online subscriptions or in a flash-drive format. The design and content of the directory will largely be the same as in the past. The Mississippi Bank Directory serves as a reference guide that includes contact information for all banks offices operating in the state, as well as listings of selected bank officers, bank regulatory agencies, state and federal public officials including members of the U.S. Congress and

the Mississippi Legislature, and other industry organizations. The directory also includes a guide to more than 100 MBA Affiliate members that offer a wide variety of products and services to Mississippi banks. Peoples Bank, Mendenhall, announces winner of Christmas card contest Peoples Bank, Mendenhall, received hundreds of entries from Covington, Rankin, Simpson and Smith counties for their 2017 Christmas card contest. Winners were presented with a framed copy of their artwork and an award medal at a reception at the bank's Magee office on November 29. Overall winner Jake Butler, son of Russell and Misty Butler, is 10 years old and attends 4th grade at Mize Attendance Center. Jake will receive a $100 savings account and his drawing will be featured on the cover of Peoples Bank’s annual Christmas Greeting Card.

Nine Jackson area banks work together In 2017 Habitat Bankers Build project Strong neighborhoods build strong communities. This is the spirit that led nine Jackson area banks to partner for the third year in a row with Habitat for Humanity Mississippi Capital Area to build a home for a local family. Partnering in this unique collaboration were Trustmark, Wells Fargo, Regions, BancorpSouth, Origin Bank, Renasant Bank, First Commercial Bank, BankFirst and Community Bank. Employees from these banks volunteered in October and early November to construct a Habitat house at 2860 Greenview Drive in Jackson. This was the third Habitat house that the Bankers Build partnership had sponsored on the street. “The partnership serves as a model for the entire community, showing what can be accomplished when we work together,” said Larry Ratzlaff, state president of Origin Bank and president of the Habitat Board of Directors. “We are proud to be community partners with Habitat for Humanity and share in the goal to move families out of poverty housing and empower them

through affordable homeownership.” The 2017 Bankers Build Habitat house was purchased with a no-interest mortgage by Gloria Kincaid, who has been working alongside the Bankers Build volunteers in constructing her new home. “I feel like I am the luckiest woman in

the world for my family to be getting the opportunity to own a home,” she said. “I want to thank all of the banks who are sponsoring this build, the employees who are volunteering, and Habitat for Humanity for making home ownership possible for my family. This is a dream come true.”

Former Graduate School of Banking president Clifton Fowler passes away Clifton Fowler, who enjoyed a distinguished 45-year career as a Mississippi banker, passed away on October 20 at the age of 69. Fo w l e r d i s t i n guished himself in of- Barnes ficer positions at three prominent Mississippi banks, and he served the banking industry in numerous roles. He began his career in 1971 at First National Bank (now Trustmark National Bank), Jackson. He later served as Starkville president of National Bank of Commerce of Mississippi (now Cadence Bank). At the time of his death, he was Rankin

County president of Bank of Forest. For many years, Fowler was involved in activities of the Mississippi Bankers Association and Mississippi Young Bankers. He served the MBA as chairman of the association's political action committee, MissBankPAC, on which he served for a number of years. He also served as a member of the MBA legislative, lending and nominating committees. He served as secretary of Mississippi Young Bankers and was a member of the MYB executive council. A proud alumnus and dedicated supporter of the Graduate School of Banking at LSU, Fowler is one of six Mississippi bankers to serve as GSB president. In recent

years, he served on the GSB faculty. Fowler was born in 1948 to James Clifton and Gunnell Boden Fowler of Aberdeen. He was a member of Sigma Alpha Epsilon fraternity at Mississippi State University, and after graduation from State, he served in the United States Army. He was a dedicated and active member of Christ United Methodist Church in Jackson. In his spare time, he enjoyed fellowship with family and friends, fishing, golf, and Mississippi State athletics. He is survived by Sherry (Cribbs), his wife of 43 years, as well as his children Jason and Susan and granddaughter Elin.

Zito receives national program manager award

Leigha McLendon named to list of top 100 lenders

The list recognizes successful bank and credit union program managers based on several key factors, including total team assets under management, percentage growth of team assets, the number of advisors and licensed branch employees supervised by the program manager, among other criteria.

Leigha McLendon of BankPlus was recently named one of the Top 100 SBA 7(a) lenders in the nation, as selected by The Coleman Report, a leading provider of information to small business bankers and a large McLendon producter of training courses and webinars in regards to SBA. McLendon became director of guaranteeed lending at BankPlus 5 years ago. During her time in this position, the bank's guaranteed lending has increased from $3 million to more than $50 million.

MBA studies positions on state legislation Legislature to convene 2018 session on January 2 With the Mississippi Legislature set to return to Jackson on January 2, the Mississippi Bankers Association is working to research issues and develop association positions on bank-related issues expected to be addressed in 2018. The MBA Legislative Committee, chaired by Clay Wagner of Hancock Bank, met on November 7 to study and discuss issues. Commissioner Charlotte Corley of the Mississippi Department of Banking and Consumer Finance met with the committee to preview the department’s legislative agenda for 2018. Ten days later, the MBA Bank Attorneys Committee, chaired by Tom Walker of Brunini, Grantham, Grower, and Hewes, convened to review issues based upon the feedback provided by the Legislative Committee. Before the 2018 legislative session begins, these committees will continue their work with MBA leadership and staff. Proposed positions and priorities will go before the MBA board and membership, which association chairman Jerry Host will convent on January 18 in Jackson. Wagner and Walker will participate in

these meetings, presenting their committees’ recommendations. Most banking legislation can be expected to go before the Senate and House “banking committees” Sen. Rita Parks of Corinth will again chair the Senate Banking and Financial Institutions Committee, while Rep. Henry “Hank” Zuber of Ocean Springs returns to chair the House Banking and Financial Services Committee. Other bank-related legislation is likely to be considered by the judi-

MBA Legislative Update THE MISSISSIPPI BANKER

Congress repeals CFPB arbitration rule; Reg relief, tax reform move forward As 2017 comes to a close, bankrelated legislation has become an area of focus in the United States Congress. Decision makers in Washington acted on legislation that stands to have a tremendous impact on the banking industry. Below are summaries and developments on each of these matters. Arbitration Rule On October 24, the United States Senate passed H.J. Res 111, legislation drafted to “undo” the CFPB’s “Arbitration Rule.” This bipartisan legislation passed the Senate in dramatic fashion as Vice President Mike Pence cast the deciding vote to break a 50-50 tie. On November 1, President Donald Trump signed H.J. Res 111 into law, effectively repealing the CFPB’s rule. The MBA strongly supported this legislation and lobbied the Mississippi Congressional delegation on this issue during the MBA’s 2017 Washington Visit in September. Among the points in favor of repeal of the rule were that arbitration is faster, less costly, and more consumerfriendly than class action litigation. Mississippi Congressmen Trent Kelly, Gregg Harper, and Steven Palazzo all voted in favor of H.J. Res 111 in the House, and Senators Thad Cochran and Roger Wicker both supported the resolution in the Senate. Senators Cochran and Wicker were original cosponsors of the Senate companion to H.J. Res 111, and they both worked with Senate leaders to ensure that the resolution came to a floor vote. Enactment of H.J. Res 111 was a significant legislative victory for the banking industry, and bankers are encouraged to thank these Senators and Congressmen

for supporting this legislation. Bank Regulatory Relief On December 5, the Senate Banking Committee approved S. 2155, the Economic Growth, Regulatory Relief and Consumer Protection Act. This bill, sponsored by committee chairman Sen. Mike Crapo, was approved with strong bipartisan support. The legislation includes a number of positive changes supported by the MBA, ABA, ICBA, and other industry groups. The Senate committee action followed House passage of reg relief legislation earlier in the session. S. 2155 now awaits floor action in the full Senate. Provisions included in the Senate bill that are supported by the MBA would (1) exempt some loans held in portfolio from “qualified mortgage” (QM) rules, (2) provide HMDA relief for banks that make less than 500 covered loans, (3) simplify capital requirements for community banks, (4) clarify that certain reciprocal deposits are not brokered deposits, (5) provide for broader application of Short Form Call Reports and the Small Bank Holding Company Policy Statement, (6) give broader application of the 18-month exam cycle for certain banks, and (7) revise the “systemically important financial institution” (SIFI) designation and change stresstesting requirements for certain banks. Tax Reform On December 1, the U. S. Senate passed major tax reform legislation on a partisan 51-49 vote. The Senate action followed House passage of a tax reform bill in November. Because of differences in the two bills,

a conference committee is working to finalize tax legislation with the stated goal of having it on the President's desk before the end of 2017. The MBA joined other groups in lobbying on bank-related tax provisions in the legislation. Among other issues, our association lobbied for removal of language that would have penalized employees who participate in deferred compensation plans. This provision was removed from both the Senate and House bills with the support of the Mississippi delegation. The MBA also worked for changes to "pass-through" language that would create a major gap between taxation of Sub-S and C-Corp banks. Improvements were made to pass-through provision by the Senate. Despite lobbying efforts by the banking industry, neither the Senate or House bill made changes to remove the tax advantages enjoyed by credit unions or the Farm Credit System in their competition with banks. The MBA thanks the Mississippi delegation for their work for positive tax reform. The MBA will continue to work with the Mississippi delegation as this issue moves forward. Developing leaders for Mississippi banking 68th annual session of GSB at LSU set May 20-June 1, 2018 For almost 70 years, the Graduate School of Banking at Louisiana State University has been at the forefront of developing leaders for Mississippi’s banking industry. Mississippi banker Orrin Swayze was the driving force in establishing the school (then known as the School of Banking of the South) in 1950. The Mississippi Bankers Association was one of nine state bankers associations that joined as founding cosponsors of the school. Seventeen Mississippi bankers were among the 100 members of the school’s first class. Of the 15,000 bankers who have graduated from GSB over the years, more than 10 percent have been Mississippians. Today, literally hundreds of senior bank officers in our state are GSB graduates. MBA chairman Jerry Host and dozens of other Mississippi bank CEOs are among the school’s alumni. GSB’s enrollment has grown to approximately 450 each year, including

bankers from across the United States as well as from several foreign countries. Today, 15 state bankers associations – from Virginia to Texas – sponsor the school. A 33-member Board of Trustees made up of bankers and bankers association leaders supports Dr. Don Woodland, longtime GSB director in keeping the curriculum current and maintaining the highest standards on the faculty. Currently, Max Yates of BankPlus serves on the GSB board, along with MBA president Mac Deaver. The GSB faculty includes bankers, industry professionals, regulators and university educators. A number of Mississippians serve on the school’s faculty, including Dr. Mike Highfield of Mississippi State, who also serves the school as academic director.

Beginning with Orrin Swayze, there have been six Mississippi bankers serve as GSB president. Other presidents from our state have included Robert Gaddis, George Schloegel, Harry Walker, Clifton Fowler and Tommy Darnell. The school’s intensive program of study includes three two-week sessions on the LSU campus and home study problems completed between sessions. An emphasis of the school is banker interaction, as students work together and develop relationships that benefit them and their employers. Applications are now being accepted for the school's 2018 session. Deadline to register is April 16. Taking Off! 'A Banker in Every Classroom' continues tradition of success This year, Governor Phil Bryant proclaimed October 30-November 3 as "A Banker in Every Classroom" (BIEC) Week in Mississippi, marking the launch of the seventh year of the MBA's financial education project. During this week, the project continued its great success as hundreds of bankers and teachers made presentations to thousands of K-12 students across Mississippi. "BIEC was developed to create relationships between bankers and teachers that would benefit local students," explains Amy Davis, MBA senior Vice President. "This year, many school visits were scheduled by bankers and teachers themselves, rather than my MBA

staff. This means the program is doing what it is supposed to do," she added. BIEC continues to be one of the largest financial education initiatives in Mississippi. The MBA supports continued classroom presentations throughout the coming year. "BIEC is a great opportunity for bankers to collaborate with teachers on the local level to impact the lives of students who will become bank customers and, in some cases, future bankers," Davis said. Making Things Happen By Rob Nichols, American Bankers Association President and CEO You’ve heard the saying that there are three kinds of people in the world: people who make things happen, people who watch things happen and people who wonder what happened. In my experience, the women and men who lead America’s banks fall decidedly Nichols LQWR WKH Ă€UVW FDPS It could be because you lead the institutions that serve as the engine of America’s economy — and together, you comprise one of the most important industries in our nation. It could also be because most of the bankers I meet and talk to in my travels are deeply engaged in industry affairs. They are at their state association’s convention, serving on its board or on one of ABA’s many councils, working groups or committees. They are tending not only to what their employees, customers and communities need, but also to what the industry, economy and country need to thrive. This extra service makes a big difference. When bankers engage in their association’s affairs or in advocacy, a host of good things happen. Some examples: ,W ZDV D PHPEHU RI $%$¡V ´RIĂ€FLDO family,â€? for instance, who suggested ABA Ă \ GRZQ WR +RXVWRQ DQG 1DSOHV IROORZLQJ +XUULFDQHV +DUYH\ DQG ,UPD DQG FDSWXUH on video — for all to see — how banks and bank employees were responding to the local disasters. The result of that suggestion is a video — which you can YLHZ DW DED FRP +XUULFDQH5HVSRQVH — that showcases how bankers lead WKHLU FRPPXQLWLHV LQ GLIĂ€FXOW WLPHV We’ve been promoting this video widely and encouraging bankers to do the same because it tells such an important and positive story about our industry. I’m grateful to Bob Jones (United Bank, Atmore, Ala.), who serves on the ABA Foundation board and also chairs the Fund for Economic Growth, for suggesting this. Bankers serving on ABA’s Community Bankers Council, along with senior 28

ORDQ RIÀFHUV DQG RWKHUV DW PHPEHU banks, made a big difference when they provided us essential feedback during the Consumer Financial Protection Bureau’s rulemaking on small-dollar loans. Their comments, which we relayed in letters and meetings with bureau RIÀFLDOV UHVXOWHG LQ D FULWLFDOO\ LPSRUWDQW exemption for banks from the CFPB’s ÀQDO UXOH UHTXLULQJ VKRUW WHUP VPDOO dollar loans to meet an ability-to-repay test. Banker involvement was also the key to scoring improvements last year to the Call 5HSRUW IRU VPDOOHU EDQNV :H DUH VHHNLQJ to replicate that success as the agencies undertake a review of their safety and soundness exams. That’s why ABA invited regulators to listen in on two banker conference calls we hosted on the topic — so that regulators could hear bankers’ perspectives early on in their review process. And of course, bankers’ engagement on the CFPB’s arbitration rulemaking not only helped shape ABA’s policy position on the issue, it ultimately helped persuade Congress to overturn the rule, securing a critical win for bank customers who would have lost access to a resolution option that was faster, PRUH HFRQRPLFDO DQG PRUH EHQHÀFLDO to consumers than class action litigation. The truth is, we rely on bankers to inform and guide everything we do, from our comment letters on regulatory proposals and advocacy communications, to conference content and online training. That is the only way associations can succeed. 6R P\ DSSHDO WR \RX LV WKLV +HOS XV help you. We are fortunate to have many engaged bankers, but we need more. We especially want to make sure tomorrow’s bank leaders are engaging today. ABA Chairman Ken Burgess told the crowd at our annual convention that he learned the importance of actively participating in association and industry affairs early on from his dad, who was involved with both the Texas Bankers Association and Independent Bankers Association of Texas, as well as ABA. It’s a legacy he is passing on to his staff, and I hope our other

banker volunteers will do the same. Odds are that whatever position you hold in your bank, you possess expertise that your state association and ABA are eager to tap. Look for opportunities to join a working group or serve on a committee (see some opportunities DW DED FRP &RPPLWWHHV 5HVSRQG to surveys asking your views on an issue or business practice.
