FROM THE BOARD Nominations for Board of Directors

Board Member Duties, Responsibilities and Obligations To All Hamilton Mill Homeowners: In accordance with the By Laws for Hamilton Mill Community Association, Inc., three positions of the current board are up for re-election. The Board is currently accepting applications for these positions. The closing date for nominees for the Board is November 20, 2020. The duties and responsibilities of a board member include governance, decision making, and oversight which requires time, dedication, and knowledge on the workings of the community. In addition, a clear understanding of the association’s covenants, restrictions, bylaws, and a working knowledge of the association’s finances, insurance requirements, and contract obligations for the vendors that work for the association would be expected of each nominee. The affairs of the Association are governed by the Board of Directors, elected by its members. GA Code requires a director to discharge his or her duties in a manner the director believes in good faith to be in the best interest of the Association. The legal duties of a Director are: · Duty of Care – must exercise good judgment; includes an obligation to make informed decisions; ignorance is no defense · Duty of Obedience – must comply with the Association’s governing documents and act consistent with goals · Fiduciary Duty – must be loyal to the Association and never use position for personal gain or illegal acts; loyalty includes confidentiality Below is an overview of the role of officers of the Association which are appointed by and consist of elected Board members. Please read the information below carefully, and take all the information into consideration before considering a position on the Board of Directors.

Thank you and best of luck in your decision! Officers of the Association: PRESIDENT The president of an association is vested with all the powers generally given to the chief executive officer of a corporation. While specific by-law provisions may vary the president’s duties, it is generally presumed that he or she will preside at all meetings of the board and the membership. The president will execute contracts, orders and other documents in the name of the association as its agent. When signing documents, the president should indicate the capacity in which he or she is signing in order to avoid any personal liability since the president’s signature, under most circumstances, will bind the association under a doctrine of inherent powers. The president also assumes general charge of the day-to-day administration of the association and has the authority to order specific actions in furtherance of the board’s policies. The president serves as spokesperson for the board of directors in most matters relating to general association business. Like all officers of the association, the president has an affirmative duty to carry out the responsibilities of the office in the best interests of the association. Unless otherwise specified in governing documents, the president serves at the will of the board of directors and can be removed with or without cause at any time by a majority of the full board. VICE PRESIDENT The vice-president is vested with all the powers which are required to perform the duties of the association president in the absence of the president. The vice president does not automatically possess inherent powers to act in the capacity of the chief executive officer and may act for the president only when the president is actually absent or otherwise unable to act. The vice-president may assume such additional duties as are defined by the board of directors. Often, the vice-president will chair one or more substantive committees like that of architectural review. SECRETARY The secretary of the association is responsible for keeping and maintaining a record of all meetings of the board and the membership and is the custodian for most of the official records of the association. The position of secretary is not simply a clerical position. As the custodian for the minutes and other official records of the

FROM THE BOARD association, the secretary is responsible for insuring access to those records by the members of the association and their authorized representatives. TREASURER The treasurer is the custodian of the funds, securities and financial records of the association. When the association has a manager or Management Company that handles the funds on a daily basis, the treasurer’s duties will include overseeing the appropriate people to ensure that the financial records and reports are properly kept and maintained. Unless the by-laws otherwise specify, the treasurer is responsible for coordinating the development of the proposed annual budget and for preparing and giving the annual financial report on the financial status of the association. The treasurer does not have the authority to bind the association or the board of directors in dealings with third parties unless the board has provided express authority for the treasurer to do so. As with the association’s secretary, the treasurer does not have to perform the day-to-day record keeping functions of the association when this responsibility is transferred to a management company, but the treasurer will ultimately be responsible for insuring that the financial records of the association have been maintained properly in accordance with sound accounting practices. Fiduciary Relationship and Responsibility The members of the board of directors and each officer of the association have a fiduciary relationship with the members of the association. This fiduciary relationship imposes obligations of trust and confidence in favor of the corporation and its members. It requires the members of the board to act in good faith and in the best interests of the members of the association. It means that board members must exercise due care and diligence when acting for the community, and it requires them to act within the scope of their authority. The fact that the association is a not-for-profit corporation, or that the members of the board are volunteers and unpaid, does not relieve them from the high standards of trust and responsibility that the fiduciary relationship requires. When a member accepts a position on the board of directors, he or she is presumed to have knowledge of the duties and responsibilities of a board member. Board members cannot be excused from improper action on the grounds of ignorance or inexperience and liability of board members for negligence and mismanagement exists in favor of the association and the property owners. Each board member must recognize the fiduciary relationship and the responsibilities that the board has to the association and each of its members. The board’s duties must be performed with the care and responsibility that an ordinary prudent person would exercise under similar circumstances, and the ultimate responsibilities of these unique positions cannot be delegated to a manager, a management company or other third party. A Recap of the Board Member’s Role: · Protect, preserve, and enhance the values and assets of the Association and its members · Read, understand, and adhere to Association’s governing documents · Where appropriate, select, support, and evaluate the management company or general manager · Adopt and cause to be implemented policies for the maintenance, administration, and financial well-being of the Association · Attend and participate in meetings · Set amount of assessments to ensure adequate resources to meet the Association’s purpose · Oversee resources and finances and ensure financial controls are in place · Determine the scope of services and monitor · Enhance the Association’s public image · Act legally and ethically · Recruit new Board members · Adopt rules and regulations Operating a homeowner association carries with it many of the very same duties and responsibilities as overseeing any other business. Serving as a board member is a valuable and rewarding experience that should be undertaken by those who see it as an opportunity to serve their fellow neighbors while protecting and enhancing the assets of the community.

A Special Thank You

Many of our homeowners probably do not know the name Laura Dillon and those that do, more often than not, know her as Laura the tennis player. While Laura is certainly a force to be reckoned with on the tennis courts, for the last 17 years she has also been a driving force in ensuring Hamilton Mill retains its status as a premier community in the Atlanta metro area. For the past 17 years, Laura has been heavily involved with our Grounds and Facilities Committee, including serving as Chairperson for many years and working tirelessly in not only maintaining but improving the look of our common facilities in Hamilton Mill. IIf you have ever served on a neighborhood committee or Board, you will certainly understand that this is, at times, a tireless and thankless job. For Laura to serve on and lead the committee for such a long period of time is a testament to her love of this community and desire to help keep it maintained as well as it is. This past month Laura made, in her words, “the difficult decision� to resign as Chair of the Grounds & Facilities Committee. The Board of Directors, on behalf of the neighborhood, would like to thank Laura for all of the years of service she has given to the committee and to Hamilton Mill. We are, undoubtedly, a premier community in Atlanta as a result of her, and her fellow committee members’ hard work. HEALTHY GREEN BEAN CASSEROLE YIELDS: 4 SERVINGS

TOTAL TIME: 1 HOUR 15 MINS

INGREDIENTS FOR CASSEROLE FOR ONION TOPPING - 1 lb. green beans, trimmed - 1 small onion, sliced - 1 tbsp. extra-virgin olive oil - 1 tbsp. extra-virgin olive oil - 1 small onion, sliced - Kosher salt - 8 oz. sliced mushrooms - Freshly ground black pepper - 2 cloves garlic, minced - 1/4 c. Panko - 1/4 c. (4 tbsp.) butter - 1/4 c. all-purpose flour - 2 c. skim or 2% milk - 1 c. low sodium chicken or vegetable stock - Kosher salt - Freshly ground black pepper

DIRECTIONS 1. Preheat oven to 375°. In a large skillet over medium heat, heat oil. Cook onions until slightly golden and tender, 4 to 6 minutes. Remove from skillet and place in a medium bowl. Toss with Panko until coated and season with salt and pepper. 2. Prepare an ice bath. In a large pot of boiling water, add green beans and cook until bright green and crisp-tender, about 3 minutes. With a slotted spoon or tongs, quickly transfer green beans to ice bath to cool, then drain and transfer to a large bowl. 3. In a large ovenproof skillet over medium heat, heat oil. Add onions and cook, stirring occasionally until tender, about 5 minutes. Add mushrooms and season with salt and pepper. Cook, stirring often,

until mushrooms are golden, about 5 minutes more. Stir in garlic then transfer mixture to the bowl with the green beans. 4. Melt tablespoons of butter in the same skillet over medium heat. Whisk in flour and cook until golden, about 2 minutes. Gradually whisk in milk and stock and bring to a simmer. Cook until thickened, about 4 minutes. Remove from heat then add green bean mixture and toss until even combined. Transfer mixture to a medium casserole dish. 5. Bake until warmed through and bubbling around the edges, about 20 minutes. Top with “fried” onions and bake 10 minutes more until golden.

BUTTERNUT SQUASH AND ANDOUILLE STUFFING YIELDS: 10-12 PREP TIME: 30 MINS TOTAL TIME: 2 HOURS

INGREDIENTS

- 1 small butternut squash (about 1 1/2 lb), diced - 3 tbsp. extra-virgin olive oil, divided - kosher salt - Freshly ground black pepper - 8 oz. andouille, sliced 1/4”-thick - 1 large yellow onion, chopped - 3 celery stalks, chopped - 10 c. torn baguette or other crusty bread, dried overnight - 1/4 c. freshly chopped sage - 2 tbsp. freshly chopped parsley, plus more for serving - 2 large eggs - 3 c. low-sodium vegetable or chicken broth, divided - 4 tbsp. butter, cut into 1/2” pieces

DIRECTIONS 1. Preheat oven to 425°. Toss squash with 2 tablespoons olive oil and season with salt and pepper on a rimmed baking sheet. Roast until golden and tender, 20 to 25 minutes, then reduce heat to 350°.

2. Heat remaining tablespoon olive oil in a large skillet over medium-heat. Add andouille and cook, stirring often, until golden and crisp, about 4 minutes, then transfer to a plate using a slotted spoon. Add onion and celery to skillet and season with salt and pepper. Cook, stirring often, until vegetables are tender, 6 to 8 minutes. Transfer vegetables to a large bowl and add baguette pieces, sage, parsley, roasted squash, and andouille and toss to combine.

3. In a separate medium bowl, whisk together eggs and 2 cups broth. Pour over bread mixture and toss until evenly moistened, adding more broth ¼ cup at a time until baguette pieces seem hydrated (you might not use it all).

4. Transfer mixture to prepared baking dish and dot with butter. Cover dish with foil and bake until a knife inserted in the center of the stuffing comes out warm, 30 to 35 minutes. Increase oven to 450° and continue baking until top is deeply golden, 15 to 20 minutes more.
