Few issues have been as hotly pursued by state and local units of government as nexus or the legal right to require a business to file a tax return based on the activities it conducts within their borders. Although multijurisdictional companies are motivated to resist aggressive nexus policies, they are handicapped by the often bewildering patchwork of state, local and federal tax cases, statutes and regulations that define doing business or nexus. During 2013, state legislation and court decisions continued to erode traditional taxpayer protections and allowed the “nexus juggernaut” to roll on. This presentation will cover the most recent nexus developments in income and franchise taxes, sales and use taxes, and other non-income business enterprise taxes. Topics will be discussed in the context of real-world examples, providing you with practical knowledge that can be applied to your clients or company, including: • Challenges to the traditional nexus standards. • Economic nexus. • Click-through nexus and affiliate nexus. • The Marketplace Fairness Act and other federal developments. • ASC 740 and ASC 450 financial exposures created by nexus. • Nexus strategy and tactics.

Identity Theft: A Brief Primer

After setting forth what identity theft is, Assistant Attorney General Phillip D. Ferris will briefly discuss methods thieves use to steal personal identifying information, the cases he has been involved with or is aware of that involved identity theft, and what steps you can take to minimize your exposure to identity theft. What’s more, Special Agent Matthew J. Rech III will discuss what his roles and responsibilities are within the Criminal Investigation Division of the Treasury Department. Additionally, he will cover the identity theft efforts of the IRS and recent IRS filing season improvements as well as highlight recent federal criminal enforcement of identity theft laws as they pertain to financial and tax schemes. A brief period for questions and comments will be available at the end of the presentation.

The majority of businesses in the U.S. today operate as some form of pass-through entity. The issues that arise in preparing state income tax returns for these entities are numerous and complex. These include such areas as: state conformity to federal entity taxation, entity-level taxes, taxation of nonresident shareholders, entity-level withholding or estimated tax payments, composite return filing decisions, what taxes are creditable, and how to report apportionment data. Although many states have addressed these areas, attend this session to find out what the significant differences are in the filing positions and income tax results to owners.

We’ve come a long way since Starker with authority released over the last three decades providing significant certainty regarding the application of Section 1031 to asset replacement transactions. Under current exchange regimes, non-simultaneous exchanges, multiple-property exchanges, parking arrangements and exchange programs are commonplace. Mr. Sikora will explain each, comment regarding opportunities for application, outline preferred structuring, and discuss the important transaction service providers and advisors, including the CPA, attorney and intermediary, and how those parties effectively participate to promote the client’s tax deferral objective.
