CHAIRMAN’S REPORT//

Wow another year and here we go again. I was awakened out of holiday mode by our esteemed MAG Editor Kay Elmsly giving me a nudge and letting me know what she requires for the next edition and what the deadlines are, so here we go.

I hope you all had an enjoyable break and are looking forward to another year of Branch activities. First off the rank is of course our Art Deco Rally in mid-February, registrations are now closed we have received 179 entries in total. The rally is open to all VCC eligible cars but not all of those meet the pre 1946 age criteria for entering the Art Deco parade, we have however filled all of our parade allocation as well. The Art Deco Rally committee looks to have everything under control or at least those things we can control, final organisational activity is now seriously ramping up as we move closer to the event. Fortunately we have proven processes in place for each aspect of the rally and a strong team of people to ensure it all happens. We will be asking for marshalling assistance on the following days, if you are available can you please make it known to the organisers. Friday Rally-Graham Smith/ Paul Anderson. Saturday Morning-Colin Compton/Kevin Cains. Sunday BreakfastKevin Marsh.

Also note that on the Saturday morning the majority of vehicles will be at the Clubroom grounds while entrants have morning tea, members are most welcome to come along to the park to view the vehicles.

Branch Finances, like everyone the Branch has been experiencing an increase in our operational expenditure, for instance our insurance for the building and contents has increased by a thousand dollars. Our new premium is $7,952.55 + GST, last year it was $6,967.64 + GST. We will soon be preparing a budget for the next financial year so we can ascertain what those increases are and where they are occurring.

In the meantime if they so choose members could assist our income stream by insuring their property, cars etc with Vero, as the branch receives a commission on all policies. Last year this commission amounted to $3600.00. The unique HBVCC Branch code to quote when contacting Vero is 08/300136

I wasn’t going to mention the recent weather, but in regard to the Cruise ships this topic can’t be avoided. There were many changes to the shipping schedule during the past month caused by storms and alterations to itineraries, thanks to everyone who rolled with the changes and turned up as and when required, thanks to Colin who kept it all under control.

Swap Meet Sunday 7th of May –Steve Donovan is again organising this event so note it in your diaries, past swap meets have been a hit with the Vintage/Classic car community and are also a great fundraiser for the club.

I am looking forward to catching up with you all as we get back into our usual programme of events.

Feb mid-week run Wednesday Feb 1st 2023

Hello fellow club members, and all the very best for the New Year.

The first mid-week run of the year will be a cracker that I can promise you.

Lyndsay and I have done the checking and made the arrangements.

This run is in two parts.

Part one is short about 40km and finishes at something that we know you will simply love, so not saying where or what it is but can say this featured on the TV Programme Moving House.

Second part is short only 10km and that also is a little hidden gem and our lunch stop.

So fill your tanks, pump the tyres, polish the old girl, check the battery and get out on the roads around our great Provence.

Looking forward to seeing you Wednesday February 1st

Reminder can I ask that some of you offer to do a mid-week run for us please, as different minds bring different and interesting ideas.

On Saturday morning the 18th February the vintage cars will be parked up at the club rooms for those who would like to take the opportunity to come along and view these wonderful vehicles before they head up town for the parade.

DECEMBERS WEDNESDAY CHRISTMAS CHEER RUN

Given it was another drizzly day in the Bay, 20 hardy souls turned up at the Aquarium car park for the last mid week run of the year. It was lovely to have Helen Twort joining in the fun.

We asked for cars to be decorated and we got a wonderful selection of tinseled autos.

It was a short run taking in the city cenre , Ahuriri, Marewa, Greenmeadows and Taradale tooting and waving to any weary shoppers in the streets. The club rooms was our lunch place where we all enjoyed a delicious shared lunch from super savouries to superb sweet treats.

A Christmas quiz followed which included a few blank looks and head scratching by the contestants.

The joint effort winners were Barbies corner, and were cell phones used ? hmm, not sure.

The second was a memory test of christmasy items on a tray. Maybe this was a practice run for some who might be coming up to their car license renewal.

Best decorated car went to Kevin Cains who had tinseled to the max and had a selection of Christmas teddy bears on the back seat.

Thanks to all who participated, and especially those who helped tidy up at the end. We wish you all a wonderful 2023.

CHANGES TO INCORPORATED SOCIETIES ACT DISCUSSION PAPER//

Please read the information below, which will affect the clubs constitution. It is intended that these changes will be discussed at the next Executive meeting in early March. I would like our members comments prior to that time therefore I will put it on the agenda for the next Club meeting.

DISCUSSION PAPER FOR EXECUTIVE MEETING MARCH 2023

NEW CLUB CONSTITUTION

As previously advised, the new Incorporated Societies Act 2022 means that some changes will have to be made to the Club constitution which will subsequently flow on to branch constitutions. The new constitution/rules will need to be adopted and re-registration of every incorporated society will be required by December 2025.

The main focus of the new Act is to strengthen the governance framework and provide increased protection for those who belong to and run incorporated societies and it imposes a number of new requirements and obligations.

The purpose of this discussion paper is for branches to canvas their members around what is proposed for discussion at the March Executive meeting.

Governance and Management of the Club

The first step, as part of the updating process, will be to determine what is the best structure for governance of the Club.

The old 1908 Act did not have rules around the governance and management of a Society. Currently the management and day-to-day running of the Club is undertaken by the Management Committee and the Club is governed by the national executive which is made up of the duly elected members of the Management Committee and delegates (who are elected at a branch AGM or appointed by their Branch).

The new Act specifies the make-up of a governing body of a society which is a committee or board made up of officers who are elected or appointed. This is how Branch and branch committees operate so it will not necessarily mean any change to branch constitutions in that regard

As was advised in a paper presented at the AGM, the current governance structure we have now, i.e. the Executive, will not be possible under the new Act which says that the operation and affairs of a society must be managed by a committee, which “has all the powers necessary for managing, and for directing and supervising the management of, the operation and affairs of the society.” The committee must be made up of officers who are elected or appointed and under the new Act it is described as the “governing body of the society”. It would not be workable or manageable to have a committee of approximately 46 people (made up of branch delegates & management committee) who are elected by Club members to manage and operate the affairs of the Club.

Under the new Act the governing body of the society can be described as a board as it now has the same meaning as a committee and the Management Committee is proposing a “board like” structure, with some elected and some appointed members. The Board would be the governing body of the Club and would have responsibility and accountability for the management, direction and governance of the Club’s affairs in accordance with the Constitution, Bylaws and regulations.

It is also proposed that rather than annual elections as is the case now, a board member would be elected or appointed for a term, with a set number of terms.

It is proposed that the Board would comprise of:

1. A President elected by the members for a 3 year term;

Option 1:

2. 6 board members being:

• North Island & South Island Club Captains elected by the members in their respective islands for a 3 year term; and

• 4 regional representatives elected by the members in their region for a 3 year term –2 from each island - as an example for the North Island maybe: South Waikato north and Taupo south and for the South Island: South Canterbury North and Waimate South;

Option 2:

3. 5 board members being:

• National Club Captain elected by the members for a 3 year term; and

• 4 regional representatives elected by the members in their region for 3 year term as in Option 1;

Option 3:

4. 1 board member being: a

• National Club Captain elected by the members for a 3 year term; and

• 4 regional representatives who report to the Club Captain but are not members of the Board;

5. A Hon Sec/Treasurer appointed by the Board for a 3 year term;

6. A Registrar appointed by the Board for a 3 year term;

7. A Beaded Wheels Editor appointed by the Board for a 3 year term;

8. Any individual appointed by the Board as required to provide a specific skill (such as a lawyer, PR person), such appointment to be reviewed after each AGM

Notes:

➢ The positions of Hon Sec/Treas, Registrar and Beaded Wheels Editor are essential to the continuation and management of the Club. It is vitally important that the people appointed to these roles have the knowledge, ability and capability to perform them.

➢ Of our approximately 8560 members, 4218 are in the South Island and 26 are overseas so membership is split pretty evenly between the islands.

➢ Board elections would follow a 3 year cycle so that only one board member per year is up for election. A set number of terms (say 2) for each board member would have to be set down in the constitution.

➢ The Speed Steward and Archivist positions would be appointed by the Board and would report to the Board but would not be members of the Board.

Delegate conference

So that branches are still able to have input into Club matters, it is suggested that branches continue with an annual conference type meeting (held in March).

It is envisaged that the time at the AGM in August usually used for the Exec Meeting, could be utilised for workshops, training or guest speakers.

Objects of the Club

Are there any other aims and objectives that might be introduced?

Membership

Under the new Act a society (such as the VCC) is deemed to be a body corporate and the Act also allows incorporated societies to have body corporate members.

Under the Club’s current constitution membership of the Club comprises “individuals who agree with the objects of the Club”, ie it doesn’t allow for another society to become a member.

What do members think about amending that so that an organisation with like-minded interests can join as a member - for instance: a volunteer fire brigade who own a vintage fire engine or some other group with an historic vehicle interest It would be the organisation that was the member (not the members of that organisation).

This would be different to say a special interest group within our organisation, the members of which would all have to be individual members of the Club.

Formation of new branches of the Club

Under the new Act, existing branches already incorporated can continue to operate as branches of the Club. However, as far as forming a new branch is concerned, the 2022 Act does not provide for incorporated societies to have statutorily recognised branches. However, this does not mean that a new branch cannot be formed but the new Club constitution must set out the process by which a new branch can be formed (which the old one already does to a certain extent) and the new branch constitution must clearly align with the Club constitution and set-out the relationship between the two societies.

Discipline

Every constitution of an incorporated society is now required, under section 26(1)(j) of the new Act to include detailed procedures to deal with internal disputes (complaints concerning misconduct of or

discipline of members, and grievances brought by members concerning their rights or interest as members).

This will mean that all branch constitutions will need to set out how those requirements may and should be met.

Careful consideration will need to be given to avoid the situation where two separate disciplinary processes proceed at the same time (at branch and Club level).

It would seem that currently most branch constitutions either do not have any mention of discipline procedures or they refer to the procedures set out in the Club Constitution and By-laws.

We are still seeking clarification around what level of detail regarding discipline would need to be in a branch constitution but we would like some indication from branches as to the level of discipline they would want in their branch constitution.

Currently, Clause 15.6 of the current Club constitution states “Any Rules, By-laws and Regulations relating to any formal disciplinary process, including suspension from attendance at any Branch or Club function, event, activity or meeting, shall not be acted upon by a Branch Committee, unless and until that proposed disciplinary process or action is first transmitted to the Management Committee for authorisation and approval. …. Alternatively, any Member or Branch Committee or other person or organisation may, at any time, transmit the details of any complaint regarding a Member or Members in writing to the Management Committee for its attention. Any proposal to expel a Member may only be considered and investigated by the Management Committee. (Refer By-laws).” In the past, any formal disciplinary process has been mainly dealt with by the Management Committee (which happens very rarely).

Would branches still want the Management Committee/Board to deal with major disciplinary matters?

Any disciplinary process that could result in the member being expelled from the Club would still need to be dealt with at national level i.e. by the Board.

Financial reporting and auditing

Under the old Act, an incorporated society does not have to have its financial statements audited (unless it is also registered as a charity) or unless it’s constitution specifically requires an audit. Under the new Act, an incorporated society (that is not registered as a charity) will have to have its financial statements audited if, in each of the 2 preceding years, its total operating expenditure or total current assets exceeds a certain threshold. That threshold will be set by regulations.

MBIE has just completed a process seeking feedback on what regulations should be made under the Incorporated Societies Act 2022 and what those regulations should prescribe (including what the threshold will be).

We hope that by the March executive meeting we will be in a position to advise on what the threshold will be

To Incorporate or Unincorporate?

As mentioned above every branch will be required to re-register by December 2025. We are not recommending that any branch looks at unincorporating for a variety of reasons:

➢ An unincorporated society is not a separate legal entity and it therefore has no legal standing to enter contracts, own property or borrow money

➢ Members may be personally liable for debts and other obligations

➢ If there is an accident through an unincorporated association’s negligence and there is no insurance, individual members may be sued

➢ Membership status is uncertain

➢ As there is no legal requirement to have rules, this can become a problem if there are disputes about how the society is run and resolving disputes could be problematic

➢ It may be difficult to operate bank accounts

Are any Branches considering not re-registering as an incorporated society in 2025? If that is the case, consideration will need to be given under the new constitution as to whether an unincorporated group can remain a branch.

The purpose of this discussion paper is to set out on a broad basis what changes the Management Committee recommend with the aim that branches canvas the various options, come up with new ideas and generally discuss the questions posed by this paper. It is vital that delegates to the March Executive Meeting come along fully briefed and willing to put their branch’s view and any new ideas forward.

As the new constitution will guide the future operation of our Club and Branches, it is important that committees and branches take the opportunity to fully discuss this.

SPARES NEWS//

Not a lot has happened over the Christmas New Year holiday break, but B.T. & I spent some time working out what we will be doing over the next 6 months to improve the spares dept. While we were there we had a gentleman from England who was driving around New Zealand, call in for a look, he was a Crossley owner and was in the hunt for parts. He was well impressed with our spares setup and took lots of photos, we found him a Crossley hubcap, but told him he could only look. It was good to get his feedback.

We also had no luck with trade me on our Zephyr doors, we had one guy interested, the price was right but the freight to Christchurch was out of this world for him

We are looking for more Grandad’s shed parts, so bring them along as we are always busy over Art Deco weekend.

1951 JOWETT JAVELIN

Tidy interior and exterior, no apparent rust, new radial tyres, new brakes, original tools. Motor has had some work but not sure what it was. However it starts easily and runs well with no foreign noises. Not currently registered or warranted but will be sold with both.

WANTED: OLDER VEHICLE. Ideally we want a vehicle that is user friendly i e that will cruise at 95 – 100 kph as we will be using it for trips away and on daily trips out. We do not want a ‘show queen’ but something clean and tidy. Ideally it will be a coupe. It needs to be Registered and WOF. I am 73 and are past restoring vehicles but just want to drive and enjoy. I’m thinking a 1934 Chrysler, Dodge, Desoto, Plymouth coupe would be good. Possibly a Model A Ford but it would need to have period speed equipment and overdrive to attain the travel speed we need. 1932 33 34 Fords and Chevys are probably more than we want to spend. I’m aware of a ’34 Plymouth Roadster for sale on trade me which would be good but it’s a Roadster and we are both past being baked in the sun or getting wet and cold.
