ATTENDANCE Board Members in attendance included Chairman Robert Sanders, Vice Chairman Rick Reikenis, Lisa Gerard, Mary Hurley Lane, William Jacobson, and Cynthia Nalley. DDA staff in attendance included Raphael Clemente, Teneka James-Feaman, Shelly Williams, Samantha Moore and Max Lohman Esq. (Lohman Law Group). DDA staff in attendance via Zoom included Catherine Ast, Michelle Barascout, Tiffany Faublas, and Sherryl Muriente. Guests in attendance via Zoom included Dylan Tracy, Amy Royster, Geoffrey Bernstein, Jorge Gomez, Marcela Sikora, Emily Nolan, Tonya Speciale, John Carpenter, Todd Stone, and Sharon Persaud. CALL TO ORDER Chairman Sanders called the meeting to order at 8:40 a.m. EXECUTIVE DIRECTOR REPORT Clemente thanked the board and welcomed them to the DDA office for the Board meeting for the first time since March. He announced the DDA won multiple FFEA awards for various promotions and shared the plaque received. He also provided copies of the latest annual report for all the board members, available on our website. PUBLIC COMMENTS No public comments. PRESENTATIONS Comcast Spotlight Presentation and Request for Renewal James-Feaman explained that the data from our 2019-2020 Market survey stated how people receive their information for local news and information. The top mentions included: Television, Newspaper/Print, Online/Internet, Social Media, and Radio. In 2019 the DDA Board approved a one-year contract with Comcast Spotlight (EffectTV), a company that provides the largest reach for television communications. The proposal included five zones on sixteen channels and is covered on all devices. The zones are considered our drive market to Downtown West Palm Beach. The five zones are Palm Beach Gardens, West Palm Beach, Central Palm Beach, Wellington, Delray Beach and Boca Raton. James-Feaman introduced representatives from EffectTV, Dylan Tracy and Geoffrey Bernstein, to provide a Comcast Spotlight update. Tracy and Bernstein presented an overview of the success of the program for the last year. Multiple versions of Ads are created to stream across all types of platforms to help optimize campaign performance and reach a broad audience. He also shared what to expect moving forward if the contract is renewed. Including a new live dashboard feature that tracks traffic to our webpage within 30 minutes of commercial airing and recommendation to include more sports channels to reach additional users in target audience. Tracy added that Comcast is offering a 15% loyalty discount this year, around 200 more commercials and 30 more impressions per month for the same investment of $150,000. James-Feaman requested Board approval and to execute a new contract not to exceed $150,000 for fiscal year 2020-2021. The new contract would begin December 1, 2020. Board Action: Reikenis made a motion to approve the Comcast Spotlight/EffectTV contract not to exceed $150,000. Hurley Lan seconded the motion. The motion passed unanimously. Branding Presentation James-Feaman explained that in 2019 the DDA Board approved to begin the Branding RFP process, which was awarded to IdeaBar. She introduced representatives from IdeaBar, Amy Royster, Marcela Sikora, and Emily Nolan, to showcase the new Downtown West Palm Beach brand identify, including an overview of the challenges, key insights learned throughout the process, the new logo and tagline, and creative expressions of the new brand. James-Feaman added in December, staff will present a media strategy and recommended tactics, including an overview of the target audience, estimated impressions, tracking and reporting methodology to launch the new brand. The new brand will be launched in the first quarter of the calendar year 2021. CONSENT CALENDAR Minutes of Regular Board Meeting October 20, 2020 Board Action: Reikenis made a motion to approve the Minutes of October 20, 2020 Regular Board Meeting. Gerard seconded the motion. The motion passed unanimously. Financial Statements of October 31, 2020 Board Action: Reikenis made a motion to approve the Financial Statements of October 31,2020. Gerard seconded the motion. The motion passed unanimously. NEW BUSINESS Tier One Grant Applications Review James-Feaman provided a recap of the Tier One Grant program which provides rental financial support for up to six (6) months. In September 2020, The DDA board approved additional funding of $125,000 for the program. In October, the program received fifteen (15) applications and due to the overwhelming success of the program, DDA staff closed the application submittal process on October 26, 2020. James-Feaman presented the selection committee’s recommendations for the fifteen (15) applications received. Five (5) applications were denied by the selection committee, primarily because the committee felt the businesses didn’t fall into one of the following focus industries: Food and Beverage, Retail, Tourism, Hospitality and Fitness.

The selection committee recommended to approve nine (9) applications. The committee recommended approval amount of 50% of the applicants rent, paid monthly with landlord verification that the tenant is in good standing.

Board Action: Hurley Lane made a motion to award funding of $96,721.92 to the nine applicants as presented for the Tier One Grant Program. Gerard seconded the motion. The motion passed unanimously. James-Feaman explained that the application for One XI Salon will be brought back at the December board meeting.

OLD BUSINESS 314 Clematis Street/Thoroughfare Project Clemente shared the City’s presentation on the Thoroughfare Project located at 314 Clematis Street, the presentation to City Commission work session was rescheduled to December 7th due to Hurricane Eta. Working in cooperation with the CRA, the DDA will be assisting with the management of the design and construction process, as well as with identifying potential tenants for the space once it is completed. Clemente presented the estimated timeline, budget with a goal of buildout costs under $100 per sq. ft. and provided examples of similar projects in other cities. DDA staff is exploring options on producing a market study to determine the best mix of tenants and a leasing plan. Next step, there will be an interlocal agreement to define objectives. The goal is to have tenants in by November 2021. ANNOUNCEMENTS Panhandling and soliciting ordinance proposed modifications will be brought to the City Commission on December 14th, 2020. Dining on the Spot program has wrapped up and completed under budget. DDA staff is continuing to work with City staff to explore options for more permanent outdoor dining solutions. ADJOURNMENT There being no further business to discuss, Sanders called for a motion to adjourn. Board Action: Reikenis made a motion to adjourn the meeting at 10:18 a.m. Jacobson seconded the motion. Project 1909 Update and Matching Grant Request

1909 is a non-profit coworking, business mentorship, and entrepreneurial support organization located at 313 Datura Street. In response to the dramatic impacts of Coronavirus on businesses in West Palm Beach, PROJECT 1909 was created as a capacity building initiative to support local businesses. PROJECT 1909 will assist local businesses by providing expertise for necessary changes to their operations, technology, marketing, or other elements of their business model. The work will be performed by local businesspeople that are affiliated with or sourced by 1909. As part of 1909’s ongoing partnership with the Knight Foundation, Knight has agreed to match any funds 1909 raises, up to $25,000 for this project. The DDA supported PROJECT 1909 with a grant of $12,500 in June 2020. The funds were matched dollar for dollar by the Knight Foundation to help businesses in Downtown West Palm Beach. Shana Ostrovitz, Executive Director for 1909, will join the meeting via Zoom to provide an update on the program. Staff recommends funding the grant program with an additional $12,500 to assist business in the DDA District.

Website Contract Extension

In 2019 the DDA Board approved to begin the Website RFP process, which was awarded to Speak Creative. Prior to Speak Creative beginning the creative process, the new downtown brand needed to near to completion and identify a few key deliverables including colors and fonts. During the November board meeting Ideabar showcased the new Downtown West Palm Beach brand identity, including logo and tagline, and creative expressions of the new brand. Staff has met with Speak Creative to establish a new timeline for this project. The new website will be launched in the first quarter of the calendar year 2021. Staff is requesting approval of the contract extension through April 30, 2021.

SECOND ADDENDUM TO THE WEBSITE SERVICES AGREEMENT BETWEEN THE WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY AND SPEAK CREATIVE, LLC THIS SECOND ADDENDUM TO THE WEBSITE SERVICES AGREEMENT is hereby made and entered into as of the ____ day of December, 2020, effective January 1, 2021, by and between the WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY, a special district created under the laws of the state of Florida, with offices located at 300 Clematis Street, Suite 200, West Palm Beach, FL 33401 (“DDA”), and Speak Creative, LLC, a Florida Limited Liability Corporation (“Contractor”), whose address is 1648 W. Massey, Suite 200, Memphis, TN 38120. WHEREAS, DDA and Contractor entered into a Website Services Agreement on December 11, 2019 (“Agreement”); and WHEREAS, ARTICLE 5 of the AGREEMENT provides that the AGREEMENT term was to expire on June 30, 2020 and that all work to be performed was to be completed by said date; and WHEREAS, the parties desire to amend ARTICLE 5 of the AGREEMENT as more particularly set forth herein; NOW THEREFORE, in consideration of the mutual covenants contained herein and in the original AGREEMENT, and other good and valuable consideration, the receipt of which is hereby acknowledged by both parties, the parties agree as follows: 1.

ARTICLE 5 of the AGREEMENT, “CONTRACT TERM” is deleted in its

entirety and is replaced by the following: The term of this Agreement shall be from the Effective Date through completion of the work to be performed pursuant to the RFP but no later than April 30, 2021 unless otherwise terminated pursuant to Article 6 or extended by amendment pursuant to Article 1. 2.

All other terms, conditions and provisions of the AGREEMENT shall remain in

Previously the DDA has partnered with Related Group, the Police Department, and others to support programs and projects that provide evening activities for juveniles in the Downtown area. This includes not only supporting programs that provide activities for young people, but also in the creation and enforcement of policies like the juvenile curfew ordinance. The Police Athletic League (PAL), located at 720 North Tamarind Avenue, has historically been an effective service provider for young people in the Downtown area. Recently staff met with PAL’s Executive Director Jervonte Edmonds, to discuss their programs and the DDA’s continued support of the important work that PAL does in the local community. Jervonte Edmonds, Executive Director will join the meeting via zoom to present an update on PAL. Staff requests Board approval to renew the DDA’s sponsorship of PAL’s programs in February 2021, in the amount of $25,000.

Sunfest 2021

After taking a brief pause in a 36-year run, SunFest will be back in 2021 with a revamped festival. Their new plan will no longer include a gated entrance into the festival. Two separate ticketed concert areas, with limited capacity, will be created for individual concerts. Other activities such as art shows, local music, and street performers would be spread throughout downtown West Palm Beach and open to the general public. This concept would allow patrons to ‘create their own SunFest’ and engage with others only to the degree they feel comfortable. Historically the DDA has collaborated with Sunfest but has never been a sponsor of the event. With the new open format, and the significance of this event to the cultural identity and economic success of our Downtown District, it is a great opportunity for the DDA to support this event in its new format. Staff will provide additional details regarding event layout and format during the meeting.
