WVMA Members Recognized for 50 Years of Service The WVMA presented seven members a 50 year award at the 98th Annual Convention on Friday, October 11. The 50-Year Award is given to honor veterinarians that have served their community and the veterinary medical profession while being a member of the WVMA for 50 years. Dr. James Daugherty Dr. Daugherty graduated from the University of Minnesota College of Veterinary Medicine in 1963, and retired from large animal medicine in 1996. Veterinary medicine has change significantly since beginning his career, says Dr. Dougherty, with the most substantial advancements occurring in the techniques and medications now used. Dr. Dougherty’s fondest memories throughout his years of practice include the patients and clients he has served and the friendship while practicing dairy medicine on different farms. Dr. Dougherty resides in Medford with his wife, Bernice. Since retiring, Dr. Dougherty has enjoyed fishing, hunting, traveling and other activities he wasn’t able to do while practicing. Dr. Richard Faulkner Dr. Faulkner graduated from University of Minnesota College of Veterinary Medicine in 1963. Prior to his retirement in 1995, Dr. Faulkner practiced small animal medicine in West Allis. Currently, Dr. Faulkner and his wife, Jo Anne, split time between Florida and Lac de Flambeau while enjoying retirement. Dr. Lyle Hart Dr. Hart graduated from Iowa State University College of Veterinary Medicine in 1963. Prior to his retirement this year from veterinary practice, Dr. Hart practiced mixed animal medicine in the Black River Falls area and owned Hart Veterinary Service. When describing how veterinary medicine has changed over the last 50 years, Dr. Hart recalls how blood samples and different tests needed to be sent to labs for results. Now, testing equipment is at the veterinarian’s fingertips with some results available in less than an hour. Dr. Hart’s fondest memories of practicing include all of the families and pets he has met during the course of his career. He says bonding with his clients was sometimes more fun than treating their animals. Dr. Hart served on the WVMA Budget and Auditing Committee twenty years ago. Currently, Dr. Hart and his wife, Ruth, live in Black River Falls where he recently sold his practice and is beginning to enjoy his retirement. Dr. Orlin Herrild Dr. Herrild graduated from Michigan State University College of Veterinary Medicine in 1957. Currently, Dr. Herrild and his wife, Nancy, reside in Marinette where he is still practicing small animal medicine. >>> Continued on page 5

Greetings fellow veterinarians. As we move from summer into fall, I’ve been reflecting on some of the varied activities that I’ve been involved with over the past few months. One thing that really sticks out in my mind as being common to many of these life events is the importance of the people involved and the teamwork needed to achieve superior results. When good people work together, the end results can be amazing.
We can build on these positive advances for our profession by further strengthening our WVMA team through increased involvement of our membership. Over the next year I challenge each of you to increase your involvement in some way however big or small. We need members in all stages of their careers and from varied veterinary fields to step up and help create the future for veterinary medicine.
If you are looking for ways to get involved on a local level you can support the WVMA by contacting your WVMA Executive Board representative with your ideas and service needs for our association, build a relationship with your local legislators or attend local VMA meetings. If a more involved role sparks your interest, then please consider volunteering for a WVMA committee or other leadership positions. Another very easy way to support the WVMA is by simply making a donation to the new WVMA Foundation (WVMF) As I take over as President of the WVMA, I feel really good about the or Political Action Committee (PAC). Through all of their support and guidance, we have been able to develop some nice dairy animals, but more importantly have a positive impact on our children and others in our society.

Writing Prescriptions

I recently had the opportunity to sit down and talk with a Wisconsin State Senator and one of his constituents who is a pet owner and discuss the issue of veterinarians writing prescriptions. I was asked what the AVMA and WVMA’s recommended best practice was on this issue. It is the view of the American Veterinary Medical Association and the Wisconsin Veterinary Medical Association, that a veterinarian should honor a client’s request for a prescription. See, AVMA Principles of Veterinary Medical Ethics, https://www.avma.org/KB/Policies/Pages/ Principles-of-Veterinary-Medical-Ethics-of-the-AVMA.aspx Every day, your clients are inundated with advertisements on social media, the Internet, TV and print media claiming that they can obtain drugs at lower cost from those sources, as opposed to from their veterinarian. Clients are going to ask questions and are going to ask for prescriptions. In some situations, writing a prescription is not an issue. However, there are situations in which writing a prescription is just not in the best interest of the pet, the client and/or the food supply. We recognize and respect those situations and want you to be able to maintain the freedom to make educated recommendations based on your training, the standard of care and your experiences. When those situations arise, we ask that you take the time to clearly explain with health risks to your client. Give them more information than just stating “I won’t” or “I have had bad experiences with that pharmacy. ” Explain what your experiences have been, why you are looking out for the patient and client and work together with the client to find an agreed-upon solution. n

Dr. Charles Mayer Dr. Mayer graduated from the Washington State University College of Veterinary Medicine in 1959 and practices mixed small animal medicine. Since beginning his veterinary career, Dr. Mayer believes much has evolved in the practice of veterinary medicine. Surgery is one of the areas were Dr. Mayer has seen the greatest changes and improvements. Dr. Mayer’s fondest memories throughout his years of practice include the patients and clients he has been able to meet and help. Currently, Dr. Mayer resides in Eden where he is semiretired from practicing. Dr. Roger Meads Dr. Meads graduated from The University of Minnesota College of Veterinary Medicine in 1963. Since graduation Dr. Meads has been practicing as a dairy medicine veterinarian. Dairy medicine has changed from treating cows on small farms to consulting and supervising larger dairy operations, says Dr. Meads. Dr. Meads’s fondest memories throughout his years of practice include the personal relationships he developed with his clients. Currently, Dr. Meads is practicing dairy medicine in the Hortonville area where he resides with his wife, Stannye. Dr. Roderick Zachary Dr. Zachary graduated from Iowa State University College of Veterinary Medicine in 1955. Prior to his retirement in 1993, Dr. Zachary practiced large animal medicine. Since Dr. Zachary began his veterinary career, much has changed and improved. Dr. Zachary remembers when veterinary practices were run like “fire engines”, helping animals in emergencies. Today, veterinarians work with clients on a regular basis for services such as pregnancy checking and herd health visits. Dr. Zachary fondly remembers the 57 individuals he graduated with in 1955. Many of his life stories are filled with his fellow graduates and his days as a veterinarian. In the 1970’s Dr. Zachary served on a committee to review the state board exam. Currently, Dr. Zachary resides in Barron with his wife, Lucille. n

Employee Stock Ownership Plans as Succession Vehicles for Veterinary Practices Brian L. Anderson, DeWitt Ross Stevens S.C.
An employee stock ownership plan (ESOP) is a tax-qualified retirement plan, like a profit-sharing plan, that is maintained by a corporation for the benefit of its eligible employees and that invests primarily in stock of the corporation itself. ESOPs are often maintained by corporations that provide professional services, such as engineering firms. We are aware of a least one accounting firm and at least one dental-practice firm that maintains an ESOP. To our knowledge, no veterinary practice in Wisconsin maintains an ESOP, but no Wisconsin law or practical barrier prevents a veterinary practice from doing so. An ESOP might be of interest to any veterinary-practice owner who wishes to reward long-time employees, because an ESOP is a form of indirect ownership by those employee-participants who satisfy the typical 6-year vesting provisions for ESOPs. As a practical matter, the most likely scenario for a veterinary practice to establish an ESOP might occur when (a) the founder wishes to sell the practice but (b) no other veterinarian employed by the practice is willing or financially able to pay for the practice. To maintain an ESOP, the practice would need to be organized as a corporation, not as a limited liability company (LLC) or as a partnership. The ESOP would be established for the benefit of generally all employees who work for the corporation for at least 1 one year in which they work for at least 1,000 hours. Ideally, the corporation would have at least a dozen full-time employees. The corporation should have a history of profitability. The fair market value of the corporation would be determined by an independent firm that specializes in business valuations. The founder would sell some or all or his/her stock in the corporation to the ESOP and would be paid fair market value, either by (1) money that the corporation and the ESOP borrow from a bank or (2) a promissory note that is issued to the founder and that provides for a fair rate of interest and affordable payments or (3) a combination of (1) and (2). As the corporation’s debt to the bank and/or the founder is paid down each year, the stock purchased by the ESOP is allocated to ESOP accounts of the eligible employees in proportion to their Form W-2 compensation from the corporation for the year. The veterinarians and other employees of the corporation would pay nothing for the stock, because they are not the buyers. The buyer of the stock would be the ESOP, acting through its trustee. Like a profit-sharing plan trustee, the ESOP trustee could be one or more employees of the corporation or an outsider, such as an independent trustee. On shareholder matters, such as voting on who should be the directors of the corporation, the ESOP trustee would vote

the shares owned by the ESOP and would be a fiduciary who is legally obligated to act in the best interest of the ESOP participants. Each veterinarian employed by the corporation, and perhaps the founder who sold his/her stock to the ESOP, would ordinarily be the directors of the corporation, deciding how the veterinary practice should be operated. The directors of the corporation would also decide how to use the net profits of the corporation, after the annual principal and interest payments to the bank and/or founder. For example, the directors could decide to use the net profits to expand the practice, hire another veterinarian, or pay bonuses to key employees. If the corporation is a C corporation for income-tax purposes, then, because Congress has created special rules for sales to ESOPs, the founder could elect to defer payment of capital-gain taxes on his/her sale of stock to the ESOP. If the founder makes such an election and continues to be employed by the corporation, he/she could not then also have an ESOP account to which any of that stock is allocated. If the corporation has elected (either before or after the sale of stock to the ESOP) to be an S corporation for income-tax purposes, then the corporation will pay no income taxes after the election is effective. Because the ESOP is a tax-qualified retirement plan for which Congress has created special rules, the ESOP would likewise pay no income taxes. Therefore, if the ESOP were to own 100% of the outstanding S corporation stock, then 100% of the corporation’s net profits would escape income taxation. The cash that would in other circumstances be paid by the corporation or by its shareholders for federal and state income taxes on the net profits of the veterinary practice could instead be used for any purpose determined by the corporation’s directors. After an employee terminates employment (but often not until the bank and/or founder have been paid), the employee receives cash equal to the vested percentage of the value of the stock in his/her ESOP account at that time. If the corporation has continued to be profitable, the value of each share allocated to his/her ESOP account is likely to have increased over the years. As a distribution from a tax-qualified retirement plan, the cash can be rolled over tax-free to an IRA. An ESOP is not irrevocable. The ESOP trustee and corporate directors would be free to sell the veterinary practice to a third party, with the corporation then liquidating and the ESOP distributing the net liquidation proceeds to the participants with ESOP account balances. Alternatively, the ESOP trustee could sell the corporate stock to a third party. Also, like a profit-sharing plan, the ESOP could simply be terminated and its assets (corporate stock) distributed directly to the participants. n

Do I Have to Purchase my Health Insurance on the Exchange? The exchange, the market place, on exchange, off exchange, private exchange; these are all terms being thrown around but most people are still wondering what those terms mean and where they will find the Affordable Care as stated in the legislation. We would like to clear up some confusion we are seeing when it comes to the Affordable Care Act and how it is implemented. There are three venues where individuals can shop and purchase insurance: Public Exchange: Also known as the Health Insurance Marketplace, Federal Exchange or ‘The Exchange.’ This exchange is ran by the government and serves as a portal to assist the uninsured and offers federal subsidies to those that qualify. (400% of the federal poverty level or lower)
Private Exchange: Private insurance exchanges are owned and operated by entrepreneurs who serve the employer markets. They help employers choose how much to spend on their health insurance and other benefits. Private exchanges empower employers with tools to help them choose the best plan to fit their needs.
Off Exchange: Traditional health insurance plans purchased directly from the insurance company or insurance agent. The same policies offered on the public exchange will be offered off exchange. Also, plan designs not offered on the federal exchange will be available.
If you do not qualify for a subsidy it is advised to purchase off of the public exchange. Standard short form insurance application It is important to shop around and review all options available to you in the new health insurance market. We are finding that many think they are on their own to purchase insurance through through the exhange come October 1st. That is simply not the case, we are finding there may be more options availible to you Off the Exchange. OCI Estimates Premiums Increase The Marketplace or the federal health insurance exchange is scheduled to open October 1. This quickly approaching deadline has many wondering what health insurance plans and premiums will look like in the new insurance marketplace on and off of the exchange. While we are all still wondering about the exact figures, The Wisconsin Office of Commissioner of Insurance (OCI) did release estimates which shows premiums increasing The OCI was able to provide initial analysis of rate filings in the individual health insurance market. The chart below compares the cost increases for a $2,000 deductible that included drug coverage in the individual insurance market. They examined plans for a 21-year-old, a 40-year-old, and a 63-year-old. The rates were examined separately for Milwaukee, Eau Claire, Green Bay, Madison, Appleton, Wausau, Kenosha, and LaCrosse. The prereform plans are based on quoted rates effective July 1, 2013. Post reform plans are limited to plans from companies who have filed to participate in the federal exchange, and the averages will change if some insurers modify their service areas.

There is no way for anyone to give definite figures at this time because premiums will vary from one person to another and your premiums will be based off of a number of individual factors. To know for sure how much you have to pay you should reference the exchange. Keep in mind that some customers will be able to receive a taxpayer-funded subsidy, which will counterbalance the actual premium being charged for lowincome consumers. Commissioner Nickel stated, “From our analysis, it appears premiums will increase for most consumers. And, while there is no question that some consumers will have subsidies and may not pay these higher rates, someone will pay for the increased premiums whether it is the consumer or the federal government.” Keep in mind that the increases will not have the same kind of impact on every consumer or group. Each city will see their own kind of increases and it is hard to currently determine which ones will see the biggest rate increases. The chart above only includes information for plans that have filed to participate in the exchange. No comparisons have been done for the group market at this time. ACA Affect on HIRSP Insurance Participants The Health Insurance Risk-Sharing Plan (HIRSP) is being terminated on December 31, 2013. Individuals on that plan will need to enroll in the new Wisconsin Individual Health Insurance Marketplace by December 15, 2013 to insure continuous health insurance coverage.
