2004 ANNUAL REPORT T

he American Bankruptcy Institute (ABI) marked the 25th anniversary of the enactment of the 1978 Bankruptcy Code by hosting a major symposium on the past, present and future of U.S. bankruptcy law. This landmark event, featuring the nation’s leading scholars, was one of the highlights of a year filled with new achievements for ABI. In the past year, ABI surpassed the 10,000-member mark, saw its membership retention soar past 90 percent and enjoyed record attendance at educational conferences. We completely redesigned our award-winning web site, improving its functionality and enhancing the content. ABI member committees produced more quality CLE programs and each began producing regular newsletters with substantive and timely content. ABI’s publications also enjoyed a record year, both in the print and electronic formats. Our growing endowment is helping to fund important scholarly research while providing support for traditional ABI programs such as the Judge Conrad B. Duberstein National Moot Court Competition, the St. John’s University School of Law Bankruptcy LL.M. program and the Robert M. Zinman Resident Scholar.

EDUCATIONAL PROGRAMS ABI educational programs had a banner year, offering more CLE/CPE options than ever before. A record 4,300 members attended these programs over the past 12 months. New options included the popular Bankruptcy Fundamentals for New Practitioners program in four regional locations and the first-ever Consumer Bankruptcy Conference. ABI expanded its on-demand programs available online through West LegalEdCenter, including live webcasts.

Annual Spring Meeting More than 930 attended the 22nd Annual Spring Meeting in Washington, D.C. The 2004 program addressed a wide range of insolvency topics, including going-out-of-business sales, preference actions, consumer cases at the Supreme Court, selection and use of expert witnesses and much more. The popular 8th Annual Great Debates addressed the continued vitality of the doctrine of necessity, whether bankruptcy judges are too protective of consumer debtors and if DIP lenders should be restricted. Special guest speakers included “Meet the Press” Editor and Moderator Tim Russert and Robert Hormats, vice president and managing director of Goldman, Sachs & Co. Members were treated to a final night gala concert featuring Blood, Sweat & Tears.

Winter Leadership Conference Close to 600 attended the 2003 Winter Leadership Conference in La Quinta, Calif. Educational sessions covered post-petition transfers, collective bargaining agreements and other labor issues, preferences and fraudulent conveyances and much more. ABI and the National Association of Bankruptcy Trustees partnered on a Trustee Litigation Track as part of the program. Fox News Channel Senior Judicial Analyst Judge Andrew Napolitano provided a lively assessment of current high-profile legal cases.

Regional Programs ABI continued to expand the scope of its regional programs, offering new topics in new regions. The Institute hosted an academic symposium marking the 25th anniversary of the Bankruptcy Code, featuring the nation’s top scholars. ABI’s first Consumer Bankruptcy Conference, held in Chicago, emphasized the practical issues in chapters 7 and 13. Other regional ABI programs remained popular and included the annual Views from the Bench program at Georgetown University Law Center, featuring 18 U.S. bankruptcy judges, the intensive learn-by-doing Litigation Skills Symposium at Emory University Law School and the Hawaii Bankruptcy Conference on Kauai. The Central States Bankruptcy Workshop (Traverse City, Mich.) and Southwest Bankruptcy Conference (Las Vegas) each set new attendance records.


LEGISLATIVE ACTIVITY T

he long road to a comprehensive overhaul of U.S. bankruptcy law found more obstacles during the past year, when renewed efforts stalled in the Senate. Bankruptcy reform, pending since the National Bankruptcy Commission Report of 1997, took a backseat to other legislative priorities. Behind-the-scenes efforts continue, but will likely have to wait for a new Congress in 2005. Credit counseling joined the growing list of industries under scrutiny by the Internal Revenue Service, Federal Trade Commission and oversight committees of Congress. Counseling is a necessary precondition for eligibility for relief under the proposed consumer bankruptcy amendments. With more than three million Americans already participating in some form of credit counseling, there are concerns this new demand cannot be met. Bankruptcy court practices are also under a microscope, as Congress examines whether some courts tailor their rulings to attract large public company cases. The ABI Endowment is helping to fund some of this academic research. Meanwhile, a number of large pension plans have terminated under financial distress, causing massive deficits for the Pension Benefit Guaranty Corporation. The continued erosion of the agency’s singleemployer program looms as a major concern for Congress.

Ornstein explained how Congress has changed as an institution over the last quarter century.

ABI’s Legislative Committee held two wellattended programs this past year, one on the impact of the proposed Fairness in Asbestos Injury Resolution Act (held jointly with the ABI Mass Torts Committee) and the other on Sarbanes-Oxley (one year later) and legislation affecting theft prevention and fair credit reporting.

RESEARCH The ABI Endowment Fund was created in 1989 to provide a resource for the Institute’s mission of scholarly research and education. The Fund now has over $1.3 million in contributions and pledges. Nearly 3,000 ABI members have contributed to the Fund, many via a voluntary $30 tax-deductible gift as part of their annual membership renewal. Since 1998, when the first research award was made, the Endowment has funded over $300,000 in awards.

Recent grant awards address both consumer and business bankruptcy issues, such as an award to the Coalition for Consumer Bankruptcy Debtor Education (New York Law School) to examine the spending and credit habits of consumers, and a grant to Prof. Lynn LoPucki (UCLA Law School) to study the impact of venue choice on confirmation rates and success in chapter 11. The Fund also supports an annual stipend for the Robert M. Zinman Resident Scholar program. Each Zinman Scholar is a leading member of the academic community, on leave from full-time teaching to assist ABI in research and educational activities

During the past year, the Endowment provided support for the academic symposium marking the 25th anniversary of the Bankruptcy Code, a scholarship for a worthy student in the St. John’s University School of Law Bankruptcy LL.M. program and cash prizes for the Conrad B. Duberstein National Moot Court Competition. The Fund also supports a faculty stipend and prizes for ABI’s 2004 Corporate Restructuring Competition, hosted by the Kellogg Graduate School of Management at Northwestern University. New in 2005 is financial support for a new empirical study of professional fees in consumer and business bankruptcy cases, building upon ABI’s landmark 1991 report. The study will take approximately two years to complete.


ABI WORLD A

new-and-improved ABI World web site was unveiled in early 2004, offering ABI members many new online benefits and options. The new site offers the same wide variety of bankruptcy information – only it is now offered in an easy-to-read format with organized archives, a more effective search engine and an upgraded shopping cart feature.

Upgraded Online Directory: Networking at Your Fingertips The site now offers a visually and functionally upgraded online Membership Directory. The new format allows members to update their profile and search for ABI members by many different criteria.

Other New Features: Content Plus Functionality Other new features include a new online bookstore that allows visitors to easily browse the wide array of books available through ABI and purchase them online via a new shopping cart feature. The site’s archival system now allows members to easily locate newly available content. Archived content includes press releases, the ABI Journal, the ABI Law Review, the ABI Update electronic newsletter, educational materials, bankruptcy opinions, “Cracking the Code,” legislative news, bankruptcy statistics and much more. With more than 110,000 searchable online documents, the new search engine and archival system are key to allowing members to find relevant documents easily and quickly. The new site continues to offer the popular ABI Career Center, an online service connecting employers in the bankruptcy field with qualified candidates. Daily and weekly bankruptcy headlines continue to be provided via The Deal (Bankruptcy Thursday) and Dow Jones Newswires (Daily Bankruptcy Review). New this year are daily headlines provided by Bankruptcydata.com (Daily Bankruptcy News).


PUBLICATIONS ABI members enjoy a variety of publications as a benefit of membership, from the monthly ABI Journal and semi-annual ABI Law Review to discounts on a wide array of bankruptcyrelated publications. A new CD-rom version of the ABI Membership Directory complements the print edition and includes information on all 10,300 ABI members.

Also new this year is the ABI Guide to Bankruptcy Mediation: A Guide for Attorneys and Clients Concerning the Use of Mediation to Resolve Disputes Arising in Bankruptcy Cases; A General Overview of Other Forms of Alternative Dispute Resolution, written by Hon. Erwin I. Katz (ret.), Hon. Lisa Hill Fenning (ret.) and Jacob Aaron Esher. The Guide provides “how to” guidance with respect to the most common kinds of mediation issues that arise in bankruptcy cases. All titles are available through ABI’s visually enhanced online bookstore. The new bookstore allows visitors to easily browse ABI’s online publications catalog, categorized in 10 subject areas, view graphic images and descriptions of each book and purchase them online. Over the past few years, ABI has released 13 new or updated publications.

Committee e-Newsletters ABI’s 24 committees produce e-newsletters on relevant topics and committee issues. All committee newsletters are produced in a colorful html format and sent via e-mail to all committee members. Past archived issues are on the ABI World web site. Recently redesigned, each newsletter features at least two topical stories and provides updates on the latest committee news, upcoming committee programs and agendas, and the latest news featured at ABI World that is of interest to committee members.

Online Publications Catalog

New Titles ABI introduced two new titles to its diverse catalog of publications this year. The Bankruptcy and Insurance Law Manual, written by ABI member Susan N.K. Gummow, covers the basics of insurance law for the bankruptcy professional, as well as bankruptcy principles for the insurance professional. The Manual distinguishes “claims” in an insurance sense from those under the Bankruptcy Code, and describes the duties of both the insurer and the insured under insurance law. MEMBERSHIP ABI

membership surpassed 10,000 this past year, a record high. With nearly a 10 percent annual rate of growth, the Institute continues to enjoy the steady growth it has achieved since 1995. Our diverse membership includes attorneys, lenders, judges, accountants, academics, turnaround specialists, credit managers, auctioneers, trustees and many other insolvency practitioners.

ABI maintained a better than 90 percent retention rate over the past 12 months – a figure nearly unheard of in associations and especially impressive given the diverse nature of the membership. The high retention rate directly reflects the wide range of benefits members receive, including full access to ABI World content, discounts on educational programs and publications, 10 issues of the highly respected ABI Journal and two issues of the ABI Law Review, unmatched networking opportunities and much more. ABI continues to add to those benefits, now providing even more content on a new-and-improved web site, committee e-newsletters and listserves and an expanded roster of educational programs and publications.

Members join from a variety of sources, including educational conferences, trade show exhibits, direct mail and the web site. Special outreach efforts have been extended to consumer bankruptcy practitioners, judicial law clerks, young professionals and non-attorneys. This year’s ABI Membership Directory provides information on more than 10,300 members. A CD-rom version of the Directory, produced by BMC, will be provided to all members; print versions will be available for sale to ABI members through Thomson West. Also available to ABI members is full access to the online Membership Directory – upgraded this year. The new online Directory allows ABI members to search quickly and efficiently by many different criteria including name, firm, city, state, zip code, country, profession, firm size, school, years in practice, ABI committee, degree and local office size.

ABI continues to add to its membership benefits, now providing even more content on a new-and-improved web site, committee e-newsletters and listserves and an expanded roster of educational programs and publications.

IN THE NEWS Reporters from hundreds of national and regional news outlets turn to ABI for reliable information on bankruptcy-related issues.

Online Newsroom ABI’s online Newsroom — upgraded this year — offers journalists a wide range of bankruptcy-related resources. Press releases and an archive of bankruptcy statistics are available for the past 12 years.

Dow Jones Daily Review Small Cap op reported stories included the continued fallout from corporate accounting scandals, recordhigh consumer bankruptcy filings, airline bankruptcies, asbestos litigation, the pension insurance fund crisis and the prospects for bankruptcy-related legislation. ABI was cited in 1,320 prominent news outlets, including the New York Times, the Financial Times, CNN, The Washington Post, the Wall Street Journal, the LA Times, Fox News Channel and CBS Marketwatch. Prof. Ted Janger, ABI Resident Scholar, was invited to write an op-ed in USA Today on the decision by UAL to terminate the airline’s pension plan contributions.

ABI began contributing regular commentary to Dow Jones Daily Review Small Cap this year. ABI President Michael P. Richman and Immediate Past President Bettina M. Whyte contributed commentary on professional fees, the Sarbanes-Oxley Act, competition among professional services firms and directors and officers (“D&O”) insurance during a bankruptcy. All articles can be found at ABI World.

Educational Press Briefings The Institute offers educational press briefings on timely topics for key members of the media. Press briefings feature ABI experts who provide overviews of the issues and answer questions from participating journalists. Available online at ABI World, past briefings focused on child support claims, consumer debt and bankruptcy and hi-tech/telecom bankruptcies. A live press briefing on the coming crisis in pension plan security, which will utilize the latest online meetings technology, is planned for October 2004.

ABI spokespersons, including ABI Executive Director Sam Gerdano, Past President Bettina Whyte, ABI Resident Scholar Roger Whelan and a number of ABI board members, appeared on CNNfn, CNN, C-Span and other broadcast networks, speaking on a variety of issues from the increase in consumer filings to the relationship between rising household debt, interest rates and bankruptcy.


LAW REVIEW The American Bankruptcy Institute Law Review is the nation’s largest circulation bankruptcy law review. Edited by top students at St. John’s University School of Law, it is published semi-annually by Thomson West.

I

n 2004, the Law Review attained new stature when it was cited in both Justice Stevens’s majority opinion and Justice Scalia’s dissent in Till v. SCS Credit Corp., 124 S.Ct. 1951 (2004), a case on the appropriate interest rate to be used in chapter 13. The Winter 2003 issue was an open issue, with articles on derivative standing in chapter 11, administrative insolvency and a comparative piece on the bankruptcy laws found in common law systems. The issue also featured two theses from graduate students in the St. John’s LL.M. program on the topics of critical vendors and exclusivity in chapter 11. The Spring 2004 issue was devoted entirely to the publication of papers from ABI’s Symposium on the Code After 25 Years. The event, held at Georgetown University Law Center in Washington, featured the work of scholars such as Elizabeth Warren (Harvard), Douglas Baird (Chicago), James White (Michigan), Barry Adler (NYU), Kenneth Klee (UCLA), Ralph Brubaker (Emory), David Skeel (Penn), Marjorie Girth (Georgia State), John Ayer (Univ. of California), Mechele Dickerson (William & Mary), Bruce Markell (UNLV), Karen Gross (New York Law), Jay Westbrook (Texas) and Charles Tabb (Illinois).

INTERNATIONAL ACTIVITY One of the most significant challenges for professionals involved in cross-border insolvency practice is to be as knowledgeable as possible on the myriad laws, regulations, protocols and emerging trends from abroad.

The continual shrinking of the insolvency world amplifies the need for the sharing of experiences, techniques and strategies among lawyers, accountants, trustees, restructuring professionals, government officials and lenders. ABI organized a pair of programs this past year for such audiences from France (held at the French Embassy in Washington, D.C.) and Armenia (held at the Fletcher School of Law and Diplomacy at Tufts University). ABI also conducts conferences outside its borders, reaching out to international and cross-border audiences, such as with the Caribbean Insolvency Symposium (Puerto Rico, November 2004) and the Fifth Canadian-American Symposium (Toronto, February 2005). ABI previously held programs for professionals from Thailand to the Dominican Republic, and has sponsored educational exchanges for judges from Mexico to Central Europe. New in 2005 will be ABI’s first program held in Europe, a one-day program set for London in September.

Our active International Committee hosted two continuing legal education programs this past year and published three electronic newsletters, covering legislative developments from Brazil to the United Kingdom, jurisdictional issues under Section 304 of the Bankruptcy Code and more.


PROFESSIONAL DEVELOPMENT ABI continued its commitment to the professional development of young professionals this year, expanding law and business school competitions, awarding scholarships to recognize the outstanding achievements of promising students and offering the Fundamentals for New Practitioners program to young and new professionals entering the insolvency field.

Annual LL.M. Scholarship Each year ABI awards a $10,000 scholarship to a student in the bankruptcy LL.M. program at St. John’s University School of Law. The LL.M. program is the only one of its kind, and the award reflects ABI’s long-standing partnership with St. John’s.

Medal of Excellence ABI’s Medal of Excellence Awards were presented to more than 100 law school students around the country in 2004. Medal recipients, selected by each law school’s bankruptcy faculty, typically receive their awards during school commencement exercises. Winners receive engraved medals and certificates of achievement, as well as a complimentary one-year ABI membership. ABI Director Christopher F. Graham (Thacher Proffitt & Wood; New York) is the program director.

New this year is the ABI/Houlihan Lokey Howard & Zukin Corporate Restructuring Competition for graduate business schools. The first competition, planned for Nov. 9-11, 2004, at the Kellogg Graduate School of Management at Northwestern University, will provide second-year MBA students with a unique chance to learn by solving a real-world problem taken from today’s corporate-distress headlines. Eight of the top graduate business schools are competing. Judges for the competition will include top corporate recovery specialists and financial professionals from around the country.

National Bankruptcy Moot Court Competition The 12th Annual Conrad B. Duberstein National Moot Court Competition — the only national competition devoted to bankruptcy — included a record 35 law school teams from 30 law schools. The 2004 winner was Emory University. More than 600 New York-area insolvency professionals attended the competition’s final night awards dinner. The competition, hosted by ABI and St. John’s University School of Law, is named in honor of Judge Duberstein, a former member of the ABI Board of Directors and the Chief Bankruptcy Judge of the Eastern District of New York.

BANKRUPTCY CERTIFICATION F

ounded in 1992, the American Board of Certification (ABC) is the only board certification program for bankruptcy and creditors’ rights attorneys. ABC offers testing throughout the year at numerous locations around the country, certifying attorneys in consumer bankruptcy, business bankruptcy and creditors’ rights.

The level of ABC Board and Committee activity has increased in recent years, allowing ABC-certified attorneys to enjoy new networking opportunities. This year ABC hosted several cocktail receptions at ABI and Commercial Law League of America conferences and a variety of local networking events.

ABC Programs Reaccredited ABC received American Bar Association (ABA) reaccreditation of all three programs this year. The programs were initially accredited in 1993 by the ABA House of Delegates. The ABA accreditation process includes a review of examinations, application requirements and organization policies and procedures. Sixteen states recognize ABA accreditation as criteria for approving certifying organizations.

The ABC web site (www.abcworld.org) received 142,000 visits in the past year. The web site has become one of the first places consumers go to locate experienced counsel. ABC-certified attorneys report receiving substantial referrals from both the web site and the ABC Directory. ABC thanks Thomson West for its continued support of the Directory.

FINANCES Dear Members: During the 2003 calendar year, the American Bankruptcy Institute has sustained its strong financial position. Indeed, as a result of its increased membership, the income from numerous educational programs and publications, and the many contributions from supportive sponsors, total net assets have increased by more than $400,000. This healthy growth of funds shall permit ABI to continue to provide the highest quality and varied programs for its current and future members. BDO Seidman LLP issued financial statements for 2003 that were presented to the ABI Board of Directors at the 2004 Annual Spring Meeting. These independent auditors issued an unqualified “clean report” in conformity with generally accepted accounting principles. The presentation to the Board highlighted the growth and financial vitality of our not-for-profit corporation.
