Stay in the Know
E
ducation is the foundation upon which most successful careers and businesses are built. Many of us have invested in continuing education and training to develop specific skills and areas of expertise needed for our professional advancement. The time and money that we invested in taking classes and studying the relevant materials to earn our certifications or degrees helped us move closer to achieving our personal and professional goals. We recognized and understood the importance of preparing ourselves for the day that we would put into practice our newly acquired knowledge and apply the skills that we learned. We invested in ourselves and sacrificed a great deal to be the best in our chosen field. However, we probably also realized soon after that the value of practical application was not something we could find in our textbooks. Practice was the only way to truly hone your skills. This reminds me of a great quote: “I’ve learned that when a man with money meets a man with experience, the man with experience ends up with the money and the man with the money ends up with experience.” —Unknown Education is one of the core member services provided by the AAOC, and it is perhaps the most valuable resource it offers. The association believes strongly in providing its mem-

bers with opportunities to continue their professional education and always acquire knowledge to stay at the top of their game as a rental housing provider. Whether you are new to the industry, or you have years of experience, there are always classes and training sessions offered by the AAOC for which you can and will benefit. Will “Free Right to Counsel” Legislation Return this Year?
A
ssembly Bill 1487 was authored by Assemblymember Jesse Gabriel. Assemblymember Gabriel represents district 45, which covers the Woodland Hills area of Los Angeles. Assembly Bill 1487 (“Bill”) was introduced during the 2021/2022 legislative session and was vetoed by the Governor on October 8, 2021. The Bill’s intent was to establish a Homelessness Prevention Fund to be administered by the Legal Services Trust Fund
Commission (“Commission). So, the Governor vetoed the Bill – what do I care… There are two very important reasons you should, but before we get there, here is a breakdown of what the Bill said. The “State Bar Act” establishes that every California attorney licensed to practice law is required to maintain a “client trust account”, which is regulated by the Legal Services Trust Fund
Commission within the California State Bar. When an attorney receives a retainer fee from a client, that money is required to be deposited into the client trust account. Sometimes the client trust account can accrue interest or be paid dividends, so existing law requires that any accrued interest or earned dividends in the client trust account must be paid to the California State Bar with a purpose of funding certain programs that provide civil legal services

without charge to indigent persons. This Bill would have required the California State Bar Legal Services Trust Fund Commission to ensure that 25 percent of the total funds would be reserved for making awards to eligible applicants in specified counties with the purpose of correcting historic underinvesting in legal services and lack of legal resources. It would have also offered the following services to prevent eviction or displacement for qualified tenants. A qualified tenant is a household whose income does not exceed 80 percent of the area median income. Limited-Scope legal services that provide tenants with legal assistance designed to prevent eviction or displacement. A legal service provider of a grantee may provide a recipient with limited-scope representation at any point at which the legal service provider deems the recipient to be at risk of eviction or displacement by resolving issues leading to eviction or displacement, responding at various stages of the eviction process, or addressing other housing-related legal issues that increase housing instability. Limitedscope legal services includes, but is not limited to, advice and assistance responding to written notices, pro per responses to unlawful detainers, assisting with reasonable accommodation requests, addressing habitability issues, advising a tenant of their rights and obligations in connection with rental payments, advising tenants regarding rental debt and ensuing consumer action and small claims proceedings, and addressing housing discrimination. Full-Scope legal representation to qualified households facing eviction or imminent displacement or the threat of eviction or imminent displacement. A legal service provider of a grantee may provide a recipient with full-scope legal representation after a landlord issues a written notice of intent to evict or at any other point at which the legal service provider deems the recipient to be at risk of eviction or displacement. The
legal service provider may continue representation of the recipient through post judgment motions and, depending on the merits of the case, may provide representation in connection with an appeal. Education regarding tenant rights, fair housing laws, landlord obligations, and related legal topics designed to address factors leading to the avoidable displacement of tenants, including, but not limited to, information regarding

access to additional resources to protect against displacement, prevent homelessness, or mitigate the effects of displacement. Education may include the use of media or social media to enhance the delivery of information. Why you care — #1:
When a bill is vetoed by the Governor, it isn’t quite dead — it’s more of in a zombie like state, meaning the bill can be “brought back to life” with a 2/3 vote from both houses of the California State Legislature. Fortunately, on February 3, 2022, the vetoed Bill was stricken from the file by the Legislature, so the Bill was “killed”. However…
Why you care — #2:
Even when a bill is vetoed by the Governor and killed by the Legislature. The language of a bill can be revived by surgically removing the old language and stitching it together with new language then calling it by a different name.
Conclusion
The legislature is focused on providing additional financial and legal resources for tenants facing eviction. Additionally, tenants and tenant rights organizations view housing, notably rental housing to be a right. This “right” has been established as a result of California’s housing crisis, but some questions beg asking — How have the property owners/managers created this crisis?; Why are landlords responsible for bearing the burden of the housing crisis? And if housing is a right, Why has there been no emphasis on single family home owners to receive the same protections as renters? OR Why do property owners bear no burden for California’s housing crisis? The California legislature is creating two classes of people: owners and renters. The California Legislature is discriminating against one class of people, owners, and more specifically owners of residential rental housing; while protecting the other class of people, renters. Additionally, landlords are already

contributing to assist low-income tenants with legal assistance. As mentioned in the Bill, the State Bar Act already provides funds to low-income tenants for legal aid or services. Also, as mentioned in the Bill, if “90 percent of landlords nationwide benefit from legal representation in eviction proceedings,” then landlords, through existing California law, are providing a substantial amount of money to help provide low-income legal assistance through earned interest and paid dividends as a result of the retainer fees paid to their attorneys, which is held in the client trust account. When the Governor vetoed this Bill, his message was clear, “Since, 2019, we have made $131 million available for tenant legal aid, including an $80 million appropriation…”, in other words, the government has provided sufficient funds to prevent eviction and avoid housing displacement, which is being used by California communities. Furthermore, the Bill also notes the Sargent Shriver Act was evaluated and found that due to increased settlements, courts were more efficient and had reduced costs, but what the Bill fails to mention is that from 2015 to 2019 only 19,460 low-income tenants with a median monthly household income of $1,069.00 were served. Just under 10,000 were provided “full representation” by a Shriver attorney and just over 6,500 were provided at least one “unbundled legal service”. Of those who received full representation, only 3% of the tenants were evicted and 18% retained possession; however, 71% of the tenants moved out, mostly because of a negotiated settlement between the landlord and tenant. Proponents of the Bill unequivocally agree that it is necessary to fund legal services for tenants because, “tenant protections are only guaranteed to those tenants who are lucky enough to find attorneys. However, the Bill only offers availability to tenants whose income does not exceed 80% of the area median income. This language

alone prohibits a large portion of the rental population from obtaining free legal aid and services, or education. Those households that make 81%– 100% of the average income are the same that are characterized as middle income, yet the legislature consider those households to be “lucky” enough to find an attorney — lucky enough, sure...but able to pay — now, that’s another story. Maybe it’s time the legislature start focusing on how to amend the law to educate and not litigateds. Or quite possibly, it would behoove the legislature to “cap” the cost of a California home to make the home buying experience actually available to more residents — just like it has done with rent. There are several professions that are required to “pay dues” to fund California’s low-income programs. Real estate agents are not one of those professions, yet they make a fortune off the housing market for providing a professional service; should those who service the housing industry pay their dues — just like attorneys do, for example.
Recommendation
Pay very close attention to any newly introduced legislation this year that will be similar to the language of AB 1487 which will offer free legal aid to tenants to “prevent homelessness” because it will likely include language that offers further protections or more money for tenants. When the Governor vetoed this Bill, he did not shy away from agreeing with the legislature’s intent behind the Bill and even provided direction to the legislature on how to have “real effect”, thus leaving the door wide open for future discussion regarding further protections for tenants. Santa Ana’s Fast and Furious Fallout
L
et’s be honest. Every opposition to every legislative proposal says it’s because the proposal is “flawed.” However, how often do you actually hear about those flaws being exposed? Not often, I’m guessing. The fallout from the flaws in Santa Ana’s Rent Stabilization and Just Cause Eviction Ordinances are coming through as only the fast and the furious can — and if I’m being truthful, it’s pretty fun to watch.
Too Fast
One of AAOC’s greatest objections was that the city had gone about things too quickly and had not properly engaged housingindustry stakeholders on the matter. Well, that has come back to bite Santa Ana. One of the complaints made in a recently filed lawsuit against the city was that its lack of transparency calls into question the legitimacy of the entire effort.
Turbo Charged
Leading into that discussion that got parties a little too furious was AAOC and our coalition’s attempt to get the city to follow the Brown Act

and have open discussions on the issue, which vaulted the problem into exposing the issues that the lawsuit alleges.
Tokyo Drift
Once the city’s plans were exposed, they had to quickly shift their strategies from trying to make this an emergency ordinance to a standard ordinance. The problem is that in doing so they exposed that the city council’s ad-hoc committee had delivered proposed legislation which is outside of their scope according to the city charter — also one of the assertions made in the lawsuit.
Fast & Furious Four
What may end up rivaling a Russian Disinformation Campaign is the recently uncovered fact that Mayor Vince Sarmiento, who served on the ad hoc committee that

helped to guide the development of the ordinances, failed to disclose that he owns four residential rental properties in the city — all of which were exempted from the provisions of the ordinance. This should have been deemed a conflict of interest and should have prevented him from participating in the development, discussion, deliberation, and vote on the ordinances.
Los Bandoleros
The lawsuit that I previously referenced was recently filed in federal court by property owners who are based in Utah. An interesting wrinkle here is that the interstate commerce nature involved allows them to challenge the law as a taking, skip the state determination of whether rent control is a taking, and bring the case back to the federal level.
Fast Five
The story quickly started to get away from Santa Ana by the time the city council passed the ordinance. It took the city just over a fast five weeks from introduction to passage, without
stakeholder outreach, without curing Brown Act violations, without considering or making any amendments to the proposal. That haste left in place contradictory language, conflicts with state and federal law, and loopholes that are beginning to be exposed.

The six biggest points that AAOC brought forward to the city are becoming reality: • This prevents rental-housing providers from protecting good tenants. There have already been complaints to the city, and housing providers are seeking relief from city regulations. • Complying with state law exempts single family homes, but the city will come for them next. The city is trying to apply the law to residential rental properties by misrepresenting state law. • The language makes civil acts criminal charges. The city is being sued for violating federal law. • The ordinance will have the effect of making rent increases compulsory. Many landlords felt compelled to increase rents to the allowable state maximum prior to the ordinance’s adoption. • The language is imprecise and inaccurate. Potential loopholes in the rent stabilization ordinance have been identified and are now being pursued by legal analysts to exempt landlords from the ordinance. • The processes employed were illegal. There are now several lawsuits in various stages that challenge the legality of the legislation because it was rushed through in an illegal manner. It’s no wonder that when you push legislation in such a manner, people are

The fallout has left several groups furious: • Tenants’ Rights Groups. Activists became so filled with misinformation and so vitriolic in their opposition to the signature gathering effort and the signature gatherers who sought to qualify a referendum, that their tactics may have contributed to the death of a signature gatherer. • Property Rights and Housing Groups. Blindsided by the city’s rent control and just cause eviction ordinance proposals, and completely ignored in the process, these groups are now mobilizing to end the political careers of those who chose such a divisive path in passing this legislation. • Members of the City Council. Council members who were also not made aware of the proposed ordinances before they were presented for council action were denied an opportunity to work on or discuss the issues surrounding the need for the ordinances in the first place. • AAOC Members. Those who would be directly impacted by the ordinances and have the most to lose were never engaged by the city and provided an opportunity to provide input in advance of the ordinances being developed and subsequently brought before the city council. • Single Family Rentals. Those who rent single family homes in the city were led to believe that they would be exempt from the ordinances. It now appears that they were lied to by the city. • Property Owners. After having been omitted from discussions March 2022
• Community Members. The lack of transparency by city leaders led community members down a divisive path that has undermined the city’s policy development process. Making everyone angry at the proposal and over the way it was handled is not a way to run a city.
Fate of the Furious
So, what is the fate of this issue?
• News organizations have begun looking into potential improprieties by members of the council • Organizations are lining up to launch a recall effort and remove members of the council. • The mayor is running for Orange County’s 2nd Supervisorial District seat and will face strong opposition. • Santa Ana is being sued by at least one entity over the ordinance’s overreach. • AAOC has identified potential loopholes in the rent stabilization ordinance, and legal counsel is now assessing to extent to which rentalhousing provider exemptions could go. • Community members are recruiting candidates to oppose the councilmembers who supported the ordinances. I have a toilet that runs every ten or twenty minutes. I have replaced the fill valve, the flapper valve, and I have even scrubbed under the rim! In other words, all the items I can think of that are replaceable in the tank are new. What else should I be looking at? Sam
Dear Sam:
You’ve replaced all the easy ones! When all else fails on a toilet leak down issue, it is time to put on your rubber gloves and get an adjustable wrench. Chances are the problem lies with the flush valve seat. The rubber flapper valve seals against the flush valve seat (the big hole at the bottom of the tank) to either keep the water in the tank or let the water out of the tank. The seat may have a burr, crack, or calcium deposits that allows a small amount of water to seep past the rubber flush valve. Sanding the seat to remove the burr or calcium deposit is a short-term solution, but rarely solves the problem for long. A permanent solution is to replace the flush valve. Start by turning off the water supply, completely empty the tank, and remove the water line.

Remove the two or three bolts holding the tank to the toilet bowl. Turn the tank upside down and remove the large nylon or brass nut that holds the flush valve to the tank. Install the new flush valve. Be sure the tank bottom is clean, and no debris gets between the new valve’s rubber gasket and the tank. Tighten the large nut on the outside of the tank and you are ready to reassemble the tank and bowl and put the toilet back into action. When reassembling the tank to the bowl, install new rubber washers and bolts.

“Apples and Oranges” bids are very common and not unique to the asphalt trade. Every contractor has different materials and suppliers which they are not only familiar with but also experienced in the application. As with any profession, a diagnosis, procedure, product, and cure may vary. This is why a second opinion is always encouraged and necessary. Too often, we consider the “three bid” rule as a tool to compare pricing, and do not delve deeper into quality, workmanship, application, or other specifications that can dramatically increase or decrease

the costs related to our repairs. It is best to develop a scope of work with drawings that identify, in detail, the following which will ensure all other contractors are bidding on the same scope: 1. Areas to be covered, replaced, and repaired in square feet, and outlined in site plan. 2. identified type and quantity of asphalt mix, slurry, and sealer. This is very important as most asphalt is recycled and diminishes in quality. 3. Which equipment will be used to address repairs and distribution of materials (compaction and heavy rolling equipment is key). 4. Communicate your long-term or short-term expectations. 5. Ask that the application warrants against “pooling” or “ponding” 6. Look for proper compacted thickness according to load. (Example: 2.5” of laid asphalt and then compacted 2” by roller.) 7. Monitor all work being performed to ensure the contractor is adhering to the contracted specifications. Ask that a supervisor is always onsite. 8. Scrutinize the lowest bid very carefully. 9. Require all other industry standard practices, insurance, contract language be in the agreement.

My building has redwood fencing and patio decks. Both the fencing and decks are in good condition, however, the “red” in the wood has faded with exposure to the weather. The wood looks grey now. How can I bring back the redwood look back without buying new wood? Josh
Cedar and Redwood Deck Brightener.” Be sure your deck or fence is clean before treatment by using a TSP and water solution. TSP is a heavy-duty powder cleaning solution available at any hardware store or supermarket. After cleaning the wood, be sure to read the deck brightener product’s instructions before use. For safety, wear gloves and goggles. Mix the product’s solution with water into a pump-up sprayer. Wet the deck or fence with the solution, then using a nylon brush or
broom scrub the wood evenly, working harder on stained areas. Let the solution stand for about 30 minutes and rinse off with a strong stream of water. Let dry and the wood should look brighter. ll Delaware Statutory Trust 1031 Exchange real estate investments must be accompanied by a unique Private Placement Memorandum (PPM) as part of its due diligence and marketing presentations. However, even more importantly, all potential investors must make a point to read thoroughly the contents of the PPM in order to get a full picture of how the overall investment vehicle is structured and understand the potential risks associated with the DST 1031 investment. “All accredited investors need to read the entire Private Placement Memorandum, paying special attention to the risk section prior to investing. IRC Sections 1031, 1033, and 721 are complex tax codes and therefore all investors are encouraged to consult their tax or legal professional for details regarding their individual situations,” said Dwight Kay, Founder and CEO of Kay Properties & Investments, a recognized expert DST 1031 exchange investment firm.

registered brokers and broker-dealer firms in the United States — consider DST 1031 exchange investments “private placements” and “non registered securities”. This means that all DST investments can only be sold to accredited investors through a FINRA registered Broker Dealer and registered representative as Kay Properties & Investments. It also means that each DST 1031 exchange investment must also be accompanied by a PPM for investors to read and fully understand the investment vehicle in which they are about to invest.
Pay Special Attention to These PPM Sections
While all sections of the PPM are important to review and understand, there are specific sections of the PPM that all investors should pay special attention to. Risk Factors — Like all real estate investments, DSTs are subject to numerous risks not limited to the total loss of principal. These risk factors include those that relate to the general laws surrounding DSTs including limited management control, the need for investors to be able to bear the total loss of principal, and illiquid nature of DST investments. In addition, risk factors must also include those relating directly to the inherent nature of all real estate investments including how unforeseen situations such as hurricanes, earthquakes, floods, overall market condi-
tions, and early lease termination of lease agreements can impact the investment’s performance. Management — Because DSTs are passive investments, investors have very little influence over how each DST investment is managed. Therefore, learning as much as possible about the company, and the individuals who will be responsible for the performance of the property is a critically important responsibility of each potential investor. The management section of the PPM should provide investors a thorough review of the company including how long it has been performing duties for DST 1031 exchange investors, the level of overall experience the company’s team brings to the table, and testimonials from former clients. FCC Rule Slams Multifamily Commercial Partnerships Special from the National Apartment Association
T
he FCC voted to adopt new rules regulating certain commercial practices between property owners and broadband service providers. Here’s what you need to know. Less than one month after circulating a proposal focused on driving broadband competition in multiple tenant environments (MTEs), the Federal Communications Commission (FCC) has voted unanimously to adopt new rules regulating certain commercial practices between property owners and broadband service providers (broadband providers). Under the new rules, broadband providers are: • Blocked from entering into exclusive and graduated revenue sharing agreements; • Required to disclose the presence

of an exclusive marketing arrangement in material distributed to residents or prospective residents; and • Reminded that sale-and-leaseback arrangements are prohibited under federal code. In anticipation of the rules’ effective dates, the National Apartment Association (NAA) will publish forthcoming member guidance to help the rental housing industry understand its responsibilities. An analysis of the new rules paints a disheartening picture. Notably, the FCC rejected critical data illustrating the abundance of broadband service options available to renters. Furthermore, the FCC failed to acknowledge that the newly targeted commercial activities in the ruling

actually support and increase the deployment of high-speed, high-quality affordable broadband in apartment communities nationwide. NAA supports efforts to accelerate broadband deployment and modernization in apartment communities and believes that this must be achieved in ways that underscore the success of current partnership-based models. While the FCC’s actions are disappointing, NAA continues its advocacy efforts to educate policymakers on the operational consequences of this policy approach and support the industry with compliance resources. General Membership Meeting Recap

AOC members were treated to a valuable and timely update on tax laws and estate planning strategies during the AAOC General Membership Meeting on February 15, 2022. Anson Cain, Esq., with the Irvinebased law firm of Albrecht & Barney, once again shared his extensive knowledge and demonstrated why so many AAOC members look to him for guidance in their own tax and estate planning efforts. His comprehensive presentation looked both at current laws and what’s on the horizon. Cain began his talk with an examination of a proposed law known as Amendment 11, which would increase gross receipts on limited liability companies to 2.3% on amounts over two million dollars, introduce a new payroll tax on businesses with at least 50 California employees, and a new personal income tax surcharge. This law was not passed, but Cain warned it could come back in the future. There is also a California wealth tax that has been proposed in three previ-
ous bills but has yet to pass. The latest version proposed a 1 percent annual tax on net worth over 50 million dollars, and a 1.5 percent annual tax on net worth over one billion dollars. Another tax law to be mindful of changes the estate and gift tax exemption amount, as well as the generation skipping transfer tax exemption. Currently, in 2022, the exemption equals $12,060,000 per individual ($24,120,000 for a married couple). With no Congressional action, the exemption reduces to $5 million (indexed for inflation) on January 1, 2026. However, Congressional action may reduce the exemption sooner and to an even smaller amount. Cain then transitioned to a discussion of Proposition 19, which has been in effect since February 16, 2021. One benefit of this law is the ability to transfer the base year value of a primary residence to a new primary residence anywhere in California (up to three times) for individuals over the age of 55. However, the drawback of Proposition 19 is the loss of the ability

to transfer real estate, other than your principal residence, between parents and children, or grandparents and grandchildren, without reassessment. While Proposition 19 does still allow one to transfer their principal residence without reassessment, there are now new limits on the value of the home and restrictions on how the recipient (e.g. the child) uses the home. The new “use requirement” of Proposition 19 is often the most frustrating rule. Now, so long as the child uses the home as his or her principal residence, the parent-child exclusion from reassessment applies. The child will need to file for the homeowner’s exemption within one year of receiving the home. If a child no longer uses the property as his or her principal residence in the future, then the property is reassessed based on the value on the date of the original transfer was made to the child. Cain also emphasized that while Proposition 19 has limited our ability to

GMM Recap — continued from 34 transfer real estate to children without reassessment, there are still other tools that can be utilized to transfer California real estate (including apartments, duplexes, or even hotels) without being subject to property tax reassessment. He mentioned that you could combine the use of legal entities and joint tenancy rules to potentially avoid property tax reassessment on these transfers. Cain also recommended a Spousal Lifetime Access Trust (“SLAT”), if you wanted to get real estate out of your estate for estate tax purposes, avoid reassessment, and allow your spouse to benefit from it. For example, a husband uses his remaining gift tax exemption to establish and fund a SLAT for his wife, or the wife could do the same for her husband. If you have used all of your gift/ estate tax exemption but still want to remove assets from your estate, Cain also recommends a Beneficiary Defective Inheritor’s Trust (“BDIT”). With a BDIT, you get to be the beneficiary of the BDIT, remove assets from your estate, and avoid property tax reassessment when transferring the real estate into the BDIT. Cain reminded AAOC members of the importance of not only having an estate plan, but in keeping it up to date. If you are interested in doing asset protection planning, it must be done while the “seas are calm.” Lastly, he shared that using various non-California trusts

This certainly isn’t the end of this saga. We fully anticipate that additional issues and problems will arise for the city in the days ahead; that efforts to break this ordinance apart will continue; that we will see additional opportunities to fight for rental-housing providers; and that rent control may not be done in Orange County. And that’s the message. The impact of the first movie in the Fast & Furious franchise didn’t seem like it would be particularly extensive. But then the film gained traction, and its popularity grew with each passing year. Subsequent movies were made, finding their way into new venues, new localities, with new shifts in the story. The expansion of rent control in Orange County could play out very similarly. After the first movie, most people figured that would be it; that we probably wouldn’t see any additional Fast & Furious movies. With rent control, people might not give much thought to it being adopted in one city, that that would probably be the end of it. What you may not realize is that the
