Three Goals Guide BATC in 2014 Elections Former Secretary of State Henry Kissinger suggested in a recent radio interview that the prevalent American view is that people are inherently reasonable and inclined toward peaceful compromise and common sense. On the other hand, Kissinger said, the traditional European approach to order had viewed peoples and states as inherently competitive. I hope that the American view of the world as outlined by Kissinger is in fact the case. Perhaps it is on the global scale about which he writes. And yet, I find myself skeptical based on what I see in politics today. Was Governor Dayton inherently reasonable and inclined toward peaceful compromise and common sense in his insistence on home indoor sprinklers? I would argue not. Too few legislators and policy makers in state government seemed so inclined. That unfortunate reality is why BATC is deeply engaged at the Capitol, with state and regional regulatory agencies and in the 2014 election. BATC seeks to
keep homes affordable through rational and sensible legislation and regulation, allowing Minnesota citizens of all means to achieve the American Dream of owning a home. Our focus on the 2014 election through Housing First has placed BATC in a leadership role at a pivotal moment in state politics. Our first goal in this effort is to elevate BATC (so that lawmakers and policy makers think carefully about the impact any law or regulation has on building and remodeling homes). Our second goal is to elect a friendly speaker of the Minnesota House. And our third goal is to create a Housing Caucus of legislators at the Capitol who care deeply about our industry and preserving the American Dream in Minnesota. We are pleased to be working in the electoral arena as part of a coalition of business organizations including the Minnesota Chamber of Commerce, the Minnesota Association of Realtors,® the Minnesota Auto Dealers Association, the Coalition of Minnesota Businesses,

the Minnesota Grocers Association, Minnesota Action Network, the Minnesota Business Partnership and others. Together, we hope to create a better business climate for Minnesota anchored on the principles of common sense and compromise. Our Housing First efforts all begin with you, our members, and we are grateful for your support. My former boss in a previous association used to say political success for associations is about the two M’s—Money and Membership. BATC is in the fortunate position to have both thanks to you. Influencing elections, lobbying legislators, negotiating with regulators, creating a grassroots network— each of these activities can best be achieved with the collective voice of an Association. Your membership and engagement in BATC makes that possible. And yes, it benefits the nonmembers too, so let them know about our good work and urge them to join and support the cause. Here’s wishing us all good fortune in the election ahead.

As this is my final Builders Digest column as BATC President, I wanted to first say thank you for your support and confidence in me.
I’ve truly enjoyed serving the association over the last nine months, and am so impressed with the great work of our members and staff. All of our successes are due to the amazing people that dedicate themselves in large and small ways to this industry and our association. It has been a privilege to serve you this year. I will continue to work hard for you over the rest of my term, and plan to remain actively involved long into the future. I am proud of the many accomplishments of our association this year – strengthening and growing our Parade of Homes brand, elevating our industry on the political stage, and focusing our efforts to create first class events for our members. I have just a few more requests for you with the remainder of my time: First
VOTE ON NOVEMBER 4TH! And ideally, vote for “housing champions.” BATC’s advocacy work is extremely important, and made much easier when we have a strong Housing Caucus at the state Capitol. Getting to walk the halls of the legislature this last session I was impressed Vote with the footprint we have made for with legislators. Large or small, we appreciate all you can offer. Maybe it is joining your first committee because you have an interest in education, public policy, our Foundation, the Parade of Large or Homes or Remodelers Showcase, small, we or want to help with an event. Or, appreciate maybe you are ready to provide all you more leadership and serve as Vice can offer Chair or Chair of a committee. Or, maybe it is just committing to attend a couple more events. I can personally attest to the fact that the more active you become, the more you get back. And you really can make a difference by bringing your expertise and knowledge to bear on BATC’s efforts. Please let us know what committees interest you and join us at a few events. Speaking of events, I’d like to extend my personal invitation to join us on October 23rd for our first annual Building Industry Gala. We’ve expanded our traditional fall awards banquet to become all-inclusive for every one of BATC’s members. We truly are striving to be the leading voice for builders and remodelers. And more often than not, we hit it out of the park.

Election time means that Minnesotans will more deeply examine how the state is doing, and how they feel those in office are representing them. While many may simply look at the recovering economy and think things are fine, those of us in the housing industry know there is a serious list of concerns. At the top of that list: costly regulations that threaten the ability of every Minnesotan to afford their dream home.

“The stakes are higher today than they’ve ever been. Since the midnineties, regulation has spiked, pushing prices ever higher,” said BATC Public Policy Director James Vagle. “If we have lawmakers that understand that, it helps all of us.” For the typical new home today, regulation accounts for nearly 30 percent of the cost. With many families already struggling to afford a home, these regulations can price them out completely. Minnesota ranks at the top of U.S. states with the highest housing regulation. In the Twin Cities metro area, these regulations come in many forms and are imposed by multiple levels of government. “People are surprised to hear that for every home we build in the metro we contribute a park dedication fee — in some cities it’s $50 dollars per home and in others it’s $5,000 dollars.
We agree that development should protect natural resources, but when we have multiple agencies regulating the same thing, that’s where it gets really expensive. It also slows down the process, and at the end of the day it’s all passed on to homeowners in the price they pay for a new home. What we’re asking for is smarter government and sometimes smaller government,” explains Vagle. Last year’s legislative session proved to BATC that this issue is still ignored by some of our key lawmakers, including the governor. BATC is working to ensure that candidates up for election/ re-election are well aware of this regulatory burden and how it will affect homebuilders and owners. “Governor Dayton’s sprinkler mandate was a straight forward issue that legislators on both sides of the aisle understood,” says Vagle. “Many of

Because of that, we need to do our best job of packaging out an affordability message that legislators can grasp quickly and rally around.” Finding the right messaging and allies is really what BATC’s advocacy and Housing First work is all about. “Homeownership is still the cornerstone dream and foundation for prosperity for families,” says Shawn Nelson, BATC’s 2014 President and owner of New Spaces. “The regulatory footprint in the state continues to grow and we need relief. We need housing champions that will continue to help us make housing more affordable for Minnesota families.

Why Employers Should be Concerned about the McDonald’s Decision By Phyllis Karasov, shareholder, Larkin Hoffman On July 29, 2014, the National Labor Relations Board General Counsel announced that he would authorize complaints against McDonald’s USA, LLC, in over 40 unfair labor practice cases where the legal employers were McDonald’s franchisees. The decision to include the franchisor as a joint employer would change NLRB law which has existed for 30 years.
General Counsel. The general counsel is advocating shedding the current framework in favor of a “totality of the circumstances” approach, noting that technological advances permit franchisors to exert control from afar. For example, a franchisor can keep track of a franchisee’s sales data, labor costs, employee productivity, can monitor employee schedules, and even accept and
screen employment applications through the franchisor website. Under the general counsel’s proposed broader guidelines, a joint employer would be one that “exercise[s] direct or indirect control over significant terms and conditions of employment of another entity’s employees, where it possess[es] the unexercised potential to

However, the decision to treat McDonald’s as a joint employer could be extended to other situations. For example… subcontract service companies and similar contingent staffing models could be found to be joint employers with clients under reasoning similar to that which the general counsel wishes to apply to the McDonald’s cases. control such terms and conditions of employment, or where ‘industrial realities’ otherwise ma[k]e it an essential party to meaningful collective bargaining.” This new framework would be more closely aligned with other regulations under the FMLA, FLSA, Title VII of the EEOC, and the ADA.
FMLA Joint Employer Test The FMLA joint employer test utilizes a “totality of the circumstances” test to find a joint employer relationship where “there is an arrangement between employers to share an employee’s services or to interchange employees; one employer acts directly or indirectly in the interest of the other employer in relation to the employee; or the employers share direct or indirect control of an employee because one employer controls, is controlled by, or is under common control with the other employer.” The FLSA employs the same test, finding that all joint employers may be both individually and jointly responsible for compliance with the Act if these factors are sufficiently met.
Title VII Joint Employer Test Under Title VII, some courts allow complainants to include joint employers for the purpose of meeting the 15-employee minimum to invoke coverage under the Act. The complainant must prove that the employers exercise sufficient control over operations as to be considered co-employers. This less-formalized test has not been uniformly applied across jurisdictions, with at least one court recognizing the negative policy implications of allowing small businesses to be considered joint employers alongside larger entities for the purposes of Title VII liability.
ADA Joint Employer Test The ADA also uses a “totality of the circumstances” approach that utilizes the following factors: (1) the interrelation of operations, (2) common management, (3) centralized control of labor relations, and (4) common ownership or financial control existing among the several entities. If two 20

entities are found to be joint employers, both will have a duty to provide reasonable accommodations.
“totality of the circumstances” approach here simply reinforces that each joint employer determination would be highly fact-specific.
In 2000, the EEOC provided the following guidance, using a temporary staffing agency to illustrate how each entity could be liable as a joint employer. A staffing firm placing a temporary worker would be liable under the ADA if it “fails to provide a necessary reasonable accommodation, absent undue hardship, in connection with a pre-employment test that it administers to an individual with a disability either directly or on a client’s behalf; uses the results of a test that it administers directly or on a client’s behalf to exclude an individual with a disability, where the use of such results is not job-related and consistent with business necessity; or knows or has reason to know that a client is administering or using pre-employment tests in a manner that discriminates against staffing firm workers with disabilities on the basis of disability and fails to take corrective action within its control.” The client would likewise be liable under the ADA if it “fails to provide a necessary reasonable accommodation, absent undue hardship, for an individual with a disability in connection with any test administered by the client directly or by the staffing firm on the client’s behalf; uses the results of any pre-employment test administered by it directly, or by the staffing firm on its behalf, to exclude an individual on the basis of disability, where the use of such results is not job-related and consistent with business necessity; or knows or has reason to know that a staffing firm is administering or using pre-employment tests in a manner that discriminates against staffing firm workers with disabilities on the basis of disability and fails to take corrective action within its control.”
It is difficult to predict how expansive the impact of this decision may be. For example, many companies prescribe standards and requirements for their vendors, which can include specified employment policies, compliance with applicable local, state and federal law, promises to pay prevailing wage, adopting affirmative action plans and EEO policies, and the like. Does customer control over vendors and suppliers through required policies and standards make the customer a joint employer with the vendor or supplier? The potential impact of the McDonald’s case could go far beyond the franchise situation.
Conclusion If the NLRB follows the general counsel’s lead and finds McDonald’s USA, LLC to be a joint employer with its franchisees, the agency would be enacting a framework more closely aligned with its other regulatory agency counterparts. However, a

Before the general counsel’s joint employer theory becomes law, an administrative law judge must agree to this test, and if the administrative law judge’s decision is appealed, the NLRB would have to affirm the administrative law judge’s decision. So it is uncertain how the McDonald’s cases will be ultimately decided. If the NLRB’s decision is unfavorable to a franchisee, it can be appealed to a U.S. Court of Appeals. Because of this increasing trend toward a broadly-defined joint employer status, businesses which do not want to be deemed a joint employer with another entity should begin to analyze and take actions to minimize how much control they exert over other entities, especially if they have any control over matters concerning payment methods or payroll practices; are involved in hiring, scheduling, or termination decisions; or participate in disciplinary matters related to an employee’s performance. Makes a Difference By Katie Harms, Scherer Brothers
Fall is upon us and I’m once again reminded of how quickly time moves. It feels like a mere month ago that the Foundation was fine-tuning our agreement with JK Anderson to finish the home for Zach Mohs. Through a great deal of collaboration, a mother’s dream has become reality, and the difference it has made in Zach’s life is nothing short of amazing. We also partnered with Rebuilding Together Twin Cities on two projects—one for a retired Army Veteran and one for a man who suffered a brain injury. And this summer, our partnership with Special Spaces–Minneapolis helped us create new bedrooms for two five-year-olds who have spent too much time in hospitals during their short lives, one with the help of Bob Michels Construction. It is projects such as these that keep me engaged, encouraged and inspired. As we look to 2015, you’ll see a few changes at the Foundation. I’ll be turning over leadership to Trace Mills in January, and we’ll be welcoming new additions to our Board. In the meantime, we are hard at work planning for three exciting new projects. Karen Dziuk, a former RN, experienced a brain injury during routine surgery which has left her extremely sensitive to light. Adding insult to

injury, Karen hired some unscrupulous remodelers who left her with a basement project that needs our help. Our second project will also involve remodeling. And, we’ll be renewing an old partnership with Homeward Bound, a local agency that provides high-quality group homes for children and adults with profound disabilities. Lastly, we’re joining with Homes for our Troops to build an entire home in Ramsey, MN. The new home is for Army PFC Marco Solt who lost both legs fighting in Afghanistan. We are pleased to announce that our Build Partner for Marco Solt’s home will be Accent Homes, Inc.

of the Non-Profit World By Perri Graham
Allow me to introduce you to the somewhat complicated world of governing a 501(c)(3) taxexempt non-profit organization! One of the most critical things for a non-profit— from a governance standpoint—is open and transparent financial information. Individual donors, foundations, and of course, the IRS demand that tax-exempt non-profits adhere to a specific standard of accounting procedures, board governance and state regulations that show that money raised by the non-profit is spent in accordance with its stated purpose. During the past year, the BATC Foundation Board of Directors has been hard at work bringing our by-laws, accounting procedures and financial reporting into line with accepted non-profit standards. Our new by-laws have been adopted and approved, our new accounting standards came online in January of this year, and our Board of Directors and committee structure has been fine-tuned and is working well. In addition, a more

We do not come close to funding all the worthy project requests that come our way. There is ample room to grow, and like any other business, we need to diversify our funding to get there. Over the next year, you will hear more about ways that you, as an individual, can support the Foundation through monthly giving, Give to the Max Day (scheduled for November 13), a year-end gift, or even a Legacy Gift by putting the Foundation in your estate plans. I hope that you will consider these invitations to give, at whatever level you’re able, and will help your BATC Foundation provide the essential gift of shelter to those in need in our community.

meet batc ’ s newest staff
Janice Meyer | Controller Extraordinaire Like most people who like numbers, Janice Meyer, BATC’s controller, excels at problem solving. She knew from a young age that she’d spend her career juggling numbers, and she definitely gets to juggle a few here at BATC. Coming to us last April, Janice spent a couple months working with Ron DeCoux prior to his retirement in June. Ron had brought some great fiscal discipline to BATC, albeit often in pencil. Janice, on the other hand, is totally hip to today’s accounting technology, and has tossed out all of Ron’s hand-written spreadsheets. She’s already streamlined a number of processes, yet guides our finances every bit as deftly as Ron. With over 15 years experience as controller in similar businesses (publishing, professional services, and most recently at the Society of Corporate Compliance and Ethics), Janice had no trouble adapting to our BATC culture. She graduated with a degree in accounting from MN State University – Mankato, and started her career in public accounting. She’s also a
Certified Public Accountant, although inactive at the moment. Janice has two kids: Cory, 24, has a degree in construction management and is working as an estimator with KR Kline; and Kelly, at 21, is a senior at the University of Minnesota with a major in food science. Janice also has two cats, Tigger and Mikko (yes, we have another BATC cat lady). These days Janice doesn’t have much free time (although when she does she likes to read and ski). Her fiancé, Dale Wicks, is also her partner in a new venture. The two recently purchased the iconic 400 Supper Club just south of St. Cloud and are busy giving it a more updated look, including renaming the restaurant The Water’s Edge on Pleasant Lake. It’s a great place for dinner, Sunday brunch or catered event if you are up that way.

Katie Eldred | Super Press Secretary As BATC’s advocacy efforts have grown, so has our need for someone to communicate and manage our public policy and political messaging. That someone is Katie Eldred, our new Press Secretary. With the perfect resume to serve our needs, Katie was hired at the end of July, just in time to take on our political push for the fall elections. Besides being at home with messaging and storytelling (she most recently managed the social media efforts for a national fitness company), Katie is also at home in front and behind a video camera. She was a talented on-air reporter for ABC-6 in Rochester, reporting on the MN legislature, economic news, and politics. She’s covered two presidential visits, interviewed Senators Klobuchar and Franken, plus a host of legislators, mayors and city council members. Born and raised in Lakeville, Katie comes from a two-teacher household. Her dad is an industrial tech teacher in Apple Valley, and her mom is a special ed teacher working with physically disabled kids in the south metro. But it wasn’t just teaching in the Eldred household, her dad

has moonlighted as a builder and remodeler for years, giving Katie a real understanding of the construction industry. The baby of the family, Katie also has two older brothers and two Jack Russell Terriers, Lucy and Lily. After graduating high school, Katie was off to St. Cloud State to earn her degree in Journalism and then on to Rochester for a coveted job as reporter. Today Katie is at home in St. Louis Park, and enjoys a wide range of activities, from reading to gardening and biking. She’s a self-described news junkie (on Twitter of course, follow her @KatieMarieMN). She’s also planning to buy a home with her boyfriend, so the BATC Staff is hoping to plan another wedding shower before too long!

On Friday, September 12th Brett Remme, of In-Focus Systems and longtime industry volunteer, suffered a debilitating stroke. After a week long stint in the hospital and a lot of hard work, he was transferred to a live-in rehab center where he continues to work on building his strength through therapy. Brett has made great strides in the recent days, however recovery will take time—time that Brett will be away from work. CONDOLENCES Well Known and Well Loved Gordie Howe, owner of Masterpiece Homes, passed away peacefully on September 3rd, surrounded by his family. Gordie founded Masterpiece Homes in 1980, helping countless people achieve the American dream by building them their dream homes. He was widely respected in his profession and was a devoted family man. He touched many people’s lives with his tremendous work ethic, generous spirit and compassion for others.

Larkin Hoffman’s Expert Advice for Mall of America Larkin Hoffman provided legal counsel to Mall of America during its recent $1.4 billion refinancing. Led by attorneys Tim Stoltman and Dan Kadlec, the team provided expert counsel as the MOA continues a $325 million dollar expansion project to be completed in August 2015, and will include: a luxury hotel, seven-story office tower, retail space for more than 50 new stores, a new atrium and event space, and underground parking.
Retired, But Not Done Working for Our Industry! At the end of June, George Cundy officially retired from Cundy, Santine & Associates Architects. He joins the ranks of ‘Active Adults’ as he continues to be involved with the home building industry at the local, state and national levels under the name of his new company, Terrace Design And Development. You can still expect to see George teaching classes and lending his knowledge on single family Senior Housing.
Our hearts go out to Herb Wensmann and family, Wensmann Custom Homes, for the loss of brother Dick Wensmann, who passed away on July 8th. Dick was 84 years old.
Gone Too Soon We were deeply sadened to hear about the sudden passing of Lynette Maas on July 12th at the age of 48. Lynette and husband Alan Maas owned A. Maas Construction and Meadowcroft Homes in Burnsville.
