Introduction. We are very pleased that you have chosen to brief and commision Branzas and we look forward to working with you. Branzas is a full-service brand and design consultancy creating brands and providing strategic advice on brand related matters. We like to get to know our clients inside out so we do the best possible job for you, and you achieve your business objective. Our aim is to provide you with world-class design and brand consultancy and support that exceeds your expectations, within budget and on time. Along the way we want to make our relationship as good and creative as possible with minimum hassle for you. no client is the same and all designers and consultants work in different ways. To help everyone, we find that right from the word “go” everyone should know what their role will be and we hope that you find this Client Guide information sheet helpful.
Our approach. We want to add value to your business. We make a strong-point about what we are here for – to help and support you do business. We aim to provide you with our services in a timely manner and on schedule. Where possible we aim to provide you with work in plain Romanian and which you can re-use in your business. However, most of our team is profficient in English and you should specifficaly instruct us to carry on our work and comunication with you in English. The work which we undertake for you will be directed by the Creative Director, your main contact, who is responsible for the delivery of our service to you. The Creative Director may involve other executives, designers, writers, consultants, office assistants, or technical professionals within our firm. The name of ythe Creative Director who will principally be involved with your work is set out in our business proposal and contract.
Our services. We are a full-service branding and design consultancy thus we can complete any project, from market and competition analysis to complex brand strategies, identity creation, graphic systems, branding seminars and trainings, standards and production/implementation operations. Our services are grouped in three categories: Analize, Create and Implement. We are happy to discuss with you extensively our range of services to examine together what should apply to you. Our team. All our team members are knowledgeable in the area of work they undertake and are focused on providing you with the best possible service. Branzas maintains its high standards through careful recruitment and training, the constant monitoring of performance and commitment to the use and development of effective IT and office systems. Our team may comprise, depending on your needs, Creative Director, Senior Consultant, Senior Designers, Designers, Writer, DTP Specialist, Production/implementation manager, 3D specialist, Intellectual property advisor.

Branzas Contacts within Your Organisation. We will need to identify at the outset our principal contact or contacts within your organisation. We prefer to have one principal contact who normally will be responsible for briefing and instructing us and for approving the payment of our charges. In addition to our principal contact, we will need to know who else will be authorised to instruct us on matters which will be invoiced to you.
Your Briefings and Instructions. We can be contacted and accept instructions by telephone, post, fax or email. The firm’s contact details are on our letterhead and business cards and the email addresses for those principally responsible for your work are set out in our business proposal or contract. The procedure for taking briefings and instructions will depend on the nature and urgency of a matter, your location and the most expeditious way of handling the process. We prefer to receive instructions on all substantive matters in writing or at least to have them confirmed in writing. We communicate with clients and third parties by telephone, post or email. Email is not completely secure and we make no representations as to the security of our system. Our emails carry disclaimers and electronic communication takes place subject to the terms of those disclaimers. We will normally arrange to communicate with you in the manner you prefer. Please keep us informed of any changes that occur in your personnel, address or ownership which may affect either your working relationship with us or the project(s) we are handling for you. Also, should you lose interest in a particular project, please notify us without delay to ensure that you do not incur unnecessary expense. Unless agreed otherwise, we will continue to act for you on a retained basis in respect of the matters for which you have instructed us and, if we are required to take action on any of those matters, you will be liable for any charges reasonably incurred by us.
Communications and meetings. Time and money are resources that we both value so if person to person meetings are not a stringent necessity we are happy to comply to whatever your most suitable and cost efficient means of communications are: phone, e-mail, Skype and online presentations. If meetings are a must our offices can accommodate your team or, if you prefer, we can held these meetings at your offices.
Warranty. You, as our Client, represent and warrant to Branzas that, to the best of your knowledge, any briefings and instructions given by you will not cause Branzas to infringe the laws or regulations of any country.
Deadlines. Please note any deadlines indicated in our letters or other reports to you. Failure to meet deadlines may result in loss of time/money or incur additional costs. We cannot be held responsible for any loss incurred where you have not provided clear and complete briefings and instructions, both within the given time limit and with sufficient notice to enable us to act.
Keeping Clients Informed. Branzas will advise you on the progress of matters at all significant stages, normally in writing. All matters are entered into our records and we are able to provide reports showing the current status of those matters.

Branzas Instructing third-parties. In circumstances where we need to brief and instruct third-parties or other professionals (such as printing houses, 3D specialists, photographers, etc) on your behalf, we draw on our knowledge and extensive range of contacts to select appropriate professionals to assist with your specific needs or problems. Branzas monitors such third- parties professionals on an ongoing basis to ensure that the required service is provided and that our performance standards are maintained.
Confidentiality. All information with which you provide us will be regarded as confidential, but you should advise us if any of the information is particularly sensitive. We will not divulge any confidential information obtained from you other than in accordance with your instructions. It will not be regarded as a breach of confidence to forward information to any of our employees or to other professionals who we instruct on your behalf for the purpose of furthering your interests. Our Contract helds a comprehensive confidentiality clause.
Our Liability. When you become a client of Branzas, it is on the understanding that we are confident that we are able to provide sound brand advice and world-class design. We expect that you, as our direct client, will rely on this advice. However, we do not accept responsibility for any consequences arising from a third party relying on the advice. In cases where we instruct other professionals and third-parties, the responsibility for any liability arising from their advice will rest with them.
Our Fees. Our fees comprise standard charges for the creative, consultancy and administrative aspects of our work on a time basis. Our fees are subject to review, usually annually, and our billing rates are available on request. Please ask for our “Branzas Fees�. External costs, such as third-party costs, travel expenses, may also be incurred. Clients are responsible for all disbursements resulting from Branzas carrying out their instructions including these and other costs. Whilst we try to advise clients before incurring significant disbursements on their behalf, this may not always be possible. If requested, we are happy to provide estimates of our charges in advance. Our estimates are given in good faith based on our knowledge at the time. However, sometimes it is difficult to provide accurate estimates as they may be affected by matters outside our control. We will endeavour to alert you if it appears that costs are likely substantially to overrun any estimate we have provided. All fees and costs referred to in our Contract or in our estimates to you are exclusive of VAT.
Invoices and payment terms. We will normally render invoices from advance payments and as each stage of a project is completed. Our normal payment terms are 15 days from receipt of the invoice. We will normally require funds in advance for the matters we undertake for you. In projects involving expenditure on our part, such as third-party payments or travel expenses, we may ask for a remittance on account and provide an invoice setting out an estimate of costs for this purpose. If payment is not received by us within our normal payment terms, we are entitled to charge you interest on late payments from the invoice date at a rate equivalent to 3% drawn from the late payment. We are also entitled to suspend the work we are doing for you after giving you appropriate notice. In the event that we find it necessary to commence legal proceedings against you for recovery of debts owing to us, and our claim is successful, we further reserve the right to collect from you attorneys’ fees incurred by us in those proceedings.

Branzas Papers and Documents. Each individual client matter normally has a separate file to ensure that all information, papers, documents, electronic data and correspondence are allocated correctly. It is our policy to retain all files for a minimum period of one year after the date of our final invoice to you on the matter concerned and we reserve the right to destroy any file at any time thereafter. If you wish us to retain files for a longer period, you should advise us of this. We reserve the right to make a charge for the continued storage of those files.
Duration and Termination. We expect to continue to act in any matter on which we have accepted briefings and instructions from you until the matter is completed. Either of us may terminate our engagement, either generally or in relation to a specific matter, by giving appropriate notice. We will not normally do so unless a conflict of interest arises or we consider that for any other good reason it would not be in your best interests for the firm to continue to represent you. We reserve the right to decline to act further if payment of our account is not made in accordance with our normal terms of business. In such an event, we will send you a schedule of the matters on which we have been acting for you and render a final invoice for fees and disbursements incurred up to termination and for any work we are required to do in relation to those matters after termination. If our instructions are terminated by you, you will be liable for our fees and disbursements up to the date of termination and for any subsequent fees or disbursements reasonably incurred in respect of instructions received by you before termination. You will also be liable for any payments necessary in connection with the transfer of your matters to another advisor of your choice.
Acceptance of Terms. Your continued instructions will confirm your acceptance of these terms of business. If you have any specific comments, please let us have these within seven days of receipt of this Client Guide, otherwise you will be deemed to have agreed that we will act for you on the terms set out above.
Intellectual property. All intellectual rights resulted from our work for a Client are automatically transferred in clients property after the full reimbursement of our fees and external costs related to the specific project, without time or territorial limitations or any other conditions. This applies only to the final version of our work approved by the Client and does not apply to any of the variants of the project and different intermediary stages of work and ideas.
Jurisdiction. The Client's relationship with Branzas will be exclusively governed by and construed in accordance with the laws of Romania, whose courts will have exclusive jurisdiction in any dispute.
Office hours. Branzas offices are open on weekdays (excluding public holidays and weekends) between the hours of 9am and 5pm. Mail and e-mail received outside of these hours (other than by prior arrangement) may not receive attention until the next working day.
Your Feedback and views. We welcome your views and any suggestions you may have in relation to our range of services or in the way in which those services are provided. We anticipate you will be pleased with our service, come back for more and recommend us to others. If you prefer you can tell us what you think directly by any means of communication or you can also have your suggestions as to how we can improve what we do.
