CHINA FORMS BUSINESS AVIATION COMMITTEE AT GENERAL AVIATION ASSOCIATION Finally, China has its own official Business Aviation Organization. On May 14, 33 representatives from 20 business aviation operators and ground support service providers gathered in Beijing to form the Business Aviation Committee within the China General Aviation Association, a sub of China Air Transportation Association.

During the meeting, Capital Jet was elected as Director Member while Minsheng International Jet, Hanwha Airlines and ZYB Lily Jet was elected as Deputy Director Member.

The committee will study hurdles i n g r ow i n g t h e i n d u s t r y s u ch a s business aviation airport, terminal, scheduling, parking space etc. Report of studies will be presented to the central government including Civil Aviation Administration of China for consideration and implementation in China’s 13th 5-Year program (20162020). The administration is aimed at relaxing the flight permit application time and procedure, reduce the nonoperational expenses. Committee will look to focus on management of flight safety, infrastructure building, ground support and technical training so business aviation can be developed in an orderly manner.

A GA AIRPORT IN ZHUZHOU, HUNAN PROVINCE WILL OPEN THIS OCTOBER The Zhuzhou GA Airport will open this October, and its new airport road will put into use in September.

The airport will serve as a platform for aircraft manufacturing, test flight, and GA business. The Phase I project includes an 800 meters long, 30 meter wide runway capable of handling the Harbin Y12 and all kinds of helicopters. In the long-term plan, a 2,600 meter long runway capable of operating various types of business aircrafts and medium-sized airliners will be added. The airport is planned to be the second biggest airport in mid-eastern Hunan province.

PASSENGER FLOW GREW SLOWLY IN CHINA’S BIG AIRPORTS BUT QUICKLY IN SECOND-TIER CITIES IN 2013 Ranked by passenger flow, Beijing Capital International Airport again became China’s largest and the world’s second largest airport in 2013, but only experienced a 2.2% growth over last year.

The passenger flow of BCIA has reached a stable level, but once the second airport is built, the Beijing airports may experience a surge in passenger numbers. The passenger flow of Shanghai’s two airports kept a moderate growth rate of 5%, while the Guangzhou Baiyun International Airport (the second largest airport in China) had an 8.6% increase in passenger flow over the previous year.

The passenger flow increased sharply in the airports of China’s second-tier cities. Kunming Airport, located in southern China, became the No. 1 with a growth of 23.9%. The new airport which was put into use in mid-2012 is an important factor in this substantial growth in passenger flow. This is in sharp contrast to Shanghai Pudong International Airport, which is expected to see a slow growth in the following several years.

Tianjin Airport and Guiyang Airport also become fast growing airports, with a 20% increase in passenger flow.

Passenger Flow of BCIA Grew Slowly Beijing Capital International Airport has kept the title of the largest airport in China with a passenger flow of 83.7 million.

However, the modest 2.2% increase is the slowest growth rate of the last five years.

BCIA also saw the slowest growth rate out of the ten million passenger level airport groups in China. Pudong International Airport and Hongqiao International Airport counted as the second and third slowest airports with a growth rate of 5.1% and 5.2% respectively.

This year’s growth rate of 2.2% is much slower than the 17% seen in 2009. BCIA still retains a particularly high level of passenger flow. The slow growth is attributed to the limitations of the terminal gates.

Unless BCIA initiates major airport facility reform, there won’t be a big increase in passenger flow until the opening of Beijing’s second airport.

Passenger Flow 0f Kunming Airport Grew Fastest With a 23.9% increase, Kunming Airport’s passenger flow growth became China’s fastest in 2013. Tianjin Airport became the second fastest with a growth rate of 23.3%.

However, Tianjin Airport’s passenger flow was only one third of Kunming Airport’s.

(The number for Tianjin Airport is 10 million, and the number for the Kunming airport is 29.7 million.)

Passenger Flow of Shanghai Pudong Airport Will Grow Rapidly Passenger flow of Shanghai’s two airports maintained a 5% growth rate, which was 2.2% more than BCIA. However this was the lowest growth rate seen in recent years.

Passenger Flow of Guangzhou Baiyun Airport Grew Fast Although the growth rate has slowed somewhat these years, Guangzhou Baiyun Airport is still ranked No.1 in growth out of China’s 5 largest airports.

Other Second-Tier Cities The 23.9% growth rate of Kunming Airport made it the airport with fastest growth rate. The next two airports are Tianjin Airport with a growth rate of 23.3% and Guiyang Airport with a growth rate of 19.7%.

CHINA OUTBOUND TOURISM BECOMES A NEW GROWTH POINT OF GLOBAL AVIATION INDUSTRY In the first quarter of 2014, China’s economy had a growth rate of 7.4% compared with last year, which is a decline compared to previous years. According to statistical figures from The World Travel & Tourism Council (WTTC), Chinese citizens will spend 635 billion Yuan travelling abroad this year, which is 3 times the amount in 2008. By 2024, the figure will reach 1.77 trillion Yuan.

Building more airports and improving airspace management would mean good news for travelers weary of delays. Data from Flightstats shows the punctuality rate for flights originating in Beijing was only 18%, and 28% for Shanghai.

THE CONSTRUCTION OF GA AIRPORT NEEDS SUBSIDIES URGENTLY At the end of 2012, China had 70 GA airports and 329 landing points.

According to recently announced plans, by the end of the Twelfth Five-Year Plan Period, China aims to build an additional 288 GA airports and landing points. During the Thirteenth Five-Year Plan, another 588 GA airports and landing points are to be built. Thanks to the CAAC’s plan for “a GA airport in every county”, there will be thousands more GA airports added in China’s near future.

AEROSPACE-CONNECTION OPENS BRANCH SCHOOL IN QINGDAO, CHINA. PLANS TO RECRUIT 50 STUDENTS FOR THE FIRST YEAR Aerospace-Connection is a professional flight school certified by the Canadian

Aviation Administration. In its first year of operation, the Qingdao Branch School plans to recruit 50 students. After studying aviation English at the Qingdao Branch School, the students will then be sent to Canada for flight training.

According to ICAO’s forecast, China will face a shortage of 18,000 airline and GA pilots by 2015. In the meantime, China will only be able to train 1,500 pilots each year. Next year, the Aerospace-Connection Qingdao Branch School will recruit 120 students.

Currently, the school plans to implement domestic flight training in Qingdao in three years.

MASTER PLAN OF THE SHIYAN QUDANGSHAN AIRPORT GAINS APPROVAL, WILL BE CATEGORIZED AS A REGIONAL AIRPORT The master plan of Shiyan Wu d a n g s h a n A i r p o r t h a s g a i n e d approval from the CAAC Central and Southern Regional Administration and the Shiyan Government.

The plan is a programmatic document for the development of the Wudangshan Airport and clears all stages of the airport’s construction work. It is also provides an important basis for the airport’s land use control, airspace clearance protection, industrial layout and urban planning control. According to the master plan, to meet its short-term demands the airport will be rated 4C and will be constructed to accommodate 900 thousand passengers and 2.7 thousand tons of cargo annually by the year 2020, followed by 1.2 million passengers and 3.7 thousand tons of cargo by 2025. In order to meet long-term demands by the year 2045, the airport will eventually be rated 4D and able to accommodate 3.04 million passengers and 10 thousand tons of cargo annually.

River, at the juncture of the two counties of Beijing’s Daxing District and Langfang’s Guangyang District in Hebei Province. It is located 46 km from Tiananmen Square and 26 km from downtown Langfang, and will be a major international hub airport. To meet its short-term demands, the airport will be constructed to accommodate 72 million passengers, 2 million tons of cargo and 628 thousand flights annually by 2025. The main construction will include four runways and their associated taxiways, an apron system, a 700 thousand square foot terminal, cargo terminals, catering facilities, fire rescue and other utilities such as power supply, water, gas, and sewage.

The total area of ​​the current airport is about 3031.9 hectares, among which an area of 1806.54 hectares belongs to Beijing and 1225.36 hectares to Hebei Province. The total investment into the construction of Beijing’s new Airport is about 800 billion Yuan.

THE 253 FLIGHTS OF BUSINESS AIRCRAFT IN SHANGHAI IN APRIL MARKS A 7 YEAR RECORD HIGH According to statistics from the Shanghai Border Inspection Station, this April there were 253 business flights in Shanghai’s two airports, showing an increase of nearly 29.1% compared with the same period last year. It also marked the highest monthly record in the past seven years.

The 95 flights originating in the U.S. ranked first, followed by 48 flights from Hong Kong, Macau and Taiwan. PROTECTING YOUR INTERESTS When an Aircraft Deal Dissolves

Over the years, most Sellers that I have represented believe their aircraft is in great condition and that no surprises or problems will be discovered during the pre-purchase inspection. Similarly, once Buyers I am working with have seen their potential acquisition and made themselves comfortable in the seats, they often believe they have found the perfect aircraft, and an emotional attachment is immediately formed.

In these situations, I have found that emotion can often dictate the outcome of the transaction as much or more than a pure cost-benefit analysis.

Typically in aircraft transactions, the Seller is responsible for rectifying any airworthy discrepancies found during the pre-purchase inspection. Depending on the nature of the items found, the Buyer normally has a chance to review the pre-purchase inspection report to determine if he or she would like to move forward with the purchase. By this point, the Seller almost always considers the aircraft sold, and the Buyer has started thinking of how they will personalize the aircraft once they own it. But when the Buyer decides not to proceed or when there is a dispute over an airworthiness item, sometimes the sale falls apart. As the saying goes, “hindsight is 20/20,” but given the investment involved in the sale of an aircraft, it is imperative that the purchase agreement clearly addresses a situation in which the transaction fails to close.

From a Buyer’s perspective, it is important to have the right to walk away for any reason or no reason. It is also crucial for the Buyer to walk away whole in the event the Seller reneges on the sale. For example, once the aircraft purchase agreement is signed, if the Seller finds another buyer willing to purchase for a higher value or without any pre-purchase inspection, the Seller may be tempted to sell to that party. The aircraft purchase agreement should not only state that the aircraft cannot be marketed once the agreement has been signed by both parties, but also have some provision to make the Buyer whole if the Seller defaults on the deal. These provisions should

include the return of the deposit in full and reimbursement for any aircraft movement costs or pre-purchase inspection expenses. The Buyer should also consider requiring the seller to pay for the cost of documenting the transaction in the event the Seller backs out of the agreement.

In the ideal situation for the Seller, the aircraft would be sold “as is” with no pre-purchase inspection. However, in the current buyer’s market, that is usually not the case. Once the aircraft is moved and the pre-purchase inspection has begun, the Seller probably has incurred some real costs. In the event the Buyer elects not to move forward, Seller should make sure he receives compensation for the cost of moving the aircraft to the inspection location. The Seller should also consider drafting a purchase agreement that only allows termination if the aircraft does not meet the delivery conditions specified in the aircraft purchase agreement. The Seller’s loss is based on how long the aircraft has been in the pre-purchase inspection and how long it is going to take to return the aircraft to service. Another consideration in assessing the Seller’s loss is the number of potential buyers who were lost during this “false start.” A Seller might insist upon making the deposit non-refundable if the Buyer elects not to purchase the aircraft once the pre-purchase inspection has started unless the airworthiness discrepancies exceed a certain amount.

Making sure there is a meeting of the minds on procedures and disbursement of funds when a transaction does not move forward is very important. When a transaction fails, the parties can sometimes become adversarial. Having a clearly drafted agreement without ambiguity can prevent further disagreement and save significantly on legal fees.
