GOVERNANCE COMMITTEE
Audit Committee arranges for a review of the organization’s financial records; reviews the results of reviews, financial records (including income statements, balance sheet and budget), tax documents, investments and fund balances; conducts a risk assessment for the organization; and reports all findings and recommendations to the Board. The Bylaws require that the President appoint a chair and at least two Members who shall not be current board members or officers. In 2015‐16, this committee will review the audit report and issue findings to the CAAE Board of Directors, who will review it and report to the membership. Chair – Non‐Board Member

EXECUTIVE COMMITTEE Executive Committee acts between meetings of the Board on all matters not otherwise delegated to the Board or the Members. The Bylaws establish the committee as the President, Vice President, Immediate Past President (when the Immediate Past President is a member of the Board), Treasurer, and Secretary and require that all actions of the Executive Committee must be reported to the Board no later than the next regular meeting of the Board. Governance Committee ensures the Board is performing at optimal levels by soliciting nominations from the CAAE membership and nominating Board candidates; ensuring that the size, leadership and composition of the Board are appropriate; and overseeing governance structures and policies (including committee structure, conflict of interest and other policies, and bylaws). The Bylaws require that the Committee consist of three current Board members and two other members not currently on the Board, including the Immediate Past President. Current members of the Governance Committee may not be nominated for open officer or board member positions. This committee is established in the Bylaws. Assesses, develops, and implements plans to cultivate, solicit, and retain CAAE members, regularly reviewing membership policies, procedures, and pricing; evaluating member needs and satisfaction; and conducting membership marketing campaigns and research designed to meet membership goals. For 2015‐16, the committee will: • C omprehensive list of eligible members and track status; • Orientation program; and • B uild a celebration component to summer institute to celebrate new and retiring/exiting members.
Develops and delivers CAAE’s agenda for evidence‐ and outcome‐based best practices in alumni relations; manages the annual CAAE survey; and devises and implements methods for collecting, accessing, storing, and reporting on major trends and issues facing the alumni relations field. In addition to completing the 2015‐16 CAAE Census and Compensation Survey, the committee will: • B etter market and communicate existing compendium of literature. • E xplore new partnerships (Gallup, Lilly School, etc.); and • I dentify topics that would make strong case studies.

Meeting Minutes: Winter 2016
Membership Meeting To advocate the values of alumni association self-governance and to provide its members with relationships, information, and professional development to enhance alumni association administration. Hyatt Regency Scottsdale Resort and Spa Scottsdale, AZ February 16, 2016 Attending: Members attending the 2016 Winter Institute.

Call to Order
President J T. Forbes (Indiana) called the meeting to order at 1:00 PM.
Approval of Minutes
Mr. Forbes call for the approval of the July 12, 2015 Membership Meeting minutes. After duly moved and seconded the minutes were approved as presented.
III. Presidents Report
Mr. Forbes reported that the CAAE Board had recently begun tracking several factors to track and measure member engagement. These factors included membership status, census/survey participation, Winter Institute attendance and Summer Session attendance. He also noted that the Board would begin tracking two additional factors, satisfaction with the institute and Summer Session as well as completed member profiles.
Mr. Forbes went on to review organizational trends over the previous two years. These trends included: • Membership had a net increase of one new institution with a retention rate of 98%. • Census/survey participation had increased from 78% to 83% • Summer session participation had remained flat at 63%; winter institute participation had decreased from 73% to 68% • Summer session satisfaction had increased from 68% rating the experience excellent or very good to 80% (the Net Promotor Score decreased from 19 to 7); winter institute satisfaction decreased slightly from 98% to 95% (the Net Promoter Score increased from 63 to 73) • Member profiles stood at 78% complete
Mr. Forbes reported on the status of the organization’s relationship with the Council for Advancement and Support of Education (CASE). He noted that the two-year agreement between the two organizations was up for renewal in September 2016 and that the Board would begin to have conversations with new CASE President Sue Cunningham to discuss renewal. Finally, he reviewed the progress on the strategic plan and the Board’s working plan moving forward.

Committee Reports
Affinity Partners Paula Bonner (Wisconsin) reported that Affinity Partner revenue for the year would be slightly down from previous years. For fiscal year 2016, 12 companies had agreed to be sponsors. She noted that the committee had made an adjustment to when and how sponsors would interact with Winter Institute participants and asked that members provide feedback on the quantity and quality of those interactions.
Communications and Marketing Mike Pede (Houston) reported that the committee would be reviewing the type and quantity of communications that were being sent to members to ensure that people felt engaged and informed. He also indicated that committee would do a thorough review of the CAAE website to ensure that it continued to have relevant and timely content.
Awards and Fellowships Jennifer Heisey (Cincinnati) reported that no fellows were in attendance at the winter institute. She indicated that the committee would be examining the criteria for the Fellowship Program and determining potential research topics in consultation with the Research Committee. Calls for applicants would be available in early summer.
Institutes Donna MacPhee (Columbia) reported that the committee was working closely with the CASE staff to ensure that CAAE-sponsored content would be integrated throughout the July CASE Summit programming. She encouraged members to forward potential session ideas to her or directly to CASE. Membership Laura Wayland (Northwestern) introduced the new members in attendance. She reported that the committee had instituted a new member reception to welcome and orient to members. That event took place immediately prior to the start of the institute. She also indicated that the committee would develop a new member mentor program prior to the summer session.
Research Howard Wolf (Stanford) reported that the Research Committee had been in conversation with the Gallup Organization regarding potential research on alumni attitudes towards their alma maters and what factors during their student experience might engender more positive feelings. He suggested that more conversations would be taking place over the following few months. He also recognized Hoopes Wampler (Pennsylvania) for his active work on the census project that contributed to the marked increase in participation levels.
Governance Barbara Dick (Toronto) indicated that the Governance Committee would be seeking to develop a slate of candidates to fill several Board positions, including President and Vice President (both one-year terms), Treasurer and Secretary (two-year terms) and two elected directors (three-year terms). She asked members to submit nominations for Board positions directly to her.
