CRAVANTS MEDIA Terms & Conditons

Payment Terms The payment schedule for Phase 1 (Project) shall be as follows: Amount to be payable according to the payment schedule mentioned in the PHASE 1 table above. Project is scheduled to start from the day payment has been received by Cravants Media.

The payment schedule for the Phase 2 (Retainer) must be paid in advance. The cost DOES NOT include cost of -‐ • buying Stock Images from shutter-stock, istockimages, corbis, gettyimages or other resources • Printing, Photography, Media Purchase and Printing Material costs • Online Content, Online Product Photos (Any content or photos that carries a copyright needs to be bought) • Webspace, Server Cost and Hosting Admin Charges • Any Trips to the property premises or your offices for research purpose, and for interviews with customers and vendors of Client, inside or outside the Delhi NCR will be charged as per actuals (travel, lodging, food etc.) • This cost also DOES NOT include support and working with third party vendors such as Printers, Language Translators, etc. These would by charged as per actuals.

IMPORTANT NOTES Stock Images, Meetings

1. STOCK IMAGES Stock Photos (“Stock Images”) are professional photographs of common places, landmarks, buildings, nature, events or people, that are bought and sold on a royalty-free, flat rights controlled, and rights protected basis, can be used and reused for commercial design purposes.

Rights Protected Images are “rented” for a specific purpose at a specific price. We will purchase the rights to use the image(s) for the client from a stock photo agency (or photographer) for a specific use and time period. Any other use is subject to an additional fee. The benefit to the client is the possibility of exclusive use at extra cost & a large pool of unique images from which to choose. Disadvantages are cost and a detail-intensive transaction. The cost depends on where the client wishes to use the images, size of image, press run, area of use, or other reasons. Rights Controlled Images are actually “rented” for a specific, one-time use. The client could buy these images from the stock photo company through us for a specific end user purpose. The end user could be a XYZ Company or XYZ Company ABC Event, but not both, except at an extra cost. If the client wishes to use a flat rate rights controlled image for the ABC Event Campaign, the client can freely use the image without checking with, or paying extra fees to, the stock photo company, in a brochure about ABC Event, or a TV Commercial about ABC Event, or inside an annual report in the section about ABC Event, or other. The client’s benefit is, less hassle and less cost than rights protected images. Disadvantages include greater cost than royalty free stock images and no possibility of exclusive use. Royalty Free Images are purchased by the client through the stock photo company through us outright, either as single images or on disc volume in bulk, and can be used in any way the client desires, with certain restrictions. One benefit to the client is less cost; a disadvantage is that the client may see the image used somewhere else for a product with which they may not wish to be associated. When we invoice the client, we will attach a copy of the stock images invoice for the image license. The client must retain that invoice as a proof that it owns the right to use the image. 2. MEETINGS Unless otherwise stated, most of the meetings outside the Delhi NCR area will be done over phone and via email. Services other than what are listed here are extra and will be charged separately.
