AST WEEK WAS "SUNSHINE WEEK," a nonprofit, nonpartisan national initiative launched by the American Society of News Editors to "promote a dialogue about the importance of open government and freedom of information." What better time to focus on a provision of the Dodd-Frank Act that allows the Financial Stability Over-

sight Council (FSOC) to designate companies it deems "too big to fail" as "systematically important financial institutions" (SIFIs) subject to enhanced supervision and regulation by the Federal Reserve.

It has done so with MetLife, the largest life insurance company in the U.S. MetLife rejects the SIFI designation, maintaining that it is a pillar of stability that, in the words of a source familiar with the controversy, "remained strong even during the 2008-09 financial meltdown -during which time it neither requested nor received any bailout money."

MetLife, unable to get any meaningful information from FSOC about why it received the designation and about the specific criteria used to determine it, has filed suit in the U.S. District Court for the District of Columbia, "challenging a final decision by the Council to designate MetLife as a nonbank systemically important financial institution ('nonbank SIFI')." The company asks the court to set aside the designation and enjoin FSOC from taking any further action until standards for designating non-banking companies as SIFIs have been established and made public.

Unfortunately, the FSOC does not have to give meaningful reasons for its decisions. DoddFrank exempts FSOC from the Federal Advisory Committee Act, better known as the federal "open meetings" law, which is why the sun needs to shine in. The Senate Banking Committee is expected to review the FSOC's decision-making procedures as part of hearings scheduled for this week, according to the Wall Street Journal, for the purpose of taking "a look at accountability and transparency" issues surrounding FSOC. MetLife reports its financial health is good and that the FSOC "failed to understand, or give meaningful weight to, the comprehensive state insurance regulatory regime that supervises every aspect of MetLife's insurance business."

Journalists preoccupied with Hillary Clinton's secret email account and her reluctance to answer questions about it should also be concerned with the refusal of the FSOC to provide MetLife with information that caused the government agency to issue its order. MetLife says it has been denied its "due process" guaranteed by the Constitution.

The company is also raising separation of powers arguments because of the multiple roles FSOC members play, serving as rule-maker, investigator, prosecutor, judge and jury. The company brief states: "FSOC members perform a legislative function by adopting rules that purport to set the standards used to determine whether to designate companies (as SIFIs); an

executive and prosecutorial function by proposing companies to be subject to the standards they have promulgated, investigating those companies, and building the case for designation; and an adjudicative function by issuing final decisions adopting their own proposed rationales. Not only is each of these functions performed by the same body, they are also performed by the same individuals, without even a separation into offices or divisions."

MetLife says all of its requests under the Freedom of Information Act have either been ignored or denied by FSOC. Under any definition of fairness, much less equality under the law, a company should have the right to know why it is being regulated by a federal agency. In this case, MetLife appealed the ruling, but the FSOC rejected the appeal.

After promising to be the most transparent administration in history, the Obama administration increasingly behaves like a dictatorship in matters it wants to keep from the prying eyes of its own citizens.

Q. I MANAGE A customer service department with a very demanding clientele. Between the whining of our customers and the whining of my employees, I’m surrounded by negativity. By the end of the day, I’m exhausted. Is there a better way to manage all the grumbling that goes on at work every day?

A. Yes. First, realize that when others complain, most of us get our egos bruised and think the person whining is actually attacking us. The truth is, most people are deeply uncomfortable when they feel vulnerable. When we’re angry and blaming, we feel powerful.

Most people prefer attacking someone with an accusation rather than figuring out that they could take the risk to ask. Realize this problem is related to a flaw in human nature, not proof that you and you alone deserve to field complaints from co-workers all day long.

Yes, listening to whining and complaints is very exhausting. There’s the joke that some people get lots of exercising jumping to conclusions. I would argue that people get a lot of exercise jumping up to defend themselves.

However, fighting back is not a wise use of your energy on the job. If you think you’re being attacked, ask what the attacker wants from you. For those who tend to whine or complain, consider what you really want and then ask for it.

Sure, your favorite moment of the day is not listening to a someone whine. But you don’t have to stand there for hours and listen. Instead, let the person speak for a few minutes, then stop them and ask calmly, “How can I help you?”

If they go back to whining, then paraphrase their emotions by saying, “I can see this is frustrating.” Then return to asking what they want.

Until you ask this basic question, the person may have never considered making a request. Instead, they may have simply been ruminating about how unfair you are - and how upset they are.

When people are whining, they can get into a trance-like state where solutions are not the focus. It’s like they’ve regressed to childhood, crying because they don’t give themselves the option of using words to problem-solve.

If someone is acting like a 2-year-old, you may want to avoid power struggles with them. Here’s a big hint, though: The same thing that works with a 2-year-old will work with an adult acting like they’re only 2.

When toddlers struggle with learning to speak, they often strike out, whine incessantly, or scream. We tell them to “use their words” because we know that acting up when they want something won’t

STARTING THIS WEEK: THE HOBBIT: THE BATTLE OF THE 5 ARMIES: Peter Jackson wraps up his latest J.R.R. Tolkien-inspired trilogy with this epic, which certainly delivers the battle its title promises. The Lonely Mountain is the setting of the clash of various factions some of them human - after Bilbo Baggins - played by Martin Freeman - and his comrades think they have finally made the site theirs.

Goblins, dwarves and others have different views, with dragon Smaug weighing in as well as the fate of Middleearth hangs in the balance.

UNBROKEN: In her second feature directing, Angelina Jolie does an effective job of Laura Hillenbrand’s fact-inspired book about Louis Zamperini - played by Jack O’Connell - an Olympian who survived the downing of his World War II bomber, only to become a prisoner in a succession of Japanese internment camps. Zamperini died shortly before the film’s release, but he had given the film his blessing.

MR. BEAN: THE WHOLE BEAN: British comedian Rowan Atkinson gets a big showcase as his popular, usually silent problem-solver character in this remastered 25th-anniversary edition of the whole series. It’s interesting to note that even though the show lasted only 14 episodes, it gained a global following and yielded two fea ture films as well as an animated spinoff.

Painful Loss Ignored By Some Family Members

DEAR AMY: My husband and I recently lost a baby at 23 weeks. This was extremely painful, both physically and emotionally. We have been faced not only with dealing with our grief, but also dealing with several health complications.

During this entire experience we were extremely upset by the lack of response from family members who know we were going through this. My husband has a sibling who is going through a pregnancy.

We also have cousins with small children who have not acknowledged the miscarriage. We are extremely thankful that many family members have helped see us through these challenges.

We're at a loss for how to deal with those who have shown no support and who have not acknowledged that this terrible thing has happened. What should we do to get over this and move on?

-- Appalled DEAR APPALLED: Without question, not acknowledging your loss is wrong. Unfortunately some people deal with their own discomfort by becoming paralyzed -- or by trying to ignore an uncomfortable experience in the hopes that the discomfort eventually will go away. Family members going through a healthy pregnancy -- or with children of their own -- may feel self-conscious, believing that their acknowledgment of what you have been through will only highlight their own good fortune.

And so now it is left to you to ameliorate their discomfort by being transparent about your own.

Try to find a way to convey, "We're so sad. Our loss is hard to bear.

It would really help us if you would talk to us about it."

It is so unfortunate that grieving people often find they are forced to lead the way in guiding others on how to cope. This level of compassion and understanding is a very heavy lift, but being honest about your own needs ultimately should help you feel better.

DEAR AMY: My husband, children and I moved in with my inlaws. It has been a learning experience. The hardest part is that my mother-in-law cooks with old, sometimes moldy produce and expired canned goods.

I have gotten sick a few times and it's just not OK with me. I'm not "allowed" to say anything because it could "hurt her feelings."

My mother-in-law is always treated with kid gloves, and no one allows anything negative to be said to her, so I would be "completely out of line" if I said anything.

We alternate cooking dinner, so at least I get clean food half the time. What do you suggest I do or say so that I'm not forced into eating rancid food while not looking like a monster? -- Scared To Eat DEAR SCARED: You might influence this without rocking the boat if you offer to do all the food shopping for the household. If your mother-in-law has fresh ingredients available in her home, she will use them. If you have a local farmers market, you could take her with you and both pick the produce.

You don't say whether she insists on doing half the cooking, but one way to repay your in-laws' generosity would be to step up in terms of cooking and housework.

DEAR AMY: I read the letter from "Mourning Mom," and I feel that your response, while sound, is dated. Families today (and particularly women) ought to be more cognizant that our planet is rapidly running out of resources, and that one of the best solutions is to reduce birthrates.

Those of us lucky enough to have access to birth control resources (and I count simple willpower as one of these resources) ought to use them to help mitigate the current population explosion.

I always think of Kenneth Branagh as a devotee of all things Shakespearean. But he has directed such varied fare as “Thor” and “Jack Ryan: Shadow Recruit.”

In fact, it is rather intense. I expected some screaming from the children in the audience, but these are 21st-century kids. If not quite blase, they are at least exposed enough to wild special effects not to fear Cinderella will be crushed or injured as her coach transforms back into a pumpkin.

Lily James is charming as Cinderella. Her acquiescence throughout most of the film taught early by her mother, to “have courage and be kind”might irk some feminists, but she is not without spirit. And her Prince, Kit, is as goodlooking and sincere as any maiden might hope.

Old-fashioned as it might be, the story of Cinderella still has tremendous power. A poor but beautiful girl with nothing, both abused and neglected, rises to shine in the brightest light - helped by magic, but basically it is her own good nature that brings all good things.

As Lily James sweeps into the ball in her magnificent finery and dances the night away, swooning in the arms of the prince, it is impossible not to be moved. Indeed, as the light went up, there was quite a bit of sniffling going on - from the adults!

The film’s emotion is heightened by a great score by composer Patrick Doyle. The production design by Dante Ferretti and Sandy Powell’s costumes are splendid. When next year’s Oscar nominations are out, “Cinderella” will nab more than a few, I think.

Oh, about Lily James’ waist. Miss James is a small girl. Even wearing the uncorseted costumes on Downton, one can see she is fragile.

But here, for her ballroom scene, the actress is bound in the extreme. After criticism that James’ waist had been digitally altered, director Branagh simply said, she’s a small girl made smaller by the required corset. Perhaps not a great role model for impressionable little girls.
