President’s Message Beau Daffer, HBAL President

It is my privilege and honor to begin my term as the 74th president of the Home Builders Association.

Throughout my career I have worked in many different fields of construction. From being an electrical apprentice (back then that meant grunt) to building homes in Omaha. Then I moved to commercial construction in Lincoln and now own my own home building company.

Over the years I have learned a lot. At one point my dad served as the president of the Builders Bureau which was my first exposure to serving and supporting the organizations that help both our industry and our community. As I have become more involved with HBAL it has only made me more supportive of the work our organization does.

As we know, our industry is constantly changing. There’s a lot to keep up with, from technology to interest rates to codes. With the help of our board, our members and our staff, our intent is to help make members aware of many of these changes.

My challenge to everyone in this new year is to find someone who is not a member and encourage them to join. The second thing is find a member who is not involved and encourage them to find ways to get plugged in. Let’s make 2024 a great year and I am looking forward to serving all of you this year!

Tell us about your family. Lauri and I have been married for 26 years. Lauri is instrumental in our interior design choices. Our son, Zach, works for Scheels in Chandler, AZ as the baseball/softball department manager.

Name a recent movie you watched that blew you away? "Day by Day" a movie about the glory days of Husker football.

Best restaurant you've ever been to?

Kristofers in the old Riviera Casino in Las Vegas What is the most unique or interesting thing about you that most people probably don’t know? I was born on my mom's birthday.

Who is someone who's made a big impact on your life? Why? My dad. He took the time to teach me the construction trade over 30 years ago, as he spent his entire career in residential or commercial construction.

If you could have dinner with one famous person from the past or present, who would it be? General George S. Patton What experiences and past roles have led you to where you are today? After selling my concrete construction business of nearly 25 years, I knew corporate America or working for someone wasn’t

going to make me happy. I enjoy watching our clients move into an amazing build that hopefully is their forever home.

What career advice do you live by?

Who gave it to you? "Retain what you learn today. You may not use it tomorrow, next week or next year, but someday you will." Thanks Dad! If you could collaborate with anyone, who would it be? Why? Donn Mann, I did his concrete work for 20 years. Donn is the finest and nicest gentleman you’ll ever meet, I don’t think he ever had bad day or said anything bad about anyone.

How has your career benefited from being a member of HBAL? Denny Van Horn got me to join HBAL, as we built across the street from one another two years ago. He always answers any questions if I need advice.

What is your favorite HBAL event and why? Careers in Construction Day. It’s today's students we so desperately need for the future of our industry.

Any tips or advice for new HBAL members? Get involved in a committee that suits you the best. Meeting and building new relationships is incredibly rewarding.

Peterson Founders Award for retaining the most members were awarded to Denny Van Horn of Van Horn Custom Homes. In 2023 Denny recruited eight new members, which earned him the Herm Hempel Award for recruiting the most new members. He also retained the most members, earning him this year’s Ervin E. Peterson Founders Award. This is Denny’s sixth year in a row to receive this award.

Ben served as 2023 chairperson of the Remodelers Council of Lincoln and has recently replaced Jereme Montgomery as Chair of the Careers in Construction Committee. He is involved with many of our Foundation events and is always willing to lend a helping hand with a positive attitude.

Corporate Transparency Act

Corporate Transparency Act

by Hunter Traynor, Ben Swanson & Ann Post, Rembolt Ludtke LLP This article discusses the Corporate Transparency Act (the “Act”), which was enacted by Congress in January 2021. The Act implements reporting requirements for most business entities (“businesses”) created in the United States. The crux of the Act is Congress’s attempt to combat money laundering and related illicit activities through the disclosure of businesses’ “beneficial owners.”

The Department of Treasury’s Financial Crimes Enforcement Network (“FinCEN”) is the agency that will receive information reported pursuant to the Act. This article highlights the main reporting requirements and discusses considerations for both current and future business owners.

What types of businesses are required to report?

In general, all business owners should assume the Act applies to their business, including businesses formed to hold real estate, conduct farming operations, and provide products and services on “Main Street.” Congress painted with a broad brush. First, the Act applies to for-profit businesses that are created through a state-level filing, i.e., a state Secretary of State. In general, this covers almost all business entities except for general partnerships and certain trusts.

Regardless of the business form, the Act then provides twenty-three exemptions based on size and industry. This includes an exemption for large businesses, defined as businesses with 1) more than twenty fulltime employees; 2) more than 12  Lincoln Business Builder

$5,000,000 in yearly gross receipts; and 3) a physical operating presence in the United States.

The Act also exempts nonprofits and certain heavily regulated businesses like publicly traded companies, banks, insurance companies, and public utility companies. The rationale behind these industry-specific exemptions is that the federal government already collects detailed ownership information for these industries. Again, despite the twenty-three exemptions, business owners should operate under the assumption that the Act applies to their businesses, unless advised otherwise by their attorney.

What type of information must be reported?

If the Act applies to a business, the business must report to FinCEN its 1) full legal name; 2) any trade names it uses; 3) its current registered address; 4) the jurisdiction in which it operates; and 5) its employer identification number (EIN).

The Act also requires that a business report identifying information for every “beneficial owner” of the business. A beneficial owner is an individual who, directly or indirectly, through any contract, arrangement, understanding, relationship, or otherwise (another broad brush stroke) 1) exercises “substantial control” over the business; 2) owns or controls at least 25% of the ownership interests in the business; or 3) receives “substantial economic benefit” from the assets of the business. FinCEN’s final rule better defines “substantial control” and

“substantial economic benefit,” though the contours of these terms are beyond the scope of this article. The Act exempts certain individuals from the beneficial ownership reporting requirements, including minors and those who receive a business interest solely through inheritance.

Every beneficial owner of a business must report 1) their full legal name; 2) their date of birth; 3) their residential address; and 4) a photocopy of a driver’s license, passport, or other state-issued identifying document. These requirements—namely requirement 4—will impose practical concerns for all businesses covered by the Act. Perhaps most practically concerning, if any of this information changes for a beneficial owner of a business, the business must report the updated information within 30 days of the change.

When do the reporting requirements begin?

The reporting requirements begin on January 1, 2024.

All businesses created after January 1, 2024, but before January 1, 2025 must submit the required information within 90 days after receiving notice of their creation from the Secretary of State or the Secretary of State providing public notice of their creation, whichever is earlier. All businesses created on or after January 1, 2025 will have only 30 days from actual or public notice to submit the required information.

For existing businesses, those created before January 1, 2024, they will have until January 1, 2025, to submit the

required information. Again, all active businesses are required to comply with the Act regardless of if they were formed prior to the Act. What are the penalties for noncompliance?

Certain willful violations of the Act may result in civil and criminal penalties, including civil fines of $500/day, criminal fines of up to $250,000, and up to (5) years in prison. The Act includes a 90-day safe harbor to make corrections to good faith inaccuracies.

How should businesses comply?

If they have not already done so, all (current or future) businesses should create an internal record of beneficial owners and compile the information and documents required by the Act. Once the information is ready, it may be submitted electronically through FinCEN’s secure filing system. Please also remember that this reporting requirement is ongoing. If there is ever any change in ownership of the business required information must be updated within 30 days. Visit www.fincen. gov/boi for additional information, current updates, and to access FinCEN’s filing system.

Welcome to February. Hopefully we will leave behind the extreme cold in January and better weather days are ahead. Another thing to leave behind is an incomplete business plan. If you have not written your business plan Jason Willet for 2024, it is not too Remodelers Council late to do so. Every Chairperson business owner should have a plan which includes goals, a budget and a vision for their company.

This is what holds you, the business owner, accountable for achieving those goals. If you have never written a business plan before, start simple as it does not have to be an extensive document.

Our biggest event of the year, the Home & Garden Show, is February 9-11. This is a great opportunity to promote your company, meet new people and support the Lincoln community. The Remodelers Council's 22nd Annual Food Bank House will be collecting non-perishable food items for the Food Bank of Lincoln. Attendees receive $2 off admission if they bring a non-perishable food item. Help us get this message out by sharing on social media and reminding any friends, family or customers who are attending the show. Since 2003, we have collected over 89,600 lbs. of food for the Food Bank. Let’s keep raising that number!

Should a non-member wish to participate, they must submit their application for membership in time to be approved and become a member prior to submission of contract to enter the Tour of Remodeled Homes. Participation is open to all Remodelers Council members in good standing.

II. I agree to submit all of the following additional materials

by Friday, March 1, 2024: A. Information sheet about the project giving a description and a map showing the location of the entry.

B. Photo or drawing of the completed project.

III. The project must showcase a change in shape, form or function of the residence, and not have been shown to the public before.

IV. The purpose of the Tour of Remodeled Homes is to increase exposure of our participating members; to promote a more professional image and increase our credibility; to benefit the public by stimulating an interest in remodeling existing homes; and to showcase our quality workmanship and new products while increasing the membership of the Remodelers Council.

V. I agree to staff the home with at least two people: one person in each of the remodeled areas and one at the main entrance to take tickets the full hours of the Tour of Remodeled Homes.

VI. I agree not to open the entered home to the public prior to the Tour of Remodeled Homes.

VII. I agree that the Remodelers Council and/or the Home Builders Association of Lincoln will not be held liable for any loss due to theft, vandalism or personal injury.

VIII. This contract is null and void unless at least ten projects are entered by March 1, 2024.
