In a unilateral move, Board Chair, Pat Traynor, decided to only fill one of two vacancies on the HBTS Dowgwillo board at an emergency board member meeting on March 26. “We will replace the other position before July. We are going Clancy to seat one person tonight,”said Traynor at the beginning of the meeting. Board member Jean Tashlik asked why both positions were not being replaced at the meeting. She had made a motion earlier to fill the two board vacancies with Ed Dowgwillo and Carrie Clancy, seconded by board member Mike Hart.“Ma’am, you are not going to dictate who takes the job,” said Traynor.“Neither are you,” replied Tashlik. The dialogue went back and forth between the two, with Traynor accusing Tashlik of being rude. “You are rude and that is why Beth quit,” replied Tashlik referencing the resignation of Beth Walter. Traynor went on to say that if Tashlik quit – he would appreciate it. She assured him that was not going to happen and he replied,“That is too bad.” Tashlik called for the question on the motion and it passed two to one – with Traynor being the dissenting vote. Traynor commented that he didn’t feel like the appointment of the new board members had been done in a“democratic fashion”and he didn’t approve of it but,“it is what it is.” After Dowgwillo and Clancy were seated, the first meeting was adjourned and a second organizational meeting was opened. Dowgwillo was appointed as secretary and Clancy was appointed as External Vice President.

ARTICLE IV / OFFICERS

Section 1. Officers. The executive officers of the Association shall be a President, who shall be a Director, a Vice President, a Treasurer and a Secretary all of whom shall be elected annually by the Board of Directors, and such Assistant Secretaries and Assistant Treasurers as the Board of Directors may from time to time determine upon. Any person may hold two (2) or more offices except that the same person shall not hold the office of President and Vice President, provided, however, that the President shall not also be the Secretary or an Assistant HBTS Consolidated Covenants Page 31 of 33 as of: Apr 14, 2008 Secretary. Any officer may be removed peremptorily by a vote of two-thirds (2/3) of the Directors present at any duly constituted meeting. Section 2. President. The President shall be the chief executive officer of the Association. He shall have all the powers and duties usually vested in the office of president of an association, including but not limited to the power to appoint committees from among the members from time to time, as he, in his discretion, may determine appropriate to assist in the conduct of the affairs of the Association. Section 3. Vice President. The Vice President on the absence or disability of the President shall exercise the powers and perform the duties of the President. He shall also assist the President generally and exercise such other powers and perform such other duties as shall be prescribed be the Directors. Section 4. Secretary. The Secretary shall keep the minutes of all proceedings of the Directors and the members. He shall attend to the giving and serving of all notices to the members and Directors and other notices required by law. He shall have custody of the seal of the Association and affix it to instruments requiring a seal when duly signed. He shall keep record of the Association, except those of the Treasurer, and shall perform all other duties incident to the office of secretary of an association and as may be required by the Directors or the President. The Assistant Secretary, if any, shall perform the duties of the Secretary when the Secretary is absent, and shall otherwise assist the Secretary. Section 5. Treasurer. The Treasurer shall have custody of all property of the Association, including funds, securities and evidences of indebtedness. He shall keep the books of the Association in accordance with good accounting practices; and he shall perform all other duties incident to the office of Treasurer. The Assistant Treasurer, if any, shall perform the duties of the Treasurer when Treasurer is absent, and shall otherwise assist the Treasurer.

“With the recent, unfortunate, circumstances which resulted in the resignations of both Ms. Walter and Mr. Ramsey, I look forward to providing a modicum of continuity and stability as we approach the upcoming elections." One goal he would like to accomplish is to continue the work on remolding the covenants into a document that more accurately reflects the current needs of the community. “I understand that some residents were adversely impacted by recent Board decisions regarding variances and I wish to address why we need variances in the first place. Rules are very important to help maintain the good order of the community but all too often in the past our application of the rules have, rightly or wrongly, changed with the wind. Obviously our covenants do not accommodate our contemporary lives and we should work together to make smart amendments." Dowgwillo served as a command pilot in the Air Force and retired after 20 years. He currently works in the commercial aviation and defense contracting communities. Dowgwillo said the main reason he likes living in Holley by the Sea is reinforced every time he travels away from the area for work or pleasure. “My blood pressure really goes back down when I come home. I love living near the coast and the low-key lifestyle,” said Dowgwillo.

Carrie Clancy is five-year resident of HBTS and submitted her “Board of Directors Candidate Application” in February. She is an active tennis player at Holley By the Sea and served on the Tennis Committee which assisted in the hiring of the current tennis pro. Clancy has contributed to several board meetings in recent months. Clancy also worked with former board member, Beth Walters on the draft proposals for the "Guest Policy" and “Usage Policy.” Clancy feels that the covenants are outdated and were not written with enough flexibility to meet the needs of our association. “Creating new rules and policies within the covenants is and will continue to be a challenge,” said Clancy on her application to be a board member. Clancy feels that she offers an ability to see multiple perspectives on an issue and said she strives to understand all the facets of an issue before forming an opinion. Clancy received three degrees from the University of Nebraska-Lincoln. She received Bachelor of Arts degrees in Speech-Language Pathology/Audiology and in Music Performance as well as a Master of Music.

Walter said Traynor was also sending draft documents to the association’s attorney for a legal opinion before they had been finalized by the board racking

up unnecessary legal fees. “We have wasted a lot of money on legal fees because of Pat sending things to legal that don’t need to be,”added Walter.“I’ve told Pat several times, we are a board that works together. Pat thinks that just because he is the president that what he says

goes. I had to tell him our decisions are board decisions, not his decision. He didn’t like that.” Traynor was contacted and he expressed that Beth was a hard worker,“I’m sorry she resigned, what else can I say? I didn’t want her to resign.” When asked if he felt that the

board members worked for him he said,“According to the covenants, the board members work for me.” Traynor felt that the draft usage policy was “disgusting” in how it categorized children. “Children are children, I don’t care if they are adopted or foster children.”

Traynor attributes his anger over the wording of the draft usage policy to his outburst at the board meeting March 11. Dan Ramsey has had health issues since he was elected to the board and decided to quit for health reasons in March.

Beth Walter’s contributions remembered I have had the privilege of working with Beth on a committee for HBTS. I have always found her to be prompt, responsible, and fair. She is very knowledgeable (the most knowledgeable of anyone I have met thus far) regarding all of the restrictions and covenants for HBTS. She refers to them regularly and is bythe-book when making decisions for the community. She does this because she believes this is fair and creates equal opportunities for everyone in the community to be heard and have their issues resolved. Beth Walters is always the first to volunteer to work on a project- you don't even have to ask, she volunteers. She has put in countless hours of her own time to research issues, draw up drafts, answer questions, and participate in meetings just to try to make improvements in our community. She is an educated, well-spoken, highly informed, equitable, and notably dedicated member of the Board of HBTS and it is an egregious loss for everyone in the community if she remains off the Board of Directors. To allow belligerence to deter anyone worthy from serving on the Board is an injustice to our neighborhood. The board

should stand up for our community, speak in respectful voices, and be able to make equitable and informed decisions without the fear of condemnation or abusive language. I appreciate the work the volunteers put into our community, and without Beth Walters' proficiency, insight, and experience, the community will be left floundering for reasonable leadership to get things done and maintain the community's standards. I hope this matter can be resolved and Beth Walters can be reinstated to a fair, earnest board, and respectful meeting environments will be maintained for the benefit of everyone in our association. Sharon M. My husband, Ray, and I first met Beth in July of 2012 when we brought something to the ACC for review. At that meeting we were asked if we would consider serving on the ACC for a 2 year term. We agreed to do this and we were approved by the Board at their next scheduled meeting. Beth served as our instructor and mentor and sometimes just a sounding board. We became friends, not just because of the work we were doing for the betterment of

HBTS but because she is a genuine friend when you need help. Because of Beth, the ACC was able to establish a sign policy and a comprehensive parking policy. I worked closely with Beth on the parking policy and I can assure you that Beth had only the interests of the homeowners in mind in everything that was included in that policy. During the time Beth was serving as the Chairperson of the ACC she was elected to the Board. All the ACC members wanted her to continue as our Chairperson because of her extensive knowledge of the covenants and by-laws. There came a time shortly after her election to the Board that she told the ACC that she was getting flack from the Board about voting on the ACC and the Board so she only presided over our meetings, gave comments when asked and did not vote on any issues. Beth took her position on the Board with the responsibility that she gave any enterprise with HBTS. Whenever we came into the building to review and sign applications she was ALWAYS there working on making HBTS a better place for us all. We came to the Board meet-

ing of March 11, 2014 because there were 2 minor changes to the Parking Policy.The ACC also wanted to discontinue having the contractor sign the Application for improvements to an existing dwelling since we would only hold the homeowner responsible in the event something was not in accordance with the original application. I wrote the language change in the parking policy (the wording was taken directly from the covenants and bylaws) and another did the diagrams. I wanted to be there to answer any questions about these items so that Beth would not be put in the position of defending these changes alone. After Beth resigned, I was appalled at the cheers from some of the homeowners. They had no idea of the work Beth did for them. It seems to me that instead of rewarding someone who steps up to take the responsibility, as Beth did, all she got was grief. Beth was not serving on the Board and ACC selfishly but selflessly. I simply cannot understand the obstructionist mentality of some people. It might take some time but we can only hope that those people who derided Beth will see the error of their ways, but then again

I doubt it. Daisy Crepeau, HBTS ACC Volunteer Member I’ve been on and off the Architectural Control Committee (ACC) for four years and I’ve known Beth for Beth Walters for that period of time. I’ve never met anyone more conscientious and devoted in all of HBTS. She has contributed sometimes 40 hours a week to HBTS and hasn’t been paid one penny. Her heart has always been to do what is right for HBTS. Beth is extremely conscious. When presented with a problem or issue she looks at every angle and listens to be both sides of the story. She is very businesslike but objective from every angle. I’ve been to board meetings – and seen how Pat Traynor has treated her. It is embarrassing as far as I’m concerned. If he has issues with her – he should talk to her in private. It is despicable – I don’t know what else to say about it. Beth has endured a lot from Pat. She had been friends with Dan Ramsey and Pat Traynor for a long time. I suppose they thought that she would go along with them regardless of the issue. They found out quickly that she was and inde-

pendent thinker. As a board member, she would vote on her knowledge of the covenants and the rules and regulations. Pat despises her because she won’t bow down to him. A lot of people are concerned that she left because she really has a handle on everything. When I left the ACC and came back a year later, I was amazed at what she had accomplished and her organizational policies. She was operating as the chair of the ACC and a board member – but a non-voting board member when it came to ACC matters. I am very concerned about this board. I don’t think a lot is getting done. Pat Traynor isn’t aware of the covenants or Roberts Rules of Order and he is out of control. Beth has been such a great asset and for her to leave is not going to help things at HBTS. Springtime is finally here

By Shelby Smithey HBTSnews.com Like many Holley by the Sea residents, Danny and April Salazar are glad that the unusually cold winter is over and springtime is finally here. The freezing temperatures took a toll on the Salazars’yard, forcing them to replace many plants that froze over after the winter storm in January.

“We lost our Queen palms and all the flowers in our flower beds froze,”Danny said.“But we recently replanted what we lost.” Danny and April, along with 10-year-old daughter Madison and 7-year-old McKenzie moved into their Holley by the Sea home at 7434 Treasure Street three years ago shortly after getting married.

“April has lived in the Navarre area for about 15 years,”Danny said.“She works as a property manager and I’m in the Air Force.” When the Salazars first bought the house, Danny said that he pulled more than 150 plants and shrubs that had been there from the previous owners. Built in 2005, the Salazars preferred a simpler landscaping theme for the

front yard of the home instead of the cluttered shrubbery when first moving in. “It was very busy,”April said.“We pulled some of the bushes that were here out because they were attracting spiders, snakes and frogs.” In the center of the Salazars’ front yard sits three large Washingtonia palms, which Danny said were there when the family moved in.

“The palms took it pretty harshly too this winter, but the new shoots should be growing back soon,”Danny said. Lush rosemary surrounding windmill palms accent the front yard as well. In the backyard, Danny has built a playhouse for his daughters. “We just got approved to build a screened-in patio in the backyard so we’ll be starting that process hopefully

very soon,”Danny said.“We’re also putting an arbor up and my wife wants to do a fire pit and barbecue grill so I’m excited for that.” Eventually, the Salazars want to add a swimming pool to complete their home, which they say they plan to stay in for years to come. “We want to see Madison and McKenzie grow up here,” Danny said.

Staff Reports HBTSnews.com There is a missing HBTS deposit totally $2700 of which $1200 is in cash.“I can’t go into too much detail because we are investigating the situation, said Alex Fambri, General Manager at the March 26 board meeting. The owners of the checks have been contacted because the account department had kept copies of the checks that were in the missing deposit.

Reminder Just a reminder that the Holley by the Sea Storm Water Task Force is still collecting drainage issue information. This is being done to document concerns within Holley by the Sea that will be provided to Santa Rosa County. The group will attend county meetings and act as a liaison group This will be an on-going effort as the County Engineers work on a solution. Richard Harr was appointed chairman. You can email the group SWTF@holleybythesea.org . In the future we hope to have updates from the County’s efforts to report.

The Holley-Navarre Water System voted last Tuesday to make a $90,000 offer on a piece of land located on the Hidden Creek golf course, where Boo Weekley’s Charity Golf Tournament and Concert is held annually. For the past three years, the lot located near Hidden Creek’s parking lot has been donated by property owner John Hamburg of Navarre. “Hamburg wrote to Boo Fest organizer Toggy Pace March 13 and said that he had received a letter from Navarre real estate agent Carol Brown indicating that she had a prospective buyer for his Pro Am lot,”said Hidden Creek general manager Dave Taylor. Taylor said that Hamburg turned down the offer of $75,000, but that he said it is possible that a new offer might come in at $85,000 which he might accept. “If he accepts any offer, we lose the lot and that event for good,”Taylor said. “”That would be a hard hit for us. Hamburg holds all the cards for that event. I think our best course of

lor get a contract with Weekley, securing Boo Fest for a minimum of 10 years. “It’s a no brainer to buy it,”Goulet said.“It’s worth the money in the long run.” A motion to authorize Hidden Creek to make an offer of $90,000 for the lot unanimously passed.

The TripAdvisor® listing is the second recognition for Navarre Beach in the past two months. Conde’Nast Traveler listed Navarre Beach as one of Florida’s top white sand beaches in its February issue. Travelers’Choice Beaches Award-winners were determined based on the quality

and quantity of traveler reviews and ratings for beaches on TripAdvisor® gathered over a 12-month period. Based on 2013 data, TripAdvisor® branded sites reach more than 260 million unique visitors each month. Two nearby beaches also made the TripAdvisor® list with Pensacola Beach ranked at No. 19 and Panama City Beach at No. 20. ‘City of Navarre’ budget shows surplus By Bill Arnett HBTSnews.com What a difference two weeks make. Nearly twice as many people attended the March 12 Citizens to Incor- Gallup porate Navarre meeting as the one held Feb. 26.Additionally, the most recent meeting included lively discussion about the benefits of incorporation and the timing of the current effort. With about half of the 50 people not having attended the Feb. 26 meeting, Citizens to Incorporate Navarre member Laurie Gallup presented a proposed estimated annual budget for the City of Navarre.The budget showed an annual surplus of more than $990,000 with no additional taxes being levied. Navarre resident Ken Garner, who attended the Feb. 26

meeting, suggested the budget didn’t address issues currently faced by the community including the water system and traffic congestion on Highway 98. “That’s where the surplus comes in. When the budget was developed, we were conservative with the revenue and overestimated the expenses,” Gallup said.“As an unincorporated area we also miss out on funding opportunities and grants that are only available to cities.” Gallup said Severn Trent Management Services developed the budget and the local group worked with the Florida Department of Revenue and Florida League of Cities to identify revenue sources. “What’s it going to cost and what is it going to do for us are the two questions people want answered,”said local resident Lauretta Aiken. Ronnie Ard grew up in Munson but now lives in Navarre.“We need to define

a lot more weight than ours did because we were simply volunteers.” The other point of contention at the meeting centered on the timing of the effort and the process the group was following. “What’s the rush?”asked Garner. “This just didn’t happen overnight,”Gallup said.“This effort has been worked on for years including the feasibility study paid for by the chamber and the county in 2006.” “I’m less concerned about the timeline than I am the process,”Garner said.“Government Services Group in the 2006 study recommended getting out all the information, so residents could make an informed decision.” “We’ve done our research

and that’s what we are trying to do,”Gallup replied. Ard agreed that now is the time to act.“I wasn’t really thinking about this a few years ago, but I see the need now.” The group is focused on collecting about 2,800 signatures in an effort to convince the county commissioners to place a nonbinding straw poll on the Aug. 26 primary election ballot to gauge interest about Navarre becoming a city. “We need the results of the straw poll to show Representative (Doug) Broxson enough support exists for him to introduce legislation next session to allow residents to vote on incorporation in 2015,”Gallup said. Fish Fry and Yard Sale What a way to bring in the spring with a Fish Fry and Yard Sale. The Social Committee combined the events in an effort to encourage the Members of Holley by the Sea and their Guests to have a wonderful time. What could be more fun than bargain hunting or selling while visiting with neighbors and then eating? The Fish Fry and Yard Sale were a big hit. The recently elected Chairman, Earl Dean was quick to share that he was inspired to be a member of the Social Committee by Betty Griffin and Betsy Traynor, who previously served on the committee. Earl is working to attract strong community participation and offer many events. The Holley by the Sea Social Committee has increased its membership by 100% in one month. To join the fun contact Earl Dean or signup at the front desk of the Recreation Center for Social Committee membership. The Social Committee only used 25% of its members to put on the events. Its been standing room only so far. Henry Bonar recently competed in the USTA over 40 tournament in pensacola held at Roger Scott a couple of weeks ago. Youth Department News Summer Camp registration is now open. Beat the crowds, early-bird registration $30 per child through 4/30; starting 5/1 registration is $35 per child. Full time rate is $95/week/child. MondayWednesday-Friday is $78 per week/child, Tuesday-Thursday is $52 per week/child, and daily fees are $26 * must attend a minimum of 2 days per week tennis lessons and swim lessons are included in the weekly activities. Parents Night Out: April 4, May 9, and May 30 are the final dates for the school year. Cost is $15 per child and includes dinner, swimming, activities, and a movie. See front desk for sign-up.
