I

n writing circles, conventional wisdom holds that authors (and would-be authors) should write about what they know. Laura Ingalls Wilder, known for her series of novels chronicling her pioneering childhood, did just that.

Before she and her family set up residence in "the little house on the prairie," they lived in "the little house in the big woods" and "on the banks of Plum Creek." The prairie house was in the Dakota Territories, while the big woods house was in a Minnesota forest and their house on Plum Creek was a dugout. Imagine for just a second surviving a winter in any of those environments without electricity, constant heat, high-tech fabrics, indoor plumbing, or food on demand. Then imagine emerging from the bone-chilling darkness on the first truly warm day of spring. Can you feel the sun on your face and the breeze riffling your hair? In that context, it's no wonder, she wrote, "Some old-fashioned things like fresh air and sunshine are hard to beat." A lot of things have changed since those days. First, there are a lot more Americans now and we've moved from the big woods, expansive prairies and wooded creek banks to sprawling cities. For the most part, we've managed to insulate ourselves against many of the direct impacts of weather. While we stay busy patting ourselves on the back for "out engineering" nature, our concrete cocooning comes at a cost. According to those scientists who study our physical and mental well-being, we're sacrificing both on the altars of technology.

One article dubbed time spent outdoors as "balm for our busy brains." The theories as to why being outside improves humans cognitive abilities range include the biophilia hypothesis which argues that since our ancestors evolved in wild settings and relied on nature to survive that we have an innate drive to connect with nature, as well as the stress reduction hypothesis that proposes that spending time in nature triggers a physiological response that lowers stress levels. Researchers, working at the University of Washington, found evidence that contact with nature is "associated with increases in happiness, subjective well-being, positive affect, positive social interactions, and a sense of meaning and purpose in life, as well as decreases in mental distress." While the scientists have yet to definitively determine just how much time in nature is enough, there's been some work in England that indicates it doesn't take a huge amount to spur positive results. Based on a study of 20,000 adults, the researchers found that people, even those with chronic illnesses, who had spent at least two hours outside in the previous week, reported significantly greater health and well-being. I'm not a scientist, but I am a land lover. I know that a few hours spent sitting in a deer blind or casting a fly rod is better than any prescription. A walk in the woods or a kayak trip down a quiet stream soothes my soul. Family and friends celebrating in the cathedral of nature lifts my spirits and recharges my body. Look through our pages. or Bernard Uechtritz, his notable Texas breakout in ranch sales consisted of the intricate, complicated Camp Cooley sale of 2011, and equally so, the W.T. Waggoner Ranch. Those transactions are recorded in the annals of history as The Land Report’s inaugural “Deal of the Year” for Camp Cooley and “Deal of the Century” for the Waggoner, among other accolades from media. But decades earlier, successful and difficult sales included California’s infamous Calabasas Menendez Mansion in 1995. Scores of others, public and non-public, national and international, would follow.

He’s a broker both for and of brokers. They also benefit from his black book, a global high-level network, and the hard-earned reputation as the “go-to-guy.” Identifying the right steward, from a shallow pool of prospects, is the goal of any sale, according to Uechtritz. This was particularly true in the case of the W.T. Waggoner ranch, continuing its historic legacy and reach across six counties. But it is also true of the many ranches that followed, including the currently listed Turkey Track Ranch with its characteristics and family legacy similar to that of the Waggoner’s. “You’re selling one family’s greatest treasure or their greatest asset, which is a serious responsibility of significant consequence,” Uechtritz says.

“Sold” properties have a life of their own. They also represent the innerworkings of a brokerage firm’s approach and processes that are the art and science of dealmaking. The art of the complex deal often involves bringing many parties together, such as heirs and their representatives, and potentially those in the judiciary. Landing on the right strategy, or approach, for a property is part creative, part analytics. However, the craftwork of these efforts is an evolution of deft, learned marketing experience. “All of the preparation in the world is important, but it’s nuance, communications, bedside manner, conversation, and problem-solving that are similar for every deal but also completely different for every deal,” Uechtritz explains. These intangible elements add value to the deal in both measurable and immeasurable ways. The conventional broker practice of pricing via comparable market analysis is important. But to Uechtritz, it’s a mundane part of the puzzle, neither entirely, nor singularly sufficient. “I have to both create and attain the blue sky,” he adds. In 2021, a publicly-traded company interviewed three leading brokerages for a valuation of a very large and complex ranch holding. Two of the three offered price predictions from the low- to mid-five figures, using comparable value analysis. One suggested carving the property into ranchettes. Given relatively extraordinary factors, Uechtritz guesstimated a high-five or low-six figure price, derived from instinct and practice. When Icon Global was selected, with an additional requirement of non-public marketing, a sale was concluded, quickly and quietly, and well north of everyone’s predictions. “I operate in a high-risk, high-reward segment of the market,” Uechtritz emphasizes. “It’s high altitude, low oxygen—and sometimes, I must go where even the angels fear to tread.”

Creative Meets Analytics Before the Waggoner ranch could even begin to be sold, Uechtritz’s first job was to act as a go-between among the factions that had been in litigation for 25 years. Navigating the parties involved, winning over the receiver, and working with the families and the many lawyers in these important and personal transactions is just one element of the Icon Global approach. Learning how to do that skillfully and successfully stems from repetition and practice. It then forms a deep bench of expertise. Led by Australian-born Bernard (Bernie) Uechtritz, Icon Global is known for its distinctive ranch sales capabilities. From his thirty-year history of selling and marketing unique, one-off properties, a litany of prolific deals and accomplishments forms Icon Global’s organizational culture. As the lead broker credited with the successful sale of the W.T. Waggoner ranch, other complex and storied deals followed. Notably, they are colored by his full repertoire of creative marketing tactics. For Waggoner, his unique global “call for offers”

process and marketing strategy, approved by Judge Dan Mike Byrd, led to his selection as the lead broker. A well-publicized stalking horse bid approach was used for the KC7 Ranch. This list goes on. Speaking to the art of the deal, Uechtritz’s signature types of properties allow for a particular style of dealcraft. He explains, “My craft is to maximize the sales price for the seller, and simultaneously, maximize the opportunity set for the incoming buyer.” Both the Waggoner and Sandow Lakes Ranch illustrate the approach. While ranch properties have been his calling card of late, the strategic “Seal Team Six” factor resonates, beyond the ranch. For Icon Global, the science of marketing a property includes certain processes. Many lack this discipline, instead focusing on listing quantity rather than quality. However, the very nature of the product and the limited numbers of highlevel prospects dictate this approach. The sales effort requires a strategic closed-end process

with a definitive beginning and end, controlling all of the elements of the sales and marketing program. It is a practiced, studied and tested methodology. Control is an essential element as well and intrinsic to the process, notes Uechtritz. The artform of the deal is the storytelling aspect, pivoting when plans need to adapt, churning the market—all contributing to the finish line. A state-of-the-art marketing campaign that utilizes various forms of media, social media analytics, and video is just one feature along the journey. Here though, the qualities of the property come to life. In a latest listing, the Turkey Track Ranch is revealed as a natural marvel and oasis in the Texas Panhandle, with its 80,000 acres under one fence. Backed up with aerial videography—that went viral— panning across the landscape, its expansive and unique combination of surface water and springs are considered ‘rare’ in fact, by acclaimed ranch photographer Wyman Meinzer. Confidentiality Maintains Integrity Importantly, though, finding and incorporating the appropriate buyer, the next steward, is a vetting process. There are first- and last-mile conditions for screening buyers before they ever have access to information, the data room, much less the property. Also inherent in the process is strict confidentiality. Uechtritz explains, “I operate in a virtual Fort Knox of confidentiality. It is a core tenet in all of the property sales in which I am involved.” Confidentiality serves the best interests of everyone in the process. Ultimately, its purpose is to protect the seller, the buyer, and the integrity of the deal. In the Waggoner sale—only the night before—when the four finalists were to present and bid the next day in front of the

families, did anyone on the selling side learn the identity of the finalist and ultimate winning bidder Stan Kroenke. No one knew. Not the families, not the receiver, not even Sam Middleton, Uechtritz’s sales partner. “Kroenke’s team and I operated in a complete vault of secrecy for almost a year prior,” Uechtritz emphasized. According to Uechtritz, the international franchise brokerage firm and ranch division with whom he was once associated was particularly incapable of confidentiality. Further, “they really had no active role per se in most aspects of the deal or its success; they were last to know and only after the news broke publicly,” he says. “They did, however, jump on the media bandwagon, much to the chagrin of those actively involved.” This strict unbreakable-vow code operated again in the sale of Barefoot Ranch. Originating from a locally-based broker, the seller requested Icon Global’s participation as it required a sophisticated skill set and global outreach. More recently, with the Alcoa-Sandow Lakes sale, the referring brokers who operated within a multinational industrial sales firm only learned of the close after receiving their six-plus figure referral fee commission check, which Uechtritz had promised over a handshake six years earlier. That team had written off the Sandow deal years ago to an impossible, ‘never-going-to-happen’ category. They had long forgotten about the fee agreement. Uechtritz did not—paying them first. From the broker team lead, he received an emotional text of gratitude in response to their surprise check. The broker respectfully acknowledged Uechtritz’s gesture, expressing that ‘he loved a handshake deal.’ Importantly, shrouding these types of transactions with secrecy creates trust and maintains the integrity of the overall process. “These factors—secrecy, trust, and integrity—are vital imperatives in deals at the level in which I operate,” Uechtritz unapologetically states.

says Uechtritz. “It’s about the intangible nuances, as well as the many psychological factors that arise as seller, potential buyer, and the details of property and transaction converge.” According to Glen Johnson, the attorney for the majority-ownership side of the Waggoner estate, Uechtritz’s ability to motivate himself and others was key in the realization of the final price of the Waggoner, listed at $725 million. The sale of the century, thus far, was a complex global marketing effort. But for Uechtritz, part of the complexity stemmed from navigating the many personalities involved and roughly two dozen lawyers at the close. Some deals are more complicated with people factors, others because of the complexity of the property’s assets, as in the case of the Alcoa-Sandow Lakes Ranch deal. By comparison, roughly 10,000 documents were part of the Waggoner data room, while more than a hundred thousand were scanned over Alcoa’s six-year sales life, including roughly 18,000 documents with the buyers closing file. In late 2015, near the finish line of the Waggoner sale, the global industrial firm Alcoa was referred to Icon Global. The 31,000 acres of Texas farmland and industrial assets, including one of the world’s largest decommissioned aluminum smelters, were ultimately sold for $240 million on November 1, 2021. Aside from the redevelopment of the property, with its massive water resources, adding tenants and revenue streams was part of the process to derive and achieve the final price tag. The reclaimed mine and industrial site, now known and re-branded by Uechtritz as Sandow Lakes Ranch in 2016, includes significantly improved agricultural land, water and solar resources, along with intermodal, technology, and other industrial capabilities. “After a six-yearlong marketing odyssey, maintaining momentum and the value proposition of the project was a huge challenge,” offers Uechtritz. Among one was an anchor tenant, a power provider, that went into bankruptcy, creating a two-year marketing standstill.

What is old is new, for example, as in the wetlands and stream restoration mitigation banking initiative posed by Uechtritz for the Camp Cooley Ranch sale of the early 2010s. “At the time, blank stares, even laughter came from brokers and prospects,” he added. “Now this is a mainstream, accepted practice and a valueadd for well-located ranches.” Even the water resources of Sandow Lakes became a major factor in the siting decision for Samsung’s $17 billion chip manufacturing facility. In the future, more innovations in sustainable development will follow. “Natural capital,” the concept of natural resources being an asset, is in full bloom.

With an ever-changing landscape of market conditions, new categories of buyers, and ways to market properties, this super-asset class is increasingly receiving national recognition. he Red Bridge Ranch Estate is an outstanding 35± acre luxury estate nestled in the Animas Valley near the quintessential mountain town of Durango, Colorado. The area is steeped in history from ancestors of the Ancestral Puebloans, the Utes, and the Spanish conquistadors. The 19th century brought ranching and agriculture back along with modern movie makings, such as the 1969 western classic “Butch Cassidy and the Sundance Kid”. The owners paid tribute to the valley’s history in planning and building the Red Bridge Ranch Estate.

No expense was spared in the design of the estate and its grounds. A powerful team of designers took their individual specialties to the limit. The home has been featured in Luxe Interior Design, praising its ability to merge outdoor and indoor living, quoting, “Colorado home puts a vivid spin on Western Style”.

Landscape designer Lorain McGlothlin, in turn, built walkways that encircle the house through stacked-stone beds planted with deer and elk resistant perennials such as lavender and coneflower, mixed with shrubs and aspen trees.

Architect Adam Garner described the home this way: “A 40-acre family compound in the Animas River Valley, this sprawling mountain modern lodge is located along the edge of a Creek. Designed for indoor-outdoor living, the home has grand entertaining spaces, multiple access points to the many covered porches and terraces. The great central room has high vaulted ceilings with tall windows and a locally sourced stone fireplace. A loft overlooks this space and serves as the entrance to three upperfloor en-suite bedrooms with elevator access. Although grand in scale, there are also many smaller, intimate spaces to feel at home, a cozy den and lounge area, and an informal breakfast nook adjacent to the kitchen. The master suite is a secluded retreat on the main floor with its covered porch and lavish master spa with mountains’ views. The Saloon has a vaulted ceiling, a river rock fireplace, and an old west-style bar. A selfcontained caretaker’s cottage is located over the four-car garage and has convenient, secure access to the main house through the service

co-founded the company along with its parent company Western Heritage Consulting & Engineering. As a natural resource construction company, WURX is already a rarity, but the power of the Envision + Design + Build model makes it one-ofa-kind. The construction team’s experience helps ensure that the less-than-sexy, but crucial aspects of a project are not overlooked. Take ranch roads for instance. According to Rikki, roads may be the most overlooked improvement on a property, but they are one of most important components.

When considering heavy construction, creativity doesn’t always come to mind, but it should. “Our creativity is how WURX solves your problems,” Rikki said. “We pride ourselves on pragmatic solutions that combine the most current technology and techniques with triedand-true methods.” While the team solves today’s problems, they never lose sight of the future. Because water is a key component of any natural resource construction project, it provides a prime example of the importance of a long-range vision. “With changing weather patterns, especially in the West, water conservation is crucial,” Rikki said. “The operative question on any project, whether it’s a vineyard, a municipal park, a golf course, or an irrigated farm, is: How can we do what our clients want using the least amount of water possible and maximizing conservation? We look beyond the current situation to ensure that we’re

Recently, the two teams worked together to demolish and rebuild two 100-year-old dams in Wyoming simultaneously. To further complicate the project, both dams sat at an elevation of 10,000 feet, meaning the crews had to get the projects done in a narrow window of time before winter set in and stopped construction. completed, but according to the regulatory agency in charge “approved in record time because of the amount of detail and accurate calculations in the design.” “Again—because it’s worth saying twice—we bring creativity to everything we do,” Rikki said. “With what we’ve seen, what we’ve built and our collective experience on the land, nothing scares us. Rarely do we say ‘can’t because we’re just gritty, problem-solvers.”

While the teams will use trusted local contractors when it makes sense, WURX is primarily self-performing. A company foreman will always be on site managing the project “Good intentions don’t ensure good results,” Rikki said. “If you don’t have qualified personnel on site who understand the ramifications of all project phases, it’s possible to do more harm than good to the habitat, the water or the other natural resources. Fertilizer, INPUT COSTS & REAL ESTATE

M

arket trends in farming and ranching serve as a fundamental basis of knowledge feeding or fertilizing, if you will, several of Montana’s industries. As a certified crop advisor, agronomist, and a real estate broker for farms and ranches, I have been keeping tabs on the surging fertilizer costs causing strain on farmers, inflating prices of groceries and food, and pushing real estate prices for ag land higher than they have been for years.

Feeling the Pinch Farmers feel the strain from rising fertilizer costs and grapple with cutting back application and cutting input costs. What has contributed to this spike in fertilizer prices? Extreme weather has been a major contributing factor. Hurricane Ida blew through and caused production plants in the US to shut down. The unruly weather prevented the product from being moved in or out of the gulf. Other components include sanctions and rising energy costs in Europe and China. Natural gas is the main feedstock for most nitrogen fertilizers, and because of skyrocketing natural gas prices, companies have had to close or cut significant rates of production. Simultaneously, prices for corn and soybeans are high right now generating an eagerness among farmers to take advantage of those prices. However, corn is expensive to raise and requires high input costs. Thus, demand for fertilizer is apparent as farmers look to increase yields. Fertilizer cost is one of the biggest drivers behind global food inflation right now. As farmers contend with high input costs, they can cut back fertilizer application or shift to cheaper crops that require fewer input costs such as soybeans, lentils, and peas. Switching from raising corn crops or not planting as many acres means less corn that is widely used in foods consumed in many households.

Agricultural Real Estate USDA’s National Agricultural Statistics Services indicate the value of agricultural land is increasing at a rate not seen in nearly a decade. The US cropland value averaged $4,420 per acre, an increase of seven point eight percent from last year. In Montana, farm real estate values increased by one

point six percent or $930 per acre. In the states with volumes of high-value crops such as wine grapes or tree nuts in California, values increased by $10,900 per acre! These kinds of increases impact local real estate markets and vary by state. Inventory for transitional land in rural areas is low; otherwise, sales volume would demonstrate a sharp increase in line with the increase of land value. The demand has spurred the division of larger parcels into smaller 10- and 20-acre tracts. COVID continues to drive people out of the bigger cities and toward more secluded rural communities. I do not foresee this changing anytime soon because of the constant demand and lack of inventory. It is an amazing time to be a part of the land market. Farmers are glad to see the inflation of their assets with the increased value of cropland helping them attain loans or profit if selling. The rising land values offer an opportunity for farmers and ranchers to see their blood, sweat, and tears turn into lucrative equity. With another year of sustainable land values, farmers seeking to retire can do so and receive top dollar for their amassed estates. As a fellow rancher, I hold a deep appreciation for the people who give so much of themselves stewarding our nation’s fields and producing our food. Contrary to the glamorous depiction from Hollywood, farming and ranching are often gritty, backbreaking work to stave off financial ruin. Farming and ranching include numerous elements that are beyond control. Often, selling a small portion of your farm or ranch can free up some much-needed operating capital. As typical, farmers and ranchers are plowing ahead with the determined resiliency that has allowed them to overcome so many of these similar challenges before. There are some strategies for growers that didn’t get all their nitrogen applied in the fall. To maintain profitability, farmers can reduce rates, split applications, or apply most nitrogen as anhydrous ammonia. While examining your budget, look at hedging more grain. If prices do come down, you should get to your break-even levels pretty quickly. Farmers also continue to buy up crop insurance. As we face times of uncertainty, there is one thing that farmers and ranchers are accustomed to and that is having a lot of faith. °

I

n the early 1970s South Dakota had a marketing campaign called “South Dakota of all Places”. That slogan would be just as apt today as it seems South Dakota is still an obscure place in most people’s minds. Mostly we think of the Great Plains when you mention South Dakota, a lot of open space, flat land, and prairie. Indeed, the majority of South Dakota is rolling prairies, but there is a well-kept secret, a small unpopulated area in western South Dakota— and a portion of eastern Wyoming—called the Black Hills that covers an area 110 miles long and 70 miles wide with a population of less than 240,000 and people are starting to notice.

Pahá Sápa The name Black Hills comes from the Native American term Pahá Sápa, which is the word the Lakota used to describe the black-green appearance of the hills when viewed from the plains. The Black Hills is covered in majestic ponderosa pine, quaking aspen and beautiful granite and limestone outcroppings. Black Elk Peak—Named after the famous Native American Lakota Warrior Black Elk— is the highest point in South Dakota with an elevation of 7,242 feet above sea level and is the highest point between the Rocky Mountains and the Swiss Alps. The reason for settlers coming to the hills was the gold rush of the late 1800’s. Gold was first discovered by George Armstrong Custer’s Black Hills Expedition of 1874. For many of the settlers it was Destination: Black Hills and strike it rich. . .or go bust! Gold has been consistently mined in the hills now for almost 150 years and is known world-wide for its Black Hills Gold jewelry. Like gold, the Black Hills are truly a treasure of mountains, trees, and rocks in the middle of the prairie. South Dakota has a reputation of harsh, cold winters but the Black Hills area is different. The southern section of the Black Hills is known as the “Banana Belt,” because on many winter days there is a temperature inversion where SPRING 2022 | LAND

the Hills can be sunnier and warmer compared to the lower elevations surrounding the hills. This region has less snow than Denver, warmer winters than Minneapolis, and more sunshine days than Miami. Even though winter can be cool and snowy, summers are warm, dry and sunny, with daytime temperatures reaching into the 70s and 80s. Interesting fact: up until 1992 South Dakota’s state slogan was the “Sunshine State”. The Black Hills is Home to internationally famous landmarks such as Mt. Rushmore National Memorial, Crazy Horse Memorial, Custer State Park, Jewel Cave National Park (third longest cave in the world), Wind Cave National Park (seventh longest cave in the world), and the mysterious and unique Devil’s Tower National Monument located in the Black Hills of Wyoming. And of course, the hills are rich in Native American culture, old-west mining towns such as the infamous Deadwood, and museums of all kinds. With over 1.2 million acres of National Forest public land to enjoy there is something for everyone here. There are miles and miles of Forest Service roads for the ultimate in off-road recreation including ATV riding, mountain biking and hunting. The old mining railroads are gone, so now you can hike, bike ride or horseback ride the 108-mile-long rails-to-trails known as the Mickelson Trail, named after the late governor George Mickelson. The northern hills offer winter sports such as skiing, snowshoeing, cross-

country skiing and snowmobiling, and there is always great ice fishing in the many lakes throughout the hills.

Million-Acre Playground There is an amazing hiking trail network throughout the hills for wonderful day hikes, amazing views, and secluded backpack camping trips. You can visit old fire towers, swim, and fish in the many lakes, take a hot air balloon tour, explore caves, and the Black Hills is home to world-class rock climbing. See a multitude of animal life ranging from American Bison (Buffalo), deer, elk, prairie dogs and coyotes (state animal), as well as unique flora and fauna to enjoy. There are fun and unique little towns to visit and so many good places to eat! The Black Hills is also home to the famous annual Sturgis Motorcycle Rally in August, which can bring in hundreds of thousands of motorcycle enthusiasts each year that come to ride through the winding switchback roads and tunnels of the beautiful Needles Highway.

Land of the Free In 2020 the Black Hills—and South Dakota more broadly—took a very common-sense approach when the pandemic hit, didn’t lock-down and has thrived as a result with one of the lowest unemployment rates in the nation and one of the strongest economies. South Dakota and Wyoming also have no state income tax; truly the land of the free. This combination has gotten

the attention of a lot of people in our country and has resulted in a lot of those folks relocating here to call the Black Hills their home.
