ife in the rich confines of the Kemp Town Enclosures is very good indeed, sophisticated, stylish and sociable. Already we have met charming neighbours and enjoyed the local amenities like Swans and Hudson & Bridges. Mr R even did his exemplary Dot Cotton impression, complete with fag and quiff, at the local launderette when he decided to wash everything that we owned in one marathon session. But there is one thing letting it down and it takes me back to my childhood. I now find that our new home has a similar system on keys and cards that I have to get topped up in the local off licence. I have been assured that this can be changed after a period of time but for now I am struggling to remember that it needs to be done and living in fear of being plunged into darkness and having to search for the modern version of a shilling.

The Landlady The Landlady samples the delights of Berlin
I
’ve just been on yet another train to Stoke on Trent. From the beginning of the journey, there was a man and a woman sitting opposite me who had clearly just been to a business meeting as they spent almost their entire journey discussing ‘business’. Although they spent a good 45 minutes discussing ‘business’, I had no clue what type of actual business they were in, apart from there seemed to be a lot of ‘apps’ and ‘hacks’ in their workplace. I have been out of the upper echelons of the job market for so long now that I struggle to understand what people actually do – apart from the fact that it all sounds really boring and I’m glad that I’ll never have to do it. The business couple then ran out of ‘apps’ and ‘end-users’ to talk about and started to discuss holidays. The man wanted to go somewhere hot in December and the woman suggested that he go to Tunisia via a ferry from the Canary islands... Hmm, I may not know much about hacks, apps and endusers, but I do know that it’s an awfully long way from the Canary Islands to Tunisia – especially by bleedin’ boat. Fortunately, the business man and woman got off the train at Milton Keynes, which explains a lot... I am in Stoke on this occasion to meet a man who is going to value my late mother’s grandfather clocks. I finally managed to find an auctioneer who “I managed to fit in erred on the more bearable side of unpleasant and I’m meeting him a weekend bursting tomorrow morning at 10.30. I am hoping that I will be up and with-it with variety” before the arrival of Mr Not-toounpleasant, as I am meeting an old London work colleague in Manchester this evening for cocktails. This particular work colleague and I used to famously take clients out for lunch and not return to the office – brandishing a huge bill – until the next day. Oh, the heady days of advertising... Even now that we are both sensible older women, I’m sure nothing will have changed and that we will still behave in exactly the same manner as we did 15 years ago... I have to admit to not feeling 100 per cent as I’ve just spent five days partying in Berlin. The Ex Boyfriend (aka Old Unfaithful) and I managed to fit in a weekend bursting with variety, which ranged from fine-dining and Hungarian food to Currywurst and kebabs and managed to accommodate various beer-sampling sessions, plus a night of drum and bass and a night of salsa. If you haven’t yet been to Berlin, I’d highly recommend it as it’s about half the price of Brighton and everyone drinks beer on the underground – without throwing-up, falling over or behaving like a total arse. Just don’t try and get there on a ferry from Tunisia...

Robert Nemeth delves into an underground world
I
can clearly recall how stories of subterranean Brighton fuelled my initial interest in local history. Whether it was tales of tunnels around the Pavilion or the myriad of underground chambers belonging to Southern Water, I was always keen to learn more. In fact, it was the famous tour of Brighton’s sewers that really sparked my curiosity. It is indeed true that there is a tunnel leading from the Pavilion to the Dome, that there are all sorts of vaults beneath the coastal roads, and that Europe’s largest stormwater storage tunnel (20ft high and three miles long) runs beneath the seafront. For every story that turns out to be true though, “The tour is both there is another that has, well, no foundation. I suspected that the same frightening and would be the case with Edinburgh’s exciting in equal legendary underground city. On my latest trip to Scotland’s measures” capital, I set out to see for myself what really exists below ground. I knew that its subterranean areas are said to be in the area of the Old Town; in particular, in the vicinity of the Royal Mile that runs from Edinburgh Castle to Holyrood Palace. The Royal Mile runs along a ridge between two valleys and, from it, a great number of passageways ran off it steeply down each side. The ground floors of the buildings on the Royal Mile obviously fronted the street but were high up above ground at the backs as the structures extended backwards over extremely steep terrain. It is here that the underground city is still evident. I visited Mary King’s Close (essentially a tourist attraction) which extends beneath Edinburgh’s City Chambers. The Chambers were designed by Robert and James Adam in 1753 as the Royal Exchange and built directly above several old streets, including Mary King’s Close. The old network of streets was forgotten but it is ever so easy to imagine now what the warren of slim tunnels and tiny dwellings must have been like 400 years ago. The tour invites further curiosity and is both frightening and exciting in equal measures. Subterranean Edinburgh is said to be evident in other places too, such as the vaults beneath the South Bridge which date back to 1785. The network of rooms was rediscovered quite by accident during the 1980s by Norrie Rowan, the former Scottish rugby internationalist, whilst refurbishing a pub. s a mother, I’ve had a few boyfriends, but I guess I’ve never had one so involved as my new boyfriend. I say ‘new’ but it’s been seven months. I didn’t realise how difficult the integration of a boyfriend person into single mother with small child’s life would be. I didn’t realise how independent I had become in five years. It’s strange because I have always wanted a partner to parent with me, I never wanted to do it on my own. I firmly believe a child should have two parents around them. So they can watch how a “I firmly believe a relationship works. Little did I realise how tricky it might become. Perhaps when she was younger it might have been easier, but at five years old it’s harder than I thought. My daughter has grown accustomed to me being completely hers, to being her epicentre. She says things like “my mummy! Not your mummy!” to my boyfriend. I want to laugh, I’m sure my boyfriend does not need another mummy. My boyfriend would like to be some sort of parental figure though. Not a step dad... They’re always negatively depicted... So when my daughter said “will you be my fake dad?” he was actually extremely pleased. After all, he’s been there: getting up at night, reassuring her there’s no monsters in her room; bringing her tons of Disney films, and making her ham sandwiches when he’s a strict vegetarian. He gets up with her a few times a week, makes her breakfast and gets her dressed and teeth brushed and out the door for school more efficiently than I do. She seems to respect him but isn’t super affectionate or loving towards him. She seems to resent my partner’s attempts at helping her with reading etc. I tell him she does that with me too. Does she subconsciously wonder if he will leave like all the other men have? It will just take time. After all, it’s taken me five years to get the odd hug from her! I have felt very in the middle between the two people I love. He has really needed ‘managerial feedback’ from my daughter, but kids aren’t like that. They don’t say “thanks for bringing me up!” Nor should they. It’s not their fault they’re here! So when “will you be my fake dad?” was uttered by my daughter, my boyfriend found that a huge compliment. He must be doing alright! My daughter said it with sweet naivety, there was no joke meant, she just literally thought, will you be my other dad-type-manperson? My fake dad. No insult intended. None was taken. In fact he loves being fake dad. I do too. With his presence, he turns this mother and child into a family.

ne day we’re going to buy that dog insurance. We pick up the leaflet often enough. We haven’t actually got a dog so it would be pretty pointless. Until then, we’ll simply end each supermarket trip by picking up the dog insurance leaflet. Just as each supermarket trip ends with the pooch pamphlet, so it starts with the pocket point. This is done by Youngest™ once he’s sitting in the trolley and we go through the automatic doors. He is so used to having a box of raisins to eat as we start every trip, that his pointing gesture is as automatic as a bell going off when you step onto a jeweller’s mat. A long shop or trip, my wife refers to as a ‘two raisin problem’ in homage to Sherlock Holmes who used to have a two-pipe problem. Forget the raisins and you’re doomed. There’s a whole set of codes and rules that lie underneath the surface of ‘Parent with Child in Supermarket‘, a kind of Da Vinci Code of Retail. Hidden signs. Unbreakable contracts. When The Boy was younger and pre-speaking, I used to wonder why he went loopy around the bakery section. It’s because his mum used to give him a pain au raisin (paid for later at the till, let me stress.). Me, being a cruel type, or just not knowing the code, didn’t. If I ever go without the kids, I walk around the aisle thinking I’ve forgotten something – and no I’m not thinking cherry tomatoes. I still absent-mindedly blow raspberries at the till, and have to stop myself cheerily naming everything I put in the trolley, as if it’s of huge interest. “Milk! Apples! Wine! Yum! Yum Yum!” etc. Fortunes, in terms of the supermarket, fluctuate “I still absent-mindedly with the age of children. The Boy, aged seven, blow raspberries at the till” currently hates the supermarket. He enacts moments from You’ve Been Framed before collapsing with boredom near the soup aisle as if his bones have been removed. Youngest™, two, is just about OK so long as I’ve got those aforementioned raisins and he’s “contained“. (Not contained is a nightmare. At some point someone’s going to break the unwritten code and lightning will strike). Patience is always wearing thin though by the time we get to the till. I’m aware since parenthood of the kindness of strangers. This seems particularly true in supermarkets. Strangers – and staff – will often talk to and amuse Youngest™ enough to make the last section bearable. I consider them to be a human version of the dog leaflet. Just about allowing me to complete the food shopping with my sanity intact.

aby, it’s cold outside. But that’s no reason to give up on your garden – now is the perfect time to tidy up and get ready for spring. This week, Latest Interiors puts on some wellies and a warm coat and heads outdoors.

Sowing the seeds (or bulbs) It’s not too late to put some last-minute bulbs in for next season – late tulips, anemones or alliums will bring some much needed cheer in the spring. You should also take the opportunity to sit down with a cup of tea and some well-thumbed plant catalogues, and daydream – sorry, plan – for warmer days ahead. Clean & tidy If you haven’t already, use late October and early November for a good tidy up. Pull any remaining weeds, remove all dead annuals, put furniture and BBQs away for the winter that won’t survive the rainier season out of doors. Late autumn is a good time to move trees, shrubs and perennials while they lie dormant – and prune all those that are staying in place. Protect any tender plants now against the cold nights – bring them under cover, or insulate them against the weather with cladding or a plastic dome. And while you’re outside, you might as well make sure that your gutters and drains are cleared of leaves and other debris, and that external paint and plasterwork looks watertight for the coming rains and snow. When everything is clean and ready for winter, take a look around and plan what you need to do next year.

In Star Trek the prime-directive is ‘not to interfere with the internal order of alien civilisations’. In a company the prime-duty is ‘Directors hold a position of trust; their prime-duty is to manage the company for the benefit of the shareholders and not for any individual shareholder or group of shareholders’. Not adhering to the prime-duty in your company is unlikely to wipe out an entire civilisation but it is probably best not to chance it.
Statutory duties The Companies Act 2006 codified many of the issues surrounding ‘conflicts of interest’ such that there are now seven statutory duties. 1) Directors must act within the powers conferred by the company’s articles, for example they may not issue shares to further the holding of a particular shareholder. 2) Directors must promote the success of the company for the benefit of the shareholders. 3) They must exercise independent judgement when making decisions. 4) Directors must exercise reasonable care, skill and diligence and higher standards are expected when they have specialist or professional knowledge. 5) They must avoid all conflicts of interest
particularly in any property, information or opportunity transaction. 6) They may not accept benefits from third parties. And finally, 7) A director must declare any interest in any proposed transaction or arrangement where there may be a conflict between them or with any person connected to them. Any conflicts in points 1 through 7 should be declared to the board of directors and recorded in the minutes of the company. Any failures to declare can result in fines.
Legal duties There are also certain legal duties to be careful of: 1) Directors who fail to prepare and deliver documents on behalf of the company could get a criminal record and a level 5 fine of up to £5k (now there’s a reason to get your records to your accountant on time). 2) Shareholders may take legal action through the company against any director who is personally liable for a loss suffered due to negligence, default or breach of trust. 3) The Insolvency Act says proceedings may be brought against the directors if they knew or should have known that the company was insolvent or trading fraudulently with the intent to defraud the creditors. 4) Directors can be held liable under the Health & Safety at Work Act. 5) There are personal liabilities surrounding the disposal of hazardous waste. And 6) The UK Enterprise Act imposes a personal liability on directors for breaches of competition rules.
To conclude As funny as it might be it is probably fair to say that Gary and Tony would last all of three minutes running a company. Just make sure your accountant gets any information they need on time, use their company administration service and then get on with running your business.

Q. I’ve heard a lot in the news lately about changes to employment law. Could you please give me some details as to what’s happening? A. George Osborne recently announced that the qualifying period an employee has to obtain before they can bring a claim for unfair dismissal will be increased from one year to two years with effect from 1 April 2012. Fees could also be introduced for employees to bring a Tribunal claim from 2013. Rumour has it the fees will be £250 to start a case and a further £1,000 when the case is listed for a hearing. There is to be a consultation period over the fees and the grounds upon which an employee will be exempt from paying them. The national minimum wage increased this month to £6.08 for workers over 21. There were also
increases for workers under that age, so make sure you are paying your staff the right amount. Q.Do I have to give ex-employees a reference? A. No, there is no obligation on an employer to give a reference to a former employee but when they do it must be true and accurate to avoid a claim of negligence by either the employee or the future employer. Most companies now simply confirm the dates of employment and the job title, to avoid any risk of liability attaching to the reference should it turn out to be inaccurate. If there are questions over an employee’s performance or conduct that arise after they have left your employ, you should disclose those issues accurately to any prospective
employer. Make it absolutely clear that those allegations were not investigated so no assumptions should be drawn. Q. Can I unilaterally cut my employees’ pay to get my company through some financially difficult times? A. Cutting staff’s pay may be possible in certain circumstances. It is crucial that you take specific legal advice on your situation as your entitlement will depend on a number of things. You need to consult with staff before you impose any contract change or else you may find yourself facing a constructive unfair dismissal claim. A Tribunal will want to see that the pay cut was the last resort. If there are other ways you can save money, the Tribunal will expect you to have explored those options first.
