sn’t it something how statements like, “we simply don’t know what we don’t know,” hit us hard when facing a potential issue or predicament? In February 2021 we realized we had not stayed on top of a critical issue that may impact YOUR business. Have you heard about the State Comptroller’s updated Rule 3.334 or the ORIGIN versus DESTINATION SOURCING FOR SALES TAX? Currently, we are focused on the potential changes in your operations related to Rule 3.334.
Background on 3.334 In January 2020, the Comptroller proposed rule changes for Rule 3.334 with public hearings in February 2020. In May of 2020 the Comptroller of Public Accounts updated and adopted Rule 3.334 which changes sale tax sourcing from Origin Based to Destination Based. Rule changes focused on the definition of “place of business of seller.” The definition now clearly states that’s sales personnel of the seller must be present for a location to be considered a place of business of seller. Where is Rule 3.334 today? There is no clear-cut answer as of this writing. There is a temporary injunction in place due to two (2) pending lawsuits. The current injunction prohibits the state from implementing a subsection of the new sales tax sourcing rule, pending a final hearing. What is the bottom line for businesses? Businesses need to prepare for potential changes in the way they remit sales taxes. This rule will change how businesses assess and collect sales tax for purchases made online from the current “origin basis” to the “destination “basis”.
We are aware of five (5) options for businesses to comply with the rule change. 1. Single transaction or customer search: The Texas Comptroller has a free online tool where a seller can look up the delivery address of each customer/shipping location and calculate the appropriate sales tax rate and jurisdiction codes for the sale. The seller would then track and file his/her sales tax report to the Comptroller with a listing of each jurisdiction and the amount collected and reported to those jurisdictions each month.

2. Download the Comptroller’s database: A Seller may download the Comptroller’s rate and boundary database free of charge! Sellers would then integrate the database into an existing point of sale or tax compliance system. The Comptroller will provide updates on a quarterly basis as those destination boundaries and tax rates change. The cost to integrate the free database into a seller’s system and maintain quarterly updates is the responsibility of the business/seller. Return preparation and filing also remains the seller’s responsibility.
[ Download the database ] https://mycpa.cpa.state.tx.us/atj/ 3. Integrate a third-party solution: There are multiple vendors that can help your business process and file your sales tax returns. These providers maintain the Comptroller’s database and help a seller determine the correct jurisdiction and sales tax to charge on each transaction. These providers have different cost structures but often involve a setup charge, annual maintenance fee, and a per-transaction fee. These fees cover sales tax return preparation and monthly filing, and the costs associated with this are the responsibility of the business/seller.

Migrate your delivery business to a sales platform: Many smaller companies that do not have the financial resources to implement options 2 or 3 above can migrate their delivery sales to a marketplace platform. Companies like Amazon, Etsy, DoorDash,and GrubHub, will absorb and take over your tax liability. These firms generally charge a commission and fees for selling on their platforms. A Texas seller utilizing this option will need to consider how these fees and commissions will impact their profit margins. 5. Ignore the change: Some small businesses may ignore the required change and hope they don’t get audited or sued. The Texas Comptroller historically only audits fewer than 5% of sales tax permit holders. There may be a penalty and interest liability from the Comptroller for those sellers who are not implementing the change. A separate risk exists from plaintiff lawyers that may file suit on behalf of customers that were charged the incorrect sales tax amount.

An administrative agency making this kind of fundamental change to tax laws hamstrings our community’s efforts to attract new businesses.

What has and continues to be done by YOUR chamber? Your Chamber is still actively working with Chambers and Cities from around the state to clarify if and when this rule change is taking effect. • Began working with chambers and cities that opposed the rule change in the fall of 2020. • In the 2021 regular session of the 87th Texas Legislature we hosted webinars, helped align chambers and municipalities to kill HB4072 which would have made ALL products delivered to a location subject to destination basis sales tax-not just online purchases. • We are continuing to communicate with state elected officials on the impact of Rule 3.334 on our municipalities and the cost businesses are going to have to incur if the injunction doesn’t appeal the language. • We will continue to recommend change if the comptroller wants to implement the new provisions. We are asking they order an independent study of the financial implications of changing local sales tax sourcing from origin based to destination-based on local municipalities, small business, and entrepreneurs. The financing and recommendations on the next steps must be reported to the 88th Texas Legislature for consideration before any changes are made to the state’s longstanding origin-based local sales tax sourcing.

Are You Aware of the Pending Sales Tax Sourcing Changes! Texas Comptroller Rule 3.334
I
............................................................ n January 2020, the Comptroller proposed rule changes for Rule 3.334 with public hearings in February 2020. In May of 2020 the Comptroller of Public Accounts updated and adopted a new version of Rule 3.334 which changes sales tax sourcing from Origin Based to Destination Based for Texas sellers with an online presence.
This result is tied to changes in the definition of “place of business of seller”. That definition now provides, contrary to the statutory definition, that sales personnel of the seller must receive an order for a location to be considered a place of business of the seller. Additionally, the rule changes also mandate, contrary to past practice, that orders placed on the Internet can never be received by sales personnel. These rule changes were proposed and adopted despite no change in the statutory language on which the rules are supposed to be based. As a result of this change, if an order is not received by sales personnel, such as Internet orders, the local community supplying the ordered good will lose local sales tax it previously received and the community where the purchaser lives will gain local sales tax it had never previously received.
Concerns and actions by City Municipalities due to the updated version of Tex. Admin. Code 3.334. • Shifts the sourcing of local sales tax income for almost all cities in Texas. There will be a drop in the amount of local sales tax overall. Any gain will be insignificant. Several local jurisdictions project a dramatic loss in local sales tax revenue. • Jurisdictions have the authority to provide sales tax based incentives to companies ranging from Fortune 100 down to Main Street storefronts. With many purchases under new Rule 3.334 being sourced to the location of the purchaser’s address, municipalities are questioning if the commitments they made to incentivize companies will be grandfathered. If they aren’t, what happens to them? • In July 2021 the Cities of Carrollton, Coppell, DeSoto, Farmer’s Branch, and Humble, and separately, the City of Round Rock filed suits against Glenn Hegar in his official capacity as the Texas Comptroller of Public Accounts to reverse the parts of Rule 3.334 that are not supported by Texas Statutes and to invalidate the rule on procedural grounds. These suits were filed in state court in Travis County. In August 2021 after arguments were made before the 250th Civil District Court, the Comptroller’s Office agreed to a temporary injunction to delay enforcement of those provisions of Rule 3.334 that were scheduled to go into effect October 1, 2021.

Legislative Response. Apparently recognizing that the Comptroller’s changes to Rule 3.334 are at odds with the statutes governing the allocation of local sales tax, the Chairman of the House Ways & Means Committee in the last session sought to change the law to move Texas from Origin Sourcing to Destination Sourcing. He was unsuccessful. He is trying again, leading an interim hearing of the Committee looking at such a switch. If he is successful, all local taxes will be remitted to the local jurisdiction where the purchaser takes possession of the item. Such a result would be a massive change.
Proponents Of Destination Sourcing. • Makes sales tax distribution follow the purchaser rather than the seller • Some communities (rural, bedroom, affluent) believe they will receive more sales tax • In the United States, 35 of the 50 states already have Destination Based Tax Sourcing • Taxation without representation. Should only have to pay the taxes at the purchaser’s residence
Opponents Of Switching and Maintaining Origin Sourcing. • Requires businesses to be responsible to 1,698 different taxing jurisdictions • No study has been done to determine what the true impacts will be in switching • Changes decades of tax policy – which has helped make Texas the 9th Largest Economy by GDP in the world • Is Complex and Burdensome to business • Takes away funding from municipalities for basic city services like roadways, public safety, and other general revenue items because you are taking away the funding source • Increased initial and annual cost incurred by businesses to implement
The costs of doing business in Texas will become more expensive. Businesses will have to determine which option(s) to manage the destination burden work best in their environment.

What is the Risk to Municipalities? No City can fully evaluate the impact of the changes to their tax base due to the complexities of each of the rules. Assuming that a City could get every taxable business in their town to understand the proposed rules and then indicate the degree to which each rule would impact their existing tax returns, it is still impossible for any City to know just how much sales tax they would receive from businesses located in other jurisdictions. Therefore, every City is guessing whether the change would be positive or negative, but it is simply a guess.

Based on the diversity of income streams cities have it is safe to say that some cities with high residential bases and minimal commercial will be winners and those that have the heavy commercial and low residential will be losers, but until some meaningful effort is made by the Comptroller to define those impacts, no one can truly know which city is which.
Jurisdictions that provide incentives from sales taxes to attract, retain, and expand businesses may lose a critical tool to grow jobs.
What is the Bottom Line for Businesses? Businesses who collect sales tax and deliver services and or items outside of the taxing jurisdiction where they conduct business will be responsible for submitting sales tax to the community that is the destination for the good or service on each separate invoice. Businesses must be prepared to incur additional administrative costs to do business from this new administrative requirement and unfunded mandate imposed by the Comptroller. While there are software programs that can be subscribed to and/or purchased to help manage this burden, it seems an unnecessary imposition. Yes, the comptroller provides quarterly updates that can be downloaded by the business, or the company can contract out to manage their financials and tax collection obligation. However, the question remains why a business should be forced to incur new administrative costs (time and money) that doesn’t help it generate any new sales or profit.
Business leaders seek communities that provide stable tax environments that will allow for financial incentive agreements based on long-term, mutually beneficial relationships with the city and private sector.

This event, conducted annually during or close to Small Business Week, will feature the following award recipients. Patterson Nissan will receive the Small Business of the Year Award, Cace Kitchen will receive the Family Owned Business of the Year Award, and Operation Unbroken will receive the Veteran Owned Business of the Year Award. These business each have under 100 employees, have operated in Longview for multiple years, and have overcome many challenges along the way. While every small business in existence in our community deserves an award just for making it through COVID and our local “snowmageddon,” these businesses were chosen to highlight their unique story by way of videos being produced for the luncheon.

We don’t know how much we have, and there’s only so much of it in our lifetime.
