StarTrails 2011, Driving the Mountains, Ouray, Colorado by Dudley & Joyce Smith Barbara & Bob Smith
Twelve members of the Kansas City Section traveled to Colorado in August to attend StarTrails, a 5-day national event sponsored by the Pikes Peak Section. Those attending were Bob and Barbara Smith, Bob and Martha Poduch, Vic and Sherry Enns, Dudley and Joyce Smith, Kelly and Jaymie Bonavia and their daughter Meredith, and Steve Dierks. The event was held in the quaint little village of Ouray, Colorado, nestled in a box canyon in the San Juan mountains. StarTrails is an off-roading event for MLs and GLs, ascending and descending the mountain passes on narrow dirt and rock trails crossed by streams at elevations above the snow line (in August) with thousand foot drop-offs on the side of the trail. The Enns and the Bonavias were experienced in off-road driving and enjoyed three days of beautiful mountain scenes out in the wilderness. Dudley Smith joined them (in the passenger seat) on the last day and found the sport scary but a whole lot of fun! Other attendees from across the country explored the western slopes of the Rockies on paved roads. They took the Million Dollar Highway from Ouray to Durango, a beautiful ride on a road that challenges a drivers shifting skills. The ride ended at the historic Strator Hotel’s Diamond belle Saloon. Some also went up to Telluride for a day of sightseeing which included a ride on the Gondola to the top of the ski slopes. One day-trip was made through spectacular scenic red-rock canyons and mountains to Gateway, Colorado, which is very near the Utah border to see a fantastic resort and car museum. Evening events at

the hotel included an outdoor showing of the original True Grit movie starring John Wayne. The movie was filmed around Ouray. Before the showing, clips of the movie were shown followed by clips of those scenes as they look today – places we had all been on our day trips. The week was topped off with a barbeque with awards and entertainment. The “Most Enthusiastic Off Road” award was presented to our own members, the Bonavia family who drove their ‘06 ML350. Kelly Bonavia said StarTrails is “the best organized event, super-fun with spectacular trails and very well thought out” For the photography buffs, each morning of the event began with professional photographer, John Fischer, of Arvada Colorado. John and his “students” walked the scenic area in and around Ouray taking advantage of the early morning sun and its affect on the scenery. John gave us lots of good tips and advice. Other students shared their expertise too. Each day also included drivers training sessions for the trail excursions. Our friends Mary Alice and Frank Cozza of the Western Reserve Section presented defensive driving classes to the group.
The Pikes Peak Section members were wonderful hosts. They were always there to answer questions and help in any way they could. We were provided with box lunches and bags of trail mix every day which made for great picnics in the mountains. They also provided a place to congregate at the hotel and we all became acquainted with other MBCA The KC Section was well represented at StarTrails 2011. September Sunday Drive to KC Scout Headquarters by Jeff Klepac
This month, our First Sunday Drive took us east to Lee’s Summit, Mo. to the headquarters of the KC Scout. After leaving the US Bank parking lot, we first stopped briefly at Mercedes-Benz of Kansas City, lining up our cars for a photo in front of their beautiful dealership. As we arrived at the KC Scout facility, we were greeted by Nancy Powell, a seasoned employee who knows every aspect of their systems.

KC Scout focuses on getting Metro Kansas City drivers where they want to go smoothly and safely. Kicking off in 2004, Scout is a joint effort between the Missouri and Kansas Departments of Transportation to strategically manage more than 160 miles of the Metro’s most congested freeways. I have to think that those who toured this facility were somewhat overwhelmed by all of the available technology used by KC Scout. It’s not only used for traffic management, but to also minimize the impact to the motoring public in the event a traffic incident does occur. Once again, many thanks to Nancy for sharing her knowledge with us.

PLEASE TAKE NOTICE that a special meeting of the Active Members of Mercedes-Benz Club of Kansas City, Inc., will be held at The First Watch Restaurant, 11112 W, 63rd. , Shawnee, Ks. 66203 on November 5, 2011, beginning at 9a.m., for the purpose of approving the dissolution and termination of the Corporation and adopting a Plan of Complete Liquidation and Dissolution and addressing such other business as may properly come before this meeting. PLAN OF COMPLETE LIQUIDATION AND DISSOLUTION As required by the Section 355.671 of the Missouri Nonprofit Corporation Law (the “ACT”), the following Plan of Complete Liquidation and Dissolution (the “Dissolution Plan”) shall become effective upon the approval thereof by the affirmative vote of the Board of Directors of the Mercedes-Benz Club of Kansas City, Inc. (the “Corporation”) and approval by the lesser of (i) at least two thirds of the votes cast on this issue by the Active Members of the Corporation at the special meeting scheduled for November 5, 2011 or (ii) a majority of the Active Members. 1. Background of Corporation. The Corporation was incorporated in Missouri on February 29, 1972, for the following purposes: a. To serve the interests of the Mercedes-Benz owners through official contacts with factory outlets in the United States via National Headquarters of the Mercedes-Benz Club of America, Inc b.
To facilitate procurement of technical and engineering information about Mercedes-Benz automobiles.
c.
To gather together socially the enthusiasts of the Marque
d.
To participate in motor events with Mercedes-Benz automobiles.
e.
To compile records of all existing types of Mercedes-Benz automobiles within the Section.
f.
To represent the Marque in contemporary motoring circles.
2. Dissolution. Upon approval of the Dissolution Plan by the Board of Directors and the Active Members, the officers of the Corporation shall execute and file, or cause to be filed, Articles of Dissolution with the Missouri Secretary of State in accordance with the Missouri Nonprofit Corporation Law. Thereafter, the Corporation shall not engage in any business activities with the exception of those activities necessary to preserve the value of its assets, adjust and wind up its business and affairs and distribute its assets in accordance with the Act and this Dissolution Plan. ----- Continued on page 5 -----

3. Payment of Debts. After the Articles of Dissolution are filed with the Missouri Secretary of State, the Corporation shall give notice to all known creditors as provided for in Section 355.696 of the Missouri Nonprofit Corporation Law [and shall publish notice of dissolution as provided for in Section 355.701]. Thereafter, all known or ascertainable liabilities of the Corporation shall be paid or provided for. The Board of Directors of the Corporation may also set aside (in the form of cash, securities or other assets) a reserve fund in an amount estimated by the Board of Directors to be necessary for the payment of estimated expenses, taxes and contingent liabilities (including expenses of dissolution, liquidation and termination of the existence of the Corporation and the distribution of its assets). 4. Liquidation of Assets. The Board of Directors and officers of the Corporation shall take such acts and actions as shall be necessary or appropriate to completely liquidate and dissolve the Corporation. 5. Final Distribution. As soon as the Board of Directors of the Corporation determines that all of the debts, obligations and liabilities of the Corporation have been paid and discharged, or adequate provision has been made therefore, the appropriate officers of the Corporation shall execute and cause to be filed Articles of Termination with the Missouri Secretary of State in accordance with the Missouri Nonprofit Corporation Law and shall distribrute all of the remaining assets of the Corporation as follows: first, to pay all outstanding dissolution expenses (including attorneys fees) and second, to another nonprofit corporation organized for the same of similar activities as those of the Corporation. 6. Power of Board of Directors. The Board of Directors and, if authorized by the directors, the officers, shall have authority to do or authorize any and all acts and things as provided for in the Dissolution Plan and any and all such further acts and things as they may consider desirable to carry out the purposes of the Dissolution Plan, including the execution and filing of all such certificates, documents, information returns, tax returns, and other documents which may be necessary or appropriate to implement the Dissolution Plan. The Board of Directors may authorize such variations from or amendments to the provisions of the Dissolution Plan as may be necessary or appropriate to effectuate the dissolution, complete liquidation and termination of the existence of the Corporation, and the distribution of its assets to its shareholders in accordance with the Act.

MEMBERS RESOLUTIONS APPROVING DISSOLUTION RESOLVED, that the Board of Directors of the Mercedes-Benz Club of Kansas City, Inc. (the “Corporation”) has reviewed and considered that certain Plan of Complete Liquidation and Dissolution which is attached hereto as Exhibit A (the “Dissolution Plan”) and has determined that the proposed liquidation and dissolution of the Corporation as set forth therein is in the best interests of the Corporation and its Active Members. RESOLVED FURTHER, that the Active Members do hereby adopt and approve the Dissolution Plan and approve and consent to the liquidation and dissolution of the Corporation as described therein. FURTHER RESOLVED, that the appropriate officers of the Corporation are hereby authorized and directed to (i) prepare (or cause to be prepared), execute, verify, acknowledge and file, in the name and on behalf of the Corporation, Articles of Dissolution with the Missouri Secretary of State; (ii) implement the Dissolution Plan and perform all of the acts and requirements authorized and directed by the Dissolution Plan; and (iii) prepare (or cause to be prepared), execute, verify, acknowledge and deliver any and all agreements, instruments or documents as they, or any of them, may deem to be appropriate to complete the liquidation and dissolution of the Corporation as directed by the Dissolution Plan, without the further act or resolution of the Active Members or Board of Directors.

Octoberfest German Car Show - Sunday, October 16th Get your car ready to display at the German Car Show to be held at the US Bank Parking lot in Hawthorne Plaza, 119th St. & Roe, Leawood, KS. All of the local German car clubs have been invited to display their cars including BMW, Audi, Volkswagen and of course our MercedesBenz club.
Show cars must be in place at the site by 9:00 AM The show will run until 2:00 PM. Judging will be coordinated by Rich Carlson. More information will follow in the next issue of der Benz!

November Breakfast Jim Schmidt will be the speaker at the November breakfast meeting. Jim is the Service Manager at Aristocrat Motors, and his topic will be about his work with UpLift, the organization that provides help to the homeless in the Kansas City area.
Jim will accept donations from the membership of toiletries, canned goods and clothing that day. They especially need new or gently used socks, underwear, shirts, etc. So, when you come to the November breakfast meeting, please bring what items you can for Jim to present to UpLift for the homeless.

Even if you are not a dedicated Formula One racing fan, the new documentary on the racing career of the brilliant Ayrton Senna is definitely worth seeing. I got to attend a screening at the Tivoli Theater on September 16th, and the movie is an expertly crafted assembly of film footage, interviews and historical events that tell the very compelling story of the young man from Brazil. From his dramatic entry into Formula One and throughout his brief career, Aryton Senna created his own legend with his driving skills and likeable persona. MBCA|KC Logo Shop Now Open! by John Ryan
At the encouragement of its Board of Directors, MBCA|Kansas City has opened its own online Logo and Apparel Shop. Working with The Queensboro Shirt Company of Wilmington, North Carolina our section can now offer the Club Logo and special events graphics to be embroidered onto hundreds of different items ranging from T-Shirts to Polos, Jackets to Jerseys, and everything in between. No longer does the club have to predict, purchase and inventory numerous styles and sizes of logo apparel. Our new store will allow a much wider variety of items with no “up front” costs to the club. There’s no minimum
purchase requirement, and the item(s) will be delivered to your mailbox or doorstep. And, every item purchased provides additional revenue to the section’s treasury, to help fund the great events where you’ll be wearing your new “duds”. So, what are you waiting for?
