T

here’s quite the range of links in my bookmarks bar – the chocolate cake in a mug, great for those rainy days, but not so much the waistline; the exercise guide designed to counteract the chocolate cake which, although much healthier, has been visited a little less often; then there’s the inspiring DIY pages, you know, the ones that we plan to spend our weekends on, but end up instead eating chocolate cake from a mug. Ok so perhaps that’s just me, but at 20 weeks pregnant, I have an excuse. However I have chanced across some goodies when trawling my bookmarks for editorial inspiration this issue. First up was a new French law which deems that all new buildings built in commercial zones in France must be partially covered in either plants or solar panels. Green roofs, as they are called, have an isolating effect which helps to reduce the amount of energy needed to heat a building during the winter or cool it in the summer. They are capable of retaining rainwater and reducing problems with runoff, and also offer birds a place to call home in the urban jungle. It’s already a popular concept in Germany and Australia, as well as the Canadian city of Toronto where a 2009 by-law mandated green roofs on all new industrial and residential buildings. This got me thinking about the opportunities the Christchurch recovery offers for developing green public spaces. We’re already on the right track with the Urban Living Wall. A collaboration between social enterprises, local government departments, schools and individuals, the city’s first temporary Living Wall at the corner of Cashel and High Streets utilises specially designed planter panels made locally from old and new technology such as wood carving, ceramics and 3D printed biodegradable plastic. It’s about making nature a part of the city’s fabric, with more places for plants, insects, spiders, small creatures, biodiversity and a greener urban environment. It’s small scale, but hopefully just the start of a greener future for Christchurch. I know I say it every issue, but there is some cool stuff happening in our little corner of the world and, so long as we keep our minds open and continue to be inspired, there’s no reason why we can’t continue to be the coolest little corner of the world.

F

ew would say that climate change is not changing our world. We need to do our fair share to reduce our greenhouse gas emissions to help avoid global temperatures increasing by more than two degrees and tipping the planet into the danger zone for a highly unstable climate. We also need to adapt to a changing climate and ensure our cities, towns and rural areas are more resilient. Local government has the direct responsibility for managing the immediate impacts of rising sea levels and increased severe weather events. Those impacts are already starting to bite with unusually large flood events already this winter in Whanganui, New Plymouth, Kapiti, Wellington and Dunedin. Local councils need more central government leadership, policy support and help if we are to become more resilient. We need a national map of areas vulnerable to sea level rise, something which was done in the United Kingdom in 1990 but has yet to be done by New Zealand's Ministry for the Environment (MFE). MFE should also be providing more technical advice and support to councils. There needs to be a stronger policy direction from central government under the Resource Management Act about establishing coastal and flood hazard zones, so that new subdivision and building development avoids risk areas and/or are easily relocatable. There needs to be clear guidance about how coastal and flood hazard zones should be identified, given their impact on property values. We also need to know how we should have local and regional conversations about whether a managed retreat is the best strategy in some areas, and who bears and shares the cost of this. If we leave more space for nature by keeping riverbanks, sand dunes, coastal and estuary margins free of development, these natural areas can act as buffers against rising sea levels and water tables, flooding and severe storm events. If we protect wetlands, they can act as natural sponges to regulate water flows. Councils need to stronger direction to do this. Christchurch is also uniquely placed to build in climate resilience now, rather than retrofitting it. The City Council has done some initial work on the extent of sea level rise and areas at risk. The new provisions in the District Plan review will be important. These are not easy conversations to have but they must be had. The sooner we start, the better prepared we will be. Delaying will help no one, least of all our communities.

T

he housing repair programme is now past its peak, with most repairs expected to be completed by the end of the year 2016. We are also seeing that we have caught up with the shortage of new house builds and house building is returning to normal pre-quake levels. This is very good for Christchurch as it means residential rents will stabilise or drop a little. This is good to allow everyone to have a roof over their heads at an affordable cost. Unfortunately Auckland seems to be unable to ever catch up on its housing, causing real problems for Auckland housing. The announcement that some of the anchor projects are now being delayed has taken the heat out of the construction market in Christchurch. There is still an enormous amount of work going on in our CBD, but the predicted rampant inflation in construction costs are now history. There has been no real inflation in building costs this year. There are still a few subcontractors trying to claim inflationary prices but they will be finding they are out of sync. Our CBD has seen an upsurge in road repairs with SCIRT working across a wide area of the CBD. I am told that this is because they are planning to get most of the underground services repaired by the end of July 2016. That is very close and represents a great effort by SCIRT to get this work completed. With the implosion of the Police Station on Hereford Street, NgÄ i Tahu have announced plans for the whole city block bounded by Montreal, Hereford, Cambridge Terrace and Cashel Streets. This will include several office buildings, a 600 bay car park and residential onto Montreal Street. This development is due to start later this year. This will complement all the rebuilding going on in and around the Retail Precinct. This precinct will be our new CBD heart and most of its rebuild will be completed by the end of 2016, only 18 months away. What a great time to be in Christchurch as we see our new CBD come back to life.

T

his month a number of initiatives have come into effect that will help Canterbury families. These include free doctors' visits and prescriptions for children under 13, increases to paid parental leave payments and lower ACC vehicle registration fees. The National-led Government is committed to helping families get ahead. That's why Budget 2015 included a $790 million package aimed at reducing hardship among children living in some of our poorest families. This investment will see us delivering a $25 a week increase in benefit rates for families with children and an increase of $12.50 a week for other low-income families. Budget 2015 also included a further $107.8 million investment in the Canterbury rebuild, which will support land clearances to make way for anchor projects. On top of this, we're investing up to $100 million in rebuilding Lincoln University's science facilities, damaged in the earthquakes. We're also bringing 1,700 employees from 20 public sector departments and agencies back into the central city by next year. Last month on one of my regular visits to Christchurch I saw first-hand the progress being made on two anchor projects – the Justice and Emergency Services Precinct and the recently opened Bus Interchange. The first stage of the $53 million Bus Interchange opened in late May. It's a stylish and user-friendly facility and will help to make transport around the city easier. The $300 million Justice and Emergency Services Precinct is also well advanced and on schedule to be completed late next year. More than four years after the first earthquake, supporting the rebuild of Canterbury is still one of the National-led Government's most important priorities. Since 2010 we've invested around $16.5 billion to the Canterbury rebuild. I'm excited by the progress being made in the rebuild and we're focused on continuing to drive that progress forward.

I

nternational and national commercial property investors are turning their focus afresh to the Christchurch investment market. Their shopping list is relatively straightforward – they want prime stock, quality tenants and long term leases. Low interest rates, especially now that the OCR has dipped to 3.25 percent for the first time in four years, are making commercial property yields increasingly attractive. While there was a flight of capital directly post earthquake, we're certainly experiencing growing demand from institutions and high net worth individuals in Auckland and further afield. For instance, NZX listed property funds manager Augusta Capital Ltd spent $9.4 million on a large industrial property in Birmingham Drive, Christchurch, which it is now syndicating. This follows a similarly large purchase of a property in Branston Street, Hornby, last year. Both captured a large amount of interest from New Zealand investors. And, recent research by Colliers International, reinforces that New Zealand is emerging as one of the preferred property markets for global investors. A review of major gateway cities in the US, Europe, Asia, indicated that prime average yields were higher in the main cities here. When comparing some markets and sectors, New Zealand's average prime investment yields are almost 400 basis points higher than other countries. Examples include: Hong Kong CBD office yields at 2.60 percent compared to Auckland's 7.70 percent; London's High Street retail yields of 2.75 percent compared to Auckland's 6.25 percent; and Seoul's industrial yields of 4.10 percent compared to Christchurch 7.00 percent. New Zealand's favorable investment conditions for offshore parties, as well as locals, have led to a strong run in 2014 that pushed aggregate transaction values to record highs. The aggregate value of sales transactions in New Zealand in 2014 was $6.9 billion. This increases to $8.2 billion if an additional $1.3 billion in joint venture purchases are added. Recent offshore discussion with investors about New Zealand confirms interest is red hot. New Zealand is growing into an internationally recognised country for its commercial real estate, and our values are appreciating quickly.

I

recently visited New York for a United Nations conference on disability issues. I managed to take some time to visit the High Line, a park in central Manhattan developed on a disused elevated railroad. This got me thinking about the opportunities that the Christchurch recovery offers for developing green public spaces. There can be a tendency to focus solely on the many new buildings that are springing up. While the buildings we live, work and shop in are important, we must not lose sight of the value of those areas in between – the streets and public spaces we use to get around, or gather in to relax, catch up, or have fun. Public spaces can mean anything from a civic square through to a courtyard or laneway between two buildings. So many of these spaces have been affected and are changing as a result of the earthquakes that struck our city. That is why a new Streets and Spaces Design Guide is being produced. The guide, to be made available online, sets out a vision for how the network of streets and public spaces might look in future, including design principles and standards for improving them. The Avon River Precinct, for example, will provide for some stunning new riverside gathering spaces – such as The Terraces – and a promenade running alongside the river. Residents in the new East Frame neighbourhood will have an expanse of green space just outside their doors to enjoy, as well as a large new family playground and park nearby. The guide will be of particular interest to central and local government organisations, urban designers, planners, developers, investors and the wider business sector who are involved in the rebuild of the central city. Most importantly, we want people to have a sense of how new developments can best fit with, or complement, the streets and public spaces they sit alongside. One of the most exciting things for me about the rebuild is the wonderful new public spaces we are going to see spring up in new projects and developments over the coming years.

T

he Canterbury economy remains strong and, despite the problems faced by our dairy industry, continues to exhibit positive inputs right across all facets of economic activity. Canterbury's GDP is one of the fastest growing in the New Zealand economy. Of course that is underpinned by direct rebuild activity, but is also evidence of the flow-on effect of the rebuild to other areas of our economy, particularly in the service goods and hospitality sectors. In addition we have the traditional contributors to our economy continuing to provide and underpin solid economic growth. This is reflected in the unemployment rate of 3.1 percent being half of the New Zealand rate of 6.1 percent and very strong participation in Canterbury's labour force. We are extremely pleased to see some of the changing dynamics of our workforce, particularly the recruitment of females into the construction and build sectors of the economy being at record levels. International migration remains high and we expect that to continue to grow with continuing labour force constraints and strong continuous rebuild activity. With the Reserve Bank's announcement of the drop in the Official Cash Rate from 3.5 percent through to 3.25 percent and the associated softening of the New Zealand dollar against major trading currencies, we will see some offset to the decline in dairy through increased export returns. Canterbury has an economy that is very much a microcosm of the New Zealand economy with tourism, agriculture, manufacturing, and service sectors all playing their part in ensuring that as the rebuild continues. It will be underpinned by economic growth and new opportunities right across our economy. It is a good time to be in Christchurch and it is a good time to be investing in future opportunities.

Spec Builders Beware

T

Every issue Canterbury Build magazine will bring you up to date legal advice, with some of the city's leading specialist law firms providing information on a wide variety of issues of importance to both business owners and consumers.

here has been a lot of publicity about the recent change to the Building Act which makes written building contracts compulsory for all residential building jobs with a value over $30,000. The Act introduced a range of consumer protection measures which apply when a builder agrees to undertake residential building work for a client. If a builder fails to comply he/she is potentially subject to a fine. Whilst many of the new protections do not apply to a spec builder, building a home for on-sale when completed, it has not been well publicised that new warranties implied by the Act do apply to spec builds. The warranties apply to every spec build. The spec builder is unable to contract out of them. The benefit of the warranties also pass to any subsequent home owner who has purchased from the original purchaser. The warranty period can be up to 10 years. The spec builder is required to remedy any breach of the implied warranties, if it can be remedied, within a reasonable time. If the spec builder does not do so the home owner can have the breach fixed by someone else and recover the costs involved in that from the spec builder. In some circumstances the home owner can also obtain damages from the spec builder for any loss they have suffered. In addition to the other warranties implied into the sale contract, the spec builder must also remedy any defects notified by the home owner within one year of the house being completed. Once the home owner notifies the defect to the spec builder it is presumed that the defect exists and is capable of being remedied, unless the contrary is proven by the spec builder. The defects must be remedied within a reasonable time of notification and once again the home owner can employ another builder to fix the problem and recover those costs from the spec builder. The home owner can also obtain damages from the spec builder for any loss to the home owner resulting from the defect that was reasonably foreseeable as likely to result from it. There are some limited exclusions and there is some ability to clarify the limits of the implied warranties. It is very important that spec builders include additional clauses in their sale contracts to take advantage of this. Make sure you obtain advice before you sign any contract for the sale of your spec build.

“Good faith” and construction contracts

T

he duty of ‘good faith’ in contract law requires parties to a contract to deal with each other fairly, honestly, cooperatively and in good faith when entering into and carrying out a contract. Generally speaking, an obligation to deal in good faith encourages positive behaviour from the outset. The duty is particularly relevant to parties to a construction contract, where a relationship breakdown can cause project failure. The duty can either be implied into a contract by the courts, or be expressly included in a contract by drafting in a specific duty of ‘good faith’ clause. Breach of the duty equates to a breach of contract, entitling the wronged party to damages. A requirement that the parties act in good faith may be an express contractual term in a contract. Although a little ‘woolly’, the courts have been prepared to uphold terms requiring “fair, honest and open dealing” on the basis that by specifically including those words in the contract, the parties intended them to have some meaning. As to the content of the good faith obligation the courts have regarded this as context-specific. For example, a “good faith” obligation in a tender contract meant that those assessing the tender would express their views honestly, and treat all tenders equally. Whether the duty of ‘good faith’ can be implied into a construction contract is uncertain. Traditionally, the courts in New Zealand and other common law jurisdictions have refused to imply such a duty and have only been prepared to recognise a requirement of cooperation to the extent necessary to ensure performance of obligations under a contract. More recently there has been a trend towards implying the duty in certain types of contract where cooperation is important and the contract is “relational” in nature, for example joint venture, franchise and agency agreements. In our view, it is unlikely we will see the duty implied into construction contracts in New Zealand in the near future. If parties to a construction contract want the benefit of a good faith obligation then best practice would be to include an express requirement in the contract.
