TERMS AND CONDITIONS Billing and Payment • PAYMENT IN ADVANCE REQUIRED FOR ALL ADVERTISERS. • Customers who do not put a credit card on file for per insertion billing must pre-pay the entire advertising run by check or money order before the first insertion is published. • Advertisers will be charged a return check fee of $40 per returned check. Credit cards will be charged between the 15th and 20th of the month for the following month’s insertion, and Advertisers will be charged a fee of $20 if the credit card on file fails to authorize. • Accounts on which any charge enters a 30 day past due status shall be immediately placed on hold and no further advertising shall be run for that Advertiser until said account is paid in full. Late fees of 24% annual (2% per month) will accrue. Accounts on which any charge enters a 60 day past due status shall be deemed delinquent. Once an account is considered delinquent, Outlook Media has the right to terminate the contract. Advertisers may also choose to terminate a contract at any time by giving written notice to Outlook Media. Upon termination of a contract, Outlook Media will notify the advertiser in writing, and will bill the advertiser for any unpaid balance on the account, plus an amount equal to one-half of the remaining contract value, and all advertising values will be calculated at the open (non-frequency rate) and any offered discounts or special pricing will be rendered void. All terminated accounts will be sent to collections attorneys for immediate action. Other costs, such as legal fees derived from the delinquency, may be added to the account balance, if collection through the courts is required. General Policies • A contract must be signed by an authorized representative of the Advertiser and an authorized representative of Outlook Media and submitted with space reservation requests. Advertisers understand and agree that rates cited on this agreement are per insertion, unless otherwise specified in writing. Frequency advertising will run consecutively unless otherwise specified above. • Outlook Media art design time billed at $125/hr unless otherwise noted above. All costs for purchasing/licensing commercial art and images will be billed to Advertiser. • An Advertiser may not make cancellations or changes after 9 am on the 15th of the month prior to publication, and all publication artwork and payment in full are due at 9 am on the 15th of the month prior to publication. Notice of cancellation or changes must be submitted in writing. All ads cancelled after the deadline will be billed at 100%. If Outlook Media agrees to accept an ad for publication after the deadline, there will be a 15% surcharge added to the cost of that ad. Further, if Outlook Media agrees to make changes to artwork Outlook Media has produced for an ad or accept a replacement ad from an advertiser that is different in size to the original ad placed after the deadline, there will be a surcharge of $25 added to the cost of that ad. Outlook Media reserves the right to charge for unused space or run the most recent advertisement to fulfill a contract agreement when no acceptable copy is furnished by the deadline. • Outlook Media will not be liable for omission of any advertisement or for errors on the part of the Publisher appearing in any advertisement beyond crediting the cost of the space occupied by the error. No allowance will be made for errors that do not materially affect the
value of the ad. Credit will be applied at the end of the advertising run. No refunds will be made under any circumstances, including pre-paid agreements that are not fulfilled by the Advertiser. Notification of error must be made in writing within one week of publication of the error. Verbal notifications of errors will not result in a credit. • Outlook Media will not be subject to any liability whatsoever for any failure to publish or circulate all or any part of issue or issues because of circumstances not within the control of Outlook Media. Furthermore, the Advertiser assumes full responsibility and any and all liability arising out of any claim associated whether directly or indirectly from said advertisement and shall hold harmless and/or indemnify Outlook Media, Inc. and associated individuals and companies for any and all costs arising from said claim. • Positioning of advertisements is not guaranteed and is at the discretion of Outlook Media. Ads are not subject to adjustments, reinsertions, or refunds due to the position in which an ad appears. All rates listed are net. Advertisers are responsible for advertising charges and associated fees in the event an Advertiser’s agency/representative defaults on payment due Outlook Media. It is clearly understood that forwarding an insertion order and/or submitting a signed contract constitutes an acceptance by the Advertiser and agency of all terms and conditions of the current Outlook Media rate card and contract in effect at the time of agreement. • Discounted rates for non-profit organizations are extended only to verifiable 501(c)(3) not-for-profit groups that provide Outlook Media with a copy of their IRS status letter. Discounted rates are not available for purchased “in kind” advertising. The least expensive frequency rate will be used for all political candidates, issues campaigns, and political influence advertising. • It is clearly understood and agreed that advertising and editorial are independent and that no special editorial consideration of any kind shall be part of the sales agreement. Outlook Media reserves the right to add or delete distribution locations and print run without notice to the Advertiser. Said additions or deletions will have no effect on Advertiser’s individual rates unless an acrossthe-board notice is provided regarding it to all Advertisers. • Outlook Media reserves the right to edit, refuse, cancel or reject any material at any time for any reason. Outlook Media, Inc. holds the copyright to all materials produced by the company. • This Agreement shall be construed and governed according to the laws of the State of Ohio. Advertisers consent to the jurisdiction and venue of any Court located in the State of Ohio, and expressly waive any right to a trial by jury. This authorization is to remain in full force and effect until Outlook Media, Inc. has received written notification from me of its termination in such time and in such manner as to afford Outlook Media, Inc. a reasonable opportunity to act on it. With my signature, I certify that I have the authority to execute this advertising contract on behalf of the above-named company and I authorize Outlook Media to publish advertising for the company as outlined above. I have read and understand all terms and conditions specified above, and acknowledge that this advertising contract is subject to all of those terms and conditions. My signature authorizes Outlook Media to debit the above credit card as payment for advertising fees, if applicable. My signature personally guarantees payment of this contract.
